PAYMENTSTOMATERIALMENANDSUBCONTRACTORS: ThePrimeContractorshallpayeachmaterialman, andeachsubcontractor, ifany, notlaterthan five (5) daysafterreceiptofanypaymentfromtheOwner, theamountthereofallowedthe Contractorforandonaccountofmaterialsfurnishedorconstructionperformedbyeach materialmanoreachsubcontractor. 6. REMEDIES: A. B. LiquidatedDamages Thetimeofthecompletionofconstructionoftheprojectisoftheessenceofthe contract. ShouldtheContractorneglect, refuseorfailtocompletetheconstructionwithin thetimehereinagreedupon, aftergivingeffecttoextensionsoftime, ifany, hereinprovided, then, inthateventandinviewofthedifficultyofestimatingwithexactnessdamagescaused bysuchdelay, theCityshallhavetherighttodeductfromandretainoutofsuchmoney whichmaybethendueorwhichmaybecomedueandpayabletotheContractorthesumof FIVEHUNDREDDOLLARS ($500.00) perdayforeachandeveryday, including weekends, thatsuchconstructionisdelayedonitscompletionbeyondthespecifiedtime, as liquidateddamagesandnotasapenalty; iftheamountdueandtobecomeduefromtheCity totheContractorisinsufficienttopayinfullanysuchliquidateddamages, theContractor shallpaytotheCitytheamountnecessarytoeffectsuchpaymentinfull: Provided, however, thattheCityshallpromptlynotifytheContractorinwritingofthemannerinwhich theamountretained, deductedorclaimedasliquidateddamageswascomputed. C. Bidders, sampleforms, thePrimeContractor'sBidProposalandportionsofaddenda relatingtoanyofthesedocuments, and anyotherdocuments, exhibitsorattachments specificallyenumeratedintheBuildingConstructionServicesAgreement, butspecifically excludegeotechnicalandsubsurfacereportsthattheOwnermayhaveprovidedtothe PrimeContractor. b) THECONTRACT TheContractDocuments, asdefinedinParagraph1.1, areexpresslyincorporatedintoand madeapartoftheformalBuildingConstructionServicesAgreementbetweentheOwner andthePrimeContractorbyreferenceinthisParagraphandParagraph1.1 (which documentsaresometimesalsoreferredtocollectivelyintheseGeneralConditionsasthe betweentheOwnerandthePrimeContractorandsupersedeallpriornegotiations, representationsoragreements, eitherwrittenororal. Thetermsandconditionsofthe ContractDocumentsmaybechangedonlybyanAmendment. ThePrimeContractorshallalsoverifyalldimensions, fieldmeasurements, andfieldconditionsbeforelayingouttheWork. ThePrimeContractorwillbeheld responsibleforanysubsequenterror, omission, conflict, ordiscrepancywhichmighthave beenavoidedbytheabove-describedcheck, study, comparison, andreporting. Intheevent thePrimeContractorcontinuestoworkonanitemwhereaninconsistency, ambiguity, error, omission, conflict, ordiscrepancyexistswithoutobtainingsuchclarificationor resolutionorcommencesanitemoftheWorkwithoutgivingwrittennoticeofanerror, omission, conflict, ordiscrepancythatmighthavebeenavoidedbythecheck, study, and comparisonrequiredabove, itshallbedeemedthatthePrimeContractorbidandintended toexecutethemorestringent, higherquality, orstateoftheartrequirement, oraccepted theconditionasisintheContractDocuments, withoutanyincreasetotheContractSum orContractTime. ThePrimeContractorshallbesolelyresponsibleforandhave controloverconstructionmeans, methods, techniques, sequences, andproceduresandfor coordinatingallportionsoftheWork, unlesstheContractDocumentssetforthspecific instructionsconcerningthesematters. b) ThePrimeContractorshallberesponsibletotheOwnerfortheactsandomissionsofthe Prime -subcontractors, andtheirrespective agentsandemployees, andanyotherpersonsperformingportionsoftheWorkundera subcontractwiththePrimeContractor, orwithanySubcontractor, andallotherpersonsor entitiesforwhichthePrimeContractorislegallyresponsible. Alllaborshallbeperformed bymechanicsthataretrainedandskilledintheirrespectivetrades. Standardsofwork requiredthroughoutshallbeofaqualitythatwillbringonlyfirstclassresults. Mechanics whoseworkisunsatisfactory, orwhoareconsideredcareless, incompetent, unskilled, or otherwiseobjectionableshallbedismissedpromptlyfromtheWorkandimmediately replacedwithcompetent, skilledpersonnel. AnypartoftheWorkadverselyaffectedbythe actsoromissionsofincompetent, unskilled, careless, orobjectionablepersonnelshallbe immediatelycorrectedbythePrimeContractor. c) ThePrimeContractorshallnotberelievedofitsobligationtoperformtheWorkin accordancewiththeContractDocumentseitherbyactivitiesordutiesofthe inspections, orapprovalsrequiredorperformedbypersonsotherthanthePrime Contractor. d) ThePrimeContractorshallberesponsibleforinspectionofportionsofWorkalready performedunderthisContracttodeterminethatsuchportionsareinproperconditionto receivesubsequentWork. ThePrimeContractor'sresponsibilityunderthisparagraphwill notinanywayeliminatetheArchitect/Engineer'sresponsibilitytotheOwnerunderthe Architect/Engineer/OwnerAgreement. e) AnyPrimeContractor, Subcontractor, Sub-subcontractor, orseparatecontractorwho commencesWorkover, in, orunderanysurfacepreparedbytheOwnerorbyanyother contractor, subcontractor, sub-subcontractor oranyseparatecontractor, withoutthePrime ContractorhavinggivenwrittennoticetotheArchitect/Engineeroftheexistenceofany faultysurfaceorconditioninthesurfacethatpreventsachievingthequalityof workmanshipspecifiedbytheContractDocumentsandwithouthavingobtainedtheprior approvaloftheArchitect/EngineerandtheOwnertoproceedisdeemedtohaveaccepted thesurfaceorconditioninthesurfaceassatisfactoryatthecommencementofsuchWork. AnyunsatisfactoryWorksubsequentlyresultingfromsuchafaultysurfaceorconditionin thesurfacethatwasnotpre-approvedbytheArchitect/EngineerortheOwnerafternotice asprovidedabovemayberejectedandreplacementrequired, withoutanyincreasetothe ContractSumorContractTime. ThePrimeContractorissolelyresponsibleforanyerrors madeinestablishingormaintainingpropergrades, lines, levels, orbenchmarks. Contractor shallverifyallgrades, lines, levels, anddimensionsasindicatedonDrawings. Heshall reportanyerrors, omissions, conflicts, orinconsistenciestoArchitect/Engineerbefore commencinganyWorkaffectedbytheseconditions. Contractorshallestablishand safeguardbenchmarksinatleasttwowidelyseparatedplacesand, asWorkprogresses, establishbenchmarksateachlevelandlayoutpartitionsonroughfloorinexactlocations asguidestoalltrades. TheContractorshall, fromthepermanentbenchmarkprovidedby theOwner, establishandmaintainadequatehorizontalandverticalcontrol. 3.4LABORANDMATERIALS a) ExceptasisotherwisespecificallyprovidedintheContractDocumentsasbeingthe responsibilityoftheOwner, thePrimeContractorshallprovideandpayforlabor, materials, equipment, tools, constructionequipmentandmachinery, water, heat, utilities, transportation, andotherfacilitiesandservicesnecessaryforproperexecutionand completionoftheWork, whethertemporaryorpermanentandwhetherornotincorporated ortobeincorporatedintheWork. b) ThePrimeContractorshallenforcestrictdisciplineandgoodorderamongthePrime allotherpersonscarryingouttheContract. TheContractorwarrantstotheOwnerthatallWorkshallbe accomplishedinagoodandworkmanlikemannerandthatallmaterialsandequipment furnishedundertheContractwillbeofgoodquality, new (unlessotherwisespecified), and freefromfaultsordefects, andthattheWorkwillotherwiseconformtotheContract Documents. TheContractorshallassigntotheOwnerinwriting, asacondition precedenttofinalpayment, thetermsandconditionsofallspecialwarrantiesrequired undertheContractDocuments. 3.6TAXES TheOwnerqualifiesforexemptionfromstateandlocalsalesandusetaxes, pursuanttothe provisionsofSection151.309oftheTexasTaxCode, asamended. Therefore, theOwnershall notbeliablefor, orpaytheContractor'scostof, suchsalesandusetaxeswhichwould otherwisebepayableinconnectionwiththepurchaseoftangiblepersonalpropertyfurnished andincorporatedintotherealpropertybeingimprovedundertheContractDocumentsorthe purchaseofmaterials, suppliesandothertangiblepersonalproperty, otherthanmachineryor equipmentanditsaccessoriesandrepairandreplacementparts, necessaryandessentialfor performanceoftheContractwhichistobecompletelyconsumedatthejobsite. TheContractor shallissueanexemptioncertificateinlieuofthetaxonsuchpurchases. 3.7PERMITS, FEESANDNOTICES a) TheArchitect/EngineerwillapplyandarrangefortheissuanceoftheCityofDenton BuildingPermit. ThePrimeContractorandSubcontractorswillapplyandarrangeforthe issuanceofallotherrequiredpermits, andwillnotberequiredtopayafeeforanyCityof DentonpermitsrequiredfortheProject. TheArchitect/Engineershallemployall reasonablemeasurestosafeguardtheOwneragainstdefectsandnonconformities inthe Work. TheArchitect/Engineershallnotberesponsiblefortheconstructionmeans, methods, techniques, sequencesofprocedures, norforthesafetyprecautionsandprograms employedin connectionwiththeWork. TheArchitect/Engineerwill, however, immediatelyinformtheOwnerwheneverdefectsornonconformitiesintheWorkare observed, orwhenanyobservedactionsoromissionsareundertakenbythePrime ContractororanySubcontractorwhicharenotinthebestinterestsoftheOwnerorthe Project. c) TheArchitect/EngineerandtheOwnerwillnothavecontroloverorchargeofandwillnot beresponsibleforconstructionmeans, methods, techniques, sequences, orprocedures, or Contract6990 DocuSignEnvelopeID: 9180EE31-CBBE-4655-B2B4-FD38BFCC90A6 forsafetyprecautionsandprogramsinconnectionwiththeWork, sincethesearesolely thePrime andtheOwnerwillnotberesponsibleforthePrime tthe WorkinaccordancewiththeContractDocuments. TheArchitect/EngineerandtheOwner willnothavecontroloverorchargeofandwillnotberesponsibleforactsoromissionsof thePrimeContractor, Subcontractors, Sub-subcontractors, ortheirrespectiveagentsor employees, orofanyotherpersonsperformingportionsoftheWorkforwhichthePrime Contractorisresponsible. d) ExceptasotherwiseprovidedintheContractDocumentsorwhendirectcommunications havebeenspeciallyauthorized, theOwnerandPrimeContractorshallendeavorto communicatethroughtheArchitect/Engineer. Communicationsbyandwiththe byandwithSubcontractorsandmaterialsuppliersshallbethroughthePrimeContractor. CommunicationsbyandwithseparatecontractorswillbethroughtheOwner. ThePrime Contractorshallprovidewrittenconfirmationofcommunicationsmadedirectlywiththe OwnerandprovidecopiesofsuchconfirmationtotheArchitect/Engineer. e) Prime ApplicationsforPayment, theArchitect/Engineerwillreviewandcertifytheamountsdue thePrimeContractorandwillissueCertificatesforPaymentinsuchamounts. f) TheArchitect/EngineerandtheOwnerwilleachhaveauthoritytorejectWorkwhichdoes notconformtotheContractDocuments. WhenevertheArchitect/Engineerconsidersit necessaryoradvisableforimplementationoftheintentoftheContractDocuments, the Architect/Engineerwillhaveauthoritytorequireadditionalinspectionortestingofthe WorkinaccordancewithSubparagraphs3.17(b) and3.17(c), whetherornotsuchWorkis fabricated, installedorcompleted. However, neitherthisauthorityofthe Architect/Engineernoradecisionmadeingoodfaitheithertoexerciseornottoexercise suchauthorityshallgiverisetoanydutyorresponsibilityoftheArchitect/Engineertothe PrimeContractor, Subcontractors, materialandequipmentsuppliers, theiragentsor employees, orotherpersonsperformingportionsoftheWork. g) TheArchitect/Engineerwillreviewandapproveortakeotherappropriateactionuponthe Prime Data, andSamples, but onlyforthelimitedpurposeofcheckingforconformancewithinformationgivenandthe betakenwithsuchreasonablepromptnessastonotdelaytheWorkortheactivitiesofthe Owner, Contractor, orseparatecontractors. Reviewofsuchsubmittalsisnotconductedfor thepurposeofdeterminingtheaccuracyandcompletenessofotherdetailssuchas dimensionsandquantities, orforsubstantiatinginstructionsforinstallationorperformance ofequipmentorsystems, allofwhichremaintheresponsibilityofthePrimeContractoras Prime ievethePrimeContractorofanyobligationsunder approvalofsafetyprecautionsor, unlessotherwisespecificallystatedinwritingbythe Architect/Engineer, ofanyconstructionmeans, methods, techniques, sequences, or Contract6990 DocuSignEnvelopeID: 9180EE31-CBBE-4655-B2B4-FD38BFCC90A6 approvalofanassemblyofwhichtheitemisacomponent. h) TheArchitect/EngineerwillprepareChangeOrdersandmayauthorizeminorchangesin theWorkasprovidedinParagraph7.3. i) TheArchitect/Engineerwillconductinspectionstodeterminethedateordatesof SubstantialCompletionandthedateoffinalcompletion, willreceiveandforwardtothe sreviewandrecordswrittenwarrantiesandrelateddocuments requiredbytheContractandassembledbythePrimeContractor, andwillissueafinal CertificateforPaymentuponcompliancewiththerequirementsoftheContract Documents. j) IftheOwnerand Architect/Engineeragree, theArchitect/Engineerwillprovideoneor responsibilitiesatthesite. Theduties, responsibilities, andlimitationsofauthorityofsuch ProjectrepresentativesshallbeassetforthinanexhibittobeincorporatedintotheContract Documents. k) TheArchitect/EngineerwillinterpretandmakerecommendationstotheOwnerconcerning performanceunderandrequirementsoftheContractDocumentsuponwrittenrequestof madewithreasonablepromptnessandwithinanytimelimitsagreedupon. The uinginstructions, interpretations, orjudgmentstothePrimeContractorwhichchangethescopeoftheWork orwhichmodifyorchangethetermsandconditionsofanyoftheContractDocuments. l) InterpretationsanddecisionsoftheArchitect/Engineerwillbeconsistentwiththeintentof andreasonablyinferablefromtheContractDocumentsandwillbeinwritingorintheform ofDrawings. Whenmakingsuchinterpretationsanddecisions, theArchitect/Engineerwill endeavortosecurefaithfulperformancebythePrimeContractor. m) consistentwiththeintentexpressedintheContractDocuments; providedthatthe Architect/EngineerhasthepriorwrittenapprovaloftheOwner. 4.3CLAIMSANDDISPUTES a) Definition; GeneralNoticeofClaimProcedure. AsusedintheseGeneralConditions, a adjustmentofthetermsoftheContractDocuments, oftheContractSum, oftheContract Time, orsomeotherreliefinrespecttothetermsoftheContractDocuments. Thetermalso includesallotherdisputesbetweentheOwnerandtheContractorarisingoutoforrelating totheProjectortheContractDocuments, includingbutnotlimitedtoclaimsthatworkwas outsidethescopeoftheContractDocuments. TheresponsibilitytosubstantiatetheClaim andtheburdenofdemonstratingcompliancewiththisprovisionshallrestwiththeparty makingtheClaim. ExceptwhereotherwiseprovidedintheContractDocuments, aClaim Contract6990 DocuSignEnvelopeID: 9180EE31-CBBE-4655-B2B4-FD38BFCC90A6 bythePrimeContractor, whetherforadditionalcompensation, additionaltime, orother relief, includingbutnotlimitedtoclaimsarisingfromconcealedconditions, WITHOUT EXCEPTION, MUSTBEMADEBYWRITTENNOTICETOTHE ARCHITECT/ENGINEERANDTOTHEOWNERWITHINFOURTEEN (14) DAYS IMMEDIATELYAFTEROCCURRENCEOFTHEEVENTOREVENTSGIVING RISETOTHEPARTICULARCLAIM. EveryClaimofthePrimeContractor, whetherfor additionalcompensation, additionaltime, orotherrelief, includingbutnotlimitedtoclaims arisingfromconcealedconditions, shallbesignedandsworntobyanauthorizedcorporate officer (ifnotacorporation, thenanofficialofthecompanyauthorizedtobindthePrime Contractorbyhissignature) ofthePrimeContractor, verifyingthetruthandaccuracyof theClaim. THEPRIMECONTRACTORSHALLBECONCLUSIVELYDEEMEDTO HAVEWAIVEDANYCLAIMNOTMADESTRICTLYINACCORDANCEWITH THEPROCEDURESANDTIMELIMITSSETOUTINTHISPARAGRAPH. b) ReferraltotheArchitect/Engineer. Claims, disputes, andothermattersinquestionbetween thePrimeContractorandtheOwnerrelatingtotheprogressorexecutionoftheWorkor theinterpretationoftheContractDocumentsshallbereferredtotheArchitect/Engineerfor recommendationtotheOwner, whichrecommendationtheArchitect/Engineerwillfurnish inwritingwithinareasonabletime, providedproperandadequatesubstantiationhasbeen received. FailureofthePrimeContractortosubmittheClaimtotheArchitect/Engineerfor renderingofarecommendationtotheOwnershallconstituteawaiveroftheClaim. c) ContinuingContractPerformance. PendingfinalresolutionofaclaimthePrimeContractor shallproceeddiligentlywithperformanceoftheWorkandtheOwnershallcontinueto makepaymentsinaccordancewiththeContractDocuments. d) ClaimsforConcealedorUnknownConditions. NoadjustmentintheContractSumorTime associatedwithconcealedorunknownconditionswillnormallybeconsideredorallowed; provided, however, thattheContractSumorTimemaybeadjustedbytheOwnerinsuch circumstancesonlyif: 1) aconcealedsubsurfaceconditionisencounteredinthecourseofperformanceofthe Work; 2) aconcealedorunknownconditioninanexistingstructureisatvariancewithconditions indicatedbytheContractDocuments; or 3) anunknownphysicalconditionisencounteredbelowthesurfaceofthegroundorinan existingstructurewhichisofanunusualnatureandmateriallydifferentfromthose ordinarilyencounteredandgenerallyrecognizedasinherentinthecharacterofthe Work; and 4) anoticeofclaimwithproperandadequatesubstantiationispresentedpursuantto Subparagraph4.3(a) oftheseGeneralConditions; and 5) theOwnerandtheArchitect/Engineerdeterminethat: i) priortosubmittingitsbidfortheWork, theContractorusedreasonablediligenceto fullyinspecttheportionoftheProjectsitewheretheconditionwasdiscovered; and ii) theworkcausedorrequiredbytheconcealedorunknownconditionatissuecanbe Contract6990 DocuSignEnvelopeID: 9180EE31-CBBE-4655-B2B4-FD38BFCC90A6 consideredextraworktotheextentthatadditionalnewDrawingsmustbepreparedand issuedandnewconstructionbeyondthescopeoftheContractDocumentsisrequired. e) DisclaimerofWarrantiesastoReports, Drawings, andSpecifications. PROJECTSITE INFORMATIONANDREPORTS (INCLUDINGBUTNOTLIMITEDTOSOILS TESTINGREPORTS, GEOTECHNICALREPORTS, ORENVIRONMENTALSITE ASSESSMENTS) PROVIDEDBYTHEOWNERANDTHEARCHITECT/ENGINEER INTHEPROJECTMANUALORBYOTHERMEANSSHALLBEUTILIZEDBYTHE PRIMECONTRACTORATTHEPRIME OWNERANDTHEARCHITECT/ENGINEERDONOTGUARANTEEOR WARRANTANYINFORMATIONSHOWNINTHEPROJECTSITEINFORMATION ANDREPORTS. f) ClaimsforAdditionalCost. IfthePrimeContractorwishestomakeaclaimforanincrease intheContractSum, writtennoticeasprovidedinthisParagraph4.3shallbegivenbefore proceedingtoexecutetheWork. Priornoticeisnotrequiredforclaimsrelatingtoan emergencyendangeringlifeorpropertyarisingunderParagraph10.3. Inaddition, the PrimeContractor'srequestforanincreaseintheContractSumforanyreason (otherthan workperformedunderemergencyconditions) shallbemadefarenoughinadvanceof requiredworktoallowtheOwnerandtheArchitect/Engineerasufficientamountoftime, withoutadverselyaffectingtheconstructionschedule, toreviewtherequest, prepareand distributesuchadditionaldocumentsasmaybenecessarytoobtainsuitableestimatesor proposalsandtonegotiate, executeanddistributeaChangeOrderfortherequiredworkif thePrimeContractorbelievesthatadditionalcostisinvolvedforreasonsincludingbutnot limitedto: 1) awritteninterpretationfromtheArchitect/Engineer; 2) awrittenorderforaminorchangeintheWorkissuedbytheArchitect/Engineer; 3) failureofpaymentbytheOwner; 4) terminationoftheContractbytheOwner; 5) Prime Contractorwasnotatfault; or 6) otherreasonablegrounds. g) InjuryorDamagetoPersonorProperty. IfthePrimeContractorsuffersinjuryordamages topersonorpropertybecauseofanactoromissionoftheOwner, orofanyoftheOwner's officers, employeesoragents, written, sworn-tonoticeofanyclaimfordamagesorinjury shallbegivenasprovidedinSubparagraph4.3(a). Thenoticeshallprovidesufficientdetail toenabletheArchitect/EngineerandtheOwnertoinvestigatethematter. h) SubcontractorPass-ThroughClaims. IntheeventthatanySubcontractorofthePrime ContractorassertsaclaimtothePrimeContractor, thatthePrimeContractorseekstopass Contract6990 DocuSignEnvelopeID: 9180EE31-CBBE-4655-B2B4-FD38BFCC90A6 throughtotheOwnerundertheContractDocuments, anyentitlementofthePrime ContractortosubmitandasserttheclaimagainsttheOwnershallbesubjectto: 1) therequirementsofParagraph4.3oftheseGeneralConditions; and 2) thefollowingadditionalthreerequirementslistedbelow, allthreeofwhichadditional requirementsshallbeconditionsprecedenttotheentitlementofthePrimeContractor toseekandassertsuchclaimagainsttheOwner: ii) ThePrimeContractorshalleither (A) havedirectlegalliabilityasamatterof contract, commonlaw, orstatutorylawtotheSubcontractorfor theclaimthatthe Subcontractorisassertingor (B) thePrimeContractorshallhaveenteredintoawritten liquidatingagreementwiththeSubcontractor, underwhichagreementthePrime ContractorhasagreedtobelegallyresponsibletotheSubcontractorforpursuingthe assertionofsuchclaimagainsttheOwnerundertheContractandforpayingtothe Subcontractoranyamountthatmayberecovered, lessPrime markup (subjecttothelimitsintheContractDocumentsforanymarkup). Theliability orresponsibilitiesshallbeidentifiedinwritingbythePrimeContractortotheOwner atthetimesuchclaimissubmittedtoOwner, andacopyofanyliquidatingagreement shallbeincludedbythePrimeContractorintheclaimsubmittalmaterials. ii) ThePrimeContractorshallhavereviewedtheclaimoftheSubcontractorpriorto itssubmittaltoOwnerandshallhaveindependentlyevaluatedsuchclaimingoodfaith todeterminetheextenttowhichtheclaimisbelievedingoodfaithtobevalid. The PrimeContractorshallalsocertify, inwritingandunderoathtotheOwner, atthetime ofthesubmittalofsuchclaim, thatthePrimeContractorhasmadeareview, evaluation, anddeterminationthattheclaimismadeingoodfaithandisbelievedbytheContractor tobevalid. iii) TheSubcontractormakingtheclaimtothePrimeContractorshallcertifyinwriting andunderoaththatithascompiled, reviewedandevaluatedthemeritsofsuchclaim andthattheclaimisbelievedingoodfaithbytheSubcontractortobevalid. Insuchevent, anypossibleright, ifany, ofthePrimeContractortoadditionalcompensationfor anyaccelerationshallbesubjecttothetermsofthisSubparagraph (i). 2) IntheeventthatthePrimeContractorisotherwiseentitledtoanextensionof ContractTimeandhasproperlyinitiatedaClaimforatimeextensioninaccordance withSubparagraph4.3(a) above, theOwnershallhav solediscretion, todenyall, oranypart, oftheClaimforextensionofContractTime bygivingwrittennoticetothePrimeContractorprovidedwithinfourteen (14) days afterreceiptofthePrimeContractor'sClaim. IftheOwnerdeniesthePrime Contractor'sclaimforanextensionofContractTimeunderthisClause (i)(2), either inwholeorinpart, thePrimeContractorshallproceedtoprosecutetheWorkin suchamannerastoachieveSubstantialCompletiononorbeforethethenexisting ScheduledCompletionDate. 3) IfthePrimeContractorwouldhavebeenentitledtoatimeextensionforareason specificallyallowedundertheContractDocuments, foranamountoftimethat wouldhavejustifiedapprovalbytheOwnerifnotfortheneedandrightto accelerate, thePrimeContractormayinitiateaClaimforaccelerationcosts pursuanttoSubparagraph4.3(a). AnyresultingClaimforaccelerationcosts properlyinitiatedbythePrimeContractorunderSubparagraph4.3(a) aboveshall belimitedtothosereasonableanddocumenteddirectcostsoflabor, materials, equipment, andsupervisionsolelyanddirectlyattributabletotheactual accelerationactivitynecessarytobringtheWorkbackwithinthethenexisting approvedconstructionschedule. Thesedirectcostsincludethepremiumportionof overtimepay, additionalcrew, shift, orequipmentcostsifrequestedinadvanceby theContractorandapprovedinwritingbytheOwner. Apercentagemarkupforthe proratedcostofpremiumonthe existingperformanceandpaymentbondsand requiredinsurance; providedhowever, nottoexceedfive (5%) percent, willbe allowedontheclaimedaccelerationcosts. NOOTHERMARKUPFORPROFIT, OVERHEAD (INCLUDINGBUTNOTLIMITEDTOHOMEOFFICE OVERHEAD) ORANYOTHERCOSTSWILLBEALLOWEDONANY ACCELERATIONCLAIM. TheOwnershallnotbeliableforanycostsrelatedto anaccelerationclaimotherthanthosedescribedinthisClause (i)(3). i) WaiverofClaims; FinalPayment. FEESASAPARTOFANYCLAIMMADEUNDERTHECONTRACTDOCUMENTS ORINANYSUBSEQUENTLAWSUITORALTERNATIVEDISPUTERESOLUTION PROCEEDING. l) NoWaiverofGovernmentalImmunity. NOTHINGINTHECONTRACTDOCUMENTS IMMUNITYFROMLAWSUIT, WHICHIMMUNITYISEXPRESSLYRETAINEDTO THEEXTENTITISNOTCLEARLYANDUNAMBIGUOUSLYWAIVEDBY APPLICABLESTATELAW. ARTICLE5 - SUBCONTRACTORS 5.1DEFINITIONSOFSUBCONTRACTOR a) ASubcontractorispersonorentitywhohasadirectContractwiththePrimeContractorto performaportionoftheWorkattheProjectsiteortosupplymaterialsorequipmenttothe PrimeContractorbypurchaseorleaseforuseinperformanceoforincorporationintothe singularinnumberandmeansaSubcontractororanauthorizedrepresentativeofthe subcontractorsofaseparatecontractor. b) ASub-subcontractorisapersonorentitywhohasadirectorindirectContract witha SubcontractortoperformaportionoftheWorkattheProjectsiteortosupplymaterialsor equipmenttotheSubcontractororanotherSub-subcontractorbypurchaseorleaseforuse tothroughouttheContractDocumentsasifsingularinnumberandmeansaSub- subcontractororanauthorizedrepresentativeoftheSub-subcontractor. 5.2AWARDOFSUBCONTRACTSANDOTHERCONTRACTSFORPORTIONSOF THEWORK a) ImmediatelyaftertheawardoftheContractbytheOwner, andbeforetheBuilding ConstructionServicesAgreementissignedbythePrimeContractorandtheOwner, the PrimeContractorshallfurnishtotheArchitect/Engineerinwriting, foracceptancebythe OwnerandtheArchitect/Engineer, alistofthenames, addresses, telephonenumbers, M/WBEcertificationnumbers (whereapplicable), andtypeofworkoftheSubcontractors Contract6990 DocuSignEnvelopeID: 9180EE31-CBBE-4655-B2B4-FD38BFCC90A6 includingthosewhoaretofurnishmaterialsorequipmentfabricatedtoaspecialdesign), proposedfortheprincipalportionsoftheWork, includingfurnishingswhenmadeapart oftheContract. ThePrimeContractorshallimmediatelynotifytheOwnerinwritingof anychangesinthelistastheyoccur. TheArchitect/Engineerwillpromptlyreplytothe ContractorinwritingstatingwhetherornottheOwnerortheArchitect/Engineer, afterdue investigation, hasreasonableobjectiontoanysuchproposedpersonorentity. Failureof theOwnerorArchitect/Engineertoreplypromptlyshallconstitutenoticeofnoreasonable objection. b) ThePrimeContractorshallnotContract withaproposedpersonorentitytowhomthe OwnerorArchitect/Engineerhasmadereasonableandtimelyobjection. c) Architect/Engineer'sandOwner'sapprovaloforobjectiontoanySubcontractororofa particularprocessormaterialwillnotrelievethePrimeContractorofhisresponsibilityfor performanceofWorkascalledforundertheContractDocuments, andshallnotprovidea basisforanyclaimforadditionaltimeormoneyonthepartofthePrimeContractor. Approvalshallnotbeconstruedtocreateanycontractualrelationshipbetweenthe SubcontractorandeithertheOwnerorArchitect/Engineer. InnoeventshalltheContract SumbeincreasedasaresultoftherejectionofanySubcontractor. d) ThePrimeContractorshallnotchangeaSubcontractorpreviouslyselectediftheOwneror Architect/Engineermakesreasonableobjectiontosuchchange. 5.3SUBCONTRACTUAL RELATIONS a) Byappropriateagreement, writtenwherelegallyrequiredforvalidity, thePrimeContractor shallrequireeachSubcontractor, totheextentoftheWorktobeperformedbythe Subcontractor, tobeboundtothePrimeContractorbythetermsoftheContractDocuments includingbutnotlimitedtotheseGeneralConditions), andtoassumetowardthePrime ContractoralltheobligationsandresponsibilitieswhichthePrimeContractor, bythe ContractDocuments, assumestowardtheOwnerandtheArchitect/Engineer. Each subcontractagreementshallpreserveandprotecttherightsoftheOwnerandthe Architect/EngineerundertheContractDocuments (includingbutnotlimitedtothese GeneralConditions) withrespecttotheWorktobeperformedbytheSubcontractorsothat subcontractingwillnotprejudicetherightsoftheOwnerandtheArchitect/Engineer. Whereappropriate, thePrimeContractorshallrequireeachSubcontractortoenterinto similaragreementswithSub-subcontractors. ThePrimeContractorshallmakeavailableto eachproposedSubcontractor, priortotheexecutionofthesubcontractagreement, copies oftheContractDocumentstowhichtheSubcontractoristobebound. AsanalternativetotheReport, thePrimeContractormayfurnishAffidavitsof PaymentReceivedwiththeApplicationandCertificateforPayment, whichaffidavits shallbeexecutedbyeachSubcontractorowedmoneyandpaidbySubcontractorduring thepreviousprogresspaymentperiodforworkormaterialsfurnishedontheProject. FailureofthePrimeContractortoso completedorpartiallycompletedconstructionisfitandpropertoreceivethePrime c) TheOwnershallnotbeliabletotheprimeContractorfordamagessufferedbythePrime Contractorduetothefaultornegligenceofaseparatecontractororthroughfailureofa separatecontractortocarryoutthedirectionsoftheOwnerortheArchitect/Engineer. ShouldanyinterferenceoccurbetweenthePrimeContractorandaseparatecontractor, the Architect/EngineerortheOwnermayfurnishthePrimeContractorwithwritten instructionsdesignatingpriorityofeffortorchangeinmethods, whereuponthePrime Contractorshallimmediatelycomplywithsuchdirection. Iftheseparate contractorsuestheOwnerorsubmitsaclaimonaccountofanydamageallegedtohave beensosustained, theOwnershallnotifythePrimeContractorwhoshalldefendsuch proceedings, atthePrimeContractor'ssoleexpense, andifanyjudgmentorawardagainst PrimeContractorshallfullypay orsatisfyitandshallreimbursetheOwnerforanyand allattorney'sfeesandcostswhich theOwnerhasincurred. f) TheOwnerandeachseparatecontractorshallhavethesameresponsibilitiesforcutting andpatchingasaredescribedforthePrimeContractorinParagraph3.14. IfadisputearisesamongtheContractor, separatecontractorsandtheOwnerastothe Contract6990 DocuSignEnvelopeID: 9180EE31-CBBE-4655-B2B4-FD38BFCC90A6 responsibilityundertheirrespectivecontractsformaintainingtheProjectSiteandsurrounding areafreefromwastematerialsandrubbishasdescribedinParagraph3.15, theOwnermay cleanup, butisnotobligatedtodoso, andOwnershallallocatethecostamongthoseparties responsible, astheArchitect/Engineerrecommendstobejust. ARTICLE7 - AMENDMENTS 7.1CHANGEORDERS a) AChangeOrderisawrittenordertotheContractor, signedbytheOwnerandthe Architect/Engineer, issuedafterexecutionoftheContract, authorizingachangeinthe Work, anadjustmentintheContractSum, oranadjustmenttotheContractTime, consistent withotherapplicableprovisionsofthisContract. TheOwner, withoutinvalidatingthe Contractandwithoutrequiringnoticeofanykindtothesureties, mayorderchangestothe scopeofWorkundertheContractbyadditions, deletions, orotherrevisions, theContract SumandContractTimetobeadjustedconsistentwithotherapplicableprovisionsofthis Contract. AllChangeOrdersshallbeexecutedonaChangeOrderformapprovedbythe Ownerandth b) InadditiontotheOwnerandtheArchitect/Engineer, theContractorshallsignallChange OrderstoverifyandconfirmthetermsandconditionsestablishedbyChangeOrder; however, shouldtheContractorrefusetosignaChangeOrder, thisshallnotrelievehimof hisobligationtoperformthechangedirectedbytheOwnerandtheArchitect/Engineerto thebestofhisabilityinaccordancewiththeprovisionsofthisArticle7. AChangeOrder signedbytheContractorindicateshisagreementwithallofthechangesapproved, includingtheadjustmentintheContractSumortheContractTime. EACHCHANGE ORDERSHALLBESPECIFICANDFINALASTOPRICESANDEXTENSIONSOF TIME, WITHNORESERVATIONSOROTHERPROVISIONSALLOWINGFOR FUTUREADDITIONALMONEYORTIMEASARESULTOFTHEPARTICULAR CHANGESIDENTIFIEDANDFULLYCOMPENSATEDINTHECHANGEORDER. TheexecutionofaChangeOrderbytheContractorshallconstituteconclusiveevidenceof intheWork. TheContractorforever releasesanyclaimagainsttheOwnerforadditionaltimeorcompensationformatters relatingtoorarisingoutoforresultingfromtheWorkincludedwithinoraffectedbythe executedChangeOrder. Thisreleaseappliestoclaimsrelatedtothecumulativeimpactof allChangeOrdersandtoanyclaimrelatedtotheeffectofachangeonotherWork. c) Noextrawork (exceptunderemergencyconditions) orchangesshallbemadenorshall anysubstitutions, changesoradditionstooromissionsordeviationsfromtherequirements oftheDrawingsandSpecificationsbemadeunlesspursuanttoawrittenChangeOrder signedbytheOwnerandtheArchitect/Engineer, itbeingexpresslyunderstoodthatthe Ownershallnotbeliableforthecostofextraworkoranysubstitution, change, addition, omissionordeviationfromtherequirementsoftheDrawingsorSpecificationsunlessthe sameshallhavebeenauthorizedinwritingbytheOwnerandtheArchitect/Engineerina writtenchangeorderorotherAmendment. SeeSubparagraph10.3(a) oftheGeneralConditionsforChangeOrders underemergencyconditions. d) ThemethodofdeterminingthecostorcredittotheOwnerforanychangeintheWorkshall beoneofthefollowing: 1) mutualacceptanceofanot-to-exceedlump-sumamountproperlyitemizedand supportedbysufficientsubstantiating datatopermitevaluation; or 2) unitpricesstatedintheContractDocumentsorsubsequentlyagreedupon; or 3) costtobedeterminedinamanneragreeduponbythepartiesandamutuallyacceptable fixedorpercentagefee; or 4) theforceaccountmethodprovidedinSubparagraph7.1(e) e) IfthepartiescannotagreetooneofthemethodsofcalculatingcostprovidedinClauses (d) 1), (d) (2), or (d) (3), orifthepartiesagreetoamethodbutcannotagreeon afinaldollar figure; oriftheContractorforwhateverreasonrefusestosigntheChangeOrderin question; theContractor, providedhereceivesawrittenordersignedbytheOwner, shall promptlyproceedwiththeWorkinvolved. ThecostoftheWorkinvolvedshallthenbe calculatedonthebasisofthereasonablejobsiteexpendituresandsavingsofthose performingtheWorkattributabletothechanges, includingareasonableallowancefor overheadandprofit, suchallowanceinanycasenevertoexceedfifteen (15%) percent. In suchcase, theContractorshallkeepanitemizedaccountingoftheWorkinvolved, ona dailybasis, insuchformandwiththeappropriatesupportingdataastheArchitect/Engineer andOwnermayprescribe. Sworncopiesoftheitemizedaccountingshallbedeliveredto theArchitect/Engineereachdayduringtheperformanceofforceaccountwork, withcopies totheOwner. FAILUREOFTHECONTRACTORTOSUBMITTHESWORN-TOITEMIZED ACCOUNTINGDAILYASREQUIREDHEREINSHALLCONSTITUTEAWAIVER BYTHECONTRACTOROFANYRIGHTTODISPUTETHEOWNER'S DETERMINATIONOFTHEAMOUNTDUETHECONTRACTORFORFORCE ACCOUNTWORK. CoststobechargedunderthisSubparagraphforforceaccountwork arelimitedtothefollowing: 1) costsoflabor, includingsocialsecurity, oldageandunemploymentinsurance, fringe benefitsrequiredbyagreementorcustom, andworkerscompensationinsurance; 2) costsofmaterials, suppliesandequipment (butnottoincludeoff-sitestorageunless approvedinwritingbytheOwner), whetherincorporatedorconsumed; 3) rentalcostsofmachineryandequipment, exclusiveofhandtools, whetherrentedfrom theContractororothers; 4) costsofpremiumsforallbondsandinsurancerelatedtotheWork; and Contract6990 DocuSignEnvelopeID: 9180EE31-CBBE-4655-B2B4-FD38BFCC90A6 5) additionalcostsofsupervisionandfieldofficepersonneldirectlyattributabletothe changedWork. Pendingfinaldeterminationofcost totheOwner, paymentof undisputedamountsonforceaccountshallbeincludedontheArchitect/Engineer's CertificateofPaymentasworkiscompleted. f) TheamountofcredittobeallowedtotheOwnerforanydeletionofWorkoranyother changewhichresultsinanetdecreaseoftheContractSumshallbetheamountofactual netcostconfirmedbytheArchitect/Engineerplusthestatedpercentageforoverheadand profit. WhenbothadditionsanddeletionsorcreditscoveringrelatedWorkorsubstitutions areinvolvedinanyonechange, theallowanceforoverheadandprofitshallbefiguredon thebasisofthenetincreaseordecreasewithrespecttothatchange. 7.2SUPPLEMENTALAGREEMENTS AwrittenSupplementalAgreementcanalsobeusedtoimplementchangesintheWorkinsteadof aChangeOrderform, includingbutnotlimitedtosituationsinvolvingpartialoccupancyofthe WorkunderParagraph9.8, achangemadetotheDrawingsortheSpecificationswithoutan increaseintheContractSum, orspecialcircumstanceswhereitisnecessaryormoreappropriate fortheOwnertouseaSupplementalAgreement. WrittenSupplementalAgreementsshallhavea statusequaltothatofChangeOrdersforpurposesofpriorityofContractDocumentsinterpretation, exceptthattotheextentofaconflict, laterSupplementalAgreementsintimecontroloverearlier SupplementalAgreements, andthelatestChangeOrderorSupplementalAgreementintime controlsoverearlierdatedChangeOrdersandSupplementalAgreements. Therulesof Subparagraphs7.1(b) through (f) shallalsoapplytothenegotiationandexecutionofSupplemental Agreements. 7.3MINORCHANGESINTHEWORK TheArchitect/Engineer, afternotifyingtheOwner, shallbeauthorizedtoorderminorchanges intheWorknotinvolvinganadjustmentintheContractSumoranextensionoftheContract TimeandnotinconsistentwiththeintentoftheContractDocuments. Minorchangesshallbe effectedbywrittenorder, andshallbebindingontheOwnerandtheContractor. The Contractorshallcarryoutsuchwrittenorderspromptly. Thesewrittenordersshallnotbe deemedtochangeorimpacttheContractSumortheContractTime. Contractorshallhaveno ClaimforanyminorchangeorderedtotheWorkunderthisParagraph7.3unlesstheContractor submitsitschangeproposal, priortocomplyingwiththeminorchangeorderedandinnoevent laterthanten (10) workingdaysfromthedatetheminorchangewasordered, totheOwnerfor approval. 7.4TIMEREQUIREDTOPROCESSAMENDMENTS a) itemizedbreakdownofcosts. AllofthePrimeContractor'sresponsestoproposalrequestsshallincludea statementthatthecostdescribedintheresponserepresentsthecomplete, totalandfinal costandadditionalContractTimeassociatedwiththeextrawork, change, additionto, omission, deviation, substitution, orothergroundsforseekingextracompensationunder theContractDocuments, withoutreservationorfurtherrecourse. b) AllAmendmentsrequireapprovalbyeithertheCityCouncilor, whereauthorizedbythe StatelawandCityordinance, bytheCityManagerpursuanttoAdministrativeAction. The approvalprocessrequiresaminimumofforty-five (45) calendardaysaftersubmissionto theOwnerinfinalformwithallsupportingdata. ReceiptofasubmissionbyOwnerdoes notconstituteacceptanceorapprovalofaproposal, nordoesitconstituteawarrantythat theproposalwillbeauthorizedbyCityCouncilResolution, Ordinance orAdministrative Action. THETIMEREQUIREDFORTHEAPPROVALPROCESSSHALLNOTBE CONSIDEREDADELAYANDNOEXTENSIONSTOTHECONTRACTTIMEOR INCREASEINTHECONTRACTSUMWILLBECONSIDEREDORGRANTEDAS ARESULTOFTHISPROCESS. Pendingtheapprovaldescribedabove, theContractor willproceedwiththeworkunderapendingAmendmentonlyifdirectedinwritingbythe Owner. ARTICLE8 - CONTRACTTIME 8.1DEFINITIONS a) Unlessotherwiseprovided, theContractTimeistheperiodoftime, includingauthorized adjustments, allottedintheContractDocumentsforSubstantialCompletionoftheWork. b) ThedateofcommencementoftheWorkisthedateestablishedintheNoticetoProceed fromtheOwner. Thedateofcommencementshallnotbepostponedbythefailureofthe PrimeContractor, orofpersonsorentitiesforwhomthePrimeContractorisresponsible toactpromptlytocommencetheWork. IftheOwnerunreasonablydelaystheissuanceof thenoticetoproceed, throughnofaultofthePrimeContractor, thePrimeContractorshall beentitledonlytoanequitableextensionoftheContractTime; theContractSumshall remainunchanged. c) ThedateofSubstantialCompletionisthedatecertifiedbytheArchitect/Engineerin accordancewithParagraph9.7. d) andendingat12:00midnight, unlessotherwisespecificallydefinedbyspecialprovision. 8.2PROGRESSANDCOMPLETION a) TimelimitsstatedintheContractDocumentsareoftheessenceoftheContract. By executingtheBuildingConstructionServicesAgreement, thePrimeContractorconfirms thattheContractTimeisareasonableperiodforperformingtheWork. ThedateofcommencementoftheWorkshallnotbechangedbytheeffective dateofinsurancerequiredbyArticle11. 8.3DELAYSANDEXTENSIONSOFTIME a) IfthePrimeContractorisdelayedatanytimeintheprogressoftheWorkbyanactor neglectoftheOwnerorArchitect/Engineer, orofanemployeeofeither, orofaseparate contractoremployedbytheOwner, orbychangesorderedintheWork, orbylabor disputes, fire, unusualdelayindeliveries, unavoidablecasualtiesorothercausesbeyond thePrime byothercauseswhichtheArchitect/Engineerdeterminesmayjustifydelay, thenthe ContractTimeshallbeextendedbyChangeOrderforsuchreasonabletimeasthe Architect/EngineerandOwnermaydetermine. b) ClaimsrelatingtoContractTimeandtimeextensionsshallbemadeinaccordancewiththe applicableprovisionsofParagraph4.3. c) NoDamagesforDelay. NOTWITHSTANDINGANYOTHERPROVISIONSOFTHE CONTRACTDOCUMENTS, INCLUDINGTHEGENERALCONDITIONS, NO ADJUSTMENTSHALLBEMADETOTHECONTRACTSUMANDTHEPRIME CONTRACTORSHALLNOTBEENTITLEDTOCLAIMORRECEIVEANY ADDITIONALCOMPENSATIONASARESULTOFORARISINGOUTOFANY DELAY, HINDRANCE, DISRUPTION, FORCEMAJEURE, IMPACT, OR INTERFERENCE, INTENTIONALORUNINTENTIONAL, FORESEENOR UNFORESEEN, WHICHINCREASESTHETIMETOCOMPLETETHEWORK, INCLUDINGBUTNOTLIMITEDTOANYDELAYSCAUSEDINWHOLEORIN PARTBYTHEACTS, OMISSIONS, FAILURES, NEGLIGENCE, ORFAULTOFTHE OWNER, THEARCHITECT/ENGINEER, ORTHEOWNER'SREPRESENTATIVE, ANEXTENSIONOFTHECONTRACTTIMEUNDERSUBPARAGRAPH8.3(a) BEINGTHEPRIME d) TheOwnershallhavetherighttooccupy, withoutprejudicetotherightofeitherparty, anycompletedorlargelycompletedportionsofthestructureorWork, notwithstandingthe factthattheContractTimeforcompletingalloraportionoftheWorkmaynothave expired. PartialoccupancyanduseshallnotbedeemedasanacceptanceoftheWorktaken orused. e) ThePrimeContractorshallpromptlysuspendtheWorkwheneitherthePrimeContractor ortheOwnerisorderedtodosobyacourtorderfromacourthavinglawfuljurisdiction, andthePrimeContractorwillnotbeentitledtoadditionalcompensationbyvirtueofany delaysresultingfromthecourtorder. ThePrimeContractorwillalsonotbeliabletothe OwnerforadelaycausedinfactbytheWorkbeingsuspendedbyacourtorder. Ifitshould becomenecessarytostoptheWorkforanindefiniteperiod, thePrimeContractorshall storeallmaterialsinsuchamannerthattheywillnotobstructorimpedethepublic unnecessarilyorbecomedamagedinanyway, andshalltakeeveryprecautiontoprevent damageordeteriorationoftheWorkperformed. IncasesofsuspensionoftheWorkunder thisSubparagraph, thePrimeContractorshallalsoprovidesuitabledrainageaboutthe Workanderecttemporarystructureswherenecessary. ThePrimeContractorshallnot suspendtheWorkinwholeorinpartwithoutwrittenauthorityfromtheArchitect/Engineer ortheOwner, andshallresumetheWorkpromptlywhennotifiedbytheArchitect/Engineer ortheOwnertoresumeoperations. g) IntheeventofadelaythatistheresponsibilityofthePrimeContractororanyofthe Subcontractors, forwhichthePrimeContractorisnotentitledtoatimeextensionunder theprovisionsofthisContract, theOwnermaydirectthattheWorkbeacceleratedby meansofovertime, additionalcrewsoradditionalshifts, orresequencing. Thisacceleration shallbeatnocosttotheOwnerandwillcontinueuntiltheContractTimeisrestored. In theeventofadelayforwhichthePrimeContractorisentitledtoatimeextension, as determinedbytheArchitect/Engineer, Ownermaysimilarlydirectaccelerationandthe PrimeContractoragreestoperformsameonthebasisthatthePrimeContractorwillbe reimbursedonlytotheextentdescribedinSubparagraph4.3(i). THEPRIME CONTRACTOREXPRESSLYWAIVESANYOTHERCOMPENSATION RESULTINGFROMACCELERATION, SUCHASLOSSOFLABOR PRODUCTIVITYOREFFICIENCY. ARTICLE9 - PAYMENTSANDCOMPLETION 9.1CONTRACTSUM TheContractSumisstatedintheBuildingConstructionServicesAgreementand, including authorizedadjustments, isthetotalamountofcompensationpayablebytheOwnertothePrime ContractorfortheperformanceoftheWorkundertheContractDocuments. 9.2SCHEDULEOFVALUES BeforethefirstApplicationforPayment, thePrimeContractorshallsubmittothe Architect/EngineerascheduleofvaluesallocatedtovariousportionsoftheWork, preparedin suchformandsupportedbysuchdatatosubstantiateitsaccuracyastheArchitect/Engineer mayrequire. TheApplicationshallbe notarized, ifrequired, andsupportedbydatasubstantiatingthePrime paymentastheOwnerorArchitect/Engineermayrequire, includingbutnotlimitedto copiesofrequisitionsfromSubcontractorsandmaterialsuppliers, andreflectingthe applicableretainageasrequiredintheContractDocuments. PrimeContractor's ApplicationforPaymentshallalsoprovideothersupportingdocumentationastheOwner ortheotherapplicableprovisionsoftheContractDocumentsmayrequire. b) ApplicationsforPaymentmaynotincluderequestsforpaymentofamountsthePrime ContractordoesnotintendtopaytoaSubcontractorbecauseofagoodfaithdispute, unless thePrimeContractorcomplieswithClause5.3(b) (2) oftheseGeneralConditionsandthe Prime Prime Contractorofthefundsdeemedtobeindispute. c) UnlessotherwiseprovidedintheContractDocuments, progresspaymentsshallinclude paymentformaterialsandequipmentdeliveredandsuitablystoredattheProjectsitefor subsequentincorporationintotheWorkwithinthirty (30) daysafterdeliverytotheProject site. IfapprovedinadvancebytheOwner, paymentmaysimilarlybemadeformaterials andequipmentsuitablystoredawayfromtheProjectsiteatalocationagreeduponin writing. ThePrimeContractorfurther warrantsthatuponsubmittalofanApplicationforPaymentallWorkforwhichCertificates forPaymenthavebeenpreviouslyissuedandpaymentsreceivedfromtheOwnershallbe freeandclearofliens, claims, securityinterestsorencumbrancesinfavorofthePrime Contractor, Subcontractors, materialsuppliers, orotherpersonsorentitiesmakingaclaim byreasonofhavingprovidedlabor, materials, andequipmentrelatingtotheWork. e) AllmaterialsorequipmentdeliveredtotheProjectsiteearlierthanthirty (30) dayspriorto anapprovedschedulefordeliverytothe Contract6990 DocuSignEnvelopeID: 9180EE31-CBBE-4655-B2B4-FD38BFCC90A6 permissionoftheOwnertobestoredontheProjectsite. Ifanyunauthorizedearlydelivery occurs, PrimeContractorshall, atPrime responsibleSubcontractororSupplier, causesuchearlydeliverytoberemovedfromthe Projectsiteandstoredoff-siteuntilrequiredattheProjectsite. Allcostsoflabor, transportationandstoragewillbeincludedaspartoftheexpense. IfthePrimeContractor failsorrefusestoremoveunauthorizedearlydeliverymaterials, theOwnermaycausesuch materialstoberemovedatthePrimeContractor'ssoleexpense, andamountsmaybe withheldfromthePrimeContractor'sApplicationforPaymenttoreimbursetheOwnerfor anycostsincurredinremovingunauthorizedearlydeliverymaterials. OWNERWILL NOTBERESPONSIBLEFORTHEPROTECTIONOFORRISKOFLOSSONANY EARLYDELIVERYMATERIALSOREQUIPMENT, NORWILLOWNERBE LIABLEFORANYPAYMENTFORTHEEARLYDELIVERYMATERIALSOR EQUIPMENT. TheCertificateforPaymentshallbeissuedonthecurrentversionof AIAFormG702 (ApplicationandCertificateforPayment) asapprovedbytheOwner. c) TheissuanceofaCertificateforPaymentwillconstitutearepresentationbythe Architect/EngineertotheOwner, basedontheArchitect andthedatacomprisingtheApplicationforPayment, thattheWorkhasprogressedtothe andbelief, qualityoftheWorkisinaccordancewiththeContractDocuments. The foregoingrepresentationsaresubjecttoanevaluationoftheWorkforconformancewith theContractDocumentsuponSubstantialandFinalCompletion, toresultsofsubsequent testsandinspections, tominordeviationsfromtheContractDocumentscorrectableprior toFinalCompletionandtospecificqualificationsexpressedbytheArchitect/Engineer. TheissuanceofaCertificateforPaymentwillfurtherconstitutearepresentationthatthe PrimeContractorisentitle approval. TheissuanceofaCertificateforPaymentisnotarepresentationthatthe Architect/Engineerhas: 1) madeexhaustiveorcontinuouson-siteinspectionstocheckthequalityorquantityof theWork; Contract6990 DocuSignEnvelopeID: 9180EE31-CBBE-4655-B2B4-FD38BFCC90A6 2) reviewedconstructionmeans, methods, techniques, sequencesorprocedures; 3) reviewedcopiesofrequisitionsreceivedfromSubcontractorsandmaterialsuppliers andotherdatarequestedbytheOwnertosubstantiatethePrime payment; or 4) madeexaminationtoascertainhoworforwhatpurposethePrimeContractorhasused moneypreviouslypaidonaccountoftheContractSum. d) WhenevertheApplicationforPaymentforWorkdonesincethelastpreviousApplication forPaymentexceedsonehundreddollars ($100.00) inamount, Ownerwillpaya percentageoftheApplication, lessapplicableretainage, tothePrimeContractorwithin yment certifiedbytheArchitect/Engineer. TheApplicationmayincludeacceptablenonperishable materialsdeliveredtotheWorkorstoredasprovidedforinParagraph9.3(c) andthe paymentwillbeallowedonthenetinvoicevalue, lesstaxesandapplicableretainage. e) TheCityisrequiredtowithholdfivepercent (5%) retainageforpublicworkscontractsin whichthetotalcontractpriceestimateatthetimeofexecutionismorethan $400,000; however, thisrequirementisappliedbytheCityforallpublicworkscontractsinexcessof 50,000. TheretainagewillbewithheldbytheOwnerfromeachprogresspaymentuntil finalcompletionoftheWorkbytheContractor, approvaloffinalcompletionbythe Architect/Engineer, andfinalacceptanceoftheWorkbytheOwner. Unlessotherwise requiredbystatelaw, theretainagepercentageasspecifiedaboveisbasedupontheoriginal ContractSum, andwillnotbeaffectedintheeventtheoriginalContractSumis subsequentlyincreasedbyChangeOrder. f) Noprogresspaymentsshallbemadeoncontractswhereperformanceandpaymentbonds arenotrequiredorfurnished. Insuchinstances, paymentfortheWorkperformedwillbe madeuponfinalcompletionandacceptancebytheOwnerofallWork. 9.5DECISIONSTOWITHHOLDCERTIFICATION a) TheArchitect/EngineerortheOwnermaydecidenottocertifypaymentandmaywithhold aCertificateforPaymentinwholeorinpart, totheextentreasonablynecessarytoprotect totheOwnerrequiredbySubparagraph9.4(b) cannotbemade. IftheArchitect/Engineer ortheOwnerisunabletocertifypaymentintheamountoftheApplication, the Architect/EngineerortheOwnerwillnotifythePrime Contractorasprovidedin Subparagraph9.4(a). IfthePrimeContractorandArchitect/EngineerortheOwnercannot agreeonarevisedamount, theArchitect/EngineerwillpromptlyissueaCertificatefor PaymentfortheamountforwhichtheArchitect/Engineerisabletomaketherequired representationstotheOwner. TheArchitect/EngineerortheOwnermayalsodecidenotto certifypaymentor, becauseofsubsequentlydiscoveredevidenceorsubsequent observations, maynullifythewholeorapartofaCertificateforPaymentpreviouslyissued Contract6990 DocuSignEnvelopeID: 9180EE31-CBBE-4655-B2B4-FD38BFCC90A6 tosuchextentasmaybe protecttheOwnerfromlossbecauseof: 1) defectiveornonconformingWorknotremedied; 2) third-partyclaimsfiledorreasonableevidenceindicatingprobablefilingofsuch claims; 3) failureofthePrimeContractortomakepaymentsproperlytoSubcontractorsorfor labor, materials, orequipment; 4) reasonableevidencethattheWorkcannotbecompletedfortheunpaidbalanceofthe ContractSum; 5) damagetotheOwneroranothercontractor; 6) reasonableevidencethattheWorkwillnotbecompletedwithintheContractTime, and thattheunpaidbalancewouldnotbeadequatetocoveractualordamagesforthe anticipateddelay; 7) persistentfailuretocarryouttheWorkinaccordancewiththeContractDocuments; or 8) mathematicalorothererrorsthatarediscoveredintheApplicationforPayment. b) Whenall oftheabovereasonsthatexistedforwithholdingcertificationareremovedor remedied, then, atthattime, certificationwillbemadeforamountspreviouslywithheld. c) TheOwnermay, atitsoption, offsetanyprogresspaymentorfinalpaymentunderthe ContractDocumentsagainstanydebt (includingtaxes) lawfullyduetotheOwnerfromthe PrimeContractor, regardlessofwhethertheamountduearisespursuanttothetermsofthe ContractDocumentsorotherwise, andregardlessofwhetherornotthedebtduetothe Ownerhasbeenreducedtojudgmentbyacourt. 9.6PROGRESSPAYMENTS a) AftertheArchitect/EngineerhasissuedaCertificateforPayment, theOwnershallmake paymentinthemannerandwithinthetimeprovidedintheContractDocuments, andshall sonotifytheArchitect/Engineer. TheOwnershallnotbeliableforinterestonanylateor delayedprogresspaymentorfinalpaymentcausedbyanyclaimordispute, any discrepancyinquantities, anyfailuretoprovidesupportingdocumentationorother informationrequiredwiththeApplicationforPaymentorasapreconditiontopayment undertheContractDocuments, orduetoanypaymenttheOwnerortheArchitect/Engineer hasarighttowithholdornotcertifyundertheContractDocuments. Notwithstandingthe foregoing, theOwnermayrefusetomakepaymentonanyCertificateforPayment including, withoutlimitation, thefinalCertificateforPayment) foranydefaultunderthe ContractDocuments, includingbutnotlimitedtothosedefaultssetforthinSubparagraph Contract6990 DocuSignEnvelopeID: 9180EE31-CBBE-4655-B2B4-FD38BFCC90A6 9.5(a), Clauses (1) through (7). TheOwnershallnotbedeemedindefaultbyreasonof withholdingpaymentwhileanyPrimeContractordefaultremainsuncured. b) ThePrimeContractorshallpromptlypayeachSubcontractor, uponreceiptofpayment fromtheOwner, outoftheamountpaidtothePrimeContractoronaccountofeach whichsaidSubcontractorisentitled, reflectingpercentagesactuallyretainedfrompaymentstothePrimeContractoronaccount ofsuchSubcontractorsportionoftheWork. ThePrimeContractorshall, byappropriate agreementwitheachSubcontractor, requireeachSubcontractortomakepaymentstoSub- subcontractorsinsimilarmanner. c) TheArchitect/Engineerwill, onrequest, furnishtoaSubcontractor, ifpracticable, informationregardingpercentagesofcompletionoramountsappliedforbythePrime ContractorandactiontakenthereonbytheArchitect/EngineerandtheOwneronaccount ofportionsoftheWorkdonebysuchSubcontractor. d) NeithertheOwnernortheArchitect/Engineershallhaveanobligationtopayortoseeto thepaymentofmoneytoaSubcontractorexceptasmayotherwiseberequiredbylaw. That obligationbelongstothePrimeContractoror, intheeventofthePrime topayaSubcontractor, totheSuretyonthePaymentBondasrequiredunderParagraph 11.3. e) Paymenttomaterialsuppliersshallbetreatedinamannersimilartothatprovidedin Subparagraphs9.6(b), (c), and (d). f) ACertificateforPayment, aprogresspayment, orpartialorentireuseoroccupancyofthe ProjectbytheOwnershallnotconstituteacceptanceofWorknotperformedinaccordance withtheContractDocuments. 9.7SUBSTANTIALCOMPLETION a) TheDateofSubstantialCompletionoftheWork, ordesignatedportionoftheWork, isthedate certifiedbytheArchitect/Engineerwhenconstructionissufficientlycompletedinaccordancewith theCityOfDentonGeneralConditionsForBuildingConstruction. a) theContractDocumentssuchthattheOwnermaybeneficiallyoccupyandusetheWork, ordesignatedportionsoftheWork, forthepurposesforwhichitisintendedandonlytrivial andinsignificantitemsremainwhichdonotaffecttheWorkasawhole. b) WhenthePrimeContractorconsidersthattheWork, ortheportionoftheWorkwhichthe Owneragreestoacceptseparately, isSubstantiallyComplete, thePrimeContractorshall prepareandsubmittotheArchitect/Engineeracomprehensivelistofremainingitemsto becompletedorcorrected. ThePrimeContractorshallproceedpromptlytocompleteand correctitemsonthelist (hereinaftercalledt thepunchlistdoesnotaltertheresponsibilityofthePrimeContractortocompleteallWork inaccordancewiththeContractDocuments. Uponreceiptofthepunchlist, the Architect/EngineerwillmakeaninspectiontodeterminewhethertheWork, ordesignated Contract6990 DocuSignEnvelopeID: 9180EE31-CBBE-4655-B2B4-FD38BFCC90A6 disclosesanyitem, whetherornotincludedonthepunchlist, whichisnotinaccordance withtherequirementsoftheContractDocumentsandwhichrenderstheWorkinspected notSubstantiallyCompletetheContractorshall, beforeissuanceoftheCertificateof SubstantialCompletion, completeorcorrecttheitemuponnotificationbythe Architect/Engineer. ThePrimeContractorshallthensubmitarequestforanother inspectionbytheArchitect/EngineertodetermineSubstantialCompletion. WhentheWork ordesignatedportionoftheWorkisSubstantiallyComplete, theArchitect/Engineerwill prepareaCertificateofSubstantialCompletionwhichshallestablishthedateofSubstantial Completion, shallestablishresponsibilitiesoftheOwnerandthePrimeContractorfor security, maintenance, heat, utilities, damagetotheWorkandinsurance, andshallfixthe timewithinwhichthePrimeContractorshallfinishallitemsonthepunchlist accompanyingtheCertificate. c) TheCertificateofSubstantialCompletionshallbesubmittedtotheOwnerandthePrime Contractorfortheirwrittenacceptanceofresponsibilitiesassignedtotheminthe Certificate. d) UponSubstantialCompletionoftheWorkordesignatedportionthereofandupon applicationbythePrimeContractorandcertificationbytheArchitect/Engineer, theOwner shallmakepayment, reflectingadjustmentinretainage, ifany, fortheWork, orportionof theWork, asprovidedintheContractDocuments. 9.8PARTIALOCCUPANCYORUSE a) TheOwnermayoccupyoruseanycompletedorpartiallycompletedportionoftheWork atanystagewhensuchportionisdesignatedbyseparateSupplementalAgreementwith thePrimeContractor, providedsuchoccupancyoruseisconsentedtobytheinsureras requiredunderSubparagraph11.2(e) andauthorizedbypublicauthoritieshaving jurisdictionovertheWork. Suchpartialoccupancyorusemaycommencewhetherornot theportionisSubstantiallyComplete, providedtheOwnerandPrimeContractorhave acceptedinwritingtheresponsibilitiesassignedtoeachofthemforpayments, retainageif any, security, maintenance, heat, utilities, damagetotheWorkandinsurance, andhave agreedinwritingconcerningtheperiodforcorrectionoftheWorkandcommencementof warrantiesrequiredbytheContractDocuments. WhenthePrimeContractorconsidersa portionSubstantiallyComplete, thePrimeContractorshallprepareandsubmitalisttothe Architect/EngineerasprovidedunderSubparagraph9.7(b). ConsentofthePrime Contractortopartialoccupancyoruseshallnotbeunreasonablywithheld. Thestageofthe progressoftheWorkshallbedeterminedbywrittenagreementbetweentheOwnerand PrimeContractoror, ifnoagreementisreached, bydecisionoftheArchitect/Engineer. b) Immediatelypriortosuchpartialoccupancyoruse, theOwner, PrimeContractor, and Architect/EngineershalljointlyinspecttheareatobeoccupiedorportionoftheWorkto beusedinordertodetermineandrecordtheconditionoftheWork. Contract6990 DocuSignEnvelopeID: 9180EE31-CBBE-4655-B2B4-FD38BFCC90A6 c) Unlessotherwiseagreedupon, partialoccupancyoruseofaportionorportionsoftheWork shallnotconstituteacceptanceofWorknotcomplyingwiththerequirementsofthe ContractDocuments. 9.9FINALCOMPLETIONANDFINALPAYMENT a) UponreceiptofwrittennoticethattheWorkisreadyforfinalinspectionandacceptance anduponreceiptofafinalApplicationforPayment, theArchitect/Engineer, accompanied Architect/EngineerfindstheWorkacceptableundertheContractDocumentsandthe ContractDocumentsfullyperformed, theArchitect/Engineerwillpromptlyissueafinal information inspections, theWorkhasbeencompletedinaccordancewithtermsandconditionsofthe ContractDocumentsandthattheentirebalancefoundtobeduethePrimeContractorand noted forPaymentwillconstituteafurtherrepresentationthatconditionslistedinSubparagraph 9.9(b) asaconditionprecedenttothePrime finalpayment havebeenfulfilled. Ownerwillnormallymakefinalpaymentwithinthirty (30) daysafter Owner'sreceiptandapprovalofthefinalCertificateforPayment. Warrantiesrequiredby theContractDocumentsshallcommenceonthedateofSubstantialCompletionofthe Work, unlessotherwiseprovidedbyseparateagreementbetweentheOwnerandthePrime Contractor. b) Neitherfinalpaymentnoranyremainingretainedpercentageshallbecomedueuntilthe PrimeContractorsubmitstotheArchitect/Engineer: 1) anaffidavitthatpayrolls, billsformaterialsandequipment, andotherindebtedness responsibleorencumbered (lessamountswithheldbyOwner) havebeenpaidor otherwisesatisfied; 2) acertificateevidencingthatinsurancerequiredbytheContractDocumentstoremain inforceafterfinalpaymentiscurrentlyineffectandwillnotbecancelledorallowed toexpireuntilatleastthirty (30) dayspriorwritten noticehasbeengiventotheOwner; 3) awrittenstatementthatthePrimeContractorknowsofnosubstantialreasonthatthe insurancewillnotberenewabletocovertheperiodrequiredbytheContract Documents; 4) aconsentofsuretytofinalpayment; and 5) ifrequiredbytheOwner, otherdataestablishingpaymentorsatisfactionofobligations, suchasreceipts, releasesandwaiversofliens, claims, securityinterestsor encumbrancesarisingoutoftheContract, totheextentandinsuchformasmaybe designatedbytheOwner. c) AsapreconditiontofinalpaymentbytheOwnerunderthisContract, thePrime Contractor'saffidavitunderClause (b)(1) shallstatethatthePrimeContractorhaspaid eachofhissubcontractors, laborersormaterialmeninfullforalllabor andmaterials providedto Contractor fortheWorkperformedunderthisContract. INANYEVENT, THEPRIMECONTRACTORSHALLBEREQUIREDTOEXECUTETHEOWNER'S STANDARDAFFIDAVITOFFINALPAYMENTANDRELEASEASA PRECONDITIONTORECEIPTOFFINALPAYMENT. d) If, afterSubstantialCompletionoftheWork, finalcompletionoftheWorkismaterially delayedthroughnofaultofthePrimeContractororbyissuanceofChangeOrdersaffecting finalcompletionandtheArchitect/Engineerconfirmsthedelay, theOwnershall, upon applicationbythePrimeContractorandcertificationbytheArchitect/Engineer, and withoutterminatingtheContract, makepaymentofthebalancedueforthatportionofthe Workfullycompletedandaccepted. IftheremainingbalanceforWorknotfullycompleted orcorrectedislessthanretainagestipulatedintheContractDocuments, andifbondshave beenfurnished, thewrittenconsentofsuretytopaymentofthebalancedueforthatportion oftheWorkfullycompletedandacceptedshallbesubmittedbytheContractortothe Architect/Engineerpriortocertificationofpayment. Paymentshallbemadeunderterms andconditionsgoverningfinalpayment, exceptthatitshallnotconstituteawaiverof claims. e) TheacceptancebythePrimeContractorofthefinalpaymentshalloperateasand shallbeacompletereleaseoftheOwnerfromallclaimsorliabilitiesunderthe Contract, foranythingdoneorfurnishedorrelatingtotheWorkortheProject, or foranyactorneglectoftheOwnerrelatingtoorconnectedwiththeWorkorthe Project. ARTICLE10SAFETY, SECURITYANDUTILITYPROVISIONS; ENVIRONMENTAL COMPLIANCE 10.1SAFETYPRECAUTIONSANDPROGRAMS ThePrimeContractorshallberesponsibleforinitiating, maintainingandsupervisingallsafety precautionsandprogramsinconnectionwiththeperformanceoftheContract, andwill complywithallapplicableCity, County, StateandFederalhealthandsafetyregulations. 10.2SAFETYOFPERSONSANDPROPERTY a) ThePrimeContractorshalltakereasonableprecautionsforsafetyof, andshallprovide reasonableprotectiontopreventdamage, injuryorlossto: 1) employeesontheWorkandotherpersonswhomaybeaffectedthereby; 2) theWorkandmaterialsandequipmenttobeincorporatedtherein, whetherinstorage onoroffthesite, undercare, custodyorcontrolofthePrimeContractororthePrime subcontractors; and Contract6990 DocuSignEnvelopeID: 9180EE31-CBBE-4655-B2B4-FD38BFCC90A6 3) otherproperty atthesiteoradjacentthereto, suchastrees, shrubs, lawns, walks, pavements, roadways, structuresandutilitiesnotdesignatedforremoval, relocationor replacementinthecourseofconstruction. b) ThePrimeContractorshallgivenoticesandcomplywithapplicablelaws, ordinances, rules, regulationsandlawfulordersofpublicauthoritiesbearingonsafetyofpersonsor propertyortheirprotectionfromdamage, injuryorloss. c) ThePrimeContractorshallerectandmaintain, asrequiredbyexistingconditionsand performanceoftheContract, reasonablesafeguardsforsafetyandprotection, including postingdangersignsandotherwarningsagainsthazards, promulgatingsafetyregulations andnotifyingownersandusersofadjacentsitesandutilities. d) Whenuseorstorageofexplosivesorotherhazardousmaterialsorequipmentorunusual methodsarenecessaryforexecutionoftheWork, thePrimeContractorshallexercise utmostcareandcarryonsuchactivitiesundersupervisionofproperlyqualifiedpersonnel. e) USEOFEXPLOSIVES - CLAIMSANDTOTALINDEMNIFICATION. TheOwner shallhavetherighttopre-approvetheuseofanyexplosivesontheProject; thePrime Contractorshallnotassumeinitsbidthatpermissiontouseexplosiveswillbegranted. TheOwnershallNOTbeliableforanyclaimforadditionaltimeorcompensationasa resultoftheOwner'sdenialofpermissiontouseexplosives. Whereuseofexplosivesis permittedbytheOwner, thePrimeContractorEXPRESSLYAGREESTOBESOLELY RESPONSIBLEforthedeterminationastowhetherexplosivesshallactuallybeused, and foranyresultfromtheuse, handlingorstorageofexplosives, andshallINDEMNIFY, DEFENDANDHOLDCOMPLETELYHARMLESStheOwner, itsofficers, agentsand employees, andtheArchitect/Engineeragainstanyandallclaims, lawsuits, judgments, costsorexpensesforpersonalinjury (includingdeath), propertydamageorotherharmfor whichrecoveryofdamagesissought, sufferedbyanypersonorpersons, astheresultof theuse, handlingorstorageoftheexplosivesbythePrimeContractororanySubcontractor, REGARDLESSOFWHETHERSAIDUSE, HANDLINGORSTORAGEWAS NEGLIGENTORNOT, ANDREGARDLESSOFWHETHERTHEDAMAGEOR INJURYWASCONTRIBUTEDTOINANYWAYBYTHENEGLIGENCEOR FAULTOFTHEOWNER, ITSOFFICERS, AGENTS, EMPLOYEES, OR REPRESENTATIVES, ORTHEARCHITECT/ENGINEERANDITSOFFICERS, AGENTS, EMPLOYEES, ORREPRESENTATIVES. Intheeventofconflictwithany otherindemnityparagraphinthisContract, thisparagraphcontrols. Thisindemnity paragraphisintendedsolelyforthebenefitofthepartiestothisContractandisnotintended tocreateorgrantanyrights, contractualorotherwise, toorforanyotherpersonorentity. ThePrimeContractorshallfurnishtheOwnerandtheArchitect/Engineerwithevidenceof insurancesufficienttocoverpossibledamageorinjury, whichinsuranceshalleither includetheOwnerandtheArchitect/Engineerasadditionalinsuredsorbesufficiently broadincoverageastofullyprotecttheOwnerandtheArchitect/Engineer. Allexplosives shallbestoredinasafeandsecuremanner, underthecareofacompetentwatchmanatall times, andallstorageplacesshallbemarkedclearlyandconspicuously: "DANGEROUS- EXPLOSIVES." Themethodofstoringandhandlingexplosivesandhighlyflammable materialsshallconformtoFederalandStatelaws, CityofDentonordinances, andtheCity Contract6990 DocuSignEnvelopeID: 9180EE31-CBBE-4655-B2B4-FD38BFCC90A6 ofDentonFireDepartmentregulations. ThePrimeContractorshallnotifyany telecommunications andpublicutilitycompanyandanyprivatepropertyownershaving structuresintheproximityoftheProjectSiteofthePrime explosives, andsuchnoticeshallbegivensufficientlyinadvancetoenablethe telecommunicationsandpublicutilitycompaniesandprivatepropertyownerstotakesuch stepsastheymaydeemnecessarytoprotecttheirpropertyfrominjury. Thenoticeshall notrelievethePrimeContractorofanyresponsibilityfordamageresultingfromany blastingoperations. f) ThePrimeContractorshallpromptlyremedydamageandloss (otherthandamageorloss insuredunderpropertyinsurancerequiredbytheContractDocuments) topropertyreferred toinClauses10.2(a)(2) and10.2(a)(3) causedinwholeorinpartbythePrimeContractor, aSubcontractor, oranyonedirectlyorindirectlyemployedbyanyofthem, orbyanyone forwhoseactstheymaybeliableandforwhichthePrimeContractorisresponsibleunder Clauses10.2(a)(2) and10.2(a)(3), exceptdamageorlossattributabletoactsoromissions oftheOwnerorArchitect/Engineeroranyonedirectlyorindirectlyemployedbyeitherof them, orbyanyoneforwhoseactseitherofthemmaybeliable, andnotattributabletothe faultornegligenceofthePrimeContractororanyofitsSubcontractors. Theforegoing obligationsofthePrimeContractorareinadditiontothePrime underParagraph3.l9. Totheextentthatanysuchdamageorlossmaybecoveredby propertyinsuranceorotherinsurancerequiredbytheContractDocuments, theOwnerand thePrimeContractorshallexercisetheirbesteffortstomakeaclaimandobtainrecovery fromtheinsurerstoprovideforthecost, inwholeorinpart, oftherepairworkortoprovide forreimbursementforsuchdamageorloss. g) ThePrimeContractorshalldesignatearesponsiblememberofthePrime organizationatthesitewhosedutyshallbethepreventionofaccidents. Thispersonshall bethePrime tedbythePrime ContractorinwritingtotheOwnerandArchitect/Engineer. h) ThePrimeContractorshallnotloadorpermitanypartoftheWorkortheProjectsitetobe loadedsoastoendangeritssafety. 10.3EMERGENCIES Inanemergencyaffectingsafety, health, orsecurityofpersonsorproperty, thePrime Contractorshallact, atthePrime injury, orloss. AdditionalcompensationorextensionoftimeclaimedbythePrime ContractoronaccountofanemergencyshallbedeterminedasprovidedinParagraph4.3and Article7. 10.4PUBLICCONVENIENCEANDSAFETY a) ThePrimeContractorshallplacematerialsstoredabouttheWorkandshallconductthe Workatalltimesinamannerthatcausesnogreaterobstructiontothepublicthanis considerednecessarybytheOwner. Sidewalksorstreetsshallnotbeobstructed, except byspecialpermissionoftheOwner. Thematerialsexcavatedandtheconstruction Contract6990 DocuSignEnvelopeID: 9180EE31-CBBE-4655-B2B4-FD38BFCC90A6 materialsorplantusedintheperformanceoftheWorkshallbeplacedinamannerthat doesnotendangertheWorkorpreventfreeaccesstoallfirehydrants, watermainsand appurtenances, watervalves, gasvalves, manholesforthetelephone, telegraphsignalor electricconduits, wastewatermainsandappurtenances, andfirealarmorpolicecall boxesinthevicinity. b) TheOwnerreservestherighttoremedyanyneglectonthepartofthePrimeContractor inregardtopublicconvenienceandsafetywhichmaycometotheOwner'sattention, aftertwenty-four (24) hoursnoticeinwritingtothePrimeContractor. Incaseofan emergency, theOwnershallhavetherighttoimmediatelyremedyanyneglectwithout notice. Ineithercase, thecostofanyworkdonebytheOwnertoremedythePrime PrimeContractor shallnotifytheCityTrafficControlDepartmentwhenanystreetistobeclosedor obstructed. Thenoticeshall, inthecaseofmajorthoroughfaresorstreetuponwhich transitlinesoperate, beforty-eight (48) hoursinadvance. TheOwnerreservestheright topostponeorprohibitanyclosureorobstructionofanystreetsorthoroughfarestothe extentnecessaryforthesafetyandbenefitofthetravelingpublic. ThePrimeContractor shall, whendirectedbytheArchitect/EngineerortheOwner, keepanystreetorstreetsin conditionforunobstructedusebyCitydepartments. WhenthePrimeContractoris requiredtoconstructtemporarybridgesormakeotherarrangementsforcrossingover ditchesoraroundstructures, thePrime includetheroadwayapproachesaswellasthecrossingstructures. 10.5BARRICADES, LIGHTSANDWATCHMEN IftheWorkiscarriedonoradjacenttoanystreet, alleyorpublicplace, thePrimeContractor shall, atthePrime barricades, fences, lightsanddangersignals, shallprovidesufficientwatchmen, andshall takesuchotherprecautionarymeasuresasarenecessaryfortheprotectionofpersonsor propertyandoftheWork. Allbarricadesshallbepaintedinacolorthatwillbevisibleat night, shallindicateinboldlettersthereonthePrimeContractor'snameandshallbe shallmeanflares, flashers, orotherilluminateddevices. Asufficientnumberofbarricades withadequatemarkingsanddirectionaldevicesshallalsobeerectedtokeepvehiclesfrom beingdrivenonorintoanyWorkunderconstruction. ThePrimeContractorwillbeheld responsibleforalldamagetotheWorkduetofailureofbarricades, signs, lightsand watchmentoprotecttheWork. Wheneverevidenceisfoundofsuchdamage, the Architect/Engineermayorderthedamagedportionimmediatelyremovedandreplacedby thePrimeContractoratPrimeContractor'scostandexpense. ThePrimeContractor's responsibilityformaintenanceofbarricades, signs, andlights, andforprovidingwatchmen, shallnotceaseuntiltheProjecthasbeenfinallyacceptedbytheOwner. 10.6PUBLICUTILITIESANDOTHERPROPERTIESTOBECHANGED IncaseitisnecessarytochangeormovethepropertyoftheOwnerorofany telecommunicationsorpublicutility, suchpropertyshallnotberemovedorinterferedwith untilorderedtodosobytheArchitect/Engineer. Therightisreservedtotheownerofany Contract6990 DocuSignEnvelopeID: 9180EE31-CBBE-4655-B2B4-FD38BFCC90A6 publicorprivateutilitiestoenterupontheProjectsiteforthepurposeofmakingsuch changesorrepairsoftheirpropertythatmaybecomenecessaryduringtheperformanceof theWork. TheOwnerreservestherightofentryupontheProjectsiteforanypurpose, includingrepairingorrelayingsewerandwaterlinesandappurtenances, repairingstructures, andformakingotherrepairs, changes, orextensionstoanyoftheOwner'sproperty. The Owner'sactionsshallconformtothePrimeContractor'scurrentandapprovedschedulefor theperformanceoftheWork, providedthatpropernotificationofschedulerequirementshas beengiventotheOwnerbythePrimeContractor. 10.7TEMPORARYSTORMSEWERANDDRAINCONNECTIONS Whenexistingstormsewersordrainshavetobetakenuporremoved, thePrimeContractor shallathisownexpenseprovideandmaintaintemporaryoutletsandconnectionsforall publicandprivatestormsewersanddrains. ThePrimeContractorshallalsotakecareofall stormsewageanddrainagewhichwillbereceivedfromthesestormdrainsandsewers; for thispurpose, thePrimeContractorshallprovideandmaintain, atthePrime expense, adequatepumpingfacilitiesandtemporaryoutletsordiversions. ThePrime Contractorshall, atthePrime e, constructsuchtroughs, pipes, or otherstructuresnecessaryandshallbepreparedatalltimestodisposeofstormdrainageand sewagereceivedfromthesetemporaryconnectionsuntilsuchtimeasthepermanent connectionsarebuiltandinservice. Theexistingstormsewersandconnectionsshallbekept inserviceandmaintained undertheContract, exceptwherespecifiedororderedtobe abandonedbytheArchitect/Engineer. Allstormwaterandsewageshallbedisposedofina satisfactorymannersothatnonuisanceiscreatedandthattheWorkunderconstructionwill beadequatelyprotected. 10.8ARRANGEMENTANDCHARGEFORWATERFURNISHEDBYTHEOWNER; ELECTRICITYFORTHEPROJECT a) WhenthePrimeContractordesirestousetheOwner'swaterinconnectionwiththeWork, thePrimeContractorshallmakecompleteandsatisfactoryarrangementswiththeDenton WaterUtilitiesDepartmentandshallberesponsibleforthecostofthewaterthePrime Contractoruses. Wheremetersareused, thechargewillbeattheregularestablishedrate; wherenometersareused, thechargewillbeasprescribedbyCityordinance, orwhereno ordinanceapplies, paymentshallbebasedonestimatesmadebytheDentonWaterUtilities Department. b) ThePrimeContractorshallmakecompleteandsatisfactoryarrangementsforelectricity andmeteredelectricalconnectionswiththeOwnerorwithDentonMunicipalElectricin theeventthatseparatelymeteredelectricalconnectionsarerequiredfortheProject. The PrimeContractorshallpayforallelectricityusedintheperformanceoftheWorkthrough separatemeteredelectricalconnectionsobtainedbythePrimeContractorthroughtheCity ofDenton. 10.9USEOFFIREHYDRANTS ThePrimeContractor, Subcontractors, andanyotherpersonworkingontheProjectshallnot Contract6990 DocuSignEnvelopeID: 9180EE31-CBBE-4655-B2B4-FD38BFCC90A6 open, turnoff, interferewith, attachanypipeorhoseto, orconnectanythingwithanyfire hydrant, stopvalve, orstopcock, ortapanywatermainbelongingtotheOwner, unlessduly authorizedtodosobytheDentonWaterUtilitiesDepartmentinaccordancewiththeDenton CityCode. 10.10ENVIRONMENTAL COMPLIANCE a) ThePrimeContractoranditsSubcontractorsaredeemedtohavemadethemselves familiarwithandatalltimesshallcomplywithallapplicablefederal, stateorlocal laws, rules, regulations, ordinances, andrulesofcommonlawnowineffect (including anyamendmentsnowineffect), relatingtotheenvironment, HazardousSubstancesor exposuretoHazardousSubstances, includingbutnotlimitedtotheComprehensive EnvironmentalResponse, CompensationandLiabilityActof1980, 42U.S.C.A. §§ 9601, etseq.; theHazardousMaterialsTransportationAct, 49U.S.C.A. §§ 1801, et seq.; theResourceConservationandRecoveryActof1976, 42U.S.C.A. §§ 6901, et seq.; theFederalWaterPollutionControlAct, 33U.S.C.A §§ 1201, etseq.; theToxic SubstancesControlAct, 15U.S.C.A. §§ 2601, etseq.; theCleanAirAct, 42U.S.C.A. 7401, etseq.; theSafeDrinkingWaterAct, 42U.S.C.A. §§ 3808, etseq., andany currentjudicialoradministrativeinterpretationoftheselaws, rules, regulations, ordinances, orrulesofcommonlaw, includingbutnotlimitedtoanyjudicialor administrativeorder, consentdecree, orjudgmentaffectingtheProject. b) IntheeventthePrimeContractorencountersonthesitematerialsreasonablybelieved tobeaHazardousSubstancethathavenotbeenrenderedharmless, andremovalof suchmaterialsisnotapartofthescopeofWorkrequiredundertheContract Documents, thePrimeContractorshallimmediatelystopWorkintheaffectedareaand reportinwritingthefactsofsuchencountertotheArchitect/EngineerandtheOwner. Workintheaffectedareashallnotthereafterberesumedexceptbywrittenorderofthe OwnerunlessanduntilthematerialisdeterminednottobeaHazardousSubstanceor theHazardousSubstanceisremediated. TheOwnermaychoosetoremediatethe HazardousSubstancewithaseparatecontractororthroughaChangeOrderwiththe PrimeContractor. IftheOwnerdeterminesthattheHazardousSubstanceexistsinthe affectedareaduetothefaultornegligenceofthePrimeContractororanyofits Subcontractors, thePrimeContractorshallberesponsibleforremediatingthecondition atthesoleexpenseofthePrimeContractorinaccordancewiththePrime APPROVEDSpillRemediationPlan. AnextensionoftheContractTimeforanydelay intheprogressschedulecausedasaresultofthediscoveryandremediationofa HazardousSubstancemaybegrantedbytheOwneronlyifallremainingWorkonthe Projectmustbesuspendedandthedelaycannotbemadeupelsewhereintheprogress schedule. AnyrequestforanextensionoftheContractTimerelatedtothediscovery andremediationofaHazardousSubstanceissubjecttotheprovisionsofParagraph4.3 andArticle8. c) ThePrimeContractorshallberesponsibleforidentification, abatement, cleanup, control, removal, remediation, anddisposalofanyHazardousSubstancebroughtinto oruponthesitebythePrimeContractororanySubcontractororSupplier. ThePrime Contractorshallobtainanyandallpermitsnecessaryforthelegalandproperhandling, Contract6990 DocuSignEnvelopeID: 9180EE31-CBBE-4655-B2B4-FD38BFCC90A6 transportation, anddisposaloftheHazardousSubstanceandshall, priortoundertaking anyabatement, cleanup, control, removal, remediation, anddisposal, notifytheOwner andtheArchitect/Engineersothattheymayobservetheactivities; provided, however, thatitshallbethePrime litytocomplywithallapplicable laws, rules, regulations, orordinancesgoverningtheactivities. d) SpillPreventionPlan. Atleastseventy-two (72) hourspriortocommencing performanceofanyoftheWorkattheProjectsite, thePrimeContractorshallsubmit totheOwnerforreviewandapprovalaSpillPreventionandResponsePlan (SPRP) meetingtherequirementsoffederalandstatelaw, rules, andregulations. TheSPRP shallbespeciallydesignedforthePrimeContractor'splannedwork methodsand procedures. TheSPRPshallbedesignedtocomplementallapplicablesafetystandards, firepreventionregulations, andpollutionpreventionpoliciesandprocedures. The SPRPshallincludeestimatesofthequantityandrateofflowshouldequipmentfail, anddetailcontainmentordiversionarystructurestopreventspillsfromleavingthesite ormigratingintoadjacentpropertiesornavigablewaters. TheSPRPshallinclude methodsofrecoveryofspilledmaterialsandallapplicabletwenty-four (24) hour Managerorotherdesignatedrepresentative. ThePrimeContractorshallnotcommence anyfieldworkpriortoapprovalofsuchplanbytheOwner. Thefollowingadditional rulesshallapplywithrespecttospillscausedbythePrimeContractorora Subcontractor: 1) ThePrimeContractorshallimmediatelyreportanyspillorreleaseattheProject ject Managerorotherdesignatedrepresentative. Thereafter, withintwo (2) working daysaftertheoccurrenceofsuchevent, thePrimeContractorshallsubmitawritten reportdescribingsucheventinadegreeofdetailreasonablyacceptabletothe Owner. 2) ThePrimeContractorshallimmediatelyrespondinaccordancewiththeSPRPin theeventofaspill. 3) ThePrimeContractorshalldisposeofspilledmaterialsinaccordancewithEPA andTexasCommissiononEnvironmentalQuality (TCEQ) regulationsandany otherapplicablefederal, state, orlocallaws, rules, orregulations. Inconnection withsuchdisposals, thePrimeContractorshalluseonlythosetransportersand disposalfacilitiesthatareapprovedinadvanceinwritingbytheOwner. Acopyof alltransportmanifestsforthespilledmaterialsshallbeobtainedandretainedinthe Prime theArchitect/Engineer, theOwner, oranygovernmentalregulatoryagencywith jurisdictionoverthematter. ALLCOSTSOFCOLLECTION, CONTAINMENT, ANDDISPOSALOFSPILLEDMATERIALSSHALLBETHESOLE RESPONSIBILITYOFTHEPRIMECONTRACTOR. 4) environmentaldischargeorrelease. ThePrimeContractorshallcomplywiththeCleanAir ManagementPlansubmittedtoandapprovedbytheOwnerduringthecontractor selectionprocess. TheOwnerreservestheright, atthePrime torequiretheremovalorretrofittingofanyequipmentusedinthecourseof constructionthatdoesnotcomplywiththePlansubmittedtoandapprovedbythe Owner. f) ThePrimeContractorshalldepositsurplusorwasteexcavationorothermaterials removedaspartoftheWorkatalegaldisposalsiteinaccordancewithallapplicable state, federal, andlocallaws, rules, regulations, andordinances. ThePrimeContractor shallsubmittotheOwnerforreviewandapprovalallplanneddisposalsitesor proposedusesforthesurplusorwasteexcavationorothermaterialspriortoremoval ofanyexcavationorothermaterialfromtheProjectsite. Acopyofalltransport manifestsforsurplusorwasteexcavationorothermaterialsshallbeobtainedand retainedinthePrime requesttotheArchitect/Engineer, theOwner, oranygovernmentalregulatoryagency withjurisdictionoverthematter. g) ThePrimeContractorisresponsibleforobtainingallTXPDESStormWaterPermits fromTCEQforconstructionoftheProjectunderregulationscontainedin40CFRPart 122, asamended, pursuanttotheCleanWaterAct, 33U.S.C.A. §§1251etseq. These regulationsrequirethefilingofanoticeofintenttoobtainandabidebythegeneral stormwaterpermitforconstructionactivitiespromulgatedbyEPA, includingbutnot limitedtocleaning, grading, andexcavationthatdisturbtheapplicableamountoftotal landarea. ARTICLE12 DEFECTIVEANDNONCONFORMINGWORK 12.1UNCOVERINGOFWORK a) requirementsspecificallyexpressedintheContractDocuments, theWorkmust, if observationandbereplacedatthePrime ContractTime. b) IfaportionoftheWorkhasbeencoveredwhichtheArchitect/Engineerhasnot specificallyrequestedtoobservepriortoitbeingcovered, theArchitect/Engineermay requesttoseesuchWorkanditshallbeuncoveredbythePrimeContractor. IfsuchWork isinaccordancewiththeContractDocuments, costsofuncoveringandreplacementshall, byappropriateChangeOrder, bechargedtotheOwner. IfanyWorkisnotinaccordance withtheContractDocuments, thePrimeContractorshallpaythecostsofuncovering, repair, replacementunlesstheconditionwascausedbytheOwneroraseparatecontractor inwhicheventtheOwnershallberesponsibleforpaymentofsuchcosts. 12.2CORRECTIONOFWORK a) ThePrimeContractorshallpromptlycorrectWorkrejectedbytheArchitect/Engineeras failingtoconformtotherequirementsoftheContractDocuments, whetherobserved beforeorafterSubstantialCompletionandwhetherornotfabricated, installedor completed. ThePrime Workremainsineffectfor: 1) oneyearafterthedateofSubstantialCompletionoftheWorkordesignatedportion oftheWork; 2) oneyearafterthedateforcommencementofwarrantiesestablishedbyagreementin connectionwithpartialoccupancyunderSubparagraph9.8(a); or 3) thestipulateddurationofanyapplicablespecialwarrantyrequiredbytheContract Documents. c) Theone-yearperioddescribedinClauses (b)(1) and (b)(2) shallbeextendedwithrespect toportionsoftheWorkperformed, repaired, orcorrectedafterSubstantialCompletion bytheperiodoftimebetweenSubstantialCompletionandtheactualcompletionofthe Work. d) TheobligationsofthePrimeContractorunderthisParagraph12.2shallsurvivefinal acceptanceoftheWorkandterminationofthisContract. TheOwnershallgivenoticeto thePrimeContractorpromptlyafterdiscoveryofadefectiveornonconformingcondition intheWork. Theone-yearperiodstatedinClauses (b)(1) and (b)(2) doesnotlimitthe abilityoftheOwnertorequirethePrimeContractortocorrectlatentdefectsor nonconformitiesintheWork, whichdefectsornonconformitiescouldnothavebeen discoveredthroughreasonablediligencebytheOwnerortheArchitect/Engineeratthe timetheWorkwasperformedoratthetimeofinspectionforcertificationofSubstantial CompletionorFinalCompletion. TheoneyearperiodalsodoesnotrelievethePrime ContractorfromliabilityforanydefectsordeficienciesintheWorkthatmaybe discoveredaftertheexpirationoftheoneyearcorrectionperiod. e) ThePrimeContractorshallremovefromtheProjectsiteportionsoftheWorkwhichare notinaccordancewiththerequirementsoftheContractDocumentsandareneither correctedbythePrimeContractornoracceptedbytheOwner. f) IfthePrimeContractorfailstocorrectdefectiveornonconformingWorkwithina reasonabletimeafternoticefromtheOwnerortheArchitect/Engineer, theOwnermay correctitinaccordancewithParagraph2.4. IfthePrimeContractordoesnotproceed withcorrectionofdefectiveornonconformingWorkwithinareasonabletimefixedby writtennoticefromtheArchitect/Engineer, theOwnermayremoveorreplacethe defectiveornonconformingWorkandstorethesalvageablematerialsorequipmentat thePrime expense. IfthePrimeContractordoesnotpaycostsofremoval andstoragewithintendaysafterwrittennotice, theOwnermay, uponten (10) additional dayswrittennotice, sellthematerialsandequipmentatauctionoratprivatesaleandshall accountfortheproceedsafterdeductingcostsanddamagesthatshouldhavebeenborne bythePrime andexpensesmadenecessaryasaresultofthesale. Iftheproceedsofsaledonotcover costswhichthePrimeContractorshouldhaveborne, theContractSumshallbereduced Contract6990 DocuSignEnvelopeID: 9180EE31-CBBE-4655-B2B4-FD38BFCC90A6 bythedeficiency. IfpaymentsduetothePrimeContractorthenorthereafterarenot sufficienttocoverthedeficiency, thePrimeContractorshallpaythedifferencetothe Owner. g) ThePrimeContractorshallbearthecostofcorrectingdestroyedordamagedconstruction oftheOwnerorseparatecontractors, whethertheconstructioniscompletedorpartially completed, thatiscausedbythePrime removalofWorkwhich isnotinaccordancewiththerequirementsoftheContractDocuments. h) NothingcontainedinthisParagraph12.2shallbeconstruedtoestablishaperiodof limitationwithrespecttootherobligationswhichthePrimeContractormighthaveunder theContractDocuments. Establishmentoftheone-yeartimeperiodasdescribedin Subparagraph12.2(b) relatesonlytothespecificobligationofthePrimeContractorto correcttheWork, andhasnorelationshiptothetimewithinwhichtheobligationto complywiththeContractDocumentsmaybesoughttobeenforced, nortothetime withinwhichproceedingsmaybecommencedtoestablishthePrime liabilitywithrespecttothePrime o correcttheWork. i) AnyWorkrepairedorreplacedpursuanttothisArticle12shallbesubjecttothe provisionsofArticle12tothesameextentasWorkoriginallyperformedorinstalled. 12.3ACCEPTANCEOFNONCONFORMINGWORK TheOwnermay, intheO therequirementsoftheContractDocumentsinsteadofrequiringitsremovalandcorrection, inwhichcasetheContractSumwillbereducedasappropriateandequitable. Theadjustment willbeaccomplishedwhetherornotfinalpaymenthasbeenmade. ARTICLE13COMPLETIONOFTHECONTRACT; TERMINATION; TEMPORARY SUSPENSION 13.1FINALCOMPLETIONOFCONTRACT TheContractwillbeconsideredcompleted, exceptasprovidedinanywarrantyor maintenancestipulations, bond, orbylaw, whenalltheWorkhasbeenfinallycompleted, the finalinspectionismadebytheArchitect/Engineer, andfinalacceptanceandfinalpaymentis madebytheOwner. 13.2WARRANTYFULFILLMENT PriortotheexpirationofthespecifiedwarrantyperiodprovidedforintheContract Documents, theArchitect/EngineerwillmakeadetailedinspectionoftheWorkandwill advisethePrimeContractorandthePrime correction. TheArchitect/Engineerwillmakeasubsequentinspectionandifthecorrections havebeenproperlyperformed, theArchitect/Engineerwillissuealetterofreleaseonthe maintenancestipulationstothePrimeContractorandtheSurety. IfforanyreasonthePrime Contract6990 DocuSignEnvelopeID: 9180EE31-CBBE-4655-B2B4-FD38BFCC90A6 Contractorhasnotmadetherequiredcorrectionsbeforetheexpirationofthewarrantyperiod, thewarrantyprovisionsasprovidedforintheContractDocumentsshallremainineffectuntil thecorrectionshavebeenproperlyperformedandaletterofreleaseissued. 13.3TERMINATIONBYTHEOWNERFORCAUSE a) NotwithstandinganyotherprovisionoftheseGeneralConditions, theWorkorany portionoftheWorkmaybeterminatedimmediatelybytheOwnerforanygoodcause aftergivingseven (7) daysadvancewrittennoticeandopportunitytocuretothePrime Contractor, includingbutnotlimitedtothefollowingcauses: 1) FailureorrefusalofthePrimeContractortostarttheWorkwithinten (10) daysafter thedateofwrittennoticebytheOwnertocommencetheWork. 2) AreasonablebeliefthattheprogressoftheWorkbeingmadebythePrime ContractorisinsufficienttocompletetheWorkwithinthespecifiedtime. 3) FailureorrefusalofthePrimeContractortoprovidesufficientandproperequipment orconstructionforcestoproperlyexecutetheWorkinatimelymanner. 4) AreasonablebeliefthatthePrimeContractorhasabandonedtheWork. 5) AreasonablebeliefthattheContractorhasbecomeinsolvent, bankrupt, orotherwise financiallyunabletocarryontheWork. 6) FailureorrefusalonthepartoftheContractortoobserveanyrequirementsofthe ContractDocumentsortocomplywithanywrittenordersgivenbythe Architect/EngineerortheOwnerasprovidedforintheContractDocuments. 7) FailureorrefusalofthePrimeContractortopromptlymakegoodanydefectsin materialsorworkmanship, oranydefectsofanynature, thecorrectionofwhichhas beendirectedinwritingbytheArchitect/Engineer. 8) AreasonablebeliefbytheOwnerthatcollusionexistsorhasoccurredforthe purposeofillegallyprocuringtheContractoraSubcontractor, orthatafraudisbeing perpetratedontheOwnerinconnectionwiththeconstructionofWorkunderthe Contract. 9) Repeatedandflagrantviolationofsafeworkingprocedures. 10) ThefilingbythePrimeContractoroflitigationagainsttheOwnerpriorto completionoftheWork. b) WhentheWorkoranyportionoftheWorkisterminatedforanyofthecausesitemized aboveorforanyothercauseexceptterminationforconveniencepursuantto Subparagraph13.3(e), thePrimeContractorshall, asofthedatespecifiedbytheOwner, discontinuetheWorkorportionoftheWorkastheOwnershalldesignate, whereupon Contract6990 DocuSignEnvelopeID: 9180EE31-CBBE-4655-B2B4-FD38BFCC90A6 thesuretyshall, withinfifteen (15) daysafterthewrittennoticeofterminationforcause hasbeenserveduponthePrimeContractorandthesuretyoritsauthorizedagents, assumetheobligationsofthePrimeContractorfortheWorkorthatportionoftheWork whichtheOwnerhasorderedthePrimeContractortodiscontinueandmay: 1) performtheWorkwithforcesemployedbythesurety; 2) withthewrittenconsentoftheOwner, tenderareplacementcontractortotakeover andperformtheWork, inwhicheventthesuretyshallberesponsibleforandpaythe amountofanycostsrequiredtobeincurredforthecompletionoftheWorkthatare inexcessoftheamountoffundsremainingundertheContractasofthetimeofthe termination; or 3) withthewrittenconsentoftheOwner, tenderandpaytotheOwnerinsettlementthe amountofmoneynecessarytofinishthebalanceofuncompletedWorkunderthe Contract, correctexistingdefectiveornonconformingWork, andcompensatethe OwnerforanyotherlosssustainedasaresultofPrimeContractor'sdefault. IntheeventofterminationforcauseinvolvingClause (b)(1) or (b)(2), theSurety shallassumethePrimeContractor'splaceinallrespects, andtheamountoffunds remainingunpaidundertheContractshallbepaidbytheOwnerforallWork performedbythesuretyorthereplacementcontractorinaccordancewiththeterms oftheContractDocuments, subjecttoanyrightsoftheOwnertodeductanycosts, damages, oractualdamagesthattheOwnermayhaveincurred, includingbutnot limitedtoadditionalfeesandexpensesoftheArchitect/Engineerandattorneysfees, asaresultofsuchtermination. c) ThebalanceoftheContractSumremainingatthetimeofthePrime andoftheterminationshallbecomedueandpayabletothesuretyastheWork progresses, subjecttoalloftheterms, covenants, andconditionsoftheContract Documents. Ifthesuretydoesnot, withinthetimespecifiedinSubparagraph13.3(b), exerciseitsobligationtoassumetheobligationsoftheContract, orthatportionofthe ContractwhichtheOwnerhasorderedthePrimeContractortodiscontinue, thenthe OwnershallhavethepowertocompletetheWorkbycontractorotherwise, asitmay deemnecessary. ThePrimeContractoragreesthattheOwnershallhavetherighttotake possessionoforuseanyorallofthematerials, plant, tools, equipment, supplies, and propertyofeverykindprovidedbythePrimeContractorforthepurposeoftheWork, andtoprocureothertools, equipment, labor, andmaterialsforthecompletionofthe Work, andtochargetotheaccountofthePrimeContractortheexpensesofcompletion andlabor, materials, tools, equipment, andincidentalexpenses. Theexpensesincurred bytheOwnertocompletetheWorkshallbedeductedbytheOwneroutofthebalance oftheContractSumremainingunpaidtoorunearnedbytheContractor. ThePrime ContractorandthesuretyshallbeliabletotheOwnerforanycostsincurredinexcess ofthebalanceoftheContractSumforthecompletionandcorrectionoftheWork, and foranyothercosts, damages, expenses (includingbutnotlimitedtoadditionalfeesof termination. Incasesuchexpensesforcompletion shallexceedtheamountwhichwouldhavebeenpayableundertheContractifthesame hadbeencompletedbythePrimeContractor, thenthePrimeContractorandhisSureties shallpaytheamountoftheexcesstotheOwneronnoticefromtheOwnerforexcess due. WhenonlyaparticularpartoftheWorkisbeingcarriedonbytheOwnerby contractorotherwiseundertheprovisionsofthisSubparagraph, thePrimeContractor shallcontinuetheremainderoftheWorkinconformitywiththetermsoftheContract, andinsuchmannerasnottohinderorinterferewiththeperformanceofworkmen employedandprovidedbytheOwner. e) TheunconditionalrighttoterminatethisContractfortheconvenienceoftheOwner includingbutnotlimitedtonon-appropriationoffunding) isexpresslyretainedbythe Owner. Intheeventofterminationforconvenience, theOwnershalldeliveratleastten 10) daysadvancewrittennoticeofterminationforconveniencetothePrimeContractor. ThePrimeContractorshallthenbereimbursedby theOwnerinaccordancewiththetermsandprovisionsoftheContractDocuments, not toexceedactuallaborcostsincurred, materialsstoredattheProjectsiteorawayfrom theProjectsiteasapprovedbytheOwnerbutnotyetpaidfor, plusactual, reasonable, anddocumentedterminationcharges, ifany, paidbythePrimeContractorinconnection withtheWorkinplacewhichiscompletedandinconformancewiththeContract Documentstothedateofterminationforconvenience. Noamountshalleverbedueto thePrimeContractorforlostoranticipatedprofits. 13.4TEMPORARYSUSPENSIONOFTHEWORK a) TheWorkoranyportionoftheWorkmaybetemporarilysuspendedbytheOwner immediatelyuponwrittennoticetothePrimeContractorforanyreason, includingbut notlimitedto: 1) thecausesdescribedinClauses13.1(a)(1) through (a)(10) above; 2) whereotherprovisionsintheContractDocumentsrequireorpermittemporary suspensionoftheWork; 3) situationswheretheWorkisthreatenedby, contributesto, orcausesanimmediate threattopublichealth, safety, orsecurity; or 4) otherunforeseenconditionsorcircumstances.
