IntheeventofaninconsistencyorconflictinanyoftheprovisionsoftheContract documents, theinconsistencyorconflictshallberesolvedbygivingprecedencefirsttothewritten agreementthentothecontractdocumentsintheorderinwhichtheyarelistedabove. CONTRACTORTOPACKAGEDELIVERABLES: TheContractorwillpackagedeliverablesin accordancewithgoodcommercialpracticeandshallincludeapackinglistshowingthedescriptionofeach item, thequantityandunitpriceunlessotherwiseprovidedintheSpecificationsorSupplementalTerms andConditions, eachshippingcontainershallbeclearlyandpermanentlymarkedasfollows: (a) The andthepriceagreementnumberifapplicable, (c) Containernumberandtotalnumberofcontainers, e.g. box1of4boxes, and (d) thenumberofthecontainerbearingthepackinglist. TITLE & RISKOFLOSS: TitletoandriskoflossofthedeliverablesshallpasstotheCityonlywhen theCityactuallyreceivesandacceptsthedeliverables. 6. DELIVERYTERMSANDTRANSPORTATIONCHARGES: DeliverablesshallbeshippedF.O.B. pointofdeliveryunlessotherwisespecifiedintheSupplementalTermsandConditions. Unlessotherwise stated TheCityshallhavetherighttodesignatewhatmethodoftransportationshallbeusedtoshipthe deliverables. Theplaceofdeliveryshallbethatsetforththepurchaseorder. 7. RIGHTOFINSPECTIONANDREJECTION: TheCityexpresslyreservesallrightsunderlaw, File7078 DocuSignEnvelopeID: F9E3E145-492C-4051-82CA-241FDF9E4B25 including, butnotlimitedtotheUniformCommercialCode, toinspectthedeliverablesatdeliverybefore acceptingthem, andtorejectdefectiveornon-conformingdeliverables. IftheCityhastherighttoinspect rnish, orcausetobefurnished, without additionalcharge, allreasonablefacilitiesandassistancetotheCitytofacilitatesuchinspection. 8. NOREPLACEMENTOFDEFECTIVETENDER: Everytenderordeliveryofdeliverablesmust fullycomplywithallprovisionsoftheContractastotimeofdelivery, quality, andquantity. Anynon- complyingtendershallconstituteabreachandtheContractorshallnothavetherighttosubstitutea conformingtender; provided, wherethetimeforperformancehasnotyetexpired, theContractormaynotify theCityoftheintentiontocureandmaythenmakeaconformingtenderwithinthetimeallottedinthe contract. 9. PLACEANDCONDITIONOFWORK: TheCityshallprovidetheContractoraccesstothesites wheretheContractoristoperformtheservicesasrequiredinorderfortheContractortoperformthe servicesinatimelyandefficientmanner, inaccordancewithandsubjecttotheapplicablesecuritylaws, rules, andregulations. TheContractoracknowledgesthat servicerequirementsandspecifications, thelocationandessentialcharacteristicsoftheworksites, the qualityandquantityofmaterials, equipment, laborandfacilitiesnecessarytoperformtheservices, andany underthecontract. TheContractorherebyreleasesandholdstheCityharmlessfromandagainstany liabilityorclaimfordamagesofanykindornatureiftheactualsiteorserviceconditionsdifferfrom expectedconditions. Thecontractorshall, atalltimes, exercisereasonableprecautionsforthesafetyoftheiremployees, City facilities. 10. WORKFORCE A. TheContractorshallemployonlyorderlyandcompetentworkers, skilledintheperformanceofthe serviceswhichtheywillperformundertheContract. B. TheContractor, itsemployees, subcontractors, andsubcontractor'semployeesmaynotwhileengagedin participatingorrespondingtoasolicitationorwhileinthecourseandscopeofdeliveringgoodsorservices underaCityofDentoncontractorontheCity'sproperty . i. useorpossessafirearm, includingaconcealedhandgunthatislicensedunderstatelaw, except asrequiredbythetermsofthecontract; or ii. useorpossessalcoholicorotherintoxicatingbeverages, illegaldrugsorcontrolledsubstances, normaysuchworkersbeintoxicated, orundertheinfluenceofalcoholordrugs, onthejob. C. IftheCityortheCity'srepresentativenotifiestheContractorthatanyworkerisincompetent, disorderly ordisobedient, hasknowinglyorrepeatedlyviolatedsafetyregulations, haspossessedanyfirearms, orhas possessedorwasundertheinfluenceofalcoholordrugsonthejob, theContractorshallimmediately removesuchworkerfromContractservices, andmaynotemploysuchworkeragainonContractservices withouttheCity'spriorwrittenconsent. Immigration: TheContractorrepresentsandwarrantsthatitshallcomplywiththerequirementsofthe ImmigrationReformandControlActof1986and1990regardingemploymentverificationandretention ofverificationformsforanyindividualshiredonorafterNovember6, 1986, whowillperformanylabor orservicesundertheContractandtheIllegalImmigrationReformandImmigrantResponsibilityActof 11. COMPLIANCEWITHHEALTH, SAFETY, ANDENVIRONMENTALREGULATIONS: The federal, state, andlocalhealth, safety, andenvironmentallaws, ordinances, rulesandregulationsinthe performanceoftheservices, includingbutnotlimitedtothosepromulgatedbytheCityandbythe File7078 DocuSignEnvelopeID: F9E3E145-492C-4051-82CA-241FDF9E4B25 OccupationalSafetyandHealthAdministration (OSHA). Incaseofconflict, themoststringentsafety requirementshallgovern. TheContractorshallindemnifyandholdtheCityharmlessfromandagainstall claims, demands, suits, actions, judgments, fines, penaltiesandliabilityofeverykindarisingfromthe EnvironmentalProtection: TheRespondentshallbeincompliancewithallapplicablestandards, orders, orregulationsissuedpursuanttothemandatesoftheCleanAirAct (42U.S.C. §7401etseq.) andthe FederalWaterPollutionControlAct, asamended, (33U.S.C. §1251etseq.). 12. INVOICES: A. TheContractorshallsubmitseparateinvoicesinduplicateoneachpurchaseorderorpurchase releaseaftereachdelivery. IfpartialshipmentsordeliveriesareauthorizedbytheCity, aseparateinvoice mustbesentforeachshipmentordeliverymade. B. ProperInvoicesmustincludeauniqueinvoicenumber, thepurchaseorderordeliveryorder thepointofcontactfortheDepartment. Invoicesshallbeitemizedandtransportationcharges, ifany, shallbelistedseparately. Acopyofthebillofladingandthefreightwaybill, whenapplicable, shallbe numberontheinvoicemustexactlymatchthe invoice. C. Invoicesforlaborshallincludeacopyofalltime-sheetswithtradelaborrateanddeliverablesorder numberclearlyidentified. Invoicesshallalsoincludeatabulationofwork-hoursattheappropriaterates andgroupedbyworkordernumber. Timebilledforlaborshallbelimitedtohoursactuallyworkedatthe worksite. D. UnlessotherwiseexpresslyauthorizedintheContract, theContractorshallpassthroughall Subcontractandotherauthorizedexpensesatactualcostwithoutmarkup. E. Federalexcisetaxes, Statetaxes, orCitysalestaxesmustnotbeincludedintheinvoicedamount. TheCitywillfurnishataxexemptioncertificateuponrequest. 13. PAYMENT: A. AllproperinvoicesneedtobesenttoAccountsPayable. Approvedinvoiceswillbepaidwithinthirty deliverablesoroftheinvoicebeingreceivedinAccounts Payable, whicheverislater. B. Ifpaymentisnottimelymade, (perparagraphA); interestshallaccrueontheunpaidbalanceat thelesseroftheratespecifiedinTexasGovernmentCodeSection2251.025orthemaximumlawful rate; except, ifpaymentisnottimelymadeforareasonforwhichtheCitymaywithholdpayment hereunder, interestshallnotaccrueuntilten (10) calendardaysafterthegroundsforwithholding paymenthavebeenresolved. C. IfpartialshipmentsordeliveriesareauthorizedbytheCity, theContractorwillbepaidforthepartial shipmentordelivery, asstatedabove, providedthattheinvoicematchestheshipmentordelivery. D. TheCitymaywithholdorsetofftheentirepaymentorpartofanypaymentotherwiseduethe Contractortosuchextentasmaybenecessaryonaccountof: i. deliveryofdefectiveornon-conformingdeliverablesbytheContractor; ii. thirdpartyclaims, whicharenotcoveredbytheinsurancewhichtheContractoris requiredtoprovide, arefiledorreasonableevidenceindicatingprobablefilingofsuchclaims; iii. failureoftheContractortopaySubcontractors, orforlabor, materialsorequipment; agents, employeesorcontractors, whichisnotcoveredbyinsurancerequiredtobeprovidedbytheContractor; timespecifiedintheContract, andthattheunpaidbalancewouldnotbeadequatetocoveractual ordamagesfortheanticipateddelay; File7078 DocuSignEnvelopeID: F9E3E145-492C-4051-82CA-241FDF9E4B25 vi. failureoftheContractortosubmitproperinvoiceswithpurchaseordernumber, withallrequired attachmentsandsupportingdocumentation; or vii. failureoftheContractortocomplywithanymaterialprovisionoftheContractDocuments. E. NoticeisherebygiventhatanyawardedfirmwhoisinarrearstotheCityofDentonfordelinquenttaxes, theCitymayoffsetindebtednessowedtheCitythroughpaymentwithholding. F. Paymentwillbemadebycheckunlessthepartiesmutuallyagreetopaymentbycreditcardorelectronic transferoffunds. TheContractoragreesthatthereshallbenoadditionalcharges, surcharges, orpenalties totheCityforpaymentsmadebycreditcardorelectronicfundstransfer. paymentobligationsarepayableonlyandsolelyfromfundsAppropriatedandavailableforthiscontract. TheabsenceofAppropriatedorotherlawfullyavailablefundsshallrendertheContractnullandvoidto theextentfundsarenotAppropriatedoravailableandanydeliverablesdeliveredbutunpaidshallbe returnedtotheContractor. TheCityshallprovidetheContractorwrittennoticeofthefailureoftheCityto makeanadequateAppropriationforanyfiscalyeartopaytheamountsdueundertheContract, orthe reductionofanyAppropriationtoanamountinsufficienttopermittheCitytopayitsobligationsunderthe Contract. Intheeventofnoneorinadequateappropriationoffunds, therewillbenopenaltynorremoval feeschargedtotheCity. 14. TRAVELEXPENSES: Alltravel, lodgingandperdiemexpensesinconnectionwiththeContract shallbepaidbytheContractor, unlessotherwisestatedinthecontractterms. Duringthetermofthis contract, thecontractorshallbillandtheCityshallreimbursecontractorforallreasonableandapproved outofpocketexpenseswhichareincurredintheconnectionwiththeperformanceofdutieshereunder. Notwithstandingtheforegoing, expensesforthetimespentbythecontractorintravelingtoandfromCity facilitiesshallnotbereimbursed, unlessotherwisenegotiated. 15. FINALPAYMENTANDCLOSE-OUT: A. IfaDBE/MBE/WBEProgramPlanisagreedtoandtheContractorhasidentifiedSubcontractors, the ContractorisrequiredtosubmitaContractClose-OutMBE/WBEComplianceReporttothePurchasing Managernolaterthanthe15thcalendardayaftercompletionofallworkunderthecontract. Finalpayment, retainage, orbothmaybewithheldiftheContractorisnotincompliancewiththerequirementsasaccepted bytheCity. B. Themakingandacceptanceoffinalpaymentwillconstitute: i. awaiverofallclaimsbytheCityagainsttheContractor, exceptclaims (1) whichhavebeen previouslyassertedinwritingandnotyetsettled, (2) arisingfromdefectiveworkappearingafterfinal inspection, (3) arisingfromfailureoftheContractortocomplywiththeContractorthetermsofany audit; andii. awaiverofallclaimsbytheContractoragainsttheCityotherthanthosepreviouslyasserted inwritingandnotyetsettled. 16. SPECIALTOOLS & TESTEQUIPMENT: IfthepricestatedontheOfferincludesthecostofany specialtoolingorspecialtestequipmentfabricatedorrequiredbytheContractorforthepurposeoffilling thisorder, suchspecialtoolingequipmentandanyprocesssheetsrelatedtheretoshallbecometheproperty oftheCityandshallbeidentifiedbytheContractorassuch. 17. RIGHTTOAUDIT: A. TheCityshallhavetherighttoauditandmakecopiesofthebooks, recordsandcomputationspertaining totheContract. TheContractorshallretainsuchbooks, records, documentsandotherevidencepertaining totheContractperiodandfiveyearsthereafter, exceptifanauditisinprogressorauditfindingsareyet unresolved, inwhichcaserecordsshallbekeptuntilallaudittasksarecompletedandresolved. These books, records, documentsandotherevidenceshallbeavailable, withinten (10) businessdaysofwritten request. Allbooksandrecordswillbemadeavailablewithina50mileradiusoftheCityofDenton. Ifan overpaymentof1% orgreateroccurs, thereasonablecostoftheaudit, includinganytravelcosts, mustbe bornebytheContractorwhichmustbepayablewithinfive (5) businessdaysofreceiptofaninvoice. B. FailuretocomplywiththeprovisionsofthissectionshallbeamaterialbreachoftheContractandshall electronicfiles, evenifsuchdraftsorelectronicfilesaresubsequentlyusedtogenerateorprepareafinal printeddocument. 18. SUBCONTRACTORS: A. IftheContractoridentifiedSubcontractorsinaDBE/MBE/WBEagreedtoPlan, theContractorshall complywithallrequirementsapprovedbytheCity. TheContractorshallnotinitiallyemployany SubcontractoridentifiedinthePlan, unlessthesubstitutehasbeenacceptedbytheCityinwriting. No acceptancebytheCityofanySubcontractorshallconstituteawaiverofanyrightsorremediesoftheCity withrespecttodefectivedeliverablesprovidedbyaSubcontractor. IfaPlanhasbeenapproved, the ContractorisadditionallyrequiredtosubmitamonthlySubcontractAwardsandExpendituresReportto theProcurementManager, nolaterthanthetenthcalendardayofeachmonth. B. WorkperformedfortheContractorbyaSubcontractorshallbepursuanttoawrittencontractbetween theContractorandSubcontractor. Thetermsofthesubcontractmaynotconflictwiththetermsofthe Contract, andshallcontainprovisionsthat: i. requirethatalldeliverablestobeprovidedbytheSubcontractorbeprovidedinstrict accordancewiththeprovisions, specificationsandtermsoftheContract; ii. prohibittheSubcontractorfromfurthersubcontractinganyportionoftheContract withoutthepriorwrittenconsentoftheCityandtheContractor. TheCitymayrequire, as aconditiontosuchfurthersubcontracting, thattheSubcontractorpostapaymentbondin form, substanceandamountacceptabletotheCity; iii. requireSubcontractorstosubmitallinvoicesandapplicationsforpayments, including anyclaimsforadditionalpayments, damagesorotherwise, totheContractorinsufficient timetoenabletheContractortoincludesamewithitsinvoiceorapplicationforpayment totheCityinaccordancewiththetermsoftheContract; iv. requirethatallSubcontractors obtainandmaintain, throughoutthetermoftheircontract, insuranceinthetypeandamountsspecifiedfortheContractor, withtheCitybeinganamedinsured asitsinterestshallappear; and v. requirethattheSubcontractorindemnifyandholdtheCityharmlesstothesameextent astheContractorisrequiredtoindemnifytheCity. C. TheContractorshallbefullyresponsibletotheCityforallactsandomissionsoftheSubcontractorsjust astheContractorisresponsiblefortheContractor'sownactsandomissions. NothingintheContractshall createforthebenefitofanysuchSubcontractoranycontractualrelationshipbetweentheCityandanysuch Subcontractor, norshallitcreateanyobligationonthepartoftheCitytopayortoseetothepaymentof anymoneysdueanysuchSubcontractorexceptasmayotherwiseberequiredbylaw. D. TheContractorshallpayeachSubcontractoritsappropriateshareofpaymentsmadetotheContractor notlaterthanten (10) calendardaysafterreceiptofpaymentfromtheCity. 19. Unlessotherwise statedintheSolicitation, thedeliverablesshallbeneworrecycledmerchandise, andnotusedor reconditioned. A. Recycleddeliverablesshallbeclearlyidentifiedassuch. B. UnlessotherwisespecifiedintheContract, thewarrantyperiodshallbeatleastoneyearfromthe AcceptanceDate. Ifanysuchacceptanceoccurspriortofinal payment, theCitymaydeductsuchamountsasarenecessarytocompensatetheCityforthediminished valueofthedefectiveornon-conformingdeliverables. Iftheacceptanceoccursafterfinalpayment, such amountwillberefundedtotheCitybytheContractor. 24. RIGHTTOASSURANCE: WheneveronepartytotheContractingoodfaithhasreasontoquestion fthe intenttoperform. FRAUD: FraudulentstatementsbytheContractoronanyOfferorinanyreportordeliverablerequired tobesubmittedbytheContractortotheCityshallbegroundsfortheterminationoftheContractforcause bytheCityandmayresultinlegalaction. 30. DELAYS: A. TheCitymaydelayscheduleddeliveryorotherduedatesbywrittennoticetotheContractoriftheCity File7078 DocuSignEnvelopeID: F9E3E145-492C-4051-82CA-241FDF9E4B25 deemsitisinitsbestinterest. IfsuchdelaycausesanincreaseinthecostoftheworkundertheContract, theCityandtheContractorshallnegotiateanequitableadjustmentforcostsincurredbytheContractorin theContractpriceandexecuteanamendmenttotheContract. TheContractormustassertitsrighttoan adjustmentwithinthirty (30) calendardaysfromthedateofreceiptofthenoticeofdelay. TheCityreservestherighttoreviewtheinsurancerequirementssetforthduringtheeffective periodoftheContractandtomakereasonableadjustmentstoinsurancecoverage, limits, and exclusionswhendeemednecessaryandprudentbytheCitybaseduponchangesinstatutorylaw, courtdecisions, theclaimshistoryoftheindustryorfinancialconditionoftheinsurancecompany aswellastheContractor. xi. B. Copyrights. Astoanydeliverablescontainingcopyrightablesubjectmatter, theContractoragreesthat upontheircreation, suchdeliverablesshallbeconsideredasworkmade-for-hirebytheContractorforthe CityandtheCityshallownallcopyrightsinandtosuchdeliverables, providedhowever, thatnothingin operationoflaw, suchdeliverablesnot beconsideredworksmade-for-hire, theContractorherebyassignstotheCity (andagreestocauseeachof itsemployeesprovidingservicestotheCityhereundertoexecute, acknowledge, anddeliveranassignment totheCityof) allworldwideright, title, andinterestinandtosuchdeliverables. Withrespecttosuchwork made-for-hire, theContractoragreestoexecute, acknowledge, anddeliverandcauseeachofitsemployees providingservicestotheCityhereundertoexecute, acknowledge, anddeliverawork-made-for-hire agreement, inaformtobereasonablyapprovedbytheCity, totheCityupondeliveryofsuchdeliverables totheCityoratsuchothertimeastheCitymayrequest. TheContractorfurtheragreesto, andifapplicable, causeeachofitsemployees to, execute, acknowledge, anddeliverallapplications, specifications, oaths, assignments, andallother instrumentswhichtheCitymightreasonablydeemnecessaryinordertoapplyforandobtaincopyright protection, maskworkregistration, trademarkregistrationand/orprotection, letterspatent, oranysimilar rightsinanyandallcountriesandinordertoassignandconveytotheCity, itssuccessors, assignsand nominees, th obligationstoexecute, acknowledge, anddeliver (orcausetobeexecuted, acknowledged, anddelivered) instrumentsorpaperssuchasthosedescribedinthisParagraph38a., b., andc. shallcontinueafterthe terminationofthisContractwithrespecttosuchdeliverables. ASSIGNMENT-DELEGATION: TheContractshallbebindinguponandensuretothebenefitofthe CityandtheContractorandtheirrespectivesuccessorsandassigns, providedhowever, thatnorightor interestintheContractshallbeassignedandnoobligationshallbedelegatedbytheContractorwithoutthe priorwrittenconsentoftheCity. However, thissectiondoesnotprohibitthefilingofalawsuittotoll therunningofastatuteoflimitationsortoseekinjunctiverelief. Eitherpartymaymakeawrittenrequest forameetingbetweenrepresentativesofeachpartywithinfourteen (14) calendardaysafterreceiptofthe requestorsuchlaterperiodasagreedbytheparties. Eachpartyshallinclude, ataminimum, one (1) senior levelindividualwithdecision-makingauthorityregardingthedispute.
