AN ORDINANCE OF THE CITY OF DENTON, TEXAS, A TEXAS HOME-RULE MUNICIPAL
CORPORATION, AUTHORIZING THE APPROVAL OF A THIRD AMENDMENT TO A
PROFESSIONAL SERVICES AGREEMENT BETWEEN THE CITY OF DENTON AND BLACK
& VEATCH CORPORATION, AMENDING THE CONTRACT APPROVED BY CITY COUNCIL
ON NOVEMBER 6, 2012, IN THE NOT-TO-EXCEED AMOUNT OF $564,000, AMENDED BY
AMENDMENTS 1-2 APPROVED BY CITY COUNCIL, SAID THIRD AMENDMENT TO
CONTINUE TO PROVIDE ELECTRICAL SUBSTATION DESIGN AND OTHER
ENGINEERING-RELATED CONSULTING SERVICES FOR CAPITAL IMPROVEMENT
PROJECTS AND OTHER TECHNICAL SUPPORT FOR DENTON MUNICIPAL ELECTRIC;
PROVIDING FOR THE EXPENDITURE OF FUNDS THEREFOR; AND PROVIDING AN
EFFECTIVE DATE (FILE 5089 – PROVIDING FOR AN ADDITIONAL THIRD AMENDMENT
EXPENDITURE AMOUNT NOT-TO-EXCEED $2,990,900 WITH THE TOTAL CONTRACT
AMOUNT NOT-TO-EXCEED $6,556,300).
WHEREAS, on November 6, 2012, by Ordinance No. 2012-303, the City awarded a contract
to Black & Veatch Corporation in the amount of $564,000 to provide electrical design and
engineering services for a Relay Coordination Study Incident to the Denton Municipal Electric
Transmission System; and
WHEREAS, on December 17, 2013, by Ordinance No. 2013-340, the City awarded a First
Amendment to Black & Veatch Corporation in the amount of $781,400 for electric engineering
services relating to the Arco Substation as well as other Denton Municipal Electric Projects; and
WHEREAS, on April 5, 2016, by Ordinance No. 2016-099, the City awarded a Second
Amendment to Black & Veatch Corporation in the amount of $2,220,000 for additional professional
services fees for engineering services and additional and expanded services for Denton Municipal
Electric; and
WHEREAS, the additional fees under the proposed Third Amendment are fair and reasonable
and are consistent with and not higher than the recommended practices and fees applicable to the
provider’s profession and such fees do not exceed the maximum provided by law; NOW,
THEREFORE,
THE COUNCIL OF THE CITY OF DENTON HEREBY ORDAINS:
SECTION 1. The Third Amendment, increasing the amount of the contract between the City
and Black & Veatch Corporation, which is on file in the office of the Purchasing Agent, in the
amount of Two Million Nine Hundred Ninety Thousand Nine Hundred Dollars and 00/100
($2,990,900) , is hereby approved and the expenditure of funds therefor is hereby authorized in
accordance with said amendment. The total contract amount increases to $6,556,300.
SECTION 2. This ordinance shall become effective immediately upon its passage and
approval.
