SUBJECT
Consider adoption of an ordinance of the City of Denton, a Texas home-rule municipal corporation,
authorizing the approval of a second amendment to a Professional Services Agreement between the City of
Denton and Gee Consultants, Inc., amending the contract approved by City Council on February 20, 2018,
in the not-to-exceed amount of $750,000; amended by the First Amendment approved by Purchasing; said
second amendment to continue to provide construction materials testing services; providing for the
expenditure of funds therefor; and providing an effective date (File 6589 – providing for an additional
second amendment expenditure amount not-to-exceed $187,500, with the total contract amount not-to-
exceed $937,500).
INFORMATION/BACKGROUND
The City must provide soil testing services prior to and during construction of civil projects. Testing is
necessary to determine the correct depth of stabilization material needed to provide a good base prior to
paving, installation of water lines, wastewater lines, and in other construction projects. Various tests are
needed based upon the project type and soil conditions. This contract is used by various departments across
the City.
The current contract with Gee Consultants, Inc. is not sufficiently funded for all required services through
the contract term. A second amendment is proposed to the existing contract, which will allow the City time
to procure a new contract without service interruption.
The original contract not-to-exceed amount was $750,000. Amendment 1 was for a no cost ($0) change to
the contract to add additional material testing billing rates that were not included in the original agreement.
The recommended second amendment adds $187,500 to the contract for a total of $937,500.
PRIOR ACTION/REVIEW (COUNCIL, BOARDS, COMMISSIONS)
On February 20, 2018, City Council approved a contract with Gee Consultants, Inc., in the not-to-exceed
amount of $750,000 (Ordinance 18-288).
On July 31, 2020, Purchasing approved Amendment 1 with Gee Consultants, Inc., to add line items to the
existing contract.

RECOMMENDATION
Award Amendment No. 2 with Gee Consultants, Inc., to continue to provide construction materials testing
services, in the not-to-exceed amount of $187,500, for a total amended contract amount of $937,500.

FISCAL INFORMATION
These services will be funded from various Capital Project Funds. Requisitions will be entered on an as-
needed basis. The City will only pay for services rendered and is not obligated to pay the full contract
amount unless needed.
