Any Increase or decrease in the Unit Price, as agreed to by the parties, shall become effective on the fifteenth (15th) day following the applicable quarterly Review Date. Any adjustments shall be made via revisions to the BPO and shall be reflected on future PO's. Process for Price Adjustments: 1. In the event the date of delivery of an order occurs after a Quarterly Review Date, Seller agrees to hold the Unit Price firm and fixed at the Unit Price Listed at the time the order was placed. 2. Seller shall prepare and submit a quarterly summary of price increases or decreases to the Owner by the Seventh (7th) day of the quarter following the above Quarterly Review Dates. 3. Owner shall review, verify, and clarify any requests to increase or decrease the Unit Price in writing to the Seller within seven (7) business days of receiving the Seller's request. 4. Price adjustments that follow the processes as described herein do not require an amendment to the Contract. The adjustments and approvals shall be documented under separate cover.
