AN ORDINANCE OF TEn CITY OF DENTON, A TEXAS HOME-RULE MUNICIPAL
CORPORATION, AUTHORIZING THE APPROVAL OF THE THIRD AMENDMENT TO A
BANK DEPOSITORY SERVICES (RETAIL IMAGE LOCKBOX SERVICE)
REASSIGNMENT CONTRACT BETWEEN THE CITY OF DENTON AND REMITCO, LLC,
AMENDING THE CONTRACT APPROVED BY CITY COUNCIL ON APRIL 26, 2016. TO
CONTINUE TO PROVIDE UTILITY LOCKBOX PAYMENT PROCESSING SERVICES FOR
CUSTOMER SERVICE; SAID THRD AMENDMENT TO EXTEND THE TERM OF THE
CONTRACT TO SEPTEMBER 30, 2021; AND PROVIDING AN EFFECTIVE DATE (RFP
5962 – EXTENDING A CONTRACT WITH REMrrco, LLC, TO SEPTEMBER 30, 202 1).
WHEREAS, Ordinance 2016-127 authorized a contract to RemitCo, LLC, for five (5) years
for bank depository services, which is on file in the office of the Purchasing Agent; and
WHEREAS, the staff having recommended, and the City Manager, or their designee,
having recommended to the City Council that an extension to the existing purchasing authority,
approved by Ordinance 2016-127, be authorized between the City and RemitCo, LLC, to
September 30, 2021; and
WHEREAS, the City Council finds that the action taken herein is in the public interest;
NOW, THEREFORE,
THE COUNCIL OF THE CITY OF DENTON HEREBY ORDAINS:
SECTION 1. The findings and recitations contained in the preamble of this ordinance are
incorporated herein by reference.
SECTION 2. The authority to receive bank depository services from RemitCo, LLC,
authorized by Ordinance 2016- 127, is hereby extended under RFP 5962 until September 30, 2021.
SECTION 3. The City Council delegates the authority to the City Manager, or their
designee, to take any actions that may be required or permitted to be performed by the City of
Denton under RFP 5962.
SECTION 4: This ordinance shall become effective immediately upon its passage and
approval.

THIRD AMENDMENT TO CONTRACT
BY AND BETWEEN THE CITY OF DENTON, TEXAS
AND WELLS FARGO BANK, N. A. AND REMITCO, LLC. 5692
THIS THIRD AMENDMENT TO CONTRACT 5692 (this “Amendment”) by and
between the City of Denton, Texas (“City”) and RemitCo, LLC, (“Contractor” for the
limited purpose of this Amendment and retail image lockbox services) is to that certain
contract executed on April 26, 2016 with Wells Fargo Bank, N.A. with contract terms
beginning June 1, 2016 through May 3 1 , 202 1 ; amended on February 13, 2019 to add retail
image lockbox services (the “First Amendment”): amended on April 1, 2019 to assign retail
image lockbox services to Remitco, LLC. (the “Second Amendment”): (collectively, the
Original Agreement, First Amendment and the Second Amendment are the “Agreement”)
for services related to retail image lockbox.
WHEREAS, Contractor has substantially completed the work called for in the
Agreement, and the City deems it necessary to further expand the services provided by
Contractor to the City, and to provide an additional 4 month term for this Amendment.
WHEREAS, the City deems it necessary to further expand the goods/services
provided by Contractor to the City; and
NOW THEREFORE, the City and Contractor (hereafter collectively referred to as the
“Parties”), in consideration of their mutual promises and covenants, as well as for other
good and valuable considerations, do hereby AGREE to the following Amendment, which
amends the following terms and conditions of the said Agreement, to wit:
This Amendment modifies the Agreement amount to provide an additional 4 month term
for additional services and materials related to retail image lockbox services to be
provided in accordance with the terms of the Agreement. The term of the Agreement is
extended until September 30, 2021 as to the retail image lockbox services provided by
Contractor and all related terms and conditions.
The Parties hereto agree, that except as specifically provided for by this Amendment, that
all of the terms, covenants, conditions, agreements, rights, responsibilities, and obligations
of the Parties, set forth in the Agreement remain in full force and effect.
IN WITNESS WHEREOF, the City and the Contractor, have each executed this
Amendment, by and through their respective duly authorized representatives and officers
on this date 04/20/2021
