(“Bank”) Wholesale / WholetailLockboxservice (“Service”) andincludes: a) thisServiceDescription; b) theAcceptanceofServicesorTreasuryManagementProductEnrollmentform; c)theMasterAgreementforTreasuryManagementServices ("MasterAgreement"); d) theaccountagreementgoverningtheaccount(s) Companyusesinconnectionwiththe Service; and e) UserGuideswhichincludeTermsofUse, software, softwarelicenses, priceschedules, specifications, instructions, andnotices. ThisServiceDescriptionandtheMasterAgreementarepostedatBank’sCommercial ElectronicOffice(CEO) portal.Ifthereisaconflictamongthedocumentscomprisingthe ServiceDocumentation, theywillgovernintheorderlistedabove.Company’suseofthe ServiceconfirmsCompany’sreceiptofandagreementtobeboundbytheapplicableService Documentation. IfanenhancementtotheServiceorotherchangerequiresachangetothis ServiceDescription, BankwillpostanupdatedServiceDescriptionontheCEOportal. When requiredbyapplicablelaw, BankwillnotifyCompanyoftheupdate.IfCompanycontinuesto usetheServiceaftertheupdatetakeseffect, Companywillbedeemedtohaveagreedtothe update. 2.ScopeofService. TheServicecoverstheprocessingof (i) checksandotherinstruments submittedinpaymentofobligationstoCompany (“Remittances”or “Checks”) and (ii) written authorizationstochargepaymentsdueCompanytothepayors’ creditcards (“Charge Authorizations”). However, processingofChargeAuthorizationsisnotavailableatall processingsitesandrequiresCompanyandBankhaveaseparate, currentlyeffective merchantagreementforBank’sprocessingofChargeAuthorizationsforCompany.Tothe extentCompanyisnotusingtheServicetoprocessChargeAuthorizations, the referencestoChargeAuthorizationsthroughoutthisServiceDescriptionwillnotapply toCompany. 3.CommencementofService. TheServicewillstartonthedateseparatelyagreedtobyBank andCompanyifthefollowingeventshaveoccurredbeforesuchdate: 3.1.TheUnitedStatesPostalServicehasassignedtheLockbox (asdefinedinSection4 below) toCompanywiththenumberandattheaddressspecifiedbyBankto Company; 3.2.TheDepositAccount (asdefinedinSection6below) hasbeenopenedandisingood standing; 3.3.CompanyhasdesignatedtoBankinwritingtheprocessingoptionsselectedby CompanyfortheService; and TM-1527WholesaleLockboxServiceDescriptionPage 1of9 Revised03-01-2017 3.4.CompanyhasprovidedtoBanksuchotherinformationanddocumentsasBank requeststoenableBanktocommenceandoperatetheServiceforCompanyandto enableBanktocomplywithitsotherobligationsunderthisServiceDescription. 4.Lockbox. CompanywilldirectitscustomerstomailRemittancesand (ifapplicable) Charge AuthorizationstothepostofficeboxidentifiedinCompany’sLockboxServiceSet-upForm, or otherwiseidentifiedinwritingtoCompanybyBank (the “Lockbox”). Bank (includingany subcontractorofBank) willhaveexclusiveaccesstotheLockbox. Bankwillgiveappropriate instructionsconcerningtheLockboxtotheUnitedStatesPostOfficewheretheLockboxis located. 5.ProcessingLockboxMail.EachBusinessDay(adayonwhichBankisopentoconductits regularbankingbusiness, otherthanaSaturday, Sundayorpublicholiday), Bankorits subcontractorwillpickupat, andtransportfrom, theLockboxtotheprocessingsiteorsites designatedbyBank (eacha “ProcessingSite”) theRemittancesandChargeAuthorizations addressedtotheLockbox. ExceptasotherwisespecificallyprovidedinthisService Description, BankoritssubcontractorwillopentheRemittancesandChargeAuthorizations andprocesstheminaccordancewiththelockboxprocessingproceduressetforthinthis Section5(the “ProcessingProcedures”). Companyagreestoinstructitscustomersandother obligorsnottosendcashtotheLockbox.CashthatissenttotheLockboxwillbesubjectto CurrencyTransactionReporting. 5.1.DispositionofRemittances, ChargeAuthorizations, andRemittanceMaterials. OneachdayBankofferstheService, BankwillcollectfromtheLockboxtheenvelopes andothercontentsoftheLockbox. Bankwillopentheenvelopesanddetermine whethertheycontainanyChargeAuthorizations, Remittances, remittancestatements, invoices, correspondence, cash, papers, documents, orotheritems. Unlessotherwise requestedbyCompanyandagreedtobyBank, ifcashissentwithanyremittance materialsthecashwillberemovedfromtheenvelopecontainingtheremittance materialsandacreditadviceoftheamountofthecashwillbeplacedinsuchenvelope withtheremainderoftheenvelope'scontents. Exceptasotherwisespecifically providedintheseProcessingProceduresorelsewhereinthisServiceDescription, or asspecificallyrequestedbyCompanyandagreedtobyBank, Bankwillnotreconcile theRemittances, ChargeAuthorizations, cashorotheritemsintheenvelopesto invoices, toremittancestatements, ortoanyotherdocumentsorpapersinthe envelopesorelsewhere. BankwillprocessanyRemittancesintheenvelopes (i) by automatedmeanswhereascannablecouponisincludedand (ii)manuallywherean envelopedoesnotincludearemittancestatementorcoupon(a “ManuallyProcessed Check”),asprovidedintheProcessingProcedures, andifprovidedintheProcessing Procedures, depositsuchChecksandcashintheDepositAccount. 5.2.DocumentIdentification, Imaging, andDataCapture. Bankoritssubcontractorwill, ifrequested(i) printanaudittrailidenficationnumberoneachoftheChecksit processes, (ii) imageallRemittances, ChargeAuthorizations, remittancestubsand correspondenceincludedamongtheremittancematerials(iii) electronicallycapture OCRdatafromremittancedocuments (ifscannablecouponisincluded), suchas accountnumberandamountdue. 5.3.ChecksNottoBeDeposited.UnlessCompanygivesBanktimelyinstructionstothe contraryusingtheOnlineLockboxDecision (OLD) ModuleavailablethroughBank, with regardtoaparticularCheck, eachCheckprocessedunderautomatedcheck processingprocedureswillbedepositedasprovidedinSection5.6ofthese ProcessingProceduresevenif (i) thenumericalandwrittenamountsoftheCheckare TM-1527WholesaleLockboxServiceDescriptionPage 2of9 Revised03-01-2017 notthesame, (ii) thenumericalandwrittenamountsontheCheckdonotcorrespond totheamountonanyinvoiceorremittancestatementsentwiththeCheck, (iii) thereis nopayeeontheCheck, (iv) theCheckispostdatedorstaledated, (v) thedrawerofthe Checkcannotbedetermined, (vi) theCheckdoesnothaveadateorasignature, or vii) theCheckcontainsalterationsorrestrictivenotations. UnlessotherwiserequestedbyCompanyandagreedtobyBank, Bankwillnotdeposit ManuallyProcessedChecksfallingintoanyofthefollowingfourcategories, orChecks whichCompanyhasspecificallyinstructedBankinwritingnottodeposit. 5.3.1.Unacceptable Payees. Checksonwhichthenameordesignationofthe payeeisnotthenameordesignationspecifiedbyCompanytoBankfor acceptablepayeesorareasonablevariation (inBank’sopinion) ofsuchname ordesignation. 5.3.2.PostdatedandStaledatedChecks.Checkswhicharepostdatedthreeor moredaysafterthedatetheyarecollectedfromtheLockbox, postdated ChecksthatinBank’sopinionwouldnotbepaidonpresentation, andChecks datedsix (6)monthsormorepriortothedatetheyarecollectedfromthe Lockbox. 5.3.3.IndeterminableAmount. ChecksonwhichthecorrectamountoftheCheck cannotbedeterminedfromtheCheckandthedocumentsaccompanyingthe Check, orChecksonwhichthenumericalandwrittenamountsarenotthe sameandtheenvelopecontainingtheCheckdidnotcontainaninvoiceora Remittancestatement (or, ifsuchwereincluded, theamountoftheinvoiceor Remittancestatementdidnotmatcheitherthenumericalorwrittenamounton theCheck). 5.3.4.Alterations.Checkswithalterations; provided, however, thatBankwillonly usereasonableeffortstocatchsuchalterationsandpreventdeposits. Asa result, Bankwillhavenoliabilitywhatsoever, despiteanythingtothecontraryin theLockboxAgreement, foritsdepositofanyCheckcontaininganalteration, unlessthedepositresultsdirectlyfromthewillfulmisconductofBank’sofficers oremployees. 5.4.CheckstoBeDeposited.UnlessCompanyspecifiesotherwiseinwritingtoBank, ManuallyProcessedCheckswhichdonotfallintooneofthefourcategorieslistedin Section5.3abovewillbedepositedintheDepositAccountasprovidedinSection5.7 below, andChecksfallingintoeitherofthefollowingtwocategorieswillbedepositedin theDepositAccountafterbeingprocessedasprovidedbelow, unlesstheyalsofallinto oneofthefourcategorieslistedinSection5.3above, inwhichcasetheywillnotbe deposited. 5.4.1.DiscrepanciesinAmount.Checksonwhichthenumericalandwritten amountsarenotthesame, inwhichcasetheamountdepositedwillbethat amountwhichcorrespondstotheamountontheinvoiceorRemittance statementenclosedintheenvelopewiththeCheck. Ifthenumericaland writtenamountsonanyCheckarethesame, butdonotcorrespondtothe amountontheinvoiceorRemittancestatementenclosedintheenvelopewith theCheck, theCheckamountwillbedeposited. Checkswhicharenotdated, inwhichcasetheCheckwillbe depositedafterbeingdatedbyBankasofthedateitiscollectedfromthe Lockbox. 5.5.ForeignChecks. IfCompanysodesires, Bankwilldepositandprocesscertain ChecksdrawnonaforeignbankorpayableinacurrencyotherthanUnitedStates Dollars(“ForeignChecks”), solongasboththecountryinwhichtheforeignbankis locatedandthecurrencyinwhichtheCheckispayablecurrentlyappearonthatcertain list, announcedbyBankfromtimetotime, offoreignbanklocationsandcurrenciesfor whichBankiswillingtoprocessChecks, andCompanyandBankhaveenteredintoan agreementtoprovidesuchserviceswithrespecttoForeignChecks.ForeignChecks notmeetingthesecriteriawillnotbedepositedandwillbereturnedtoCompanyin accordancewithSection5.15. 5.6.RestrictiveNotations.BankwillnotinspectCheckstodeterminewhethertheybear restrictivenotations, suchas “PaidinFull”. Bankwillhavenoliabilitywhatsoever, despiteanythingtothecontraryinthisServiceDescription, fordepositingorotherwise handlinganyCheckbearingarestrictivenotationinaccordancewiththeseProcessing Procedures, regardlessofwhetherBankhasknowledgeofsuchrestrictivenotation. 5.7.DepositsofChecksandCash.DuringeachBusinessDay, Bankwillmakedeposits oftheacceptableChecksandcashreceivedintheLockboxbycreditingtheDeposit AccountfortheamountofsuchChecksandcash. Checksandcashreceivedand processedonanydaywhichisnotaBusinessDaywillbedepositedtotheDeposit AccountonthenextsucceedingBusinessDay. Exceptasotherwisespecifically providedinthisServiceDescription, thenormalandcustomarylaws, rules, practices andproceduresforhandlingdepositstocheckingaccountswillapplytothese ProcessingProceduresandtheService. 5.8.ChangesinNamesorDesignationsofPayees. Companymayatanytimeuponten 10) calendardaysadvancenoticetoBankrequestthatanameordesignationon Company’slistofpayeessenttoBankbedeletedoradded, andBankwilladdor deletethenameordesignationiftherequestisacceptabletoBank. Reviewof acceptablepayeesisundertakenforManuallyProcessedChecksonly 5.9.EligibilityRequirementsforProcessingChargeAuthorizations.WhereCompany isutilizingtheServicetoprocessChargeAuthorizations, nordertobeeligiblefor processingbyBank, aChargeAuthorizationreceivedintheLockboxmustcontainthe nameoftheaccountdebtor, theaccountdebtor’screditcardnumber, theexpiration date, thethreedigitsecuritycode, andtheamountofthepaymentauthorized, allof whichmustbewrittenorimprintedontheauthorizationforminareasonablylegible manner. IfanyoneoftheseitemsofinformationismissingfromaCharge Authorization, oris, inthesolejudgementofBankoritssubcontractor, notsufficiently legibleforprocessingpurposes, theChargeAuthorizationwillnotbeprocessed, and willbeforwardedtoCompanyassetforthbelow. 5.10.ProcessingChargeAuthorizationsforApproval. Bankwillproceedtoprocessfor approvaleachChargeAuthorizationreceivedintheLockboxwhichcontainsthe informationrequiredinSection5.9aboveandisotherwiseeligibleforprocessing. Bankwillseekapprovalfromtheissueroftheapplicablecreditcardforthepayment transactionsetforthontheChargeAuthorization. Bankwillsubmitforsettlementeach ChargeAuthorizationapprovedinthismanner. TM-1527WholesaleLockboxServiceDescriptionPage 4of9 Revised03-01-2017 5.11.SettlementReportforChargeAuthorizations. TotheextentthatCompanyand Bankhaveaseparate, currentlyeffectivemerchantagreementforBank’sprocessingof ChargeAuthorizationsforCompanythatprovidesforthegenerationofsettlement reports, followingprocessingofChargeAuthorizationsforapproval, Bank (a) will segregatethoseChargeAuthorizationswhichareapprovedfromthoseCharge Authorizationswhicharedeclined. and (b) willgenerateasettlementreportforall approvedChargeAuthorizationsandwillmakeitavailabletoCompanyinthemanner mutuallyagreeduponduringimplementationoftheService. 5.12.Imaging. BankoritssubcontractorwillelectronicallyimageChecks, Charge Authorizations, remittancestatementsandcorrespondencereceivedintheLockbox. Companyacknowledgesandagreesthattheimagesarenotworksmadeforhireand arethepropertyofBankandnotofCompany.Creditcardinformationincludingcredit cardaccountnumber, signatureandexpirationdatewillbemaskedorredactedon imagesofchargeauthorizations 5.13.TruncationofRemittanceMaterials. Companyunderstandsthatanyoriginal remittancestatements, invoices, coupons, correspondenceandotherremittance materialsthatareimagedbyBankpursuanttothisServiceDescriptionwillbe destroyedbyBankfive(5) calendardaysaftertheyareimaged. Therefore, Company mustnotifyBankofanyissueswhichrequireinspectionoforiginalremittancematerials priortoexpirationofsuchfive(5)dayperiod. 5.14.TransmissionofInformationfromProcessedRemittances.EachBusinessDay thatBankofferstheService, BankwillelectronicallytransmittoCompany, in accordancewiththetransmissionmethodandfileformatagreeduponbetweenBank andCompany, informationfromprocessedRemittances, includingcreditcard transactiondata, andeachsettlementreportapplicabletoapprovedCharge Authorizations. 5.15.MailingUndepositedChecksandUnimagedRemittanceMaterialstoCompany. UnlessotherwisespecifiedbyCompanyinwritingtoBank, BankwillmailtoCompany, inaccordancewiththetermsofthisServiceDescription, (i) anyremittancestatements, invoices, correspondence, papers, andotherdocumentsenclosedineachenvelope senttotheLockboxwhicharenotimagedinaccordancewiththisServiceDescription, and(ii) anyChecksenclosedinsuchanenvelopewhicharenotdepositedin accordancewiththeseProcessingProcedures. 6.DepositAccountandBillingAccount.CompanywillmaintainadepositaccountwithBank, whichCompanywilldesignateintheLockboxServiceSet-upFormorotherwiseinwriting, to whichBankoritssubcontractorwill (i) depositRemittancesreceivedthroughtheLockbox, and ii) creditamountsattributabletosettlementofChargeAuthorizationsreceivedthroughthe Lockbox, throughoutthetermoftheService (the “DepositAccount”). Companyunderstands thatthisServiceDescriptioncoversthelockboxservicetobeprovidedbyBankand, exceptas specificallyprovidedinthisServiceDescription, doesnotcoverthehandlingoftheDeposit AccountortheprocessingofChecksdrawnontheDepositAccount. Exceptasotherwise specificallyprovidedinthisServiceDescription, theDepositAccountwillbehandledand ChecksdrawnontheDepositAccountwillbeprocessedbyBankasBankwouldperformsuch responsibilitieswithrespecttoanyotherdemanddepositaccountatBank. Asaresult, the DeposotAccountwillbesubjectto, andBank’soperationoftheDepositAccountwillbein accordancewith, thetermsandprovisionsofBank’sdepositaccountagreementgoverningthe DepositAccount (the “AccountAgreement”), acopyofwhichCompanyacknowledgeshaving received.AllBank’sfeesandchargesforthemaintenanceandadministrationoftheLockbox andfortheprovisionoftheServicewillbepaidbyBankdebitingtheDepositAccountonthe TM-1527WholesaleLockboxServiceDescriptionPage 5of9 Revised03-01-2017 daythatsuchfeesandchargesaredue. BankmayalsorequirethatCompanyestablisha separatebillingaccountwithBank (the “BillingAccount”) forBanktodebitBank’sfeesand chargesforthemaintenanceandadministrationoftheLockboxandfortheprovisionofthe Service. 7.DepositsandConfirmations. CompanyauthorizesBanktoendorseRemittancesreceived attheLockbox, andtodepositthemintotheDepositAccountasprovidedintheProcessing Procedures. IfanypayeeofaRemittancereceivedintheLockboxisalegalentityotherthan Company, CompanyrepresentsandwarrantstoBankthatCompanyhastheproper authorizationfromthepayeetohavetheRemittanceendorsedfordeposit, anddeposited, into theDepositAccount, andCompanyagreestoindemnifyBankagainstanylosses, liabilities, damages, claims, demands, obligations, actions, suits, judgments, penalties, costsor expenses, including, butnotlimitedto, attorneys' fees (collectively, "LossesandLiabilities") sufferedorincurredbyBankasaresultof, orinconnectionwith, Company’sfailuretohave properauthorization. CompanyalsoauthorizesBanktoprocessandsettleCharge AuthorizationsreceivedattheLockbox, andtocausetheamountsreceivedonaccountof settlementsofsuchChargeAuthorizationstobecreditedtotheDepositAccountasprovided intheProcessingProcedures. BankwillprovidetoCompanyanadviceofdepositsandother creditsmadetotheDepositAccount. CompanyagreestonotifyBank’scustomerservice center, whoseaddressandtelephonenumberisavailableuponrequestfromBank, (i) ofany errorinanadviceofdepositwithinfourteen (14) calendardaysafterCompanyreceivessuch adviceofdepositand (ii) ofanyerrorinabankstatement, orofanyfailureofabankstatement toshowadepositthatshouldhavebeenmadeduringtheperiodcoveredbythestatement, withinthirty (30) calendardaysafterCompanyreceivessuchbankstatement. Theliabilityof BankforsucherrorsislimitedasprovidedinSection17ofthisServiceDescription. 8.AccesstoLockboxImages.TheServicewillallowCompanytoenterawebsitehostedby Bankoritssubcontractor (the “Website”) forthepurposeofaccessingarchivalimagesof ChargeAuthorizations, Remittancesandotherremittancematerialsprocessedthroughthe Lockbox, andgivingBankoritssubcontractorcertaintypesofinstructionswithregardtothe processingofsuchremittancematerials.CompanyagreestousetheWebsiteonlyin accordancewiththisServiceDescriptionandanynoticesandinformationpostedonthe Website (collectively, the “WebsiteUseDocumentation”). PersonsenteringtheWebsitefor Company (the "Users") mustalsoacceptany “termsofuse” fortheWebsitewhichappearon theWebsitewhenaUserinitiallylogson. 9.SecurityProcedures. 9.1.BankoritssubcontractorwillprovideeachUserwithamulti-factorauthentication compliantaccessmethod (whichmayconsistofacombinationofusernames, passwords, passphrases,digitalcertificatesand/ortokens) tobeusedwheneverthe UserenterstheWebsite. 9.2.ItisCompany’sresponsibilitytoensurethatanyusernames, passwords, passphrases, digitalcertificatesandtokensprovidedinconnectionwithuseoftheWebsite collectively, “SecurityDevices”) areknownto, andusedonlyby, personswhohave beenproperlyauthorizedbyCompanytoaccesstheWebsiteandusetheService throughtheWebsite. 9.3.FAILURETOPROTECTSECURITYDEVICESMAYALLOWANUNAUTHORIZED PARTYTO (1) USETHESERVICE, (2) CORRECT, CHANGE, VERIFY, ORSEND DATAUSEDWITHTHESERVICE, (3) SENDINFORMATIONANDCOMMUNICA- TIONSTO, ORRECEIVEINFORMATIONANDCOMMUNICATIONSFROM, BANK OR (4) ACCESSCOMPANY’SELECTRONICCOMMUNICATIONSANDFINANCIAL TM-1527WholesaleLockboxServiceDescriptionPage 6of9 Revised03-01-2017 DATA. ALLENTRIESINTOTHEWEBSITE, ALLCOMMUNICATIONSSENT, AND ALLUSESOFTHESERVICES, THROUGHCOMPANY’SSECURITYDEVICESWILL BEDEEMEDTOBEENTRIES, USES, ANDCOMMUNICATIONSAUTHORIZEDBY COMPANYANDSHALLBEBINDINGUPONCOMPANY. COMPANYASSUMES THEENTIRERISKFORTHEFRAUDULENTORUNAUTHORIZEDUSEOFALL SECURITYDEVICES.Companyacknowledgestheimportanceofdevelopinginternal procedurestolimitsuchrisk, whichprocedureswillinclude, ataminimum, (a) notifying BankimmediatelywhenanynewpersonbecomesaUserorwhenanyexistingUser stopsbeingaUser, (b) disablingaccesstotheWebsiteimmediatelyforeachUserwho stopsbeingaUser, and(c) notkeeping, inanyformorinanyplace, listsofSecurity Devices. 9.4.CompanyagreestonotifyBankimmediatelywhenCompanybecomesawareofany lossortheftof, oranyunauthorizeduseof, anySecurityDevice. Companyalso agreestonotifyBankimmediatelywhenCompanybecomesawareofany unauthorizedentryintotheWebsite. 10.UseofCertainSoftwaretoAccesstheWebsite. InusingtheWebsite, Companywillbe sendingfinancialandotherdataaswellaselectronicmessagesdirectlytoBankorBank’s subcontractorthroughtheInternet. CompanyacknowledgesthatwhentheInternet, orother electroniccommunicationsfacilities, areusedtotransmitorreceivedataandmessages, the dataandthemessagesmaybeaccessedbyunauthorizedthirdparties. Toreducethe likelihoodofsuchthirdpartyaccess, Companyagreestotransmitandreceivedataand messagesthroughtheWebsiteusingonlysoftware, including, butnotlimitedto, browser software, orotheraccessdevicesthatsupporttheSecureSocketLayer (SSL) protocolor otherprotocolsrequiredby, oracceptableto, Bank, andtofollowthelog-onprocedures establishedbyBankoritssubcontractorthatsupportsuchprotocols. 11.RestrictingorTerminatingAccesstotheWebsite. Inadditionto, andnotinsubstitution for, anyprovisioninthisServiceDescriptionortheotherServiceDocumentation, Company understandsandagreesneitherBanknoritssubcontractorwillinanywaybeobligatedto permitUsersaccesstotheServicethroughtheWebsiteif (a) suchuseoraccessis inconsistentwithanytermorconditionapplicabletotheServiceortheWebsiteortothe informationtobeaccessed, (b) suchuseoraccessisnotpermittedbyapplicablestateor federallaworregulation, (c) Bankhasreasonablecausetobelievethatsuchuseoraccess maynotbeauthorizedbyCompanyoranythirdpersonwhoseauthorizationBankbelievesis necessaryforsuchuseoraccess, or (d) Bankhasreasonablecausetodenysuchuseor accessforCompany’sprotectionortheprotectionofBankorBank’ssubcontractor. Ifthe ServicecannotbeusedthroughtheWebsite, Bankwillmakereasonableeffortsforthe Servicetobeusedbyothermeans. NeitherBanknoritssubcontractorshallhaveanyliability toCompanyforanylossesordamagesCompanymaysufferorincurasaresultofanysuch termination. 12.Intra-DayImageAccess. Companyunderstandsthatanyimageswhichitaccessesonan intra-daybasismaynotbefinal, andaresubjecttofurthervalue-addedkeying. Therefore, CompanyexpresslyassumesallriskassociatedwithCompany’suseofsuchintra-day images. 13.DecisioningModule. IfBank’sdecisioningmoduleisavailabletoCompany, andCompany electstouseitinconnectionwiththeService, Companywillbeabletosendinstructions throughtheWebsitetoBankoritssubcontractorastohowtoprocesscertainRemittancesor ChargeAuthorizationswhichBankclassifiesaseither “processablesuspend” or unprocessable” (collectively,the “UnprocessableItems”).Companywillhaveseveraloptions forinstructions, asagreeduponinadvancebyBankandCompany. Suchoptionsmayinclude TM-1527WholesaleLockboxServiceDescriptionPage 7of9 Revised03-01-2017 oneormoreofthefollowing: (i) applytheUnprocessableItemtoaspecificcustomeraccount, ii) applytheUnprocessableItemtoCompany’ssuspenseaccount, (iii) rejectthe UnprocessableItemandhaveitplacedinCompany’srejectpackage, or (iv)directBankto issuealetterofpre-arrangedcontenttotheremitteroftheUnprocessableItem. Each messagerelatedtotheprocessingofanUnprocessableItem(a “DecisioningInstruction”) mustbereceivedbyBankoritssubcontractorbythecutofftimefordepositorprocessingof suchitemwhichBankandCompanyhavemutuallyagreeduponduringimplementationofthe Service. IfnoDecisioningInstructionisreceivedbythespecifieddeadline, theUnprocessable ItemwillbehandledinaccordancewiththeProcessingProceduresoranyotherstanding instructionsapplicablesuchitems. Bankwillhavenoliabilityorresponsibilitywhatsoeverfor anykeyingerrors, Companysystemissues, ormisappliedpaymentsresultingfromCompany’s DecisioningInstructions. 14.CustomerService. AnyquestionsorproblemsthatCompanyhaswithrespecttotheService shouldbeaddressedtoBank’scustomerservicecenteratthetelephonenumberandaddress separatelydisclosedtoCompany. 15.Claims, LegalProgressandNotices. IfBankreceivesanyclaim, notice, legalprocessor courtorderrelatingtotheChargeAuthorizations, theRemittances, theLockboxortheDeposit Account, BankwillcomplywithitifBankdeterminesinitssolediscretionthatthelegal process, legalnoticeorcourtorderislegallybindingonit. 16.Indemnification. CompanyagreestoindemnifyBankanditsofficers, directors, employees, agentsandsubcontractors (collectively, “IndemnifiedParties”)andholdeachofthe IndemnifiedPartiesharmlessfromandagainstanyandalllosses, liabilities, claims, damages, demands, obligations, actions, suits, judgments, penalties, costsorexpenses, including, but notlimitedto, attorneys’ fees (collectively, “LossesandLiabilities”) whichanyoneormoreof theIndemnifiedPartiessuffersorincursinrelationto (i) theprocessingofCharge Authorizations,(ii) anykeyingerrors, Companysystemissues, ormisappliedpayments resultingfromCompany’sDecisioningInstructions, or (iii) anyactiontakenbyBankorits subcontractorinresponsetoaDecisioningInstruction, excepttotheextentthatanysuch LossesandLiabilitiesaredirectlycausedbyBank’sgrossnegligenceorwillfulmisconduct. 17.LimitationofLiability.Companyunderstandsandagreesthat, absentmanifestevidenceof fraud, BankisentitledtoassumethateachChargeAuthorizationreceivedattheLockboxis legitimateanddulyauthorizedbytheaccountdebtorpurportingonitsfacetogivetheCharge Authorization, andBankwillhavenoliabilityforprocessingsuchAuthorizationinaccordance withtheProcessingProcedures. InadditiontotheotherlimitationsonBank’sliability containedintheMasterAgreement, ifCompanyincursamateriallosswhichresultsdirectly fromBank’soritssubcontractor’snegligenceorbreachinperformingtheServiceand (i) if suchnegligenceorbreachisafailuretodepositanyCheckwhichshouldhavebeendeposited ortoprocessanyChargeAuthorizationwhichshouldhavebeenprocessed, pursuanttothis ServiceDescription, theliabilityofBankanditssubcontractorshallbelimitedtodirectmoney damagesinanamountnottoexceedinterestontheamountoftheCheckortheamountofthe paymentauthorizedundertheChargeAuthorizationatarateequaltothecostoffunds (ata reserveadjusteddailyinterestratewhichBankwilldetermineingoodfaith) forthetimeperiod suchamountisnotintheDepositAccount, whichtimeperiodforthepurposeofcalculatingthe interestwillnotextendbeyondtheendofthethirty (30) calendardaynoticeperiodreferredto inSection7ofthisServiceDescription, and (ii) ifsuchnegligenceorbreachresultsfromany otheractionorfailuretoactbyBankoritssubcontractor, theliabilityofBankandits subcontractorshall, unlessotherwiseprovidedbyanylawwhichcannotbevariedbycontract, belimitedtodirectmoneydamagesinanamountnottoexceedthelesserof (A) three (3) timesalltheServiceFeeschargedorincurredinrelationtotheServiceduringthecalendar monthimmediatelyprecedingthecalendarmonthinwhichthelossoccurred (or, ifnosuch TM-1527WholesaleLockboxServiceDescriptionPage 8of9 Revised03-01-2017 feeswerechargedorincurredintheprecedingmonth, suchfeeschargedorincurredinthe monthinwhichthelossoccurred), or (B) TwoHundredThousandDollars ($200,000.00). 18.Termination.UponterminationoftheService, Bankwill (i) closetheLockbox, and (ii) dispose ofthemailaddressedtotheLockboxinthemannerinstructedbyCompanyforaperiodof three (3) monthsaftertheterminationdate, unlessarrangedotherwisebetweenCompanyand Bank, withServiceFeeswithrespecttosuchdispositionbasedonBank’sestimatebeing prepaiddirectlytoBankatthetimeofsuchterminationinimmediatelyavailablefundsorby anotherpaymentmethodacceptabletoBankinitssolediscretion. 19.Assignment.NotwithstandinganythingtothecontraryintheAgreement, therightsand obligationsofBankwithrespecttotheServiceshallbeassignabletoanysuccessorininterest withoutrestriction. 20.Instructions.BankisauthorizedtoactonanyinstructionsreceivedbyBankif (i) such instructionspurporttobemadeinthenameofCompany, (ii) Bankreasonablybelievesthat theyaresomade, and (iii) theydonotconflictwiththetermsofthisServiceDescription, including, butnotlimitedto, theProcessingProcedures, assuchtermsmaybeamendedfrom timetotime, unlesstheconflictinginstructionsaresupportedbyacourtorder. 21.AuthorizedPersons. AnypersonidentifiedbyCompanyintheLockboxServiceSet-upForm oranycertification, noticeorothercommunicationdeliveredtoBankmayreceiveinformation, communicationsandnoticesregardingtheService, andisauthorizedtotransactallbusiness, makeallagreementsandsignanddeliveralldocumentsinconnectionwiththeService. Ifthe identityofsuchapersonchangesCompanywillpromptlynotifyBankinwriting. Bankwill haveareasonabletimeafterreceiptofacertification, noticeorothercommunicationtoacton it. 22.Software, HardwareandBackupRequirements.UponnoticefromBankofafailureofany software, hardwareorotherequipmentnecessaryforBanktoperforminaccordancewiththis ServiceDescription, CompanywillassoonasreasonablypossibledelivertoBankalldatain Company’spossessionorunderitscontrolwhichBankreasonablyrequestsinorderforBank tocontinuetoprovidetheService. 23.Survival. Sections7,9,11,12, 16, 17and23ofthisServiceDescriptionwillsurvive terminationoftheService. 24.Terminology.AsusedinthisServiceDescriptionandintheMasterAgreementasappliedto thisService, “negligence” willmeanamaterialfailuretousethatdegreeofcarethatwouldbe usedunderthesameorsimilarcircumstancesbyanationalbankingassociationhaving substantiallythesamevolumeandtypeoflockboxactivityandapproximatelythesame number, sizeanddiversityoflockboxcustomers. 2017WellsFargoBank, N.A.
