BY AND BETWEEN THE CITY OF DENTON, TEXAS
AND TEXAS METER AND DEVICE COMPANY, LLC.

THIS FIRST AMENDMENT TO CONTRACT 7484 (this “Amendment”) by and
between the City of Denton, Texas (“City”) and Texas Meter and Device, LLC
(“Contractor”) to that certain contract executed on December 17, 2020, in the original not-
to-exceed amount of $2,636,000. (the “Agreement”); for services related to Meter Reading
Services
WHEREAS, the City deems it necessary to provide expectations for the services
provided by Contractor to the City pursuant to the terms of the Agreement; and
WHEREAS, the original not-to-exceed amount may not be increased by more than
25.0% as provided in Texas Local Government Code Sec. 252.048; and
NOW THEREFORE, the City and Contractor (hereafter collectively referred to as the
“Parties”), in consideration of their mutual promises and covenants, as well as for other
good and valuable considerations, do hereby AGREE to the following First Amendment,
which amends the following terms and conditions of the said Agreement, to wit:
1. This Amendment modifies the Agreement to provide the expectations for services
and materials described in Exhibit “A”, attached hereto and incorporated herein for
all purposes, for services related to meter reading.
The Parties hereto agree, that except as specifically provided for by this Amendment, that
all of the terms, covenants, conditions, agreements, rights, responsibilities, and obligations
of the Parties, set forth in the Agreement remain in full force and effect.
IN WITNESS WHEREOF, the City and the Contractor, have each executed this
Amendment, by and through their respective duly authorized representatives and officers

METER READING EXPECTATIONS
Communication Protocol:
When TMD personnel call in sick, late, or request time off they are to inform their
supervisor first. Once notified/approved, the TMD supervisor is to email or text
DME (Sarah Livingston & Tanner Johnson or their designees) immediately. TMD
will include the following in the email or text; name of who will not be in
attendance, when they will be out, and either who the replacement will be or split
their route amongst the other TMD personnel.
If TMD personnel damage their handheld device, they are to notify their supervisor
immediately. The TMD supervisor is to email or text DME (Sarah Livingston &
Tanner Johnson or their designees) immediately.
When TMD personnel have completed their route and synced it, they are to use the
mobile device provided by DME and text the group “route completed and synced”.
When TMD personnel are unable to complete their route by 2:00p.m. they are to
use the mobile device provided by DME to notify their supervisor and text the
group that they will not be done by 2:00p.m. and list how many meters they have
left on their route. TMD Supervisor will then notify Sarah Livingston & Tanner
Johnson or their designees immediately of plan of action to finish assigned reads.
Performance Protocol:
TMD personnel will complete reads on all meters loaded onto the mobile device
provided by DME.
As noted on the DME skip code list, when TMD personnel skip a read they will
enter the skip code in the mobile device provided by DME and take a clear picture
of the meter. If the TMD personnel have more than 10 skips they will need to use
the mobile device provided by DME and call the DME Meter Reading Lead
(Tanner Johnson or his designee) to notify them. TMD personnel shall not exceed
20 skipped meters in a single route.
DME will not count the meters skipped as “CAN’T LOCATE” in the weekly count
for TMD. TMD personnel will use the mobile device provided by DME to contact
the DME Meter Reading Lead (Tanner Johnson or his designee) or the Water
Department to make every effort in locating those meters.
When TMD personnel are reading, the mobile device provided by DME will have
an automatic audit which will notify them (by a loud ding) that they will need to
take a clear picture and note F (flow) or NF (no flow) and WP (water present) or
NW (no water present).
As noted on the DME billing calendar, on NO READ days there are no meters to
be read that day and TMD personnel will not enter the DME building.

As noted on the DME billing calendar, on DOUBLE READ days TMD personnel
will have 2 routes to complete that day. Once they complete their first route they
will need to use the mobile device provided by DME and text the group “1st route
completed and synced” and “2nd route completed and synced”. Routes unable to
be completed on that day will not be considered substandard performance, however
the expectation is that TMD will complete any incomplete routes they were
assigned the following business morning prior to beginning their regularly
scheduled routes for that day.
TMD personnel are expected to read and complete all routes assigned. If a route is
unable to be read by TMD personnel and DME has the resources available to read
the route, TMD will issue a credit to DME equal to $0.75 per meter for all the
meters unable to be read by TMD personnel.
Equipment PPE Protocol:
TMD personnel must always wear the DME Contractor vests – even entering the
building. This helps to identify them to other DME employees and citizens. When
TMD personnel are no longer reading for DME, they are to return the vests to their
supervisor. If these are not returned, TMD will be responsible for the replacement
cost, currently $15.75
TMD personnel must wear a mask when entering the DME building and/or if they
are in a vehicle with another occupant. This practice will remain in place until
otherwise notified. If TMD does not provide the masks, DME will have disposable
N95 masks available at each entrance to the building.
DME will provide a short and/or long key, tube, and dirt stick for TMD personnel
to properly read water meters. When TMD personnel are no longer reading for
DME, they are to return the short and/or long key and tube to their supervisor. If
these are not returned, TMD will be charged $100 which is the cost for
replacements.
DME will provide the handheld mobile device and car charger for TMD personnel
to enter the water reads. If at any time TMD personnel conducts any improper use
of the mobile device, they will be subject to disciplinary action up to and including
cessation of their services. If TMD personnel damage the mobile device, they are
to notify their supervisor immediately and TMD may be charged $100 which is the
cost for repair.
Customer Etiquette
At all times act in a professional and courteous manner.
At all times dress in the appropriate attire, no tattered or logoed clothing.
At all times only enter the property necessary to read the meters assigned. At no
time are you to stray away from the predetermined path or cut through yards.
Do not climb over a fence to retrieve a read. This is a safety issue. If you cannot
gain access you will need to skip the meter and take a picture.

If you enter a gate using the gate code make sure to properly close the gate once
you exit. If the owner’s dog(s) get loose contact your supervisor immediately.
Do not ask a customer for a bottle of water. We provide you with bottled water
and should make sure and carry one on hot days. It is ok to accept a bottle of
water if a customer offers it to you.
Do not place any of your trash in customer’s trash bins.
Do not relieve yourself in a public place. This is against the law.
Do not pick up any stray animals. If you see the need to, you may call Animal
Services to notify them of a stray animal or the Meter Reading Lead.
When a customer is outside their home you will need to announce yourself.
Startling a customer can put them in an unsafe defensive mode.
When a customer has a question please refer them to Customer Service (940) 349-
8700.
If a customer approaches you, please make sure and have your mask on and
earphones out of your ears.
If a meter is covered by anything owned by the customer, please enter the skip
code and take a picture. Do not try and remove or touch any personal property
owned by the customer.
If you damage a customer’s property you will need to contact your supervisor
immediately.
Do not drink from or utilize any customer’s water spigots or water hose.
Do not smoke while you are reading your route.
Do not eat fruit, nuts, or vegetables from any customer’s plants or trees.

ELECTRONIC RECORD AND SIGNATURE DISCLOSURE
From time to time, City of Denton (we, us or Company) may be required by law to provide to
you certain written notices or disclosures. Described below are the terms and conditions for
providing to you such notices and disclosures electronically through your DocuSign, Inc.
(DocuSign) Express user account. Please read the information below carefully and thoroughly,
and if you can access this information electronically to your satisfaction and agree to these terms
and conditions, please confirm your agreement by clicking the 'I agree' button at the bottom of
this document.
Getting paper copies
At any time, you may request from us a paper copy of any record provided or made available
electronically to you by us. For such copies, as long as you are an authorized user of the
DocuSign system you will have the ability to download and print any documents we send to you
through your DocuSign user account for a limited period of time (usually 30 days) after such
documents are first sent to you. After such time, if you wish for us to send you paper copies of
any such documents from our office to you, you will be charged a $0.00 per-page fee. You may

Withdrawing your consent
If you decide to receive notices and disclosures from us electronically, you may at any time

Consequences of changing your mind

DocuSign account. This will indicate to us that you have withdrawn your consent to receive
required notices and disclosures electronically from us and you will no longer be able to use your
DocuSign Express user account to receive required notices and consents electronically from us
or to sign electronically documents from us.

Unless you tell us otherwise in accordance with the procedures described herein, we will provide
electronically to you through your DocuSign user account all required notices, disclosures,
authorizations, acknowledgements, and other documents that are required to be provided or
made available to you during the course of our relationship with you. To reduce the chance of
you inadvertently not receiving any notice or disclosure, we prefer to provide all of the required
notices and disclosures to you by the same method and to the same address that you have given
us. Thus, you can receive all the disclosures and notices electronically or in paper format through
the paper mail delivery system. If you do not agree with this process, please let us know as
