PSA 6137 THE STATE OF TEXAS § COUNTY OF DENTON § THIS SECOND AMENDMENT TO CONTRACT 6137 (“Amendment”) by and between the City of Denton, Texas (“City”) and Freese and Nichols, Inc. (“Engineer”); to that certain contract executed on June 21, 2016, in the original not-to-exceed amount of $654,135 (the “Original Agreement”); amended on March 23, 2021 in the additional amount of $310,420 aggregating a not-to-exceed amount of $964,555 (the “First Amendment”) (collectively, the Original Agreement and the First Amendment are the “Agreement”) for services related to the installation of the Hickory Creek Interceptor, Phases I and II. WHEREAS, the City deems it necessary to further expand the services provided by Engineer to the City pursuant to the terms of the Agreement, and to provide an additional not-to-exceed amount $45,425.43 with this Amendment for an aggregate not-to-exceed amount of $1,009,980.43; and FURTHERMORE, the City deems it necessary to further expand the goods/services provided by Engineer to the City; NOW THEREFORE, the City and Engineer (hereafter collectively referred to as the “Parties”), in consideration of their mutual promises and covenants, as well as for other good and valuable considerations, do hereby AGREE to the following Amendment, which amends the following terms and conditions of the said Agreement, to wit: 1. The additional services described in Exhibit “A” of this Amendment, attached hereto and incorporated herein for all purposes, for professional services related to the Hickory Creek Interceptor, Phases I and II, are hereby authorized to be performed by Engineer. For and in consideration of the additional services to be performed by Engineer, the City agrees to pay, based on the cost estimate detail attached as Exhibit “A”, a total fee, including reimbursement for non-labor expenses an amount not to exceed $45,425.43. 2. This Amendment modifies the Agreement amount to provide an additional $45,425.43for the additional services with a revised aggregate not to exceed total of $1,009,980.43. (FNI) is currently under contract for the engineering of the above-referenced project. In completion of the final design documents, FNI incurred additional unanticipated hydraulic modeling analysis effort. Below are a few areas where additional effort was provided: 1. Hydraulic Modeling Analysis a. FNI geocoded the proposed developments in the Hickory Creek basin based on the address provided by the City. b. FNI developed mapping presenting the extents of the Hickory Creek Interceptor and the location of the proposed developments and provided to City staff for review. c. FNI revised the proposed developments based on City staff comments. d. FNI reviewed the hydraulic wastewater model provided by the City. e. FNI reviewed how the proposed Hickory Creek Peak Flow Storage Facility is modeled compared with the design flow rate. f. FNI created five modeling scenarios representing different demand conditions and wastewater infrastructure improvement. g. FNI imported the proposed developments in the Hickory Creek Basin into the model. h. FNI coordinated with the design group responsible for the Hickory Creek Interceptor Phase I/II to update the model with the proposed improvements. i. FNI georeferenced plans for the Hickory Creek Interceptor Phase III/IV and the Dry Fork Interceptor and imported the improvements into the model. j. FNI met with City staff to discuss updates on the Hickory Creek Interceptor Analysis. k. FNI created profiles presenting the results of the hydraulic analyses. l. FNI created figures as part of the Hickory Creek Interceptor analyses. m. FNI determined which manholes along the Hickory Creek Interceptor that would need to be bolted down in order to allow for additional capacity for proposed development. n. FNI met with City staff to discuss updates on the Hickory Creek Interceptor Analysis. o. FNI developed a comprehensive summary of analysis for presenting to City leadership. p. FNI presented the results of the analysis to City leadership. q. FNI met with City staff to discuss updates on the Hickory Creek Interceptor Analysis. r. FNI developed an executive summary presentation based on feedback from City staff. s. FNI provided City staff with the Hunter-Cole Development Analysis TM, Hickory Creek Interceptor Analysis meeting materials, and information on a Development/Population Tracking Tool. d. FNI presented the results of the Hickory Creek Interceptor Analysis to City leadership. e. FNI provided the following to City staff: i. Mapping of recommended manhole monitor locations ii. Mapping of recommended CCTV gravity main extents iii. Mapping with recommended bolted manhole locations iv. The hydraulic model utilized for the Hickory Creek Interceptor Analysis f. FNI met with City staff to discuss the Hickory Creek Interceptor Analysis recommendations. g. FNI provided City staff with revised mapping of recommended CCTV gravity main extents. With this letter we are requesting an amendment for $45,425.43 (basic services – lump sum) to cover the additional effort noted. The total authorized not-to-exceed amount for the project would increase to $1,009,980.43. We hope this letter provides the necessary summary of the additional engineering services incurred.
