SUBJECT
Consider adoption of an ordinance of the City of Denton, a Texas home-rule municipal corporation,
authorizing the approval of a second amendment to a Professional Services Agreement between the City of
Denton and Hilltop Securities Asset Management, LLC., amending the contract approved by City Council
on August 28, 2018, in the not-to-exceed amount of $60,000.00; amended by Amendment 1 approved by
Procurement; said second amendment to provide Investment Advisory; providing for the expenditure of
funds therefor; and providing an effective date (File 6695 – providing for an additional second amendment
expenditure amount not-to-exceed $15,000.00, with the total contract amount not-to-exceed $90,000.00).
BACKGROUND
The term of this professional service agreement shall commence on June 1, 2018 and conclude on May
31, 2020. This agreement may be extended for additional two (2) year periods upon approval by the City.
The fee will be at fixed quarterly rate of $7,500 for investment management services.
On August 28, 2018, Council approved the professional service agreement with Hilltop Securities Asset
Management, LLC. in the not to exceed amount of $60,000.(Ordinance 18-1073).
On March 13, 2020, Procurement approved amendment one with Hilltop Securities Asset Management,
LLC. in the not to exceed amount of $15,000, for a total not-to-exceed amount of $75,000 for a term to end
on May 31, 2022.
RECOMMENDATION
Award Amendment No. 2 with Hilltop Securities Asset Management, LLC., for additional Investment
Advisory services, in a not-to-exceed amount of $15,000, for a total amended contract amount of $90,000.
