Exhibit 1 - Agenda Information Sheet City of Denton _____________________________________________________________________________________ AGENDA INFORMATION SHEET DEPARTMENT: Procurement ACM: Cassey Ogden DATE: August 15, 2023 SUBJECT Consider adoption of an ordinance of the City of Denton, a Texas home-rule municipal corporation, authorizing the City Manager to execute a contract with Itron, Inc., for support and services of the Meter Data Management System and other Itron software applications for Denton Municipal Electric, which is the sole provider of this software, in accordance with Texas Local Government Code 252.022, which provides that procurement of commodities and services that are available from one source are exempt from competitive bidding, and if over $50,000, shall be awarded by the governing body; providing for the expenditure of funds therefor; and providing an effective date (File 8282 – awarded to Itron, Inc., for five (5) years, with the option for two (2) additional one (1) year extensions, in the total seven (7) year not-to- exceed amount of $5,004,208.24). INFORMATION/BACKGROUND The Denton Municipal Electric (DME) Metering Department has been using the Itron software and handheld hardware devices since the late 1990s and the Itron Meter Data Management System (MDMS) since 2010. In addition to MDMS, DME’s Metering Department also uses the Itron mobile application, MVLT laptop application, Field Collection System (FCS), and the MV-90 application daily to read and manage water meters and the Electric Automated Metering Infrastructure (AMI) type meters. The MDMS software manages and stores the meter data necessary for billing customers as well as interval data for reporting, analysis, and system planning purposes. The upgrade from version 8 of the MDMS to version 10 and the move from on-premise to a turn-key Software as a Service (SaaS) cloud solution will keep DME current in the software application versions and ensure the availability of upgrades, software fixes, and access to support resources. PRIOR ACTION/REVIEW (COUNCIL, BOARDS, COMMISSIONS) On August 14, 2023, this item will be presented to the Public Utilities Board (PUB) for consideration. RECOMMENDATION Award a contract to Itron, Inc., for support and services of the Meter Data Management System and other Itron software applications for DME, for five (5) years, with the option for two (2) additional one (1) year extensions, in the total seven (7) year not-to-exceed amount of $5,004,208.24. PRINCIPAL PLACE OF BUSINESS Itron, Inc. Liberty Lake, WA ESTIMATED SCHEDULE OF PROJECT This is an initial five (5) year contract with options to extend the contract for two (2) additional one (1) year periods, with all terms and conditions remaining the same. FISCAL INFORMATION These services will be funded from Itron MDMS account 604222497. Requisition #160621 has been entered into the Purchasing software system in the amount of $304,320.69. The budgeted amount for this item is $5,004,208.24.
