SECTION l. The City Manager or his designee is hereby autharized to execute the
Interlocal Agreement with the University of North Texas for the ITDS Corporate Partners
Program with the City of Denton under Sectian 791.001 af the Texas Government Code, a copy
of which is attached hereto and incorporated by reference herein (the
66Agreement99}.
SECTION 2. The City Manager or his designee is authorized to expend funds pursuant
to the Agreement for the purchase of various gaods and services.
SECTION 3. The City Cauncil of the City of Denton, Texas hereby expressly delegates
the authority to take any actions that may be required or permitted to be performed by the City of
Denton under File 6217 to the City Manager of the City of Denton, Texas, or his designee.
SECTION 4. This ordinance shall became effective immediately upon its passage and
approval,

ProgramTitle: Process Improvernent (PI)
The 1TD5 Corpol°ate Partners Program (CPP} at the Unrversity ofNarth Texas wili deliver through its
assaciates, a professional development program farthe employees ofthe City of Dentan on their premises
located at 6 1 E. Hickory, Dentan TX 762d5. The progtam consists of six modules. Process Improvement
will be the cenn°al theme ofthese moduies. This set af six maduies (Workshop) will be presented two tirnes;
the fu•st set in the fall of 20I 6(September — December) and the second set in the spring af 2017 (January —
June}. Exact dates and times are to be scheduled in conjunetion with the City of Denton
REPRESENTATIONS AN D UND RSTANDINGS
The agreement begins with Cgty of Dentan's acceptance af this pi°apasat and ends with the delivery of all
the modules by the FTDS Partnei•s Pragram. Each pi°agram wil[ cansist aP 6 M o du l e s and the aclual
ciasses affered by CTNT will typically be conducted within a consecutive 9- 10 month period. Based an
the City's needs, this agi°eement may extend to cover two progi°ams, wilh the fiisC program undei° this
Agreement beginning an September 1,2016.
We have agreed to provide consuitat ve services on an as needed basis to the pi°oject teams. As such, the
CPP and Crty of Denton agree to begin this Agreetnent an September 1, 2016 with campletion by June 30,
201$ (in anticipation offour programs beginning Septemberl, 2016, and continuing for 2 fiscal years}, The
City of Denton's fiscal year starts each October. These dates may be altered by rnutual agreement of the
parties.
The City of Denton is respansibie for praviding appg•opi°iate facil ties, adequate audio-visual, computer
equipment, city employee camputer access, pr•ojection systems, etc., far successful delivery of the program.
PowerPaint Masters will be provided by The CPP. The City of Denton is respansible far participant
binders and copying the Masters for inclusiou ui participant binders. Participants ai•e respansible for their
own computers and any ather learning supporl materials they choose to bring to the sessians.
Drs. Jerry Dake and Donna Lahr, Lecturers, UNT, will be the Pt•agram Coordinators. They wili be
responsibte for managing, and caardinating the professional developrnent. Modules will be delivered by
Drs. Dake and Laiu. Should the CPP supplement the professional development resources, such alteratians
will be made at no additional clsarge, to the Ciry of DenEan.
The cast [°or the delivery oftraining wili be a fixed price far a maximum of 12 City of Denton participants far
each Workshop. The price includes all serviees and professional develapment mater°ials described hei°ein.
The total cost of a PI Program Workshop to the City of Denton is $7,500 (seven thausand five hundred
daIiars) foi° the first program year (City FY 16-17}, The cast foi• training for subsequent pragrams will
increase by 5% for each fi s c a 1 y e a r program ($7,875 for City FY 17-18), Payment is due at the
milestones as described in the "Agreement".
In additian to the training classes, PI project teams rnay need consultative services by the professars. A
consuItant fee of $250 per haui° wiil be billed in the event such services are needed.
