AN ORDINANCE ACCEPTING A COMPETITIVE SEALED PROPOSAL AND AWARDING
A CONTRACT FOR THE PURCHASE OF MATERIALS, EQUIPMENT, SUPPLIES OR
SERVICES, PROVIDING FOR THE EXPENDITURE OF FUNDS THEREFORE, AND
PROVIDING FOR AN EFFECTIVE DATE
WHEREAS, the City has solicited, received and tabulated competitive sealed proposals for
the purchase of necessary materials, equipment, supplies or services in accordance with the
procedures of state law and City ordinances, and
WHEREAS, the City Manager or a designated employee has reviewed and recommended
that the herein described proposals are the best responsible proposals for the materials, equipment,
supplies or services as shown in the "Proposals" submitted therefor, and
WHEREAS, the City Council has provided in the City Budget for the appropriation of funds
to be used for the purchase of the materials, equipment, supplies or services approved and accepted
herein, NOW, THEREFORE,
THE COUNCIL OF THE CITY OF DENTON HEREBY ORDAINS
SECTION I That the numbered items in the following numbered bids for materials,
equipment, supplies, or services, shown in the "Proposals" attached hereto, are hereby accepted and
approved as being the best responsible proposal for such items

SECTION II That by the acceptance and approval of the above numbered items of the
submitted proposals, the City accepts the offer of the persons submitting the proposals for such items

specifications, standards, quantities and for the specified sums contained in the Invitations,
Proposals, and related documents
SECTION ION III That should the City and persons submitting approved and accepted items and
of the submitted proposals wish to enter into a formal written agreement as a result of the
acceptance, approval, and awarding of the proposal, the City Manager or his designated
representative is hereby authorized to execute the written contract which shall be attached hereto,
provided that the written contract is in accordance with the terms, conditions, specifications,
standards, quantities and specified sums contained in the Proposal and related documents herein
approved and accepted
SECTION ION IV That by the acceptance and approval of the above numbered items of the
submitted proposals, the City Council hereby authorizes the expenditure of funds therefor in the
amount and in accordance with the approved proposal or pursuant to a written contract made
pursuant thereto as authorized herein
SECTIONV That this ordinance shall become effective immediately upon its passage and
approval

RECOMMENDATION: We recommend this proposal be awarded to NTCS, Inc in the amount of
$46,000 00 for Phase I design and $195,500 00 for system integration Total award $241,500 00
Si [MMARY Six responses were received to our request for proposal The responses have been
reviewed and interviews held with the three short listed respondents The recommendation to accept
the response of NTCS, Inc was considered by the Information Services Advisory Board on December
17, 1996 The Board approved the recommendation by phone and E-Mail ballot on December
23,1996
This proposal request is for a qualified consultant group to design and integrate an enterprise network
system for the City of Denton This budget purchase is intended to upgrade the computer system
throughout the City of Denton It will include in its design the layout of approximately 300
workstations, standardization of software and numerous networking capabilities that will include, but
not be limited to, improved communications, E-Mail and office efficiency
PROGRAMS, DEPARTMENTS OR GROUPS_AFFECTED— Information Services Division,
PC/Data Processing users throughout the City organization
FISCAL IMPACT: Funds for this service were approved and are available in the 1996/97 budget,
account #468-044-comp-9647-8502 This is an accumulation of General Government and Utility

Per our discussion concerning the contract for City of Denton RFSP1970 dated January 21,
1997 and subsequent discussions, NTCS has decided to accept the contract as written
We had originally recommended two points of clarification for the aforementioned contract
The two points cover page 6, Article V and page 9, article XI
PAGE 6, ARTICLE V- Subsection D which covers payment authorization to be approved
by OWNER, that OWNER be designated as Gary Collins, IS Manager, or another individual
party The official designee of the City of Denton could also appoint or assign a different
individual party as the OWNER representative, reporting to Gary Collins or other individual
party
PAGE 9, ARTICLE XI- Article 9 suggests "The parties may agree to settle any disputes
under this Agreement by submitting the dispute to arbitration or other means of alternate
dispute resolution such as mediation " NTCS, Inc would recommend the sentence to read
"The parties will agree to settle any disputes under this Agreement by submitting the dispute
to banding arbitration "
Rather than these changes, we would appreciate a letter separate from the contact naming
Gary Collins, IS Manager as the City Manager's designee for the project The latter issue
being conditional in nature, we believe will not affect our outcome, which is to recommend
and implement enhancements to the City of Denton network We are signing this document
to begin � undertaking of the RFSP 1970 protect based on our working relationship of
reasonableness and our confidence in the intent of the contract We look forward to a great
success story between our two organizations

PROFESSIONAL SERVICES AGREEMENT
FOR RFSP #1970 - NETWORK CONSULTANT INFORMATION SERVICE
ENTERPRISE NETWORK DESIGN

COUNTY OF DENTON $
THIS AGREEMENT is made and entered into as of the 21 day of
JANUARY , 1991, by and between the City of Denton, A Texas
Municipal Corporation, with its principal office at 215 E. McKinney
Street, Denton, Denton County, Texas 76201, (hereinafter sometimes
referred to as "OWNER") and NTcs_ INC_ , with its
corporate office at DENTON TEXAS hereinafter
called the ("CONSULTANT") acting herein, by and through their duly
authorized representative.
WITNESSETH, that in consideration of the covenants and
agreements herein contained, the parties hereto do mutually agree
as follows:
ARTICLE
EMPLOYMENT OF CONSULTANT
The OWNER hereby contracts with CONSULTANT, as an independent
contractor, and the CONSULTANT hereby agrees to perform the
services herein in connection with the Project as stated in the
sections to follow, with diligence and in accordance with the
highest professional standards customarily obtained for such
services in the State of Texas The professional services set out
herein are in connection with the following described project.
The Project shall include without limitation, (herein described
Project)
ARTICLE II
SCOPE OF SERVICES
The CONSULTANT shall perform the following services in a
professional manner:
A The CONSULTANT shall perform all those services as necessary
and as described in the OWNER's (herein describe any request
for proposal which the owner has utilized to solicit the
CONSULTANT's services) rTTY of DwTAN request which is
attached hereto and made a part hereof as Exhibit "A" as if
written word for word herein.
B. To perform all those services set forth in CONSULTANT'S (herein
described any proposal of CONSULTANT which has been provided
including the date of said proposal t2-11-96 ) which
proposal is attached hereto and made a part hereof as Exhibit
"B" as if written word for word herein.
C CONSULTANT shall perform all those services set forth in
individual task orders which shall be attached to this
agreement and made a part hereof for all purposes as separate
agreements (If CONSULTANT is a professional engineer and you
wish to list specific services of the CONSULTANT please list
all specific engineering services to be provided including the
preparation of detailed plans and specifications)
D If there is any conflict between the terms of this agreement
and the exhibits attached to this agreement the terms and
conditions of this agreement will control over the terms and
conditions of the attached exhibits or task orders
&MICLE III
ADDITIONAL SERVICES
(To be used if CONSULTANT is an engineer) Additional Services
to be performed by the CONSULTANT, if authorized by the OWNER,

which are not included in the above described basic services, are
described as follows:
A. During the course of the project, as requested by OWNER, the
CONSULTANT will be available to accompany OWNER's personnel
when meeting with the Texas Natural Resource Conservation
Commission, U S Environmental Protection Agency, or other
regulatory agencies The CONSULTANT will assist OWNER
personnel on an as -needed basis in preparing compliance
schedules, progress reports, and providing general technical
support for the OWNER's compliance efforts.
B Assisting OWNER or Contractor in the defense or prosecution of
litigation in connection with or in addition to those services
contemplated by this Agreement. Such services, if any, shall
be furnished by CONSULTANT on a fee basis negotiated by the
respective parties outside of and in addition to this
Agreement.
C Sampling, testing or analysis beyond that specifically included
in Basic Services
D Preparing copies of Computer Aided Drafting (CAD) electronic
data bases, drawings, or files for the OwNER's use in a future
CAD system.
E. Preparing applications and supporting documents for government
grants, loans, or planning advances and providing data for
detailed applications.
F Appearing before regulatory agencies or courts as an expert
witness in any litigation with third parties or condemnation
proceedings arising from the development or construction of the
Project, including the preparation of engineering data and
reports for assistance to the OWNER

0. Providing geotechnical investigations for the site including
soil borings, related, -analyses and recommendations

ARTICLE IV
PERIOD OF SERVICE
This Agreement shall become effective upon execution by the
OWNER and the CONSULTANT of this Agreement and upon issue of a
notice to proceed by the OWNER and shall remain in force for the
period which may reasonably be required for the completion of the
Project, including Additional Services, if any, and any required
extensions approved by the OWNER This Agreement may be sooner
terminated in accordance with the provisions hereof Time is of
the essence in this Agreement. The CONSULTANT shall make all
reasonable efforts to complete the services set forth herein as
expeditiously as possible and to meet the schedule established by
the OWNER, acting through its City Manager or his designee
ARTICLE V
COMPENSATION
A COMPENSATION TERMS'
1 "Subcontract Expense" is defined as expenses incurred by
the CONSULTANT in employment of others in outside firms for
services in the nature of CONSULTANT can<,Tr R4
2 "Direct Non -Labor Expense" is defined as that expense for
any assignment incurred by the CONSULTANT for supplies,
transportation and equipment, travel, communications,
subsistence and lodging away from home and similar
incidental in connection with that assignment

B. BILLING AND PAYMENT:
For and in consideration of the professional services to be
performed by the CONSULTANT herein, the OWNER agrees to pay
based on the cost estimate detail at an hourly rate shown in
Exhibit C, which is attached hereto and made a part of this
agreement as if written word for word herein, a total fee
including reimbursement for direct non -labor expense not to
exceed $241,500.00
Partial payments to the CONSULTANT will be made on the basis of
detailed monthly statements rendered to and approved by the
owner through its City Manager or his designees; however, under
no circumstances shall any monthly statement for services
exceed the value of the work performed at the time a statement
is rendered. The owner may withhold the final 5t of the
contract amount until completion of the project.
Nothing contained in this Article shall require the owner to
pay for any work which is unsatisfactory as reasonably
determined by the City Manager or his designee or which is not
submitted in compliance with the terms of this contract The
City shall not be required to make any payments to the
CONSULTANT when the CONSULTANT is in default under this
contract.
It is specifically understood and agreed that the CONSULTANT
shall not be authorized to undertake any work pursuant to this
agreement which would require additional payments by the OWNER
for any charge, expense or reimbursement above the maximum not
to exceed fee as stated without first having obtained written
authorization from the OWNER The CONSULTANT shall not proceed
to perform the services listed in Article IV Additional
Services, without obtaining prior written authorization from
the owner

C. ADDITIONAL SERVICES
For additional services authorized in writing by the OWNER in
Article IV, the CONSULTANT shall be paid based on the Schedule
of Charges at an hourly rate shown in Exhibit C Payments for
additional services shall be due and payable upon submission by
the CONSULTANT and shall be in accordance with subsection B
hereof statements shall not be submitted more frequently than
monthly
D. PAYMENT
If the OWNER fails to make payments due the CONSULTANT for
services and expenses within sixty (60) days after receipt of
the CONSULTANT'S undisputed statement thereof, the amounts due
the CONSULTANT will be increased by the rate of one percent
(1t) per month from the said sixtieth (60th) day, and in
addition, the CONSULTANT may, after giving seven (7) days'
written notice to the OWNER, suspend services under this
Agreement until the CONSULTANT has been paid in full all
amounts due for services, expenses and charges provided,
however, nothing herein shall require the owner to pay the late
charge of one percent (1%) set forth herein if the owner
reasonably determines that the work is unsatisfactory, in
accordance with this Article V, Compensation.

OBSERVATION AND REVIEW OF THE WORK
The CONSULTANT will exercise reasonable care and due diligence
in discovering and promptly reporting to the OWNER any defects or
deficiencies in the work of the CONSULTANT or any subcontractors or
subconsultants

OWNERSHIP OF DOCUMENTS
All documents prepared or furnished by the CONSULTANT (and
CONSULTANT's subcontractors or sabconsultants) pursuant to this
Agreement are instruments of service and shall become the property
of the OWNER upon the termination of this Agreement The
CONSULTANT is entitled to retain copies of all such documents The
documents prepared and furnished by the CONSULTANT are intended
only to be applicable to this project and OWNER'S use of these
documents in other projects shall be at OWNER'S sole risk and
expense. In the event the OWNER uses the Agreement in another
project or for other purposes than specified herein any of the
information or materials developed pursuant to this agreement,
CONSULTANT is released from any and all liability relating to their
use in that project.
ARTICL•P VIIT
INDEPENDENT CONTRACTOR
CONSULTANT shall provide services to OWNER as an independent
contractor, not as an employee of the City. CONSULTANT shall not
have or claim any right arising from employee status

The CONSULTANT shall indemnify and save and hold harmless the
OWNER and its officers, agents, and employees from and against any
and all liability, claims, demands, damages, losses and expenses,
including bud not limited to court costs and reasonable attorney
fees incurred by the OWNER, and including without limitation
damages for bodily and personal 1n3ury, death and property damage,
resulting from the negligent acts or omissions of the CONSULTANT or
its officers, shareholders, agents, or employees in the execution,
operation, or performance of this Agreement

Nothing in this Agreement shall be construed to create a
liability to any person who is not a party to this Agreement and
nothing herein shall waive any of the party's defenses, both at law
or equity, to any claim, cause of action or litigation filed by
anyone not a party to this Agreement, including the defense of
governmental immunity, which defenses are hereby expressly
reserved
ARTICLE X
INSURANCE
During the performance of the Services under this Agreement,
CONSULTANT shall maintain the following insurance with an insurance
company licensed to do business in the state of Texas by the State
Insurance Commission or any successor agency that has a rating with
Beat Rate Carriers of at least an A- or above -
A Comprehensive General Liability Insurance with bodily injury
limits of not less than $500,000 for each occurrence and not
less than $500,000 in the aggregate, and with property damage
limits of not less than $100,000 for each occurrence and not
less than $100,000 in the aggregate
B Automobile Liability Insurance with bodily injury limits of not
less than $500,000 for each person and not less than $500,000
for each accident and with property damage limits for not less
than $100,000 for each accident
C Worker's Compensation Insurance in accordance with statutory
requirements and Employers' Liability Insurance with limits of
not less than $100,000 for each accident
D Professional Liability Insurance with limits of not less than
$1,000,000 annual aggregate
E The CONSULTANT shall furnish insurance certificates or
insurance policies at the OWNER's request to evidence such

coverages. The insurance policies shall name the OWNER as an
additional insured on all such policies and shall contain a
provision that such insurance shall not be canceled or mbdified
without 30 days prior written notice to OWNER and CONSULTANT
In such event, the CONSULTANT stall, prior to the effective
date of the change or cancellation, serve substitute policies
furnishing the same coverage
ARTICLE XI
ARBITRATION AND ALTERNATE DISPUTE RESOLUTION
The parties may agree to settle any disputes under this
Agreement by submitting the dispute to arbitration or other means
of alternate dispute resolution such as mediation. No arbitration
or alternate dispute resolution arising out of or relating to, this
agreement involving one party's disagreement may include the other
party to the disagreement without the other's approval

TERMINATION OF AGREEMENT
A. Notwithstanding any other provision of this Agreement, either
party may terminate by giving thirty (30) days advance written
notice to the other party
B. This agreement may be terminated in whole or in part in the
event of either party substantially failing to fulfill its
obligations under this Agreement No such termination will be
affected unless the other party is given (1) written notice
(delivered by certified mail, return receipt requested) of
intent to terminate and setting forth the reasons specifying
the nonperformance, and not less than 30 calendar days to cure
the failure, and (2) an opportunity for consultation with the
terminating party prior to termination
C If the party is terminated prior to completion of the services
to be provided hereunder, CONSULTANT shall immediately cease

all services and shall render a final bill for services to the
owner within 30 days after the date of termination. The OWNER
shall pay CONSULTANT for all services properly rendered and
satisfactorily performed and for reimbursable expenses to
termination incurred prior to the date of termination in
accordance with Article IV, Compensation Should the OWNER
subsequently contract with a new CONSULTANT for the
continuation of services on the pro3ect, CONSULTANT shall
cooperate in providing information The CONSULTANT shall turn
over all documents prepared or furnished by CONSULTANT pursuant
to this Agreement to the OWNER on or before the date of
termination but may maintain copies of such documents for its
use.
AUICLE XIII
RESPONSIBILITY FOR CLAIMS AND LIABILITIES
Approval by the OWNER shall not constitute nor be deemed a
release of the responsibility and liability of the CONSULTANT, its
employees, associates, agents, subcontractors and subconsultants
for the accuracy and competency of their designs or other work, nor
shall such approval be deemed to be an assumption of such
responsibility by the City for any defect in the design or other
work prepared by the CONSULTANT, its employees, subcontractors,
agents and consultants.
ARTICLE XIV
NOTICES
All notices, communications, and reports required or permitted
under this Agreement shall be personally delivered or mailed to the
respective parties by depositing same in the United States mail at
the address shown below, certified mail, return receipt requested
unless otherwise specified herein Mailed notices shall be deemed
communicated as of three days mailing

All notices shall be deemed effective upon receipt by the party
to whom such notice is given or within three days mailing
ARTICLE XV
ENTIRE AGREEMENT
This Agreement consisting of 15 pages and 3 exhibits
constitutes the complete and final expression of the agreement of
the parties and is intended as a complete and exclusive statement
of the terms of their agreements and supersedes all prior
contemporaneous offers, promises, representations, negotiations,
discussions, communications and agreements which may have been made
in connection with the subject matter hereof
ARTICLE XVI
SEVERASILITY
If any provision of this Agreement is found or deemed by a
court of competent jurisdiction to be invalid or unenforceable, it
shall be considered severable from the remainder of this Agreement
shall not cause the remainder to be invalid or unenforceable In
such event, the party shall reform this Agreement to replace such
stricken provision with a valid and enforceable provision which
comes as close as possible to expressing the intention of the
stricken provision
ARTICLE XVII
COMPLIANCE WITH LAWS
The CONSULTANT shall comply with all federal, state, local

laws, rules, regulations, and ordinances applicable to the work
covered hereunder as they may now read or hereinafter be amended
ARTICLE XVIII
DISCRIMINATION PROHIBITED
In performing the services required hereunder, the CONSULTANT
shall not discriminate against any person on the basis of race,
color, religion, sex, national origin or ancestry, age, or physical
handicap.
ARTICLE XIX
PERSONNEL
A The CONSULTANT represents that it has or will secure at its own
expense all personnel required to perform all the services
required under this Agreement Such personnel shall not be
employees or officers of, or have any contractual relations
with the city CONSULTANT shall inform the OWNER of any
conflict of interest or potential conflict of interest that may
arise during the term of this Agreement
B All services required hereunder will be performed by the
CONSULTANT or under its supervision. All personnel engaged in
work shall be qualified and shall be authorized and permitted
under state and local laws to perform such services
ARTICLE XX
ASSIGNABILITY
The CONSULTANT shall not assign any interest in this Agreement
and shall not transfer any interest in this Agreement (whether by
assignment, novation or otherwise) without the prior written
consent of the OWNER

ARTICLE XXI
MODIFICATION
No waiver or modification of this Agreement or of any covenant,
condition, limitation herein contained shall be valid unless in
writing and duly executed by the party to be charged therewith and
no evidence of any waiver or modification shall be offered or
received in evidence in any proceeding arising between the parties
hereto out of or affecting this Agreement, or the rights or
obligations of the parties hereunder, and unless such waiver or
modification is in writing, duly executed, and, the parties further
agree that the provisions of this section will not be waived unless
as herein set forth.
ARTICLE XXII
MISCELLANEOUS
A The following exhibits are attached to and made a part of this
Agreement (list exhibits) (A) REQUEST FOR PROPOSAL, (B) PROPOSAL
SUBMITTED BY NTCS, INC. DATED 12-11-96, (D) CERTIFICATION OF INSURANCE
B. CONSULTANT agrees that OWNER shall, until the expiration of
three (3) years after the final payment under this Agreement,
have access to and the right to examine any directly pertinent
books, documents, papers and records of the CONSULTANT
involving transactions relating to this Agreement. CONSULTANT
agrees that OWNER shall have access during normal working hours
to all necessary CONSULTANT facilities and shall be provided
adequate and appropriate working space in order to conduct
audits in compliance with this section OWNER shall give
CONSULTANT reasonable advance notice of intended audits

E CONSULTANT shall commence, carry on, and complete any and all
projects with all applicable dispatch, in a sound, economical,
efficient manner; and, in accordance with the provisions
hereof In accomplishing the projects, CONSULTANT shall take
such steps as are appropriate to ensure that the work involved
is properly coordinated with related work being carried on by
the OWNER.
F The OWNER shall assist the CONSULTANT by placing at the
CONSULTANT's disposal all available information pertinent to
the project, including previous reports, any other data
relative to the project and arranging for the access to, and
make all provisions for the CONSULTANT to enter in or upon,
public and private property as required for the CONSULTANT to
perform services under this Agreement.
G. The captions of this Agreement are for informational purposes
only and shall not in any way affect the substantive terms or
conditions of this Agreement

I. INTRODUCTION
A. Purpose:
The City of Denton is planning to implement developing the city-wide
infrastructure-1 of the Long -Range Information Services Plan (Exhibit A) The
City is looking for a network consultant to make technical recommendations and
oversee the implementation of the plan
B. History of Information Services:
In 1981, the City of Denton adopted a philosophy that it would acquire and
implement an IBM mainframe computer and purchase the application software that
would be implemented This approach would allow the City to have a minimum
staff for installation and maintenance purposes
In 1985, the Word Processing Center that had been established in 1983 became part
of the Information Services Department This division was utilizing a Wang OIS
system with twenty-two (22) users attached to this equipment including most of the
senior secretarial staff of the departments located in the City Hall Complex In
1991, the Wang OIS system was replaced with a local area network (LAN) utilizing
a Novell ethernet network and utilizing a Wang VS system to establish
communications between this network and the IBM mainframe
In the late eighties, the Information Services Department took on responsibility for
the telephone system serving the City In 1990, the Telephone System was replaced
with three (3) PBX systems from Northern Telecom
Also in 1990, a local area network was established utilizing (5) IBM RISC 6000s
on a token ring for the Geographic Information System that is shared by the
Electric, Water and Wastewater, Engineering and Transportation, and the Planning
and Development Departments This network utilizes the fiber optic network that
was installed as part of the telephone system upgrade During this time frame,
there has been a number of upgrades to the IBM mainframe Also during this time,
the number of personal computers within the City grew from the first nine (9)
acquired in 1984 to approximately four hundred and fifty (450) of various makes,
models and configurations

C. Current Environment:
The Information Services -Department currently staffs the traditional Data
Processing Division from 8 00 AM to 12 00 midnight Monday through Friday
The Administrative Services Division is staffed from 8 00 AM to 9 00 PM Monday
through Friday All computer and network equipment stays on and operational for
24 hours per day 7 days a week Staff members are called in during the time
periods that are not regularly staffed if equipment or electrical power failures occur
At this time, the department operates an IBM 4381 mainframe for the City's legacy
applications These legacy applications consist of the following systems
LGFS - This is an integrated financial system that handles all general ledger,
accounts payable, accounts receivable, purchasing, and inventory transactions
EIS - This is an integrated payroll, human resources, position control and labor
distribution system Interfaces between this system and the LGFS system have been
written by in-house staff to automate the recording of labor costs to the general
ledger
ICIS - This is a utility billing and meter inventory system that processes Electric,
Water, Wastewater, and Solid Waste to produce a single combined bill
Additionally, this system tracks the electric and water meters that are in service as
well as those in inventory The validity of the meter multipliers are checked for
accuracy by this system Interfaces to the LGFS and hand held meter reading
systems have been developed by in-house staff
EMIS - This is a fleet management system that tracks the repair and fuel costs
associated with the approximately five hundred (500) vehicles in the City's fleet
Interfaces to the Petrovend fueling system and the LGFS system have been written
by the in-house staff
MCT - This is a municipal court system that was acquired from the City of
El Paso, as a public domain system, that processes class C and moving violation
complaints This system can schedule courts even though the City of Denton does
not take advantage of this feature An interface to the LGFS system to capture the
cash transactions processed by this system was written by the in-house staff This
system was written using DMS from IBM and that language is not being enhanced
or -supported by IBM any longer The City of Denton has an RFP out for a Public
Safety system that might possibly replace this system
TAX - This is an Ad Valorem tax system that was acquired from the City of
Wichita Falls in exchange for our MCT system This system produces tax
statements, delinquent statements and processes tax payments An interface
between this system and the LGFS system was written by in-house staff to record
the cash payments

In addition to these legacy systems which are currently processed on an IBM 4381
mainframe, the City of Denton has a number of Local Area Networks (LANs) that
- are running specific applications
ADMINISTRATIVE SERVICES LAN - The first of these LANs is a Novell
NetWare 3 11 ethernet LAN that was implemented to replace the old Wang OIS
system five years ago This PC based LAN has forty (40) workstations and
approximately one hundred and twenty (120) users These PCs are located in the
following buildings City Hall, Civic Center, Library, City Hall West, and the
Denton Municipal Complex The major application on this LAN is WordPerfect
5 1 with some Lotus and Harvard Graphics activity The LAN is connected to a
Wang VS minicomputer which acts as a gateway to the IBM mainframe The VS
minicomputer also runs the Wang Office application which has a very limited
number of users of this capability Sixteen (16) of the forty (40) workstations for
this LAN are 286 diskless PCs
GIS SYSTEM - There is a Token Ring LAN that has ten (10) IBM RISC 6000
connected This LAN has one application which is the GIS system that uses ESRI's
ARC/INFO software This system also has data downloaded to it from the utility
billing and ad valorem tax system that reside on the IBM mainframe
UTILITIES LANS - There are approximately five 3 XX Novell NetWare ethernet
LANs utilized by the Utility Department that have approximately sixty (60) PCs
attached and approximately one hundred (100) users These LANs have a variety
of PC applications such as Lotus, Dbase, WordPerfect, etc (See Exhibit B -
Graphical Representations of Existing Fiber and Network Connectivity)
PUBLIC SAFETY SYSTEM - The Public Safety System is running on a Novell
NetWare 4 1 LAN This LAN includes fiber connections to the Fire Department's
six (6) stations with approximately twelve (12) PCs and the Police Department with
fifty (50) PCs and twenty-six (26) printers
LIBRARY SYSTEM - The current Library System from Dynix Corporation was
installed in 1995 This is an ethernet LAN using a RISC 6000 for a server with a
fiber connection between the main library and the branch library The main library
has approximately fifty (50) 486/33 PCs as workstations The branch library is
running a Novell NetWare 4 1 LAN with a total of five (5) PCs as workstations and
three (3) PCs attached to the main library

All proposals are due in the Purchasing Office of the City of Denton no later than
December 12, 1996, at 2 00 p in
Proposals must be signed by the vendor with his or her signature in full When a vendor
is a partnership, the proposal shall be signed in the name of the partnership by one or
more of the partners When a vendor is a corporation, the officer signing shall sign his
name and give the title of his office The proposal shall also bear the seal of the
corporation
A. Knowledge of Conditions:
Before submitting proposals, vendors must carefully examine this Request for
Sealed Proposal and inform themselves thoroughly as to all the difficulties involved
in the completion of all work pursuant to the requirements of this document
Pleas of ignorance of conditions or difficulties that may be encountered in the
execution of the work pursuant to this document as a result of failure to make the
necessary examinations or investigations shall not be accepted for any failures or
omissions on the part of successful vendors to fulfill, nor shall they be accepted as
a basis for any claims whatsoever for extra compensation or for the extension of
time
B. Exceptions:
All proposals must clearly and specifically detail all exceptions to the exact
requirements imposed by this document Such exceptions must be explained in the
vendor's proposal Otherwise, the City shall consider the subject proposal as being
made in strict compliance with this document
C. Compliance with Laws:
In all cases, the laws of the State of Texas shall apply to the proposal process, the
resultant contract and the contract performance Vendor's performance of the work
shall comply with applicable Federal, State and local laws, rules and regulations
D. Patents and Royalties:
Vendor, without exception, shall indemnify and hold harmless the City and its
employees from any liability of any nature or kind, including costs and expenses
for or on account of any trademarked, copyrighted, patented, or non -patented

invention, process or article manufactured or used in the performance of the
Contract, including its use by Denton, Texas If the vendor uses any design, device
or materials covered by patent, trademark, or copyright, it shall be mutually
understood and agreed without exception that the proposal pries shall include all
royalties or costs ansmg from the use of such design, device, or materials in any
way involved in the work
E. Indemnification:
Vendor shall indemnify and hold harmless the City, its agents and employees from
or on account of any injury or damage received or sustained by any person or
persons during or on account of any operation proximately connected with the
provision of any provided services by Vendor, its suppliers or subcontractors, their
agents and employees or both, or by consequence of any negligent act or omission
in connection with the same, or by use of any improper materials or by or on
account of any act or omission of Vendor, its suppliers, subcontractors, or their
agents and employees
Further, Vendor agrees, at its own expense, to indemnify and hold harmless the
City, its officers, agents and employees, and to defend or to provide for such
defense, at the City's option, from any and all claims or liability ansmg from or
based upon the alleged violation of any applicable laws, ordinances or regulations
and all suites and actions of every name and description that may be brought against
the City which result from any operation or activity under this Contract to be
awarded whether such activity or operation be performed by Vendor or
subcontractor or by anyone directly or indirectly employed by either

The City of Denton will not be liable for any costs associated with the preparation,
transmittal, or presentation of any proposals or material submitted in response to
this Request for Sealed Proposal
G. Duration:
The vendor must agree, in writing, that all information contained in the submitted
proposal is valid for at least one hundred twenty (120) days from the date of
submittal or until a final contract is approved, whichever occurs first

All responses and accompanying documentation will become the property of the
City of Denton

Vendors will submit one (I-) original and five (5) copies of all proposals and
associated documentation. Price bids must be signed by a duly authorized official
of the vendor organization and notarized
J. Proprietary Information:
Information construed as proprietary by a submitting vendor must be marked as
such and will be so regarded by the City of Denton Subject to Texas Open
Records Act, Texas Government Code, Chapter 552, Texas Revised Code
Annotated 1994, the City will treat such information as confidential and the City
agrees to withhold any such information and request an opinion from the
Attorney General should another party request such data City shall abide by the
decision of the Attorney General Such information should be submitted in a
separate folder attached to the proposal and referred to appropriately in the
proposal For a proposal to be valid, however, all information must be available
for review by approval bodies as required by the City of Denton Viewing of
information designated as proprietary by such bodies will not be construed to violate
the constraints of proprietary information
K. References:
Vendors submitting proposals shall submit the names, addresses, contact persons,
phone numbers, and dates of a minimum of three (3) local governments in which
the vendor has provided similar services
L. Financial Statement:
Vendors must also include a copy of their most current, audited annual financial
statement

M. PROJECT SCOPE
A: Phase I - Technical Recommendations/Core Systems/Connectivity:
1. Phase I - Overview
The City of Denton is looking for a consultant to identify and recommend
enhancements and upgrades to current networks to enable implementation of
the City of Denton Long -Range Information Services Plan in Exhibit A
The vendor will be responsible for the review of existing connectivity of
Novell systems, GIS system, mainframe and other systems The vendor will
make recommendations to enhance the operability of all systems as outlined
in the Long -Range Plan These recommendations must include hardware
(servers, routers, bridges, gateways, modem banks, etc ) and network
operating system software to allow centralized backup and management of all
areas of the network The City prefers to standardize on one network
operating system utilizing site licensing and existing networks
Recommendations shall include a definition of the function of all hardware
and software and specification of each Vendors shall consider the defined
deliverables
2. Minimum Network Configuration
a Review the existing fiber system and make recommendations on the
implementation of a collapsed backbone, path protected ethernet nng
b Review the existing Novell LANs and make recommendations on server
locations, mterconnectivity, and configuration including hardware and
software
c Develop a plan outlining number and locations of servers, routers,
bridges and gateways necessary to implement city-wide infrastructure-1
of the Long -Range Information Services Plan Develop the plan to
prevent data bottlenecks and allow user access to all systems
d Develop an RFP for acquiring necessary workstations that will meet
network requirements All workstations will be in one of three
categories The three categories are workgroup, power user, and
notebook
e Deliver plan to connect remotely distant workstations to city-wide
network (example two workstations at airport)
f Develop RFP for groupware that would be a standard throughout the
city-wide network The groupware would handle at a minimum E-mail,
calendaring, and scheduling of both people and resources

in the best interest of the City of Denton The City of Denton reserves the right
to accept, or reject, any and all proposals or parts of proposals The City is not

RFSP # 1970 due on December 12, 1996 We believe we
can advise a technically feasible and appropriate direction
for the desired improvements to the City of Denton
environment As your Technology Partner, we excel in network consulting and in
bringing multiple vendors and products together to a productive solution Our initial
assessment would be conducted through detailed scrutiny of the existing environment

The city of Denton is looking for a consultant to identify and recommend
enhancements and upgrades to current networks to enable implementation of
the City of Denton Long -Range Information Services Plan in RFSP # 1970
Exhibit A These recommendations would include areas such as
Hardware/Software, Interconnectivity products, Groupware, Applications,
Network Management, Fault Tolerance, Security, Host Access, Remote Access,
And other miscellaneous supply needs
NTCS will also assist in providing Executive Level business details to assist
understanding of technology and how it will impact the City of Denton
environment As a Novell Platinum level Partner, NTCS can fully assist with
the development of a Master License Agreement, new or existing, to the benefit
of the City Additionally, NTCS will act as an agent of the City of Denton
dealing with all vendors by using its experience to recommend and acquire

Focus for the engagement in Phase I covers the areas of cable plant, infrastructure, OS
and services, applications and training, network management and support
CABLING PLANT
Consulting Cost $ 5,500
To implement the City of Denton's long-range Information Services Plan, it is
imperative to have the proper cabling plant in place NTCS will document the current
cabling plant, and produce a written plan (with detailed drawings) for upgrading the
cabling plant to exceed the needs of the Information Services Plan We will also advise
on connectivity to the fiber backbone, upgradability and/or replacement options
Likewise, we will share our expertise on alternative technologies such as Fast Ethernet,
Switched Ethernet and other solutions, to better facilitate differing bandwidth needs
for the workgroup user and the power user We currently
hold a Sprint Certified Network Installer license assuring
you of the quality of our advice and adherence to good
cabling theory
INFRASTRUCTURE
Consulting Cost $ 9,500
Before the City of Denton's long-range Information Services Plan can be implemented,
the proper hardware infrastructure must be put in place This includes all routers,
bridges, hubs, switches and concentrators needed to link all of the city's buildings and
remote sites together NTCS will document the current infrastructure, and produce a

Control of Computing Power within their Desktop Environment

To this end, the City of Denton will upgrade N®velL Intraneffare
to the latest version of Novell's enterprise
network operating system, NetWare 4 11
(including IntraNetWare and the latest
IntraNetWare Patch v 1 recently released), Th. vaus..„a. Inkan.l Pl.gonn
with Novell Directory Services (NDS) This
decision is based on the current investment in
Novell products and IntraNetWare's superior
usability in a mixed operating environment Under NetWare 4 11, users login to the
"directory tree" rather than to a particular server This concept allows users to
transparently access resources anywhere on the network, regardless of their location
The global concept will save money by pooling resources at the network level for
availability to all and to simplify management

NTCS will -also compile a Required Hardware/Software List that will contain all
hardware and software needed to implement the NetWare 4 11 enterprise
network, including operating system software, file servers, print servers,
printers, and other miscellaneous hardware With the variety of Client 32
issues, NTCS would make sure that the most recent Client 32 versions for
DOS, Windows 3 X, Windows NT and Windows 95 were installed for
seamless login and access to all resources We have currently refined running Windows
95 on NetWare, with the assistance of the new Client 32, and would recommend it
regardless of the final decision on standard applications Windows 95 has resulted in a
variety of positive impacts upon our system
In addition, NTCS will consult with the Information Services Department of the City
of Denton and determine what additional network services will be rolled out to the
users These network services could include
• mainframe host access (SNA and UNIX connectivity)
• defined workgroup administration capabilities (differing security)
• network faxing (fax directly from your PC)
• network CD-ROM servers (make CD information available to all)
• network printing (save on multiple printer costs)
• application publishing (selected users get access through NetWare
Application Launcher)
• modem -sharing and remote access (dial in and dial out capability)
• Internet access (find information, check messages and E-mail)
• database servers (share large amounts of data)
Based on the results of consulting, NTCS will prepare a written plan (including
detailed drawings) for implementing the required network services
NTCS will document the current network configuration, and create a written plan
(including detailed drawings) for implementing NetWare 4 11, including NDS
directory tree design, tree merges with existing 4 1 servers and utilizing DS Migrate to
assist in the upgrade of 3 X servers The plan would also include time synchronization
of servers throughout the facility

The more disparate the environment, the more the need for a groupware system
NTCS would recommend a groupware solution to assist individuals to work together
as a team better Some of the newest products, GroupWise 5 from Novell, for
example, have included document management with their

Groupware products allow users at different sites to work as a
team, share files/documents, assign tasks, share calendars,

product and market support As a MS Solution Provider, we will also get advance
copies of Office '97 for evaluation
NTCS will prepare a written plan for implementing the selected office productivity
and groupware applications and required training This can be done at the server level,
with NetWare's Application Launcher, but could probably be best loaded locally on
machines
Being an independent integrator, we are not locked in to a specific hardware
provider/brands, software provider, training provider, cabling company or vendor In

Information Services Department of the City of Denton concerning network
management tools and methods Critical areas that must be
managed include servers, workstations, printers, network
infrastructure, software applications, hardware/software
procurement, and resource allocation
Recent technology offers several opportunities for evolved
network planning and maintenance Key innovations include
management products that provide anti -virus protection, assetM—W
management, software metering, trend capacities, usage, errors,
offer alarms for certain events, remote control for end user assistance, remote
management, and general management uses It is important that any solution match
industry standards such as MIBs, SNMP and RMON compliance, as well as offer more
efficient proactive support for end users

NTCS will consult with the IS staff of the City of Denton
to determine the required number of PC's in each category
(Workgroup, Power User, & Notebook), network
printers, and other items needed throughout the city
NTCS will also design specifications to be used during the Procurement process,
including hardware specifications, desktop operating systems and application/utility

Engagement -Terms
YOUR RESPONSIBILITIES
The implementation of your network will require involvement from the personnel of
City Of Denton The ultimate success of the engagement depends on your personnel
and the effort contributed toward the new system's implementation To achieve a
smooth and successful implementation, It will be the City Of Denton's responsibility
to perform the following
Ensure that key staff members and departmental technology heads are available for
interviews without interruption
Make available all of the City Of Denton's currently installed software manuals and
known software additions
Assemble a complete listing of all software and hardware vendors, addresses, and
phone/fax numbers
Understand that NTCS employees will most likely interrupt your work during the
engagement

WARRANTY LIMITATIONS -
NTCS's liability for damages with respect to the services and products provided will in
no event exceed the charges previously paid by City Of Denton for these services and
products NTCS only resells other manufacturers' products and does not manufacture
any products Any warranty for any product sold by NTCS will be limited to the
warranty provided by the respective manufacturer NTCS provides no additional
warranties and makes no other warranties, either expressed or implied, with respect to
any manufacturer's product NTCS specifically disclaims the implied warranties of
merchantability and fitness for a particular purpose Some states do not allow
limitations concerning implied warranties, so the above limitation may not apply to
you
This warranty gives you specific legal rights, and you may also have other rights which
vary from state to state
WARRANTY CLAIMS PROCEDURES
NTCS is a Value -Added Reseller (VAR) of many different manufacturer's products
These manufacturers' warranty policies differ from manufacturer to manufacturer If
you have warranty claims against any manufacturer of a product you have purchased
from NTCS, and that claim falls within the warranty period of that product, NTCS
will assist you in expediting the warranty claims process In some cases, NTCS will
perform warranty labor procedures at our offices at no charge to you In no instance
will NTCS perform warranty labor procedures at your premises at no charge to you
NTCS will assist you in any warranty claims you may have, however, NTCS is bound
to follow the warranty policies of the manufacturers that it represents

EXCLUSIONS
The above warranty shall not apply to defects resulting from improper or inadequate
maintenance by customer, customer -supplied software or interfacing, unauthorized
modification or misuse, operation outside of the environmental specifications for the
product, improper or unauthorized repairs, or improper site preparation and
maintenance
EXCLUSIVE REMEDIES
The remedies provided herein are Customers sole and exclusive remedies In no event
shall NTCS be liable for any direct, indirect, special, incidental, or consequential
damages Some states do not allow the exclusion or limitation of incidental or
consequential damages, so the above limitation or exclusion may not apply to you

PAYMENT POLICY
1) City of Denton's Terms for the project of Long Range Information Services Plan
will be specific to each Phase of the implementation
2) Invoices for the six components of Phase I will be submitted upon completion of
each component as listed below

Milestones for completion of each component are listed in the proposal summary
3) Invoices for Phase II will be submitted in monthly installments for the work
performed during that month
4) Upon completion of project, NTCS will submit a final invoice and Completion of
Contract letter to be signed by City of Denton Afterwards, any work to be
performed will be performed at NTCS's standard rates in effect at that time
5) Terms on all invoices are Net 30
6) NTCS accepts payments by cash or check We accept both personal and company
checks drawn against local banks We require a valid Texas driver's license for

REFUND POLICY
1) Prior to delivery and installation, refund requests for hardware/software purchases
will be granted provided that seven days written notice is given to NTCS
2) Once the engagement commences, either party may terminate the engagement
provided that seven days written notice is given to the other party Termination of the
engagement will result upon receipt of the termination letter by the other party
a) All work performed by NTCS up to the date of receipt of the termination
letter is payable by the client
b) Any hardware/software received by the client or ordered by NTCS on behalf
of the client must be paid in full upon receipt of the termination letter or returned to
NTCS with a restocking fee of 15% of the purchase price of the hardware/software
The client will also be required to pay deinstallation charges and pickup fees for time
spent on the removal of all hardware/software that has been installed by NTCS
OTHER PROVISIONS
1 For overdue accounts, NTCS may require prepayment or COD terms before
performing additional services or delivering additional hardware/software
Overdue accounts with little or no payment history may be placed on the NTCS Hold
List Thereafter, no further services or products will be purchased until payment for
all invoices is made in full

CERTIFICATE OF INSURANCE
CITY OF DENTON
INSURANCE REQUIREMENTS FOR CONTRACTORS
Bidder's attention is directed to the insurance requirements below. It is highly
recommended that bidders confer with their respective Insurance carriers or brokers
to determine in advance of Bid submission the availability of insurance certificates and
endorsements as prescribed and provided herein If an apparent low bidder fails to
comply strictly with the insurance requirements, that bidder may be disqualified from
award of the contract Upon bid award, all Insurance requirements shall become
contractual obligations which the successful bidder shall have a duty to maintain
throughout the course of this contract
STANDARD PROVISIONS:
Without limiting any of the other obligations or liabilities of the Contractor, the
Contractor shall provide and maintain until the contracted work has been completed
and accepted by the City of Denton, Owner, the minimum insurance coverage as
indicated hereinafter
As soon as practicable after notification of bid award, Contractor shall file with the
Purchasing Department satisfactory certificates of Insurance, containing the bid
number and title of the project Contractor may, upon written request to the
Purchasing Department, ask for clarification of any Insurance requirements at any
time, however, Contractors are strongly advised to make such requests prior to bid
opening, since the insurance requirements may not be modified or waived after bid
opening unless a written exception has been submitted with the bid Contractor shall
not commence any work or deliver any material until he or she receives notification
that the contract has been accepted, approved, and signed by the City of Denton
All insurance policies proposed or obtained in satisfaction of these requirements shall
comply with the following general specifications, and shall be maintained in
compliance with these general specifications throughout the duration of the Contract,
or longer, if so noted.
• Each policy shall be issued by a company authorized to do business in the
State of Texas with an A M Best Company rating of at least A
• Any deductibles or self -insured retentions shall be declared in the bid
proposal If requested by the City, the insurer shall reduce or eliminate
such deductibles or self -insured retentions with respect to the City, its

officials, agents, employees and volunteers, or, the contractor shall procure
a bond guaranteeing payment of losses and related investigations, claim
administration and defense expenses
• Liability policies shall be endorsed to provide the following
•• Name as additional insured the City of Denton, its Officials, Agents,
Employees and volunteers
•• That such Insurance Is primary to any other insurance available to the
additional insured with respect to claims covered under the policy and
that this insurance applies separately to each insured against whom
claim is made or suit is brought The Inclusion of more than one
Insured shall not operate to Increase the Insurer's limit of liability
• All policies shall be endorsed to provide thirty(3O) days prior written notice
of cancellation, non -renewal or reduction in coverage
• Should any of the required Insurance be provided under a claims -made
form, Contractor shall maintain such coverage continuously throughout the
term of this contract and, without lapse, for a period of three years beyond
the contract expiration, such that occurrences arising during the contract
term which give rise to claims made after expiration of the contract shall
be covered
• Should any of the required Insurance be provided under a form of coverage
that Includes a general annual aggregate limit providing for claims
Investigation or legal defense costs to be Included in the general annual
aggregate limit, the contractor shall either double the occurrence limits or
obtain Owners and Contractors Protective Liability Insurance
• Should any required Insurance lapse during the contract term, requests for
payments originating after such lapse shall not be processed until the City
receives satisfactory evidence of reinstated coverage as required by this
contract, effective as of the lapse date If insurance is not reinstated, City
may, at its sole option, terminate this agreement effective on the date of
the lapse

SPECIFIC ADDITIONAL INSURANCE REQUIREMENTS:
All Insurance policies proposed or obtained in satisfaction of this Contract shall
additionally comply with the following marked specifications, and shall be maintained
in compliance with these additional specifications throughout the duration of the
Contract, or longer, if so noted
[XI A General Liability Insurance:
General Liability Insurance with combined single limits of not less than
$500,000 shall be provided and maintained by the contractor The
policy shall be written on an occurrence basis either in a single policy or in
a combination of underlying and umbrella or excess policies
If the Commercial General Liability form (ISO Form CG 0001 current
edition) is used
• Coverage A shall Include premises, operations, products, and
completed operations, Independent contractors, contractual liability
covering this contract and broad form property damage coverages
• Coverage B shall Include personal Injury
• Coverage C, medical payments, is not required
If the Comprehensive General Liability form (ISO Form GL 0002 Current
Edition and ISO Form GL 0404) is used, it shall Include at least
• Bodily Injury and Property Damage Liability for premises,
operations, products and completed operations, independent
contractors and property damage resulting from explosion, collapse
or underground (XCLI) exposures
• Broad form contractual liability (preferably by endorsement)
covering this contract, personal injury liability and broad form
property damage liability

1Xl Automobile Liability Insurance:
Contractor shall provide Commercial Automobile Liability insurance with
Combined Single Limits (CSL) of not less than $300.000 either in a single
policy or In a combination of basic and umbrella or excess policies The policy
will include bodily injury and property damage liability arising out of the
operation, maintenance and use of all automobiles and mobile equipment used
in conjunction with this contract.
Satisfaction of the above requirement shall be in the form of a policy
endorsement for
• any auto, or
• all owned, hired and non -owned autos
[XI Workers Compensation Insurance
Contractor shall purchase and maintain Worker's Compensation insurance
which, in addition to meeting the minimum statutory requirements for issuance
of such insurance, has Employer's Liability limits of at least $100,000 for each
accident, 4100,000 per each employee, and a $5OO,000 policy limit for
occupational disease The City need not be named as an "Additional Insured"
but the insurer shall agree to waive all rights of subrogation against the City,
its officials, agents, employees and volunteers for any work performed for the
City by the Named Insured.
[ ] Owner's and Contractor's Protective Liability Insurance
The Contractor shall obtain, pay for and maintain at all times during the
prosecution of the work under this contract, an Owner's and Contractor's
Protective Liability insurance policy naming the City as insured for property
damage -and bodily injury which may arise in the prosecution of the work or
contractor's operations under this contract Coverage shall be on an
"occurrence" basis, and the policy shall be issued by the same insurance
company that carries the contractor's liability insurance Policy limits will be
at least combined bodily injury and property damage per
occurrence with a aggregate
