AN ORDINANCE APPROVING AMENDMENT NO ONE TO THE PROPRIETARY
SOrTWARE TERM LICENSE AND MAINTENANCE AGREEMENT BETWEEN THE CITY
OF DENTON AND AMERICAN MANAGEMENT SYSTEMS, INC , APPROVING THE
EXPENDITURE OF FUNDS THEREFORE, AND PROVIDING FOR AN EFFECTIVE
DATE
NOW, THEREFORE, THE COUNCIL OF THE CITY OF DENTON HEREBY ORDAINS
SECTION I
That the City Council hereby approves and authorizes the
Mayor and City Secretary to execute and attest, respectively,
Amendment No One between the City of Denton and American
Management Systems, Inc , providing for additional software
components and maintenance therefor under the terms and
conditions being contained in said amendment which is attached
hereto and made a part hereof
SECTION II
That the City Council authorizes the expenditure of funds
in the manner and amount as specified in the Agreement
SECTION III
That this ordinance shall become effective immediately upon
its passage and approval

Propnetary Software Term License and
Maintenance Agreement
This AMENDMENT NO 1 is entered into by and between AMERICAN MANAGEMENT SYSTEMS
(( All ), whose principal office is located at1777 North Kent Street Arlington Virginia 22209 and

WHEREAS on .May 11 1981 AMS and Licensee executed a Proprietary
Software Term License
and Maintenance Agreement (the License Agreement ) for
LGFS and
WHEREAS AMS and Licensee desire to amend the License Agreement in certain respects as set forth herein
NOW THEREFORE in consideration of the foregoing, and for other good and valuable consideration, receipt
of which is hereby acknowledged the parties hereto agree as follows
1 Goveming Document
fie License Agreement is incorporated herein and forms a part of this Amendment Except as provided below
all other terms and conditions of the License kgreement shall remain unchanged and in full force and effect and are
herebv ratified and reaffirmed by the parties hereto in the event of any conflict or inconsistencv between the
provisions set forth in the Amendment and the License Agreement this Amendment shall govern and control
2 Additional Soft -Aare Components
AMS herebv grants to Licensee and Licensee herebv accepts a nonexclusive and nrntransfe•ab)e license to
use the computer software components described in Exhibit A (the Additional Software Components') This
license shall terminate on the date provided in the License Agreement for the termination of the license of the
Packagod System
I Maintenance Services
AMS shall provide the maintenance services for the Additional Software Components described in paragraph
2 of the License Agreement for a period of 36 mnnthc following delivery to Licensee of the Additional
Software Components without additional charge to Licensee At the end of said term Licensee may purchase said
maintenance services for the Additional Software Components for a period of 12 mnnthS at AMS then
p evaihng ra*ts for such services
4 Training anti Si pport
AMS will provide Licensee with such training assistance and support in using the Additional Software
Components ass set forth in Exhibit A without additional charge to Licensee Additional training, assistance and
support will be provided on a time and materials basis
4 License Fees
As compensation for the license to use the Additional Software Components (including renewals thereof)
Licensee shall pay AMS the license fees set forth in Exhibit A
