Dear Mr. Reynolds:
Enclosed is a bill of sale covering certain distribution
facilities owned by Texas Power & Light Company end located
within the corporate limits of the City of Denton. This instru-
ment has been properly executed.
In addition to the physical features described in the
enclosed conveyance other items such as the up and down costs of
meters, transformers and cost to salvage facilities idled by
transfer of customers to the city are included which brings the
total. uonsideration involved to $5,974.
Inasmuch as the Company has mortgage bonds outstanding,
it is necessary to secure a release from the mortgage trustee
with respect to any property sold or otherwise disposed of by ;
the Company. The normal procedure is for the Beard of Directors
to approve such a transaction and direct that proceedings be
instituted to secure the release from the trustee.
Our next Board of Directors meeting will be on November 17,
1965s and the matter of the transfer of these facilities -11t be
~J presented to the Board for approval at vhat meeting.
I am sending you a signed bill of sale and conveyance of i
easements with Lhe understanding that it must be supplemented by
the release from the trustee. This bill of sale and conveyance
of easements should not be recorded because the title in no event
can be complete until the release is obtained.

KNOW ALL MEN BY THESE PRESENTS:

THAT TEXAS POWER & LIGHT COMPANY, a Texas corporation

of Dallas County, Texas, for and in cons.ldoratiou of the
sum of TEN DOLLARS ($10.00) cash and other good and valuable
considerations to it in hand paid by the CITY OF DENTON,
TEXAS, the receipt of which is hereby acknowledged, has

BARGAIN&D, SOLD, CONVEYED and DELIVERED, and by these presents
does BARGAIN, SELL , CONYLY and DELIVER unto the said City +
of Denton, Texas of the County of Denton and State of Texas,
the following described personal property located in Denton
County, Texas, to-wit:
Certain 7,200-120/240 volt electric distri-
bution facilities located in the City of Denton,
Texas. Said facilities consist of but not limited a
to approximately 170184 feet of wire in primary
and secondary conductors, 29 poles, 24 services
and all appurtenances forming a part of or per-
taining to said distribution facilities being
further described as follows:
1. Those facilities consisting of but not
limited to approximately 2 poles and 6 services
beginning at but not including a pole located on
FU Highway 2164 approximately 300 feet north and
3,886 feet east of the southwest corner of the
intersection of YX Highway 2164 and Hinkle Drive
and extending approximately 100 feet in a south-
easterly direction to a service pole; also extending
in a westerly direction approximately 120 feet to
service pole.
24 Facilities consisting of but not limited
to 1 pole, 1 guy, 1 service, and approximately
325 feel of primary facilities beginning at but
not including a pole located on the west side of
Loop Highway 288 at the intersection of Loop High-
way 288 and a County Road and extending in a north-
westerly direction approximately 325 feet to and
including a service pole,
3. Facilities consisting of but not limited
to 5 poles, 3 guys, 4 services and approximately
649 feet of secondary facilities located northeast

of the Acmu Prick Company property. Beginning
at, but not including a pole located 1 loot
northeast of the oast right of way lino of ~i
U.S. Highway 377 f,nd 184 foot southwest of the
center line of the Texas AL Pacific Railroad {
tract, and extending approximately 134 feet to 1
and including a service polo. Beginning again
at and including a pole located approximately
308 feet east of the aforesaid place of beginning
and extending approximately 615 feet to and in-
cluding a dead end pole.
4. Facilities consisting of but not limited
to 1 polo, 1 service and approximately 72 feet
of secondary facilities located on Scripture Street
approximately 700 feet east of Interstate Highway
35 Eaat. Beginning at but not including a pole
located 1 foot north of the north right of way
line of Scripture Street and approximately 700
feet east of the east right of way line of Inter- {
state Highway 35 East, and extending in a south-
westerly direction for a distance of approximately
72 feet to and including a koarvice pole.
5. Facilities consisting of but not limited
to 20 poles, 12 services and approximately 2,844
feet of primary and secondary facilities beginning
at a point on the rest side of Hinkle Drive at the
intersection of Hinkle Drive and FM Highway 2164
and extending in a southerly direction approximately
20554 feet to the end of the line; beginning again ,
at a point approximately 2,154 feet south of the
intersection of Hinkle Drive and FM Highway 2164
and extending in a westerly direction approximately
1,200 feet to the end of the line.
R. Facilities consisting of but not limited to
approximately 7 meter sockets located on the property
of the Acmo Brick Company.
Excluded from the above described facilities are
J all transformers, meters, and cutouts except as noted
above and all primary and secondary facilities which
are not necessary to the City of Denton for operation
of the above described facilities.
For the consideration above mentioned, Texas Power & Light
Company does hereby TRANSFER and ASSIGN to the City of Denton,
Texas the following described right-of-way easements:
1. Easement dated November 309 1927 from Acme
Brick Company to Texas Power & Light Company
being of record in Volume 218, Page 10 of the
Deed Records of Denton County, Texas.

being of record in Volume 216, Page 227 of
the Deed Records of Denton County, Texas.
10, Easement dated Jaly 29, 1927 from F, S,
Wallace to Texas Power & Light Company being
of record in Volume 216, Page 222 of the Deed
Records of Denton County, Texas.
Texas Power & Light Company does hereby bind itself, its
successors and assigns to forever warrant and defend the title
to the above described properties and easements unto the said
City of Denton, Texas and its successors and assigns against
every person whomsoever lawfully claiming or to claim the same
or any party thereof,
