CATV ADVISORY BOARD
OCTOBER. 6, 1977
Special Called Meeting of the CATV Advisory Board, Wednesday,
October 6, 1977 at 300 p.m. in the City Manager's office at the I
Municipal Building:

1. Chris Hartung called the meeting to order and called on King Cole
to brief the Board on CATV hiutory of Denton today. Cole briefed
the Board on Denton's recent CATV history and distributed printed
J! { material pertaining to CATV to each Board member.
( 2. The Board consider the selection of a chairman and a Vice-Chairman.
Chris Hartung called for nominations for Chairman. Leonard Grafa
nominated Ed Morrison for Chairman. There was a motion by Ray
seconded by Glick that nominations cease. Motion carried. There
was a motion by Ray seconded by Glick that Morrison be elected by
acclamation.
I Chris Hartung next called for nominations for Vica-Chairman. Ray
j nominated Ed Glick for vico-Chairman. There was a motion by Grafa
seconded by Ray that. nominations cease. Motion carried. There
was a motion by Ray seconded by Grafa that. Glick be elected by so-
clamation. Motion carried.
3. The Board considered a regular meeting date. After some discus-
sion, it was determined that the hoard would hold its regular
meeting every other Monday at 5100 p.m.
4. The Board discussed visiting an existing Cable system. They
diractod the staff to arrange suob a trip,
With no further business, the meeting was adjourned at 4100 p.m.

1, The Board considered the minutes of the meeting of October
6, 1977, There was a motion by Glick seconded by Ray that
} the minutes be amended to show Milton Hill present represent-
ing Fd 1orrison and Bob Nelson present. Motion carried,
f 2. The Board considered the draft standard application form
' prepared by the City Staff. King Cole explained that this 1
application form was prepared directly from information re-
ceived from the Cablo Televiuion Information Center, The
Board considered the merits of the application form and
determined that they needed farther information on cable
television before trey could make a decision. There was
a motion by Ray seconded by Borchardt to table the standard
application form indefinitely.
1 3• The Board considered visiting an existing operating cable i
i television system, Chris Hartung advised the Board that
' The Woodlands, a private development near Houston, had a
very sophisticated cable system in operation. The Board
requested that Hartung arrange a trip to The Woodlands
3 on October 26, 1977,

1. The Board considered the minutes of the meeting of October 10, 1977.
There was a motion by Glick seconded by Ray that the minutes be
approved. Motion carried.
Y 2. The Board considered its trip to The Woodlands to view their cable
1 television system. The Board worked out their administrative pro-
blems for the trip to the Woodlands on October 26, 1977.
f 3. The Board considered a regular moeting time. The Board agreed that
they would meet at noon on every other Wednesday. They agreed to
deviate from this schedule for the month of. November by meeting on
both November 9th and November 1.6th.

Ed Morrison called the moeting to order at 12300 noon.
1. Tho Board considered the minutes of the moeting of October 24,
1977, There was a motion by Glick seconded by Borchardt that
the minutes be approved. Motion carried.
2. The Board discussed their trip to The Woodlands and determined
that even though the trip had been very beneficial, they needed
poi ti-
to visit a more conventional cable system, The Board was
cularly concerned about not being able to view the government/
cable operator relationship.
The Board decided to attempt to visit the Tulsa eeble operation
' and to also visit with Tulsa city officials involved in the cable j
j operation, The Board decided to go to Tulsa on Friday, November
j 18th if it could be arranged.

Next, the Board considered their schedule for the uoming months and
f decided or, the following:
Novembor 18th Tour of Tulsa cable operation and meet with
t City officials involved in cable operations.

There was a motion by Glick k~conded by Ray that the minutes
be approved as written. Action carried.
2. The Board discussed the CATV Ordinance and identified areas
of the Ordinance that required further study. Those areas
to be studied further are listed as followsi
r' A. Article III, Section 2-23, Part 2 (Franchise Duration),
The Board was concerned that a 15 year franchise with
a 15 year option was too long, i

B. Article ITT, Section 2-24, Part 3. (Renegotiation). The
Board was concerned that the renegotiation sessions were
&cheduled too far apart and. that the grantor of the fran-
chile did not have sufficient porter in setting the agenda
i for the renegotiation sessions.
C, Article V, Section 2-32 (Access Programming Facilities).
The Board was concerned that the Ordinance was not speci-
fic enough on the type of equipment to be used in the
studio.
D. Article V, Section 2-37 (Antenna Switch for Alternative
Use of Off-Air Antennas), The Board was concerned that
this provision did not make mention of the cost of this
service.

E. Article VII, Section 77-480 Part 1 (Construction Timetables).
The Board was concerned that this provision did not mention
the maximum time before a system would he completed,
F. Article VII, Section 27-54 (Franchise Fees). The Board was
interested in basing tho franchise fees on gross revenues
rather than gross subscriber revenues,
G. Article VII, Section 27-61 (Dieconneetion). The Board was
concerned that this provision gave the consumer too much time
in delinquency before disconnecting the service.
H. Article VII, section 27-63, Part 3 (Public Liabilit~t Incur-
anee), The Board was concerned that the liability insurance

The Doara agreed to meet again on January 4, 1978 at 12x00 noon. With

/ 1. The Board considered the minutes of the meeting of December 70 1977. There
1 was a motion by Glick seconded by Borchardt that the minutes be amended by
changing each section under item 2 to read 27 instead of 2 and to change
part H to read 27-64 instead of 27-63. Motion carried.
2. The Board continued the study of the CATV ordinance, The Board studied
the insurance and arbitration sections of the ordinance and when they
determined there were portions that needed special interpretation, they
asked that the City Attorney be in attendance at the next meeting.
The Board then continued their study of the

nance until time for adjournment, The Board agreed to meet again at 12100 noon
on January 11, 1978 and with no further business, adjourned at 2100 p.m.

and performance bond sections of the ordinance, Blanton recommended
that the Board meet next week with the City's insurance consultant, '

be approved, Motion carried.
2. The Board considered amendments to the CATV Ordinance and recommended
the following changes to the City Council,
A. Article III, Section 27-23, Part 2 currently reads, "The franchise
j j shall be granted for a term of fifteen (15) yearai thereafter, after
full public hearings, and according to the franchise - renewal
cedure that follows, the franchise may he renewed for a pro-
reasonable duration not to exceed fifteen 15) years period of

obtaining certification for the system from the Federal Communications
Commission. All such negotiation sessions shall be open to the public
and announced in n newspaper of general circulation at least five (5)
days before each session," There was a motion by borohardt seconded by
Ray that this section be amended to read, "The City and the franchisee

nology; system performances; services provided; programming offered;
customer complaints amendments to this ordinance; undergrounding prog-
ressl and judicial and FCC Rulings." There was a motion by Ray seconded
by Grafa that this section be amended to read, "3. Topics to be negotiated.

Article VIT, section 27.55, Part C,(9.)eurrently shows no fee. There,

of labor and materials. Motion carried.
D. Article VIl, section 27-48, Part 1,
currently reads, "The Company
shall ,-,mmence operation within two (2) years of the effective date
of the certificate. Operations shall be considered commenced with the
bona fide transmission and amplification of television signals on a
regular basis to at least one thousand (1,000) residential subscribers. ;
Upon the reasonable request for services by any person located within
the City, the company shall, within sixty (60) days, furnish st;rviee
to such person. A request for service shall be unreasonable for the
purpose of this subdivision, if occurring within five (5) years from
the effective date of the certificate and no trunk line installation
capable of servicing that person's block has as yet been installed,
or, if occurring at any time and direct access cannot be obtained to
7 such a parson's premises and all other means of access are highly im-
practicable," There was a motion by Grafa seconded by Ray that this
section be amended to read in part that "service shall be made available

to seventy percent: of the C.i.ty within three (3) years of the date of the
certificate and ninety percent of the city within four (4) years of the
date of the certificate." After considerable discussion, there was a
motion by Borchardt seconded by Grafa that the precedi,g motion be
tabled until further information could be gathered. Motion carried.
Article VII, Section 27-54 currently reads, "The grantee shall pay,
as compensation to the City, an annual fee of three (3%) percent of its
gross subscriber receipts. In the event that it is determined that the
FCC lacks the jurisdiction to impose the three (34) percent: limitation
on the franchise fees, or that the limits are raised or the fee basis
is changed to allow revenues other than subscriber receipts to be used
in calculating the fee, then the franchisee shall be subject to
renego- tiation, in the event the parties cannot agree upon a franchise fee,
the matter shall be submitted to arbitration." There was a motion by
Ray seconded by Borchardt that this section be amended to read, "The
grantee shall. pay, as compensation to the City, an annual fee of throe
(3%) percent of its gross receipts, in the event that it is determined

limitation on the franchise fees, or that the limits are raised or the
fee basis is changed to allow revenues other than subscriber receipts

There was a motion by Ray seconded by Borchardt that this section be
amended to read, "There, shall be no charge for disconnection of any
installation or outlet, if any subscriber fails to pay a properly due
monthly subscriber fee, or any other propLrly due fee or charge, the
franchisee may disconnect the subscribers service outlet, provided, how-
ever, that such disconnection shall not be effected until thirty
after the due date of said delinquent fee or charge and shall include Lens
(10) days written notice of the intent to disconnect delivered to the
subscriber in question, if a subscriber pays payment is due and after notice of disconnection has been given, aefra'n-
chi.see shall not disconnect. After disconnection, upon payment in full
of the delinquent fee or charge the payment of recommendation charge, a
franchisee shall promptly reinstate a subscribers cable service," Motion
carried.

Article VII, Section 27-65, Part 8, currently reads, "Authority to Trim
Trees; The grantee shall have the authority to trim trees overhanging
upon streets, alleys, sidewalks, and other public places of the City
so as to prevent the branches of such trees from coming in contact
with tho wires and cables of the Company. All trimming is
to be done under the supervision and direction of the City and at the
expense of the grantee. The grantee may contract for such services,
however, any firm or individual so retained shall receive City approval
prior to commencing such activity." There was a motion by Grafa seconded
by Ray that the preceding section be amended to read, "8. Authority to
Trim Trees: The grantee shall have the authority to trim trees over-
N;ngLng upon streets, alleys, sidewalks, and other public places of the
f City so as to prevent the branches of such trees from coming in contact
with the wires and cables of the company. All trimming is to he done
under the supervision and direction of the City and at the expense of
the grantee, The grantee shall make every effort to preserve the esthetic
beauty and viability of any treen trimmed, The grantee may contract for
w~ such services, however, any firm or individual so retained shall receive
h City approval prior to commencing such activity." Motion carried,

1. The Board considered the minutes of the meeting of January 25, 1978. There
was a motion by Borchardt seconded by Grafa that the minutes be approved,
Motion carried.
2. The Board considered amendments to the CATV ordinance, Chairman Morrison
called on Walker Bateman of RIMCO, Inc. to review the insurance and perfor-
i manse bond sections of the ordinance. Bateman discussed these particular
sections of the ordinance and made numerous recommendations for changes,
{ amendments and improvements In the insurance and performance bond sections
1 { of the Ordinance. The Board asked that Bateman meet with Assistant City
Attorney Jim Blanton and provide Blanton with the neces,aary technical data
so that he could rewrite these particular sections of the Ordinanoe.and in-
corporate these sugyestinns made by Bateman.
3. The Board considered changing their meeting time, The thrae m6mbers pre 1

{ j motion by Borchardt, seconded by Glick that the minutes be approved. Motion
carried.
~r 2. The Board considered amendments to the CATV Ordinance. Jim Blanton, Assistant
City Attorney, presented the Board a proposed amendment to Section 27-64 insur-
ance and Indemnification. After discussion, there was a motion by Glick, seconded
b Ray that the amendment be approved with Section 27-64 (a) Being amended to
add "as required by statute" and 27-64 2 being amended by inserting " excepting
L (a) above" after the word coverages. Motion carried

3. The Board considered a proposal from the Cable Television Information Center
for consulting services. King Cole explained to the Board that the formal
proposal had not yet arrived but he had talked to the consulting firm that
1 day. Cole explained that the CTIC would offer a two part proposal:
i (1) Ordinance Review The CTIC will review the ordinance and ,
j make a formal report of their findings it 3 to 4 weeks for
1 a total cost of $300.00.

(2) Applicant. Evaluation - The CTIC will review all applicants
for the franchise and present formal findings and recom-
mendations in 4 to 5 weeks after the applications are re-
ceived at a cost of $3;000A0, to $4,000.00 per application.
After discussion, there was a motion by Glick seconded by Ray to ask the CTIC to
review the CATV Ordinance for a cost of $300,00, Motion carried.
4. The Board considered a Standard Application Form. The Board reviewed a Standard
j Application Form prepared by the CTIC for the City of Wichita Falls. The Board
f went through the forms one at a time and identified those forms that regr.ired
further work. The Board agreed to meet at a later date to discuss those forms
requiring further work.
With no further business, the meeting was adjourned at 6100 p,m. The Board agreed to

SUBJECTr Major Changes to Cable Television Ordinance
I am writing this memo to point out the major or substantive changes to the
CATV Ordinance recommended by the CATV Board. There is another memo dated
April 13th that points out all amendments, but this memo only points out the
major changes.
1. Section 27-11 - Gross Recei is Revenues, Gross Annual Receipts - The
FCC has recently amended their ,rul.es allowing municipalities more
flexi- bility in establishing their franchise fee. Previously we could
charge 3% of the basic subscriber revenues, but now we can charcgeoany
percentage that we deal y
re. The CATV
Board recommends of gross revenues. The difference between this figure tand therpre-
vious figure is that the latter figure includes pay television revenues
i
` and revenues from advertising.
2. Article III, Section 27-23 (2) - Provisions Governing the Length, Renewal
and Transfer of a Certificate or Franchise - The ordinance originally
j called for a 15 year franchise with a 15 -year optional renewal. The
CATV Advisory Board recommended that the ordinance be amended to provide
for a 10 year franchise with an optional 5
I year option.

3. Article VII - Section 27-47 - Performance Bond - The original CATV Ordi-
nation required that the franchisee provide a $100,000 Faithful Performan
Bond to 'cover any loss suffered by the City, The CATV Advisory Board ce
is recommending that. the performance bond be replaced by a security fund
which the franchisee would deposit in time deposits or marketable securities
in an escrow account that the City could draw from in certain circumstances.
The problem with a performance bond is that the bonding company has the
right, If the original franchisee fails, to select a new franchisee to com-
plate the contract.

4• Article VII, Section 27-55 - Rates - The

SIIBJECTI Amendments to Cable Television Ordinance
The Cable Television Advisory Board has met extensively since their conception
in October of last year. 'they have mode field trips to 'rktisa,Oklahoma and to
a "closed environment" City near Houston called The Woodlands. The Board has
also spent considerable time reviewing the "Cable Ordinance" and generally
making themselves knowledgeable of Cable issues. The Board has also called on
soma, outside expertise to assist in the ordinance review. RTMCO, Inc., our
insurance consultants, have reviewed the insurance section and recommended
f several changes. The Cable Television Information Center of Wnshington, D. C.
has conducted a comprehensive review of the ordinance and made numerous re-
commendations for changes, Most of the changes recommended by i;TIC are In
response to recent Court decisions and recent changes by the FCC in their
Rulea and Regulations.
The net result of this study and these revieq z by outside agencies is a list-
ing of recommended amendments tosthand ecableTelevisi n Ordinance, Following is

amended by deleting the sentence that heads "The Interconnecting
{ Cable must have the capacity to carry at least two (2) channels of
i TV in each direction."
D. Article VIZ, Section 27-47 - Performance Bond -
The Cable Television Information Ceuter does not feel that a perfor
nance bond would be in the best interest of the city, because "it is
Lj possible that the surety might choose a substitute cable operator
that is unsuitable to the city." The CTIC recommends that we require
a security fund instead of a performance bond. This security fund
would be in an escrow account that the city would have access to under
certain circumstances. There is somo concern among the Board and the
Staff as to how many dollars this security fund should be., The City
of Wichita Falls has instituted a security fund in their ordinance
totaling $30,000,00, This ordinance has been left blank as to the
amount of the
security fund.
Section 27-48 - Construction Timetables
The Board is recommending that e construction timetable be "tight-
ened up" to place a stricter requirement on the operator. This will
preclude the operator "skimmtng the cream" .nly serving the areas of
dense population,
Section 27-52 Functionn To Be Regulated
The CTIC recommenda that the subscriber complaint procedure be amended
to insure that subscriber complaints are properly responded to. This
will require more comprehensive record keeping and performance testing

Section 27-55 - Rates
The CTIC recommendation on Rates is lengthy so I would suggest
that you read it from their leter. They suggest that we con-
sider not regulating rates and let them be set by the market
forces, The Board is recommending that we leave the rate re-
quirements blank and make them a part of the ordinance after
the franchise is selected,
Section 27-61 - Disconnection
The Board recommends that this section be amended to allow the
operator to disconnect noq paying customers after 30 days rather
than 60 days,
Section 27-63 - Records and Retorts, Notice of

ies of all FCC filings and reports to the city, The Board re-
commends this amendment.
Section 27-65-(8) - Authority to Trim Trees

1. The Board considered the CATV Standard Application Form and Request for.
Proposal and making a recommendation to the City Council, King Cole
presented the Board with a draft of a Request for Proposal and the Standard
Application Form with the corrections outlined by the Board at the previous
meetings. The Board carefully reviewed these two documents and after making
several minor changes, there was a motion by Grafa seconded by Glick to
approve the documents and forward them to the City Council with the recommends-

MEMBERS PRESENT: Morrison, Glick, Grafa, Borchardt, and Ray
OTHERS PRESENT: Helen Browning of the City Staff
1, Morrison discussed the implications of any member giving information
s to a potential CATV applicant. Glick suggested that any questions be
referred in writing to the City Manager.

Morrison affirmed the need for uniform procedures in handling appli-
cants. Borchardt suggested that the Board should meet with potential
applicants, Glick said he thought inquirers should first fill out the
Standard CATV Application Form, and should then clear requests for Peet-
} ing with the City Manager. He said that the City Council needs to know
that recommendations of the Board are unbiased.
The Board directed the staff to find out from the Council whose respon-•-
sibility it will be to review bids and limit the nrmber of applicants
{ whose proposals will be submitted to the Council.
Ray said that applicants who meat the requirement8 must present them-
solves to the Council at a Public Hearing in compliance with the law.

applicant or potential applicant be referred ir, writing to the. City
Manager, as designated by the CATV ordinance. Motion carried.

SUBJECT, Past actions on cable television
The current interest in cable television in Denton started in
August of 1976 when Roy Appleton and Fred Patterson of Denton Publish- !
ing Company appeared before the Utility Board and presented them with
a proposal for a cable system for Denton. The Utility Board took
the proposal under advisement and then directed the Staff to begin
work on a cable television ordinance.

Jerry Ware and I travelled to the cities of Bryan and Abilene to
study cable television systems in operation. In Abilene, we talked
with the City Manager and his assistant and the technical engineer for
the cable television operation. They were both very helpful and pro-
vided us with much needed information on cable television operations.
Jerry and I also travelled to Bryan, Texas, where we viewed the very
unique situation of having two cable operators in the same cityy in
Bryan, we talked with the City Manager, the City Attorney, Uti]ities
j Director and the local manager of the cable television systems. This,
too, was a very Beneficial trip and provided us with much needed
information.
I have also met with Dr. Ed Glick and Mr. Frank Bonner of the
NTSU Radio and Television Department. Both of these man are quite
knowledgeable in the field of cable television. Mr. Glick was know
ledgeable in the general operations of cable and Mr. Bonner, being a
radio-TV technician, was very knowledgeable in the to

Our real breakthrough in preparing an ordinance came when we got
in touch with the Cable Television Information Center, The Center is
x a non profit, nonpartisan organization funded by the Ford and Markle
Foundations to assist local governments by pruviding ob,iective, analyt-
ical and technical assistance on the policy issues surrounding cable
television. The center provided a programmed approach to the implemen-

Ware and I took this material and incorporated information from other
sources and developed a draft ordinance which we took back to the
Utility Board, The Utility Board, after several revisions to the
original draft, recommended the ordinance to the City Council in

The City Council began an intensive study of the ordinance shortly
after receiving it from the Utility Board. After several months study
the City Council passed the ordinance in June of 1977. The City Council
revised the ordinance as recommended by the Utility Board and incorpor-
ated a provision calling for the formation of a Cable Television Advi-
sory Board, This Board was implemented by City Council Resolution
passed in August of 1977, The City Council, at this time, selected a
five member Board consisting of Jerry Borchardt, Ed Glick, Leonard
Grafa, Ed Morrison, and Richard Ray. The ordinance establishing the
CAN Advisory Board states that the Board shall have the following
responsibilities and duties:

A. Resolving disputes or disagreements between subscribers and
r" the grantee after an investigation, should the subscriber
and the grantee not first be able to resolve their view or
disagreement. Said decision or findings may be appealed to
the City Council.

B. Reviewing and auditing ali reports and filings submitted to
the City as required hereunder and such other correspondence
as may be submitted to the City concerning the operation of
the cable television network, and reviewing the rules and
regulations set by the grantee company.
C. Assuring that all tariffs, rates and rules pertinent to the
operation of the CATV system in the City of Denton are made
available for inspection by the public at reasonable hours

f D. Reviewing rates and recommending any rate changes to the
City Council.
The CATV Advisory Board will also have the responsibility for reviewing
and evaluating the proposals for implementing a cable system for the
' j City of Denton.
The CATV Advisory Board has several immediate tasks:
A. Study CATV issues to become familiar with the processes and
rules of procedure,
B. Approve and recommend to the City Council a standard applica-
tion form.
C. Establish procedures for soliciting proposals from other
cable operators throughout the state.
D. Establish a procedure for evaluating ony proposals that we
might receive,

I am resigning primarily because I believe a possible conflict of interest
s may develop. The Division of Radio/Television/Film at North Texas State
University, of which I am a mtmber, will soon begin to work closely with
' Golden 'T'riangle Communications, and I believe tl~-tt the Advisory Hoard can
z hest be served by those who have no connection, direct or indirect, with
i1 the system it is charged to oversee.

9 I am grateful for the opportunity I have had to serve on tht_ Board. Not
only did I learn much, but I have developed an appreciation of those who
aer.ve the City, both as Council members and as professional staff, I want
particulnrly to commend Assistant City Manager, King Cole. The work of the
Advisory Board, as it went through the painstaking job of drawing up recom-
mendations for the Ordinance revision and the choosing of the applicants,
was made much easier and more effective because of the hard work, intelligence
and overall assistance given to it by King, f believe that Denton is particu-
larly f-irtunato to have a person of his gifts on ito staff, i
