A reorganization meeting for the Board of Directors 1
for the Denton County Housing Finance Corporation (the
"Corporation") has been proposed for Wednesday, April 20,
r
1988, in the Commissioners Courtroom, 401 West Hickory Street,
Denton, Texas 762010 at 3:00 o'clock p.m. If a quorum of the i
Board of Directors cannot attend a meeting on that date, a
meeting will be rescheduled for another date. If you are
unavailable for a meeting on April 20, please contact) the
- undersigned at (214) 969-0022.
As you probably know, the Commissioners Court
appointed new directors for terms commencing January 1, 19880
through December 31, 1995, upon expiration of the terms of the } J
prior directors on December 31, 1987. Because of the
j appointment of new directors and the death of Jerry John
Crawford, none of the prior officers of the Corporation are
current members of the Board. As counsel to the Corporation, { 1
after consultation with County Judge Via Burgess, we have 1
tentatively scheduled a reorganization meeting for April 20 to
I
consider at least two matters: first, to elect now officers,
and second, to determine if, as a matter of policy, the Board
of Directors will permit the refinancing of certain apartment
i projects that are in payment default on their development t
loans, at the request of Savers Federal Savings and Loan
Association of Little Mock, Arkansas and Denton Savings

Association of Denton, by approving refunding bonds similar to ,
the bonds recently issued by the Corporation at the request of I
Alamo Savings Association of San Antonio, Texas.

As you know, the Denton County Housing Finance Corporation '
was formed in January of 1980 to assist first-time home buyers,
f and later apartment dwellers, with facilities to occupy at a time
when interest rates were so high it was impossible to construct
new homes and apartments.
This Corporation continues to exist to monitor the bonds 1
hat were issued for these projects. Also, the Board of
Directors of the Corporation must remain in existence to attend
to housekeeping af.'airs such as amendments to documents and other ii
matters. J
The):e are presently eleven (11) members of the Board of
Directors whose terms expire on December 31, 1987. The Denton
County Commissioners' Court is the statutory authority who can J
I appoint memebers to this Board. Several years ago, it was agreed ti 1
between the Commissioners' Court and the Denton City Council that j
the City of Denton would not form a housing finance corporation
but would combine with the Commissioner's Court to form only one
Board. it then became the accepted practice for the Denton
` County Commissioners' Court to recommend six (6) directors, and
for the then City Council to recommend five (5) directors. The
Denton County Commissioners' Court then appointed the full board
after considering such recommendations.

Since the term of all board members ex'psires December 31, #
1987, T request that the Denton County Commissioners' Court
contact the Denton City Council for recommendations, the Denton i
' County Commissioners' Court review their recommended
appointments, and then complete the eleven member board
appointment prior to December 31, 1987, for terms to be effective
from January It 1988, through December 31, 1999, the required
seven-year term.
The present members of the Board of Directors who have
indicated in writing a request to serve for this additional term
and who were appointed as recommended by the Denton City Council
are Mayor Ray Stephens, City Manager Lloyd Harrell, Charles
Hopkins, and Mark Chew. Those persona who were recommended by

r the Denton County Commissioners' Court and who have indicated a
desire to serve for this additional term are County Commissioner
Lee Walker ;`County Commissioner Don Hill, Buddy Cole, Jim Jenne,
and Jerry John Crawford. q
