Dear Chris:
Enclosed Is an executed Bill of Sale and Assignment of Easement document
to complete the transfer of ownership of the Brazos 69 KV line to the City
of Donjon. Also enclosed are all of the original easements excepting the
one easement Brazos retained partial ownership of. We have enclosed a
xerox copy of this easement. The original will be in our files,
am looking forward to working with you In the future to the mutual
benefit of Denton and Brazos.

THAT Brazos Electric Power Cooperative, Inc., hereinafter
termed "Grantor", a Texas ^orporation, for a,id in consideration
of the sum of TEN and no/100 ($10.00) Dollars and other good
and valuable consideration paid to Grantor by the City- of Denton,
Texas, hereinafter termed "Grantee", the receipt and sufficiency
of which are hereby acknowledged and confessed, has GRANTFD, SOLD,
CONVEYED, AND/OR ASSIGNED and by these presents does hereby GRANT,
SELL, CONVEY, AND/OR ASSIGN unto Grantee all its right title and
interest in and to all easements and any other real property in-
terests associated with the 6.879 miles of right-of-way and trans-
mission line thereupon known as Brazos Line 206 (H-2) in the City
of Denton, Denton County, Texas, from the end of Double Circuit
to the North Denton Substation, sail easements being more par-
ticularly described on Exhibit "A" attached hereto and made a
part hereof for all Furposes.
There is excepted from this conveyance that part of that
certain Easement granted by Charles M. Simmons and Florence FT.
Simmons as recorded in Vol. 354, Page 396, Deed Records of Den-
ton County, Texas filed October 24, 1949 - Mary L. Austin Survey
ABST f4-41 AC,which underlies Grantor's retained transmission
line No. 205 from the end of Double Circuit over part of said
Simmons tract toward Grantor's Canyon Switching Station.
This conveyance is expressly made subject to the following:
(i) Any lien for current taxes, assessments, or
governmental charges or levies not in default.
(ii) Easements, grants, releases and leases of record
in Denton County, Texas.
TO HAVE AND TO HOLD all of Grantor's right title and interest
in and to said easements and said other real property interests,
together with all and singular the rights and appurt -.ances
theretc, unto Grantee, ita successors and assigns forever, so that
neither Grantor nor its successors and assigns shall. have, claim
or demand any right or title to said easements or said other real
property interests, premises or appurtenances or any part thereof.

KNOW ALL MEN BY THESE PRESENTS:
THAT, for good and valuable consideration, the receipt of
which is hereby acknowledged by Brazos Electric Puwer Cooperative,
Inc. (hereinafter termed the "Seller"), said Seller has SOLD,
TRANSFERRED, AND CONVEYED, and by these presents does SELL, TRANSFER,
AND CONVEY all its right title and interest in 6.879 miles of
transmission line known as Brazos Line 206 (H-2) in City of
Denton, Denton County, Texas, from the end of Double Circuit to
the North Denton Substation, unto the City of Denton, Texas
(hereinafter termed the "Purchaser"), its successors and assigns,
to have and to hold fozever.
For purposes of the Bill of Sale "Lransmission line" means
the following, to the extent such may exist on the date of execu-
tion of this Bill of Sale: 112 Poles - Structure No. 12/1 through
17/7, all lines, appurtenances and any other personal property or
fixtures associated with said transmission line.
This conveyance is expressly made subject to the following;
(i) Any lien for cuicent taxes, assements or govern-
mental charges or levies not in default.
(ii) No collection of sales tax is part of tae considera-
tion herein and the Seller believes such sale to be
non-taxable under the Limited Sales and Use Tax
laws of the State of Texas. Should, however, the
Comptroller of Public Accounts for the State of
Texas determine any sales tax to be duri or owing
on said sale the Purchaser shall pay such tax to
the Seller for payment to the Comptroller.
Seller binds itself to WARRANT AND DEFEND said transmisFion
line unto the said Purchaser, its successors and assigns, from

and against the lawful claims of whomsoever claims or shall claim
the same, or any part thereof, by, through, or under Seller, but
not otherwise, subject, however, as aforesaid.
IN WITNESS WHEREOF, this Bill of Sale is executed on the
day of , 1980.
