F. Barthold Estate to the City of Denton.. Texas of record in Volume 609, Page 667 of the Deed Records of Denton County, Texas, conveying an easement over the following describes] property, to-'wit: All that certain lot, tract or parcel of land lying and being situated in the County o, Denton, State of Texas, being a part of the B.B.B. and C.R.R. Survey, Abstract No. 141 and the R. Whitlock Survey, Abstract No. 1403 and being a part of a tract of land conveyed by E. W. Fritz, et ux to A. F. Barthold by deed dated May 13, 1911 and recorded in Volume 119, Page 401 of the Deed Records of Denton County, Texas and being more particularly described as follows: BEGINNING at a point in the north boundary line of said Barthold tract, same being the south right of way line of F. M. 1173, said point. of beginning lying a distance of 70.452 feet east of the east right of way line of the G. C. & S.F.R.R. The City Council hereby grants permission to the Denton Housing Authority to use the following property, to-wit: Lot 2A, Block 3, Heritage Oaks Addition, ` Denton. County, Texas as a park to be known as Jim Carter Memorial Park in conjunction with the operation of the Heritage Oaks Apartment Complex upon the following terms and conditions: 41. 1. No fixed or permanent structure may be built upon ti. the property without the written consent of the City of. Denton; 2. All development, landscaping, and planting of grass and/or other planting of trees shall he done at the sole cost and expense of the Denton Housing Authority and in accordance with the approval of the Director of the Parks and Recreation Department of the City of Denton; 3. Sucn area shall be mowed and cleaned by the Denton Housing Authority on a regular basis as may be determined from time to time by the Director of the Parks and Recreation Department of the City of Denton, Texas;? 4. The use of such property shall be on an annual basis which shall be automatically renewed from year to year, unless terminated by the City of Denton for failare to maintain such property in an acceptable manner. Kevin Lord, an employee of the Electrical Department of the City of Denton, c3 Texas, received serious injury from an electrical shuck when he came in contact with a truck which was touching a hot electrical; wire; and WiihRTAC, Mark Bcyd and Mike Porter, also employee, of the Electrical Department of the City of Denton, Texas, immediately recognized the serious situation and condition of Kevin Lord, and administered Kevin Lore; CPR and mouth to mouth res!-.scitati.on and continued until the ambulance and scene; and paramedics arrived on the WHEREAS, the quick action and first aid administered by Mark' Boyd and Mike Porter to Kevin Lord was a major factor r, contributing to saving the life of Kevin Lord; NOW, THEREFORE, T BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF DENTON,. Licensee shall at all times indernnify and save harmless Licensor against and pay in full all loss, damage or expense that Licensor may sustain, incur or become liable for, resulting in any mnn- ner from the construction, maintenance, use, state or repair, or presence of the PIPE LIN9,, including any such loss, damage or expense arising out of (a) loss of or damage to property, (b) injury to or death of persons, (c) mechanics' or other liens of any character, or (d) taxes or assessments of any land. 7. The boundaries of such Health 't District shall be co-extensive with the boundaries of Denton County, y 2, The Denton City-County Health Department is hereby created within said Health District to perform all the functions` pertaining to public health which any component member is authorized to perform. 3. A Director shall be appointed to operate and administer the Denton City-County Health Department and District. The ,xR Director shall be appointed and removed from office by the Commissioners Court of Denton County. The Director shall be a ` physician, licensed or eligible to he licensed by the Texas State Board of Medical Examiners and who has been certified by the State Board of health Resources. The Director's salary will be specified in each annual budget approved by the Commissioners: Court of Denton County, 4. The Denton City-County Health Department shall have such employees and/or departments as may be approved from time to S5 time by the Commissioners Court of Denton County. All employees of the Denton City-County Health Department shall be appointed and removed from office by the Director. All employees of the Denton City-County Health Department shall be subject to -:he personnel rules and/or policies of Denton County. i S. The funds paid by each governmental jurisdiction as shown on the budget and the "Agreement between the Texas State Department of Health and the Local Appropriating Agencies" are to be used for generally accepted public health purposes with emphasis on the prevention of morbidity and mortality. 8. This agreement under which the di^trict is created nay be modified from time to time with the consent of all the governing bodies which are parties hereto, and additional cities within Denton County may be included in the district by adopting and approving this agreement by resolution of its governing body. This district may be dissolved by consent of all the ` governing bodies, and the county or any city may withdraw from the district upon request of its governing body with the consent of a majority of the remaining governing bodies or by the governing body giving one year's notice to each of the other governing bodies of its intention to withdraw. WITNESSETH: WHEREAS, Denton wishes to employ Consultant for the purpose of performing detailed Feasibility Assessments for hydropower development at Lewisville Lake Dam and Ray Roberts Reservoir Dam and preparing applications for FERC licenses. NOW, THEREFORE, the parties hereto do hereby agree as follows. SECTION I Consultant shall perform the services, set forth in Attactanent 1 hereto, Description of Scope of Services. Attachment 1 shall apply to the compensa- tion limit unless the City of Denton agrees to modification of thz'scope of services. SECTION II In consideration of the services performed by Consultant under this Contract, Denton shall pay Consultant: A. Professional Services Charges for professional services of Consultant's staff who may be assigned to the project will be billed in accordance with Consultant's standard rates of 2.0 times payre'.1 costs of personnel applied to the services. Payroll cost is defined as 1.25 times direct salary cost. Average salaries per man-day for variuus categories of personnel to be applied to services are as follows. 1 BLACK & VEATCH AVERAGE SALARIES The following are average salaries for services to be performed in 1981. 1981 Average Man-Day Salary Project Management 189 Senior Level Engineer 161 Intermediate Level Engineer 128 Drafting and Clerical Personnel 50 Technical Publications 67 These daily rates are to be considered as direct salary cost and do not include payroll overhead costs. B. Out of Pocket Expenses In addition to the Cost of professional services, certain other expenses consisting of, but not limited to, travel, lodging, and living expenses of Consultant's employees when engaged on a project away from the home office, plus long distance telephone and other incidental charges will be billed at cost. Printing, reproduction and data processing charges, as required, will be billed in accordance with Consultant's standard rates prevailing at the time such services are rendered. The use of Consultant's automobiles shall be charged at 25 cents per mile. Rented automobiles shall be billed at cost. Subcontractors for surveying and environmental field work, if required, will be billed at actual costs. C. Billing Limit Unless authorized by Denton, the maximum charges for professional services and expenses for the Detailed Feasibility Studies shall be $56,000. Upon authorization by Denton, the Consultant will proceed to prepare the Applications for FERC License. The maximum charges for the professional services and expenses for the applications will be established prior to authorization. SECTION III The Consultant will submit invoices for Services to Denton for payment by about the fifteenth day of the month following the month in which such Services were performed. The Consultant's fiscal month is from the 27th day 2 Of each month through the 26th day of the succeeding month. Denton shall pay the Consultant the full invoice amount within 30 days of the invoice date. SECTION IV Consultant will utilize its own person-iel in the consideration of all required studies except as subcontractors are required, and authorized by Denton, for the purpose of surveying and/or environmental field investiga- tion. Under no circumstances shall Consultant be authorized to enter into any contract with another which would obligate Denton to pay all or part of the amount due under any such contract irrespective of whether recovery might be based upon an express or implied contract (quantum meruit). SECTION V Denton may terminate this Contract upon thirty days prior written notice to Consultant. In the event of termination, Denton shall pay Consultant for full services rendered and expenses incurred to date of termination and Denton shall receive all completed analysis comparisons, and work done to the, date of termination and any work in progress or incomplete reports will be delivered to Denton. SECTION VI ` The Director of Utilities will serve as Project Manager for the City and-will be responsible for all technical issues, arranging meetings and other such matters as required of the City. The City will make available to the Consultant all information that may be relevant to the Study that is available within the records of the City or other public bodies. SECTION VII Consultant will complete its services under this contract for the feasibility study and deliver the feasibility study reports by January 31, 1982. Unless modified by Denton, the FERC License application(s) will be submitted to FERC by May 30, 1982. SECTION VIII In no event shall Consultant be liable in any cause of action for special, indirect or consequential damages of any nature. 3 • ' • , . Legal/Regulatory Assessment - Identify and evaluate the regu- latory and licensing procedures. 3. Hydrologic/Hydraulic Evaluation Confirm and refine hydrologic/ hydraulic characteristics of the two-reservoir system. 4. Preliminary Design - Develop design detail to provide basis for capital cost estimate and support license documentation. 5. Environmental Assessment - Assess environmental impacts. 6. Economic Evaluation - Determine economic and financial feasibility, cash flows, and net value. 1. Report - Provide final report to City of Denton documenting the results of the assessments. Phase 2 - License Application This phase will be initiated only following specific authorization from the City of Denton. Phaae 2 includes all activities required to prepare and submit license application(s) to FERC. Phase 2 will include: 1. Project Management 2. Environmental Investigations - Perform all work required by license documentation. 3. Surveying and Mapping - Develop surface and subsurface information. 4. Preliminary Design - Preparation of design drawings as needed for license submittal. 5. Application Preparation - Preparation of all documentation required. A-1 SCOPE OF SERVICES Introduction Technical, economic, and financial studies have been performed to assess the feasibility of developing a hydroelectric generating facility at Lewis- ville Dam and the planned Ray Roberts Dam. The studies included site reconnaissance, the review of Untied States Geological Survey stream flow data and U.S. Army Corps of Engineers' memoranda, the performance of conceptual design analyses, and the performance of economic and financial analyses. The initial assessments indicated both projects to be feasible. The next development steps are to perform the final feasibility assess- ments and prepare and submit applications for FERC licenses.' The activities to be performed in performing the detailed assessment and in support of an application for license are outlined below. Results of the engineering, legal/regulatory, and environmental investigations will be continuously and carefully monitored. If un.;xpected adverse conditions are identified in the course of these studies for either prbject the City would be informed and further development abandoned. Phase I - Detailed Feasibility Assessment Task 1 - Project Management. The consultant will pravide project management, liaison with the applicant, agency coordination, and develop- ment guidance. The following activities are included in Task 1. 1.1 Coordinate and supervise efforts of staff personnel. 1.2 Coordinate and meet with Corps of Engineers, FERC, Fish and Wildlife, and other agencies to ensure timely execution and optimum utilization of available information. 1.3 Provide liaison with applicant. 1.4 Provide applicant guidance through development studies, meetings, and interviews. Task 2 - Legal/Regulatory Assessment. The consultant will identify and evaluate the various licensing and exemption alternatives available to the City of Denton. Analyses required for the selected licensing alternative will be performed. The following activities are included in Task 2. 1-1 2.1 Identify state and federal permitting and licensing requirements and alternatives. 2.2 Coordinate with FERC and the Corps of Engineers to analyze water rights, ownership rights, and the Federal Power Act, as they pertain to the proposed development. 2.3 Assess the relative advantages and disadvantages associated with the various lireastpo and a„zc.ption alternatives identified in 2.1. 2.4 Determine regulatory process for obtaining necessary permits and licenses. 2.5 Assess the risk of licensing delays. Task 3 - Hydrologic/Hydraulic Evaluation. The consultant will confirm and refine the hydrologic/hydraulic characteristics utilized during previous studies. Flow duration, headwater elevations, and tailwater-discharge relationships for the two-reservoir system will be projected and/or confirmed. The following activites are included in Task 3. 3.1 Previously supplied data relating to Lewisville Lake releases, proposed Ray Roberts operation, and water surface elevations a,~ove and below the proposed site will be evaluated and adjusted as necessary to provide reliable design data. 3.2 Coordinate with the Corps of Engineers to establish operating parameters. 3.3 Develop design parameters based on flow conditions and operating schedules. Task 4 _Preliminary Design. A preliminary project design will be developed. The design will be of sufficient detail for capital cost esti- mates for a final decision regarding project development, and to support an application for license. The following activities are included in Ta k 4. 4.1 Detailed design discussions with the Corps of Engineers will be initiated to determine the capability of the existing outlet works at Lewisville Dam and the planned outlet works at the Ray Roberts Dam. The discussions will include possible modifica- tions to the outlet works at the Ray Roberts Dam provided such modifications will not impede the Ray Roberts Dam development schedule. 1-2 MONFAN 1 1 4.2 Refined hydrologic /hydraulic data will be sent to turbine-generator manufacturers to support machinery selections and cost estimates. 4.3 Estimates of annual generation will be developed from rofined hydrologic/hydraulic data and manufacturers information. 4,4 Preliminary designs will be developed to provide capital cost estimates and to support an application for license. Task 5 - Environmental Assessment. In coordination with the legal/ regulatory assessment, necessary environmental investigations will be per- formed. The'£ollowing activities are included in Task 5. 5.1 Identify required environmental investigations and analyses. 5.2 Review available data and reports concerning the environmental characteristics at the proposed project site. 5.3 Perform investigations and analyses necessary to assess con- straints on development. 5.4 Assess the risk of licensing delays. Task 6 - Economic K2 aluaticn. Analyses that will enable the City of Denton to make a final decision regarding project implementation, and required to support an application for license will be performed. The following activities are included in Task 6. 6.1 Estimate future values of capacity and energy for the City of Denton, Texas. 6.2 Perform benefit-cost and net present value analyses based on financing alternatives identified by the City. 6.3 Select optimum capacity and turbine-generator configuration. 6.4 Compare production costs from proposed project with costs for alternatives. Task 7 - Report. A report will be prepared to document results of all analyses and evaluations performed to support an application for license. The report will include the final cost estimate for the license applications. A brief review period will be provided for the City of Denton to make a final decision regarding project implementation. 1-3 ' F ~ I Phase II - License Application / If the City of Denton decides to pursue project implementation, the activities listed below will be performed to complete the preparation of permit and licen&e applications. All coordination and documentation required to prepare, submit, and support an application for licensq will be performed. Schedule - The proposed schedule is presented in Figure 1. January b, 1981 - File Applications for Preliminary Permits with FERC. February 4, 1981- Initiate detailed feasibility assessments. January 1982 - Submit final feasibility reports for City review. February 1982 - Completion of City review and start of License Application documentation. May 1982 - Submit applications for FERC License or exemptions. Mr. R. M. Ellis will be the Partner-in-Charge, Mr. G. L. Hunnicutt the Project Manager, and Mr. G. V. Neill the Project Engineer.
