ATTACHMENT I I DCNTON SESQUICENTENNIAL MASTER PLAN The following projects/festivals/exhibits have been chores by Denton's Sesquicentennial Coordinating Committee for inclusion in the 1986 celebration in the City of Uenton; 1. Support the Oreater Denton Arts Council in its butidin campaign-- Work on converting -two o~ er ty oento`n u~fn~g o` o sserrveas a permanent home for the arts is underway; the Sesquicentennial Steering Committee will appoint a subcommittee to aid the officers of the GDAC in making specific plans, It is hoped that by 1986 the two buildings will be in use and can be designated as Independence Community buildings, 2,* Restore the Evers House as a community_proiect and as agiifftt _t_o_ !he communes=-•fi1ie exter~r o1~ _t Fe ouse, a' m3-aged`in a` rfi e, as been res oredirit is hoped that permission can be gained from the owner for work to continue on the interior, Mrs, Isabel Miller, architect and member of the Denton Historical Commission, will be asked to coordinate this effort. 3, Restore Bloomfield School on Highland Street--This one-room school house h~ on mov"~o`n'to a or estate University campus, M p will oe sought from the two Junior Historians clubs at the two Junior high schools in Denton, 4, Specialcon b, ants-- a, Writing `co_ni:ists will be sponsored by the PTA organization in each of the schools. b. Homecomin s and anvil reunions--Publicity in the Denton Record-Chronicle will encourage such reunions t roughout 1986. In `addition, specific homecoming celebrations will be coordinated through a subcommittee of I the Steering Committee. 16, Neiohborhood_involvementlactiv`i"ties-Through features in the Denton Record- (1' n c e, neighborhoods will be encouraged to function as a group to beautify areas and to, host special celebrations. 17. Festivals— a. The traditional Denton Spring Fling will, in 1986, be a focal point for the Sesquecentennial celebration. The already-existing executive committee of the annual Spring Fling will plan the activity. b. Special programs will be held on days important in Texas history such as April 21, May 5 etc. These will be coordinated through, in some cases, already-existing organizations and, in other cases, through specially appointed subcommittees of the Steering Committee, I 1 1 1 1 . 1 1 I 1 ATTACHMENT III LOGO USE I. The logo will be used as part of a permanent plaque on all building associated with the Sesquecentennial Celebration in the City of Renton (e,g,, Nos, 1, 2, 3 on the Master Plan described in Attachment I1). 2. The logo will be used in publicity involving the Sesque- centennial Celebration (eNos. 4, b, 9, 10, 14, 151 16, and 17 on the Master Plan described in Attachment 11), 3. The logo will be used to designate various permanent mementos of the Sesquecentennial Celebration (e,g., Nos. 6 and 13 on the Master Plan described in Attachment 11). 4. Very truly yours, 1 " Honorable Mayor and City Council City 4 Denton July 13, 3AB2 Denton „Texas r Gentlement 1 1 By this proposal, we offer our professional services and our facilities to serve as your Financial Consultant to direct and coordinate the entire program to refund in advance of their maturities all of the City of Denton's (the "City") Electric System and Water and Sewer System Revenue Bonds, It is understood and agreed, however, that this obligation on our part shall not cover the cost of any litigation, mandamus actions, test cases or other similar actions, In view of the conditions of the bond market at this time, and the urgency to complote the refunding of subject bonds at the earliest possible date, it is our recommendation that we be authorized to proceed immediately to implement the refunding program and to select an underwriting group (the "Underwriters") to handle the underwriting and marketing of these refund- ing bonds (the "Refunding Bonds") under the most favorable terms, To minimize the cost of issuance and expedite the marketing of the Refunding Bonds, we would select not more than three firms to place the issue through a Limited Placement Offering, 4 The ultimate plan of finance and structure of the refunding bond program will be prepared and submitted to the City Council within 90 days from the date hereof, The entire program is subject to approval and acceptance by the City Council when so submitted. When an advance refunding program is accomplished, all of the expenses and fees incident to the refunding and issuance of the new Refunding Bonds would be classified as issuance expenses and would be paid from the proceeds of said Refunding Bonds, In order to effectively issue and market these Refunding Bonds, we will perform the following duties, and such other duties as, in our ,judgment, may be necessary or advisable: 16 Negotiate with and engage on behalf of the City Underwriters to place the Bonds at a Placement Fee not to exceed 1% (or $10,00 per $1,000 Bond) of the issue. The Fee will be paid by the City of Denton and will be payable from Bond Proceeds. 2. Supervise and assist in the preparation of all the arithmetical and mathematical computations so that the bond issue can be structured and sold under terms most advantageous to the City, 3. Work and maintain liaison with Bond Counsel, McCall, Parkhurst & Horton, in the preparation and passage of all necessary legal documents. 44 Work and maintain liaison with Counsel to the Underwriters, to be selected by the Underwriters #and whose fee will be paid by them, in the , preparation of documents required by the Underwriters. 51 Work with the Underwriters in tho preparation and printing of the Official Statement, or Offering Memorandum, and any other documents that might be required to successfully market the Refunding Bonds, so that said Bonds can be issued and sold in a timely and economic manner, 60 Arrange for the presentation of the refunding program to the rating agencies, Moody's Investors Service, Inc, and Standard & Poor's Corporation, in order that a credit rating may be assigned to the Refunding Bonds, as well as the bonds to be defeased, 7. Negotiate an acceptable arrangement with the Fort Worth National Bank, Fort Worth, Texas, to act as Escrow Agent on the outstanding bonds and supply them with all necessary documentation. 81 Handle the negotiations with the Underwriters as to the pricing and marketing of the Refunding Bonds so that the purchase price and interest rates of said Bonds will be to the best interests of the City, and acceptable to the City, 90 Cause to be done all the work incident to printing of the Refund- ing Bonds, approval by the Attorney General of the State of Texas and registration by the Comptroller of Public Accounts. 10. Prepare, and obtain execution, of all the required documents to acquire the government securities necessary to defease the outstanding Electric System and Water and Sewer System Revenue Bonds, 11. Make the necessary arrangements for the signing of the Bonds and the closing.and delivery in New York. ' Our fee for performing the services enumerated herein from the inception of the refundinU program to its final completion and consummation will be $14 4O. per $1,000 par value of Refunding Bonds, issued, sold and delivered, out of which we will assume and pay all expenses of the refunding, with the exception of the Placement Fee of the Underwriters pursuant to paragraph 1s r, above. These expenses include, but are not limited to the following: (a) Computer expenses incurred and to be incurred in structuring the refunding program and the Refunding Bonds; (b) Feo and expenses of a recognized accounting firm which is quali- fied to verify the arithmetical and mathematical computations; (c) All travel expenses in submitting the refundi::program to the bond rating services, and the credit rating fees of st..i'd services; ~ f (d) All travel expenses r(ilative to the signing, closing and delIvory#' of the Refunding Bonds; (e) Fees and expenses of Bond Counsel.
