LICENSE AGREEMENT

hereinafter called Licensor, and city Secretary

called Licensee.
i In consideration of the mutual promfses herein contained,
the parties agree as folloTrs:
1. GRANT OF LiCENSEr PREMISES. Licensor hereby grants to #
licensee a license to occupy and use, subject to all the terms
and conditions hereof, the followiiig described premises:
Room A & B for voting

II. USE; TERM. The premises may be occupied and used by

III. AMOUNT AND MANNER OF PAYMENT. The license price to

being incorporated by reference into this Agreement.
All payments, including deposits required, as shown on
Schedule "A" shall be payable in advance.
Failure of the Licensee to make payment in accordance with
the terms of this Agreement shall cause this Agreement to be
immediately null and void. In such event, it is understood and

' agreed that Licensor may retain any, deposit as partial
compensation for losses incurred by Licensor due to Licensee's
I breach. Licensor may also seek further consideration from {
Licensee to compensate Licensor for any damage or breach of

IV. COVENANTS OF LICENSOR. Licensor covenants to permit
the Licensee to peaceably and quietly have, hold and enjoy the
use of the premises herein specifically described for the

purpose and for the term specified.
V. COVENANTS OF LICENSEE. The Licensee agrees:
(a) That Licensor shall not be liable for the loss,
exchange or theft of personal property of the
Licensee and invitees.
(b) To abide by the posted rules and policies of
Licensor that are now in effect or as amended.
(c) To pay to the Licensor on demand any sum which may
be. due to the Licensor for additional service,
+ accommodations, or material' furnished or loaned by,
the, Licensor.
(d),,-,To .quit and surrender up said premises to the
Licensor at the end of said term in tthe same t
condition as at the date of the 'commencement' of '
the Agreement, ordinary use and wear .thereof
excepted. 1
(e) To comply with all laws of the United States,
! State of Texas and all ordinat+ces, rules or
} arequirements of the City of Denton.
(f) To pay to the Licensor upon demand such sum as
shall be necessary to restore such premises to
their present condition if damaged by, the act,
default or negligence of the Licensee, its agents
{ or invitees.

vi.. REFUNDS. Licensor shall make no refunds or rebates, it
except as specifically, provided in Articles V11 and VIII of
this Agreement.
VII. ABILITY OF PERFORMANCE BY LICENSOR. The Licensee
agrees that Licensor shall not be responsible or liable for

failure to provide, the Licensee with the schedule date(s) and
time(s) shown in this contract, due to unforeseeable causes
beyond the control and without the fault or negligence of

VIII. PROVISION FOR SPECIAL EVENTS. In the event the
Licensor desires, in good faith, to schedule a special event on

and time(s) to Licensee null and void, In such an event
Licensee has the `option of demanding:
1 (a) Arefund of any monies paid to Licensor hereunder

Licensor and to indemnify and save licensor harmless from any
and all claims and demands of every kind and nature in favor of

Schedule "B" attached hereto and incorporated herein for all

XI. ASSIGNING OR SUBLETTING. That.said Licensee will not

assign or transfer the license, nor sublet the premises herein

of Licensor.
