COUNTY OF DENTON §

The undersigned, Jane Hopkins, being duly sworn says that she
is a duly elected, qualified, and acting member of the City
Council of the City of Denton, Texas, and that the following
statements are true and correct:
On or after August 2, 1988, the City Council of the City
of Denton, Texas is proposing to pass an ordinance auth-
orizing a issuance, sale, and delivery of Cit of Dentonub''
Bonds, Series 1988, dated d 19
1988, in the principal amount of $S (the "Bonds").
It is further proposed that the Iaw firm of McCall,
Parkhurst & Horton, Dallas, Texas, a partnership, act as
special legal counsel ("Bond Counsel') to the City in
connection with the issuance of the Bonds, and Render the
required legal opinion to the purchasers thereof with
respect to the validity of these Bonds. If the Bonds
actually are issued, sold, and delivered to a purchaser,
McCall, Parkhurst & Horton will be paid its customary fee
and expenses for acting as such special legal counsel to
the City. McCall, Parkhurst & Horton has acted as special
legal counsel ("Bond Counsel") to the City of Dento in
connection with all of its bond issues for many years i1
prior to my election as a member of the City Council, and
I have been advised that the files of said firm show that
1 it has served in such capacity for over fifty years. My
son-in-law, L. E. Brizzolara, III, was a partner in McCall,
Parkhurst & Horton prior to my election, and is now a
partner in such firm. However, it is deemed advisable by
me that this matter be formally disclosed in this instru-
ment and filed with the City Secretary. I

The undersigned, Jane Hopkins, being duly sworn says that
she is a duly elected, qualified, and acting member of the City
Council of the City of Denton, Texas, and that the following
statements are true and correct:
On or after February 2, 19881 the City Council of the
City of Denton, Texas, is proposing to pass an ordinance
authorizing the issuance, sale, and delivery of city of
Denton General Obligation Bonds, Series 1988, dated
January 1, 1988, in the principal amount of $3,600,000
(the "Bonds"). It is further proposed that the law firm
of McCall, Parkhurst & Horton, Dallas, Texas, a
partnership, act as special legal counsel ("Bond Counsel")
to the City in connection with the issuance of the Bonds,
and render tho required legal opinion to the purchasers
thereof with respect to the validity of these Bonds. If
the Bonds actually are issued, sold, and delivered to a
purchaser, McCall, Parkhurst & Horton will be paid its
customary fee and expenses for acting as such special
legal counsel to the City. McCall, Parkhurst & Horton has
acted as special legal counsel ("Bond Counsel") to the
City of Denton in connection with all of its bond issues
for many years prior to my election as a member of the
City council, and I have been advised that the files of

Brizzolara, 111, was a partner in McCall, Parkhurst &
