Ten and .no/100 Dollars ($10.00) and other good and
valuable consideration, the receipt and sufficiency of
which is hereby acknowledged.

SEE EXHIBIT A ATTACHED HERETO (the "Property")

Reservations, Conditions and Agreements reserved and/or set out as
follows:
(1) Easement created in instrument executed by First State Bank of
Denton to the City of Denton for public utilities, dated May
26, 1992, filed July 17, 1992, recorded in Volume 3278, Page
881, Deed Records, Denton County, Texas.
(2) Grantor reserves an Ingress-Egress Easement for the free, non-
exclusive and uninterrupted use for ingress and egress over
and across the Property and construction rights in, ever and f
across the Property described in Exhibit A attached hereto so
that Grantor may connect the Lowe's Demised Premises as shown
on Exhibit A-1 (the "Lowe's Premises") to the existing Loop
288 in accordance with plans approved by the Grantee. Such
easement shall terminate at the time the new Loop 288 road is
• constructed and the existing drives are connected to the new
road alignment.
(3) Grantee agrees that construction of new Loop 288 shall be
commenced on or before January 31, 2006 or the nr9~grty shall
automatically revert back to Grin
0 (4) Grantor hereby reserves an easement to construct, maintain and
repair, and, if necessary, to provide electrical service to,
a monument sign in the southwestern portion of the property
for the purpose of advertising business being conducted, or to
be conducted, on the Lowe's Premises. Such easement shall
terminate at the time Grantee conveys the heroin described

tract to the Texas Department of Transportation. Grantee
shall notify Grantor of the conveyance and Grantor shad
remove sign and appurtenances within 60 days from such written
notification. Grantor shall be responsible for all costs
associated with removal of the sign and appurtenances.
(5) Taxes for 1996, not yet due and payable.
Grantor, for the consideration and subject to the reservations from
and exceptions to conveyance and warranty, grants, sells, and
convoys to Grantee tha Property, subject to the reservations
hereinafter made, together with all and ringular the rights and
appurtenances thereto in anywise belonging, to HAVE AND HOLD it to
Grantee, Grantee's executors, administrators, successors, or
assigns forever. Grantor binds Grantor and Grantor0a executors,
administrators and successors to warrant and forever defend all and
singular the Property to Grantee and Grantee's executors,
administrators, and successors and assigns against every person
whomsoever lawfully claiming or to claim the same or any part
thereof, except as to the reservations from and exceptions to
conveyance and warranty. Grantee accepts the Property subject to
Reservations, Conditions and Agreements as set forth above.
