I ~ For value received and to secure payment of the note, Grantor conveys the property to rrustee in trust. Grantor warrants and agrees to defend the title to the property. If Grantor performs all the covenants and pays the note according to its terms, this 1 J t deed of trust shall havq no further effect, and Beneficiary shall release it at Grantor's expense. Grantor's Obligations Grantor agrees to: 1. Keep the property in good repair and condition] 2. Pay all taxes and assessments on the property when duet 3. Preserve the lien's priority as it is established in this deed i of trust; I Beneficiary's Rigbts 1. Beneficiary may appoint in writing a substitute or successor trustee, succeeding to all rights and responsibilities of Trustee. 2. If the proceeds of the note are used to pay any debt secured by prior liens, Beneficiary is subrogated to all of the rights and liens of the holders of any debt -,o paid. 3. If Grantor fails to perform any of :,rantor's obligations, Beneficiary may perform those obligations and be reimbursed by Grantor on demand at the place where the note is payable for any sums so paid, including attorney's fees. The sum to be reimbursed shall be secured by this deed of trust. 4. If Grantor defaults on the note or fails to perform any of Grantor's obligations, and the default continues after Beneficiary gives Grantor notice of the default and the time within which it must be cured, as may be required by law or by written agreement, then Beneficiary may: a. declare the unpaid principal balance and earned interest on the note immediately due; b. request Trustee to foreclose this lien, in which case Beneficiary or Beneficiary's agent shall give notice of the foreclosure sale as provided by the Texas Property Code as then amended; and c. purchase the property at any foreclosure sale by offering the highest bid and then have the bid credited on the note. Trustee's Duties If requested by Beneficiary to foreclose this lien, Trustee shall: 1. Either personally or by agent give notice of the foreclosure sale as required by the Texas Property Code as then amended; 2. Sell and convey all or part of the property to the highest bidder for cash with a general warranty binding Grantor, , subject to prior liens and to other exceptions to conveyance ' and warranty; and ~k. 3. From the proceeds of the sale, pay, in this orders a. expenses of foreclosure, including a commission to 2 . Trustee of 5% of the bidr b. to Beneficiary, the full amount of principal, interest, attorney's fees, and other charges due and unpaid; C. any amounts required by law to be paid before payment to Grantor; and d. to Grantor, any balance. asneral Provisions 1. If any of the property is sold under this deed of trust, Grantor shall immediately surrender possession to the purchaser. If Grantor fails to do so, Grantor shall become a tenant at sufferance of the purchaser, subject to an action for forc4ble detainer. 21 Recitals in any Trustee's deed conveying the property will be presumed to be true. 3. Proceedings under this deed of trust, filing suit for foreclosure, or pursuing any other remedy will not constitute an election of remedies. d. This lien shall remain superior to liens later created even if the time of payment of all or part of the note is extended or part of the property is released. 5. If any portion of the note cannot be lawfully secured by this deed of trust, payments shall to applied first to discharge that portion. 6. whan the context requires, singular nouns and pronouns include 3 the plural. 7. The term "note" includes all sums secured by this deed of trust. 8. This deed of trust shall bind, inure to the benefit of, and be exercised by successors in interest of all parties. a 1 9. Grantor represents that this deed of trust and the note are # given fur the following purposese The Deed of Trust secures payment of the Note issued in connection with that one certain Memorandum of Understanding entitled 'ECONOMIC DEVELOPMENT PROGRAM INCENTIVES FOR INTERNATIONAL f ISOTOPES, INC. (AIPC)", dated February 110 19970 by and betweeiti NW Realty, Inc. and Terrano Realty, Inc. (referred to jointly as "Joint Venture") and City of Denton ('City"), herein called the "Agreement", reference to which is here made for all purposes, said Agreement being incorporated herein by this reference for all purposes and made a part hereof. Capitalj.zed terms used and not otherwise defined shall have the meanings ascribed thereto in the Agreement. Grantor shall be entitled to partial releases from this Deed of Trust from time to time of portions of the property as designated by Grantor in the manner set forth below. In the alternative, at the election of Grantor, Grantor shall be entitled I ~J . Z to releases of portions of the substitute collateral provided for below, on the basin of $1.00 of substitute collateral released for each $1.00 paid on the pprincipal of the Note secured herebyl provided, however, that in no event shall the payment on the principal of the Note secured hereby required in order to release portions of the property from this Deed of Trust or to release the substitute collateral be greater than the remaining unpaid principal balance of the Note. If Grantor desires to sell a portion of the property covered by this Deed of Trust, Grantor shall be entitled to partial releases from this Deed of Trust in consideration for substituting an Escrow Agreement (in the form attached as Schedule 1 to the Soto) funded at $1,700.00 per acre comprising the land to be released. The portions of the property to be released shall be designated by Grantor, and at the time Grantor desires the partial release, Grantor shall deposit with the Escrow Agent under the Escrow Agreement an amount of money equal to $1,700.00 per acre of land to be released, whereupon the holder of the Note shall execute and deliver to Grantor a partial release of lien in recordable form. Each application for release must be accompanied by a legal description of the parcel or parcels to be released. If Grantor desires to incur any additional lien, security agreement or encumbrance on or sell any portion of the land covered i by this Deed of Trust, during the period commencing with the date of the Agreement and ending three (1) years thereafter, Grantor shall first obtain the written consent of the City, or provide the City (a) an escrow fund under the Escrow Agreement in the amount of the unpaid principal balance of the Note, or (b) an escrow fund under the Escrow Agreement in the amount of $1,700.00 per acre desired to be released, or (c) provide the City with a performance bond as provided for in the Agreement. The City agrees that it will approve releases or subordinate the lien of this Deed of Trust, as appropriate, to the followings utility easements, drainage easements, streets, roads, parks and playgrounds, and the like desired by Grantor in connection Frith its sale or development of the property covered by this Doed of Trust. when the context requires, singular nouns and pronouns include the plural.
