WHEREAS, Trilliant, Inc. (66Trilliant99) is the existing client of Farella, Braun + Martell,
LLP (66Farella") under a separate and unrelated general engagement; and
WHEREAS, Trilliant has separately arranged to fund the City's legal defense by Farella in
patent infringement litigatian styled Atlas IP, LLC v. Denton Municipal Electric, Cause No. 2:16-
CV-01397-JRG, currently pending in the United States District Court, Eastern District, Marshall
D1V1S10ri, No�!, THE�Foi�,

SECTION 1. The City Council of the City of Denton hereby waives any potential conflicts
associated with the simultaneaus legal representatian by the law firm of Farella, Braun + Martell,
LLP, of both Trilliant, Inc. and the City of Denton, and hereby ratifies and approves said
engagement an behalf af the City of Dentan.
SECTION 2. This Resolution shall become effective imrnediately upon its passage and
approval.
