INDEMNITY AGRF,EMEN'�'
DENTON 13Lf1CK CHAMBEI� OT� CCMMEI�.C� shall ind�mni.f`y, defi�nd, aild save and
hold harinless the CITY and its afiicers, agents, a�7d emplayees fram and a�;ainst any and all
liability, claitns, demaX�ds, losses, and expenses, including but not limited to, cc7urt costs atld
re�sanabie attorney %es incurred by the CITY, anci includin�, without limitation, damages ior
badily and pc�rsanal injury, death arrd pro}�erty damage, resulting frai�a the negligent acts or
omissions af DEI'�TON BI,A�;K CHAMBER C)F COMMERCE at• its officers, shareholders,
agents, ar employecs in the execution, «peration, or perfarniance of this A�;reen7ent,
Nothing in this Agreement shall be construed to create a liability ta any persan vvl�o is nat
a party to this r�greement, and nothin�; herein shall waive any of the parties' defenses, both at law
ar equiiy, to any claim, cause of action, ar iztigation filed by anyane ncrt a�aarty ta this A�re�ment,

CC�MMERC� shall maintarn the followin�, insurance with an insurance company licensed ta do
business in the State of i'exas by the St�te Insurance Gommission or �ny successor agency that has
a rating w�tl� Sest Rate Carriers of at Ieast an A- or abc�ve:
A. �omprehens�ve Gerret�al Iliability insurance with k�odily injury I�mits af not less than
$1,000,000 for Lacl� accurrence and not Iess than $1,CJ00,000 in the aggre�ate, and with
pr•opei�ty damage limits of not less than $100,000 for each accurrence and nat Iess than
$1 OO,Q00 in the aggregate,
B. LiquarlD��an1 Shap Liabi]ity in the amount of' $ i,oaa,000 �er occurrence far any event
aceurring c�n City-awned propei�ty where alcolZol will be provided or served.
C� DEN1'ON I3LACK GHAMBER Ol�' COMMERCE shall furnish irlsurance certificates or
izlsurance policies at the CIT°Y'S request ta evidence such coverages. Tlie insura�ice
policies shall nanle the CITY as an additi�nal insured an all such palicies, and shall contain
�� provisian that such insurance shall nat be canceled or mc�dified witho��t written t�otice to
the CTTY and DENTUN Br,ACI� CE�AMBER OF COMMERCE. In such eve�zt, DENTQN
}3LAGK CIiAMI3ER OF COMMERCC shall, priar ta the effcctive date of the change ar
cancellatian, serve substitute palicies furizishing the same coverage.
Ali notices, communicatioais, and re�orts reqLzired or �ermitted under thxs Agreement shall
be persanally delivered or mailed to the respcctive partres by depositin� same in the United States
mail ta the address shawn below, certified mai1, rcturn receipt requested, unless otherwise
spccifierl herein. Mailed natices shall be deemed comtnunicated as at°thrce (3) days' mailing:
