HomeMy WebLinkAbout21-1508RESOLUTION NO. 21-1508 A RESOLUTION OF THE CITY OF DENTON AUTHORIZING AND APPROVING EXECUTION OF A MEMORANDUM OF UNDERSTANDING WITH THE DENTON BLACK CHAMBER OF COMMERCE TO COLLABORATE ON BUSINESS SUPPORT ACTIVITIES WITHIN THE CITY OF DENTON; AND PROVIDING AN EFFECTIVE DATE. WHEREAS, the City seeks to build mutually beneficial relationships with associations and organizations that provide assistance to qualified Denton small, minority, and women -owned businesses; and WHEREAS, the City Economic Development Strategic Plan as adopted by the Denton City Council on February 9, 2021 ("Strategic Plan"), Section 1.5.2, calls for the City to coordinate with the Denton Black Chamber of Commerce ("DBCOC") and other multicultural organizations to provide targeted information for minority or women owned businesses; and WHEREAS, the City desires to enter into a nonbinding memorandum of understanding with the DBCOC to assist with support of Denton's black -owned businesses and provide business assistance to such businesses; and WHEREAS, the DBCOC and the City desire to form a partnership for the purposes of promoting business interests in the Denton community; and WHEREAS, Section 1.5.5 of the Strategic Plan calls for the City to highlight businesses owned by women and minorities in marketing materials and through digital marketing channels to increase awareness and promote their success; and WHEREAS, the DBCOC and City hereto are committed to a strong and viable economic development program; and WHEREAS, the City and the DBCOC will jointly develop and support programs and activities designed to provide black -owned businesses with skills training, access to local banks/investors and business certification options necessary to enhance their participation in the contracting opportunities from federal, state, and local agencies and corporate organizations; and WHEREAS, on July 14, 2021 the Economic Development Partnership Board made the recommendation to approve a Memorandum of Understanding ("MOU") between the City and DBCOC; and WHEREAS, the City Council of the City of Denton hereby finds that the MOU between the City and DBCOC serves a municipal and public purpose, is in the public interest, and of a benefit to the citizens and businesses of the city of Denton; NOW, THEREFORE, THE COUNCIL OF THE CITY OF DENTON HEREBY RESOLVES: SECTION 1. The findings and recitations contained in the preamble of this resolution are incorporated herein by reference. SECTION 2. The Interim City Manager is authorized to execute the Memorandum of Understanding with Denton Black Chamber of Commerce, which is attached hereto as Exhibit "A" and made a part hereof for all purposes, and to carry out the duties and responsibilities of the City under the MOU. SECTION 3. The MOU shall be effective on August 24, 2021 and shall remain in effect until December 31, 2023. SECTION 4. This Ordinance shall become effective upon its passage and approval. This MOU shall be effective as of the date of Effective Date. INTENT 1.1 The City and DBCOC recognize the strength and successes of collaboration and cooperation in the process of shaping Denton's economic development and business environment and ultimately, its quality of life. 1.2 It is the intent of the City and DBCOC to formalize a nonbinding memorandum of understanding to enhance the business climate in Denton in an efficient and effective manner. 1.3 This MOU identifies the scope of the cooperation between the City of Denton and DBCOC. This document is not intended to be all-inclusive but rather a document establishing guidelines for the process of developing and sustaining mutually understood roles and responsibilities regarding economic and business development activities in the city. SECTION TWO. GOVERNANCE 2.1 Both ad hoc and standing joint taskforces and committees may be created between the City and DBCOC by mutual agreement between the DBCOC Executive Board and the City Economic Development Partnership Board. SECTION THREE. FINANCE & RESOURCES 3.1 It is mutually understood between the City and the DBCOC that each Party shall be responsible for its own expenses arising out of and in relation to the terms and conditions of this MOU. 3.2 The City may, at its discretion, allocate resources and additional funds towards specified programs and events offered by DBCOC in the form of sponsorships which are outside the scope of this MOU. 3.3 Nothing in this MOU is a commitment from either Party to provide funding to or accept funding from the other Party. SECTION FOUR. COOPERATION AND ADVOCACY 4.1 Recognizing the value in unified messaging, the City and DBCOC will work collaboratively to share the developed vision and goals of the City for business and economic development purposes. A3559EC8-E395-447F-AD79-AA4E5793EDF8 Exhibit "A" 4.2 The DBCOC and the City shall market and brand Denton as a pro-business destination, including defining its economic vision and image, and promoting messaging that supports the marketing or branding strategy of the other Party. 4.3 The City and the DBCOC agree to work collaboratively in implementing the Economic Development Strategic Plan. SECTION FIVE. RELATIONSHIP MANAGEMENT 5.1 In order to maintain an open and beneficial working relationship, the DBCOC and the City, through its Economic Development department, will engage in, at a minimum, quarterly meetings and updates on progress. 5.2 DBCOC shall provide an informal annual report to the City's Economic Development department assigned liaison to include, at a minimum, programs, events, and activities in business development for the year, significant tasks undertaken or completed, number of business visits and assists. 5.3 DBCOC shall notify the City regarding any business success or needs or other relevant updates. 5.4 The City shall update the DBCOC Executive Board via email or presentation on City -led initiatives affecting business and economic development at regularly scheduled DBCOC Executive Board meetings or at the request of the DBCOC Executive Board. These updates should take place bi-annually, at minimum. 5.5. The City and DBCOC will work cooperatively to coordinate and provide targeted information and outreach for Denton's black -owned businesses. SECTION SIX. TERM AND TERMINATION 6.1 The arrangements made by the Parties by this MOU shall remain in place from the Effective Date until December 31, 2023, unless terminated sooner in accordance with the terms of this Section Six. The term can be extended only by agreement of the Parties. 6.2 Notwithstanding any other provision of this MDU, either Party may, for any specified reason, terminate by giving thirty (30) days' advance written notice to the other Party. 6.3 This MOU may be terminated in whole or in part in the event of either Party substantially failing to fulfill its obligation under this MOU. No such termination will be affected unless the other Party is given (1) written notice of intent to terminate and setting forth the reasons; and (2) an opportunity for consultation with the terminating Party prior to termination. NO BINDING AGREEMENT 7.1 This MOU reflects the intention of the Parties, but for the avoidance of doubt neither this MOU nor its acceptance shall give rise to any legally binding or enforceable obligation on any Party. SECTION EIGHT. MISCELLANEOUS 8.1 Liability. No liability will arise or be assumed between the Parties as a result of this MOU. 8.2. Notice. Any notice or communication required or permitted under this MOU shall be sufficiently given if delivered by electronic mail, in person, or by certified mail, return receipt requested, to the chief executive of the other Party. 8.3 Governing Law. This MOU shall be construed in accordance with the laws of the State of Texas. 8.4 Assignment. No Party may assign or transfer the responsibilities made herein without the prior written consent of the non -assigning Party. 8.5 Amendment. This MDU may be amended or supplemented in writing, if the writing is signed by all Parties. 8.G Prior Memorandum Superseded. This MOU constitutes the entire understanding between the Parties relating to this subject matter and supersedes all prior or simultaneous representations, discussions, negotiations, and memorandums, whether written or oral. 8.7 Understanding. It is mutually agreed upon and understood by and among the Parties of this MOU that: Each Party will work together in a coordinated fashion and in good faith. b. In no way does this MOU restrict the Parties from participating in similar agreements with other public or private agencies, organizations, and individuals. C. Nothing in this MOU shall obligate any Party to the transfer of funds to the other Party. Any endeavor involving reimbursement or contribution of funds between the Parties will be handled in accordance with separate agreements and applicable laws, regulations, and procedures. Such endeavors will be outlined in separate agreements that shall be made in writing by representatives of the Parties involved and shall be independently authorized by appropriate statutory authority. This MOU does not provide such authority. d. This MOU is not intended to and does not create any right, benefit, or trust responsibility.
