A RESOLUTION AUTHORIZING THE CREATION OF AN ADVISORY GROUP TOPROVIDE FEEDBACK AND TO PARTICIPATE IN THE PUBLIC ENGAGEMENT FOR THE
DOWNTOWN PLAN UPDATE, GENERALLY BOUNDED BY UNIVERSITY DRIVE TOTHE NORTH, CARROLL BOULEVARD TO THE WEST, EAGLE DRIVE TO THE SOUTH,AND BELL AVENUE TO THE EAST; AND PROVIDING AN EFFECTIVE DATE.
WHEREAS, on April 5, 2022, City Council gave staff direction to proceed with the
preparation of three area plans for the city, including the Downtown Plan Update, to address
challenges and enhance the character of the distinct areas, and to create a long-term community-based vision for the areas; and
WHEREAS, on June 27, 2023, the City Council authorized the City to enter into a contract
with Mend Collaborative, Inc. to provide professional services for assistance in the creation of the
Downtown Plan Update; and
WHEREAS, Area Planning allows long term planning for specific areas in the city and
allows for community members and stakeholders to provide input, create a shared vision, and
influence future development policies for a specific area;
WHEREAS, the project team for the Advisory Group has reached out to individuals well-
matched for providing input and feedback regarding Downtown’s rich history, cultural, character,
and wide-ranging built environment; and
WHEREAS, the Advisory Group will provide input and feedback related to various ideas
and concepts proposed, validate findings, build consensus, and evaluate what is in the best interest
of the Downtown area for the long term; and
WHEREAS, the Advisory Group will consist of a maximum of twenty (20) members, a
size which is conducive to effectively ensure communication is focused, and will allow staff toefficiently manage the tasks to be assigned to the Advisory Group; NOW, THEREFORE,
THE COUNCIL OF THE CITY OF DENTON HEREBY ORDAINS:
SECTION 1. The recitals and findings contained in the preamble of this Resolution are
incorporated into the body of this Resolution.
SECTION 2. The City Council hereby establishes an Advisory Group to be called the
Downtown Plan Update Advisory Group.
SECTION 3. The Downtown Plan Update Advisory Group shall be represented by the
following stakeholders consistent with the Stakeholder Representation Interest categoriesidentified in the table below:

SECTION 4. The individuals listed on Exhibit A are hereby approved to serve on the
Advisory Group consistent with the categories identified in Section 3. Should any of the individuals
listed vacate their position or additional persons be identified to serve on the Advisory Group
consistent with the interest groups listed in Section 3, Council may approve new members by
amending this Resolution.
SECTION 5. The Downtown Plan Update Advisory Group shall perform its functions inaccordance with the intent of this Resolution. The Downtown Plan Update Advisory Group
members shall serve at the pleasure of the City Council until successors are duly appointed by the
Mayor and approved by the Denton City Council.
SECTION 6. The Downtown Plan Update Advisory Group is created to build consensus
and guide the planning process of the Downtown Plan Update. All recommendations shall be
made by a majority vote of the entire Downtown Plan Update Advisory Group.
SECTION 7. The Downtown Plan Update Advisory Group may create subgroups
consisting of Advisory Group members who shall make recommendations to the entire Downtown
Plan Update Advisory Group pursuant to assigned topics. Recommendations made by the

subgroups must receive a majority vote of the subgroups members in order to move
recommendations forward to the Advisory Group for consideration.
SECTION 8. Any matters not addressed by this Resolution shall be governed by the “Cityof Denton Handbook for Boards, Commissions and Council Committees.”
SECTION 9. The City Manager, or their designee, will provide guidance and assistance to
the Downtown Plan Update Advisory Group and be responsible for ensuring that records are
maintained in accordance with the requirements of the City Secretary’s Office. The City Attorney
shall provide legal counsel to the Downtown Plan Update Advisory Group and subgroups.
SECTION 10. Upon completion of the aforementioned duties, or on August 1, 2024, the
Downtown Plan Update Advisory Group shall be dissolved without further action of the CityCouncil.
SECTION 11. This Resolution shall become effective immediately upon its passage and
approval.
