LEATHERWOOD LIVING TRUST“ PENDING IN THE DENTON COUNTY PROBATE COURT, DENTON COUNTY, TEXAS;” AND DIRECTING THE CITY MANAGER AND THE CITY’S ATTORNEY TO EFFECTUATE AS NECESSARY AND APPROPRIATE THE TERMS OF AN AGREED FINAL JUDGMENT; AUTHORIZE THE EXPENDITURE OF FUNDS NOT TO EXCEED EIGHT HUNDRED THOUSAND AND 00/100 DOLLARS ($800,000.00) FOR A TOTAL SETTLEMENT AMOUNT OF (§1,5000,000.00); AND DECLARING AN EFFECTIVE DATE. THE COUNCIL OF THE CITY OF DENTON HEREBY ORDAINS: SECTION 1. The City Council hereby approves the Agreed Final Judgment for Cause No. PR-2022-00917-A Case Style: “City of Denton V. Walter E. Leatherwood and Betty A. Leatherwood, Individually and As Trustees of The Walter E. Leatherwood and Betty A. Leatherwood Living Trust” pending in the Denton County Probate Court, Denton County, Texas, attached hereto as Exhibit A. SECTION 2. The City Manager, or designee, and the City’s Attorney, or designee, are hereby authorized to act on the City’s behalf in approving and executing any and all documents necessary or appropriate to effectuate the terms of the Agreed Final Judgment, and to take other actions necessary to finalize the settlement. SECTION 3. The City Manager, or designee, is authorized to expend an amount not to exceed Eight Hundred Thousand and 00/100 Dollars ($800,000.00). SECTION 4. This Ordinance shall become effective immediately upon its passage and approval. LEATHERWOOD, § INDIVIDUALLY AND AS § TRUSTEES OF THE WALTER E. § LEATHERWOOD AND BETTY A. § LEATHERWOOD LIVING TRUST § DATED DECEMBER 11, 2007, § § Condemnees. § OF DENTON COUNTY, TEXAS AGREED FINAL JUDGMENT The City of Denton, Texas filed the above styled and numbered action to acquire fee simple title, a permanent electric easement and a temporary construction easement in, to, over and across portions of a certain tract of land situated in the J. Rogers Survey, Abstract No. 1084, City of Denton, Denton County, Texas according to the plat recorded in Volume 496, Page 24 1 of the Official Public Records of Denton County, Texas (the “Property”), owned by Walter E. Leatherwood and Betty A. Leatherwood, individually, and as the Trustees of the Walter E. Leatherwood and Betty A. Leatherwood Living Trust dated December 1 1, 2007 (collectively, the 'Leatherwoods”). More specifically, the City seeks to acquire: (1) fee simple title to that portion of the Property described and depicted in Exhibit “A“ attached hereto; (2) a permanent electric easement in, to, over and across that portion of the Property described and depicted in Exhibit “B” attached hereto (the “Easement Area”); and (3) a temporary construction easement in, to, over and CITY OF DENTON, Condemnor, IN THE PROBATE COURT AGREED FINAL JUDGMENT – Page 1 across that portion of the Property described and depicted in Exhibit “C” attached hereto (the “TCE Area”) (together, the “Property Interests”). The City seeks to acquire the Property Interests in order to provide for the widening and improvement of Hickory Creek Road located in the City of Denton for the City’s Hickory Creek Road Project, all for the public safety and welfare, to serve the public and the citizens of the City On November 14, 2022, the special commissioners appointed by the Court awarded the Leatherwoods SEVEN HUNDRED THOUSAND AND 00/100 DOLLARS ($700,000.00) as compensation for the taking of the Property Interests and damages, if any, to the remainder of the Property (the “Award”). The Leatherwoods objected to the Award. On November 28, 2022, the City of Denton, Texas deposited the amount of the Award into the registry of the Court (the “Deposit”). On December 8, 2022, the Court entered its order disbursing the Award to the Leatherwoods. The City of Denton, Texas and the Leatherwoods have announced to the Court that the matters in controversy between them have been resolved and have requested the entry of this Agreed Final Judgment. Specifically, the parties have agreed that, notwithstanding any offsets or withholdings, the total compensation and consideration payable to the Leatherwoods for the condemnation of the Property Interests and resolution of all matters in controversy, shall be ONE MILLION FIVE HUNDRED THOUSAND AND 00/100 DOLLARS ($1,500,000.00) in the aggregate and, subject to the conditions set forth in this Agreed Final Judgment, in consideration of said amount, the Leatherwoods, intending to be contractually bound, agree to convey those the Property Interests to the City of Denton, Texas; it is therefore AGREED FINAL JUDGMENT – Page 2 ORDERED, ADJUDGED AND DECREED that the total compensation payable to the Leatherwoods, as full compensation for the condemnation of the Property Interests, and notwithstanding any offsets or withholdings, is ONE MILLION FIVE HUNDRED THOUSAND AND 00/ 100 DOLLARS ($ 1,500,000.00); it is further ORDERED, ADJUDGED AND DECREED that the Leatherwoods shall have and recover from the City of Denton, Texas the sum of EIGHT HUNDRED THOUSAND AND 00/100 DOLLARS ($800,000.00), which constitutes the difference between the agreed compensation set forth herein ($1,500,000.00) and the amount of the Award which was deposited into the Court’s registry ($700,000.00); it is further ORDERED, ADJUDGED AND DECREED that, in the event the City of Denton, Texas fails to make payment OF EIGHT HUNDRED THOUSAND AND 00/100 DOLLARS ($800,000.00) to the Leatherwoods by tendering a check to the Law Offices of Jones & Westrom as Trustee for Leatherwoods or otherwise satisfy this Judgment within thirty (30) days of the date hereof, then the Leatherwoods shall be entitled to such writs and process as are necessary for the enforcement of this Judgment; it is further ORDERED, ADJUDGED AND DECREED that the Leatherwoods shall have and recover from the City of Denton, Texas post-judgment interest at the rate of 7.75% per annum on all amounts awarded herein from the thirtieth (30th) day following the date of this Judgment until paid; it is further ORDERED, ADJUDGED AND DECREED that fee simple title to that portion of the Property described and depicted in Exhibit “A“ attached hereto and incorporated by reference herein as if set forth at length, is hereby decreed to and vested in the City of Denton, Texas, save AGREED FINAL JUDGMENT – Page 3 and except all the oil, gas, and sulphur which can be removed from beneath such property, without any right whatever remaining in the owner of such oil, gas, and sulphur of ingress or egress to or from the surface of such property for the purpose of exploring, developing, drilling, pumping, extracting, storing or mining the same; it is further ORDERED, ADJUDGED AND DECREED that a permanent electric utility easement allowing the City of Denton to construct, reconstruct, install, repair, inspect and perpetually maintain electric utilities in, along, upon and across the Easement Area, with the right and privilege at all times of ingress, egress, and regress in, along, upon and across the Easement Area for the purpose of making additions to, improvements on and repairs to the said electric facilities or any part thereof is hereby decreed to and vested in the City of Denton, Texas; it is further ORDERED, ADJUDGED AND DECREED that a temporary construction, grading and access easement allowing the City, its agents, employees, contractors, workmen, and representatives, the right of ingress, egress, and regress in, along, upon, under and across the TCE Area for the purpose of construction activities for a period of four years from February 13, 2023; it is further ORDERED, ADJUDGED AND DECREED that, the foregoing notwithstanding, the following rights are reserved to the Leatherwoods: direct access to New Hickory Creek Road, as defined in the Second Amended Petition in Condemnation, from the remainder of the Property situated to the east of the railroad tracts which bisect the Property; and (2) direct access to Old Hickory Creek Road, as defined in such petition, from the remainder of the Property situated to the west of such railroad tracts with further access to FM 1830 via a driveway constructed and maintained by the City as shown in the current construction plans attached hereto as Exhibit D (the AGREED FINAL JUDGMENT – Page 4 “Driveway”); additionally, the City will not design or construct any improvements located within the Easement Area that would impede the use of the Driveway for direct access to the west remainder for agricultural and recreational uses it is further ORDERED, ADJUDGED AND DECREED that the Leatherwoods, and their heirs, successors or assigns, may be entitled to repurchase the Property Interests from the City of Denton, Texas, according to the terms of Chapter 21, Subchapter E of the Texas Property Code, or may request from the City of Denton information relating to the use of said property and any actual progress made toward that use, as set out more fully in Chapter 21, Subchapter E of the Texas Property Code, and that the repurchase price is the price paid to the Landowner at the time the City of Denton, Texas acquired the Property Interests through eminent domain; it is further ORDERED, ADJUDGED AND DECREED that all costs of this proceeding be, and the same are hereby, taxed against the party incurring same; and it is further ORDERED, ADJUDGED AND DECREED that the Condemnor, the City of Denton, Texas stands RELEASED and DISCHARGED of its constitutional obligation to pay compensation for the taking of the Property Interests for public use.
