AN ORDINANCE OF THE CITY OF DENTON, A TEXAS HOME-RULE MUNICIPAL
CORPORATION, AUTHORIZ[NG THE APPROVAL OF A THiRD AMENDMENT TO AN
ENGAGEMENT BETWEEN THE CITY OF DENTON AND LLOYD GOSSELINK
ROCHELLE & TOWNSEND, P.C.. AMENDING THE ENGAGEMENT APPROVED BY THE
CITY COUNCIL ON JULY 20, 202 1, IN THE NOT-TO-EXCEED AMOUNT OF $550,000.00;
AMENDED BY AMENDMENTS 1 AND 2, APPROVED BY CITY COUNCIL; SAID THIRD
AMENDMENT TO PROVIDE ADDITIONAL LEGAL SERVICES FOR THE CITY OF
DENTON; PROVIDING FOR THE EXPENDITURE OF FUNDS THEREFOR; AND
PROVIDING AN EFFECTIVE DATE (FILE 7762 – PROVIDING FOR AN
ADDITIONAL THIRD AMENDMENT EXPENDITURE AMOUNT NOT-TO-EXCEED
$ 100,000.00, WITH THE TOTAL CONTRACT AMOUNT NOT-TO-EXCEED $950,000.00.
WHEREAS, on July 20, 2021, the City Attorney approved an engagement with Lloyd
Gosseiink Rochelle & Townsend, P.C. in the amount of $550,000.00, for legal services: and
WHEREAS, on July 18, 2023, City Council approved an engagement with Lloyd Gosselink
Rochelle & Townsend. P.C., in the not-to-exceed amount of $300,000.00; and
WHEREAS, this procurement was undertaken as part of the City’s governmental function;
and
WHEREAS, the additional fees under the proposed Third Amendment are fair and
reasonable and are consistent with, and not higher than, the recommended practices and fees
applicable to the Provider's profession, and such fees do not exceed the maximum provided by law;
NOW, THEREFORE,
THE COUNCIL OF THE CITY OF DENTON HEREBY ORDAINS:
SECTION 1. The Third Amendment, increasing the amount of the contract between the City
and Lloyd Gosselink Rochelle & Townsend, P.C., which is on file in the office of the Purchasing
Agent, in the amount of One Hundred Thousand ($ 100,000.00) Dollars, is hereby approved, and the
expenditure of funds therefor is hereby authorized in accordance with said amendment which shall
be effective upon the execution of the amendment referenced herein. The total contract amount
increases to $950,000.00.
SECTION 2. This ordinance shall become effective immediately upon its passage and
approval .
The motion to approve this ordinance was made by Joe Holland and seconded by Brian
Beck. This ordinance was passed and approved by the following vote [4 - 3] :
