AN ORDINANCE OF THE CITY COUNCIL OF DENTON, TEXAS, AUTHORIZING THE CITY
MANAGER TO EXECUTE A CONTRACT WITH THE DENTON CHAMBER OF COMMERCE
FOR THE ACQUISITION OF THE EQUIPMENT, INTELLECTUAL PROPERTY, AND OTHER
ASSETS OF DISCOVER DENTON, A LINE OF BUSINESS UNDER THE DENTON CHAMBER
OF COMMERCE AND THE ASSUMPTION OF CERTAIN CONTRACTS BY THE CITY;
AUTHORIZING THE CITY MANAGER TO EXECUTE A FIRST AMENDMENT TO A LEASE
BETWEEN THE CITY AND THE DENTON CHAMBER OF COMMERCE; AND PROVIDING
AN EFFECTIVE DATE.
WHEREAS, the Denton Chamber of Commerce (the “Chamber”), pursuant to the December
12, 2023, agreement for the use of Hotel Tax Revenue between the City of Denton (the “City”) and
the Chamber (the “HOT Agreement”), currently operates Discover Denton, the City’s convention
and visitor’s bureau, for the purpose of promoting tourism and the convention and hotel industry
within the City of Denton; and
WHEREAS, the Chamber desires to convey, and the City agrees to acquire, substantially all
the assets, and certain specified liabilities, of Discover Denton, subject to the terms and conditions
set forth in the Discover Denton Acquisition Agreement (the “Agreement”); and
WHEREAS, the City’s acquisition of Discover Denton serves the public interest by
stimulating business and commercial activity in the City and by promoting tourism and the
convention and hotel industry; NOW, THEREFORE,
THE COUNCIL OF THE CITY OF DENTON HEREBY ORDAINS :
SECTION 1. The matters set forth in the recitals in this ordinance are true and correct, are
fully incorporated as part of this ordinance for all purposes, and constitute findings of the City
Council acting in its legislative capacity.
SECTION 2. The City Manager, or their designee, is hereby authorized to execute the
Agreement in the form attached hereto as Exhibit A, and to take any actions necessary to give effect
thereto
SECTION 3. The City Manager, or their designee is hereby authorized to execute the First
Amendment to Lease Agreement attached as Schedule 4 to the Agreement attached hereto, and take
any actions necessary to give effect thereto.
SECTION 4. The City Council of the City of Denton hereby expressly delegates the authority
to take any actions that my be required or permitted to be performed by the City of Denton under the
Agreement and this ordinance to the City Manager of the City of Denton, or their designee.
SECTION 5. This ordinance shall take effect immediately from and after its passage.
