HomeMy WebLinkAbout24-2484ORDINANCE NO. 24-2484 AN ORDINANCE OF THE CITY COUNCIL OF DENTON, TEXAS, AUTHORIZING THE TERMINATION OF THE CONTRACT WITH THE DENTON CHAMBER OF COMMERCE FOR THE MANAGEMENT OF THE DENTON TOURISM PUBLIC' IMPROVEMENT DISTRICT DATED JULY 16, 2024; AUTHORIZING A CONTRACT WITH THE DENTON TOURISM PUBLIC IMPROVEMENT DISTRICT CORPORATION FOR THE MANAGEMENT OF THE DISTRICT; AND PROVIDING AN EFFECTIVE DATE. WHEREAS, on June 18, 2024, by Resolution No. 24-1107, the City Council of the City of Denton, Texas (the “City”), after holding the required public hearing pursuant to Chapter 372 of the Texas Local Government Code (the “Act”), created the Denton Tourism Public Improvement District (the “District”); and WHEREAS, on July 16, 2024, pursuant to Ordinance No. 24-1315, the City entered into a contract with the Denton Tourism Public Improvement District Corporation (the “DTPIDC”) as the entity responsible for the management of and provision of services and improvements to the District and the Denton Chamber of Commerce (the “Chamber”) for the provision of services and improvements for the District and collection services by the City for the District (the “TPID Management Contract”); and WHEREAS, the City, the DTPIDC, and the Chamber desire, and it is in the public interest to, terminate the TPID Management Contract by mutual agreement in the form attached hereto as Exhibit “A“ and enter into a new contract for the management of the District in the form attached hereto as Exhibit “B” (the “Agreement”) to allow for greater flexibility in the selection of contractors to provide services to the District; and WHEREAS, the services to be supplied to the District pursuant to the Agreement will provide special benefits to the property owners within the District and are supplemental to standard City services; NOW, THEREFORE, THE COUNCIL OF THE CITY OF DENTON HEREBY ORDAINS: SECTION 1. The matters set forth in the recitals in this Ordinance are true and correct are fully incorporated as part of this Ordinance for all purposes, and constitute findings of the City Council acting in its legislative capacity. SECTION 2. The City Manager, or their designee, is hereby authorized to execute the Agreement for the Termination of Contracts for the Denton Tourism Public Improvement District with the DTPIDC and the Chamber in the form attached hereto as Exhibit A, and to take any actions necessary to give effect thereto. SECTION 3. The needs and requirements to manage the District and implement its improvements, information provided by the City staff, and the evidence, information, and testimony presented at the Public Hearing having been considered, the City Manager or their designee is hereby authorized to execute the Agreement between the City of Denton and the DTPIDC Page 1 to implement the District’s improvements and service plan, in substantially the form attached hereto as Exhibit B, and to take necessary actions to administer the contract, including the expenditure of District funds. SECTION 4. This Ordinance shall take effect immediately from and after its passage and publication as required by this Ordinance and the Act.
