HomeMy WebLinkAbout25-191RESOLUTION NO. 25-191 A RESOLUTION OF THE CITY OF DENTON CREATING THE DISCOVER DENTON ADVISORY BOARD; AND PROVIDING AN EFFECTIVE DATE. WHEREAS, the City of Denton acquired the Denton Convention and Visitors Bureau (CVB) on December 17, 2025 for the purpose of transitioning the organization to an independent organization; and WHEREAS, the Denton CVB has previously been managed by the Denton Chamber of Commerce with the goal of efficiently promoting and generating demand for the City of Denton through travel and tourism; and WHEREAS, City Council desires the CVB to continue to manage the Discover Denton Advisory Board under the purview of the City to monitor, evaluate, report and make recommendations on the resources needed to pursue, secure, and promote conventions and tourism to the city, to foster cooperative efforts with tourism- related entities, to encourage the establishment of additional visitor attractions, to review advertising programs that encourage visitors to the city, to provide recommendations that display Denton as a premier destination, and generate maximum hotel/motel stay within the City; NOW, THEREFORE, THE COUNCIL OF THE CITY OF DENTON HEREBY RESOLVES : SECTION 1. The recitals and findings contained in the preamble of this Resolution are incorporated into the body of this Resolution. SECTION 2. The Discover Denton Advisory Board is hereby created to monitor, evaluate, report and make recommendations on the resources needed to pursue, secure, and promote conventions and tourism to the city, to foster cooperative efforts with tourism- related entities, to encourage the establishment of additional visitor attractions, to review advertising programs that encourage visitors to the city, to provide recommendations that display Denton as a premier destination, and generate maximum hotel/motel stay within the City, and other projects assigned by the City Council. SECTION 3. The membership of the board shall be comprised of 13 voting members, and 6 ex-officio members. The 13 voting member seats require representatives from the following industries: 3 Hotel/Motel Owners or General Managers, 2 Entertainment/Venues/Restaurants, 2 Attractions/Events, 1 Denton Convention Center, 1 Higher Education, 1 Greater Denton Arts Council, 1 Transportation, and 2 City Council Members. The 6 non-voting ex-officio members are as follows: Mayor of Denton or a designee of the Mayor, the City Manager or a designee of the city manager, Chair of the Denton Chamber of Commerce Board of Directors, the President of the Denton Chamber of Commerce, the Denton Chamber of Commerce Director of Strategic Partnership, and the Downtown Development/Main Street Coordinator. At the time of transition, 15 of the 19 seats were filled. With the passage of this resolution, the following members will be appointed to the Discover Denton Advisory Board: Jay Darsie, Chair Emily Wright Harry Eaddy Glenn Carlton Kim Williams Joe Holland Gerard Hudspeth (ex-officio) Christine Taylor (ex-officio) Kristen Pulido (ex-officio) Seth Morgan (ex-officio) Jeff Pritts Krissi Oden Berry Vicki Byrd Erin Carter (ex-officio) Jamie Adams (ex-officio) SECTION 4. The Board members shall serve a 1-year term. Due to the industry specific nature of the board, the members of the board are not required to be qualified voters in the City of Denton, Texas. SECTION 5. The Board shall maintain Jay Darsie as the Chair. In the event Mr. Darsie resigns or is otherwise unable to continue his service, a new chair will be elected by a majority of the voting members of the board. SECTION 6. The Board shall perform its functions in accordance with the intent of this Resolution. The Board members shall serve at the pleasure of the City Council. Vacancies will be brought forward by staff to solicit nominations and staff may provide recommendations to Council of potential nominees from the respective industry areas. SECTION 7. Any matters not addressed by this Resolution shall be governed by the “City of Denton Handbook for Boards, Commissions and Council Committees.” SECTION 8. The City Manager, or designee, will provide guidance and assistance to the Discover Denton Advisory Board and be responsible for ensuring that records are maintained in accordance with the requirements of the City Secretary’s Office. The City Attorney shall provide legal counsel to the Board. SECTION 9. The Board shall be dissolved upon approval by the City Council. SECTION 10. This resolution shall become effective immediately upon its passage and approval. The motion to approve this Resolution was made by Jill Jester and seconded by Brandon Chase McGee.
