HomeMy WebLinkAbout25-596RESOLUTION NO. 25-596 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF DENTON, TEXAS APPROVING THE SALE OF CERTAIN TRANSMISSION SYSTEM ASSETS BY THE TEXAS MUNICIPAL POWER AGENCY (“TMPA”); AND PROVIDING AN EFFECTIVE DATE. WHEREAS, the City of Denton is party to the Joint Operating Agreement, effective September 1, 2016, between TMPA and the Member Cities of Bryan, Denton, Garland, and Greenville, Texas (as amended, the “JO/V’): and WHEREAS, Section 4.4.1(6) of the JOA requires the approval of the Member Cities to enable TMPA to sell transmission assets having a net book value, in the aggregate, in excess of $500,000 in any fiscal year; and WHEREAS, TMPA owns assets in the City of Bryan’s Dansby and Bryan East Substations having an aggregate net book value of $3,238,620; and WHEREAS, in order to avoid operational and maintenance issues resulting from the comingling of Bryan-owned and TMPA-owned assets in the Dansby and Bryan East Substations, it is advisable for TMPA to sell to the City of Bryan the TMPA-owned assets, as part of the transactions described in TMPA Resolution No. 2025-3-4 (the “Resolution”) and in the Asset Purchase Agreement attached as Exhibit “A“ to the Resolution (the “Transmission Assets Sale”); NOW, THEREFORE, THE COUNCIL OF THE CITY OF DENTON HEREBY RESOLVES : SECTION 1. The Transmission Assets Sale is approved for purposes of the JOA. SECTION 2. This resolution shall become effective immediately upon its passage and approval. The motion to approve this resolution was made by Jill Jester and seconded by Vicki Byrd. The resolution was passed and approved by the following vote [ 7 - 0 ] : Aye Nay Abstain Absent Mayor Gerard Hudspeth: Vicki Byrd, District 1 : Brian Beck. District 2: Paul Meltzer.
