TRANSFERRING THE D ENT ON RAIL CORRIDOR, CONSISTING OF THOSE LANDS DESCRIBED IN THAT CERTAIN QUITCLAIM DEED, DATED AUGUST 9, 1993, COUNTY CLERK FILE NO. 93-R0058485, AS CORRECTED BY CORRECTION QUITCLAIM DEED, DATED JUNE 1, 2001, COUNTY CLERK FILE NO. 2001-R0057561, AND AS FURTHER CORRECTED BY CORRECTION TO CORRECTION QUITCLAIM DEED, DATED JUKE 285 2001, COUNTY CLERK FILE NO. 2001-R0076013, ALL RECORDING REFERENCES TO THE REAL PROPERTY RECORDS OF DENTON COUNTY, TEXAS; PROVIDING AUTHORITY TO EXECUTE AND DELIVER RELATED DOCUMENTS TO EFFECTUATE TERMS OF AGREEMENT; AND PROVIDING AN EFFECTIVE DATE. THE COUNCIL OF THE CITY OF DENTON HEREBY ORDAINS SECTION 1. The City Manager is authorized to execute an Agreement Regarding Exercise of Option to Repurchase Rail Corridor, by and between the City of Denton, Texas ("City") and Dallas Area Rapid Transit ("DART"), a copy of which is attached hereto and incorporated by reference herein, transferring the Denton rail corridor, consisting of those lands described in that certain Quitclaim Deed, dated August 9, 1993, County Clerk File No. 93- R0058485, as corrected by Correction Quitclaim Deed, dated June 1, 2001, County Clerk File No. 2001-R0057561, and as further corrected by Correction to Correction Quitclaim Deed, dated June 28, 2001, County Clerk File No. 2001-R0076013, all recording references to the Real Property Records of Denton County, Texas. SECTION 2. The City Manager is hereby authorized to act on the City's behalf in approving, executing and delivering any and all related documents necessary or appropriate to effectuate the terms of the Agreement, including without limitation, the Quitclaim and Partial Assignment of Contract Rights and Assumption of Obligations exhibited to the Agreement, and to tale all other actions necessary to finalize the Agreement and transactions contemplated therein. SECTION 3. This Ordinance shall become effective immediately upon its passage and approval. STATE OF TEXAS § COUNTY OF DENTON § This Agreement Regarding Exercise of option to Repurchase Rail Corridor (the "Agreement") is made by and between the City of Denton, Texas, a Texas home rule municipal corporation ("City"), and the Dallas Area Rapid Transit, a Regional Transportation Authority, created pursuant to Chapter 452 of the Texas Transportation Code, of Dallas County, Texas RECITALS WHEREAS, City was quitclaimed certain property located in Denton County, Texas, as more particularly described on Exhibit "A" attached hereto (the "Property") pursuant to that certain Quitclaim Deed, dated August 9, 1993, from Missouri Pacific Railroad Company, file number 93-R0058485, Real Property Records, Denton County, Texas, as corrected by that certain Correction Quitclaim Deed, dated June 1, 2001, from Union Pacific Railroad Company, successor by merger to Missouri Pacific Railroad Company, file number 2001-R005756 1, Real Property Records, Denton County, Texas, and as further corrected by that certain Correction to Correction Quitclaim Deed, dated June 28, 2001, effective June 13, 2001, from Union Pacific Railroad Company, file number 2001-ROO76013, Real Property Records, Denton County, Texas (the "Railroad Quitclaim"); WHEREAS, City was quitclaimed the Property described in . the Railroad Quitclaim pursuant to and conditioned upon the terms of that certain Line Sale Contract (the "Line Sale Contract"), dated July 2, 1993, by and between the Missouri Pacific Railroad Company. and City; t WHEREAS, the Railroad Quitclaim is expressly subject to the Line Sale Contract and the terms and conditions of a Certificate of Interim Trail Use ("CITU") issued by the Interstate Commerce Commission pursuant to the National Trails System Act; WHEREAS, the Line Sale Contract contains certain conditions and covenants purportedly limiting and conditioning the interests, if any, quitclaimed to City pursuant to the terms thereof and the Railroad Quitclaim; WHEREAS, the Line Sale Contract provides, among other matters, that in the event of reactivation of rail service upon the lands quitclaimed to City pursuant to the Railroad Quitclaim, City shall transfer such Property to Missouri Pacific Railroad Company or other acquiring entity; WHEREAS, the Line Sale Contract further provides that Missouri Pacific Railroad Company or other acquiring entity has the right to exercise its option to repurchase the Property upon the events, terms and conditions stated therein from the City at any time upon giving ninety (90) days prior written notice of its intent, WHEREAS, DART is a governmental entity, a political subdivision of the State of Texas, and has authority to exercise eminent domain pursuant to Section 452 of the Texas Transportation Code; WHEREAS, in 2001 the DART Board of Directors in Resolutions No. 010057 and 010074, authorized the purchase of certain Union Pacific rail corridors, said acquisition 11 including the right to exercise the option of repurchasing the Property; WHEREAS, Resolutions No. 010057 and 010074 authorized DART's President/Executive Director or his designee to take action to close the transaction with Union Pacific, which necessarily included the executto ion of acquisition documents; Agreement Regarding Exercise of option to 2 Repurchase Rail Corridor 1/25/2010 WHEREAS, as a result of the 2001 purchase of the Union Pacific rail corridors, DART is the successor in interest to the rights of the Missouri Pacific Railroad Company under the Line Sale Contract and Railroad Quitclaim, and possesses the power of eminent domain; WHEREAS, DART has elected to reactivate rail service upon the lands quitclaimed by the Railroad Quitclaim pursuant to notice letter dated September 14, 2009 delivered to the City, as extended by Agreement to Extend Rail Reactivation, dated effective December 1, 2009; WHEREAS, City, pursuant to the terms of the Line Sale Contract and the Railroad Quitclaim., and due to the paramount public purpose of rail use and its compatibility with the existing trail use under the CITU and City's use of the corridor for water pipeline and other utility purposes, as more particularly set forth herein, desires and is required by the Line Sale Contract to quitclaim the Property quitclaimed to it by the Railroad Quitclaim to DART pursuant to and in reliance upon the terms and subject to the reservations herein; WHEREAS, although this Agreement has been, and may continue to be, referred to among the parties as a "Contract of Sale," the conveyance of the Property provided for herein is in accordance with and is derived from the repurchase option established in the Line Sale Contract. Agreement Regarding Exercise of option to 3 Repurchase Rail Corridor 1/25/2010 ARTICLE I. CONVEYANCE OF PROPERTY AND ASSIGNMENT OF AGRIEMMENTS 1.01 Conveyance of Property. For the consideration of the payment of the sum of Ten Thousand and no/100 Dollars ($10,000.00), as per the terms of the Line Sale Contract, and upon the terms, conditions, reservations, stipulations and provisions herein contained, City agrees to convey and assign to DART by quitclaim, in the form of the Quitclaim (herein so called) attached hereto as Exhibit "B", and DART agrees to pay the specified sum as consideration and to accept from City, the Property. Y 1.02 Assignment of Agreements. For the consideration provided in Section 1.01, above, and �. upon the terms, conditions, reservations, stipulations and provisions herein contained and contained in the Assignment, as outlined below, City agrees to sell and assign to DART, those contracts, lease agreements, occupancy agreements, licenses and/or agreements described in Exhibits "C" and 11C-1" (the "Agreements") attached hereto, in the form of the Partial Assignment of Contract Rights and Assumption of obligations (the "Assignment") attached hereto as Exhibit "D"9, to the extent and only to the extent (i) the Agreements are valid and existing; and (ii) that such Agreements cover or pertain to the Property. The Assignment of the Agreements shall be "AS IS", and without warranty of any kind, including, without limiting the generality of the foregoing, without warranty or representation. (i) that the Agreements are valid and existing agreements and/or affect the Property; (ii) as to the presence of any liens or encumbrances thereon; (iii) as to the existence of consents or waivers from any third party or parties required for the effectiveness of the Assignment or the sale and transfer of the rights contemplated to be assigned hereunder; and (iv) that City owns and/or has the right, power or Agreement Regarding Exercise of option to 4 Repurchase Rail Corridor 1/25/2010 authority to assign, by agreement, pursuant to laver, or otherwise, any or all of the rights and interests contemplated to be assigned hereunder. 1.03 Supplemental Assignment. In the event other contracts, lease agreements, occupancy agreements, licenses and/or agreements affecting the Property are subsequently discovered by City or DART, City will, as soon as reasonably practicable after such discovery, execute an assignment ("Supplemental Assignment") of such contracts, lease agreements, occupancy agreements, licenses and/or agreements to DART, insofar as they affect the Property, containing identical terms to the Assignment, excepting Exhibit "A" and Exhibit "A-1" thereto, The terms of this Section 1.03 shall survive the Closing and shall not be merged into the Assignment. Section 1.04. Interim Trail Use. The quitclaim of the Property by City to DART, and City's reservation of rights from that quitclaim, as specified therein and herein, shall remain subject to the terms and conditions of the CITU issued by -the Interstate Commerce Commission (now the Surface Transportation Board) with respect to the City's interim trail use on the Property. Notwithstanding the above, in the event freight rail reactivation upon the Property is conducted or caused by DART or DART's successors, assigns, contractors, or related entities, in whole or in part, as authorized by the Line Sale Contract and/or the National Trails System Act, Chapter 27, Title 16, United States Code, the easements and all rights incident thereto reserved by and granted to City in this Agreement and the Quitclaim shall not be affected by such action or occurrence and shall continue in full force and effect in accordance with the terms of this Agreement. The terms of this Section 1.04 shall survive the Closing and shall not be merged into the Assignment and/or Quitclaim.. Agreement Regarding Exercise of option to 5 Repurchase Rail Corridor /25/20I Q ARTICLE II. RESERVATIONS Section 2.01. water Line Easement. City shall reserve from the Quitclaim, and DART shall grant to City in the Quitclaim, subject to the terms hereof, a perpetual easement (the "water Line Easement"), twelve (12) feet in width, in, along, over, upon, under and across those lands wherein City's water pipeline is now located, as depicted on Exhibit "E-1", attached hereto (the "Water Line Property"), for water pipeline and related facilities and appurtenances, including ,without limitation, electric infrastructure utilized in connection with the transmission of water through the water pipeline, The Water Line Easement shall include, in addition to the rights prescribed in Section 2.06, below, the right (at the sole cost and expense of City) to remove buildings and other structures, infrastructure or facilities from the water Line Property as may be reasonably necessary to exercise the rights reserved by and granted to City herein and in the Quitclaim and to reconstruct and enlarge the water pipeline and related facilities and appurtenances in the location depicted on Exhibit "E-111, or at an alternate location within the Property, said location to be approved by DART, in its reasonable discretion. The water Line Easement reserved by and granted to City herein and in the Quitclaim. is in addition to the rights of City as granted to it by that certain Correction Easement (herein so called), to which the City shall reserve from the Quitclaim and DART shall grant in the Quitclaim and to which DART affirms and ratifies, dated on or about April 11, 1975, from Missouri--Kansas-Texas Railroad to the City of Denton, Texas, recorded inVolume 742, Page 585, Real Property Records, Denton County, Texas. City covenants and agrees that it shall not exercise any rights granted to it by the Correction Easement unless and until the water Line Easement shall terminate or otherwise cease to exist. Agreement Regarding Exercise of option to Repurchase Rail Corridor 1 /25/2010 Section 2.02. Utility Easement. City shall reserve from the Quitclaim, and DART shall grant to City in the Quitclaim, subject to the terms hereof, a perpetual easement (the "Utility Easement") of sufficient width for City to exercise and enjoy the easement rights granted and reserved in the Quitclaim, in, along, over, upon and across those lands wherein City's utility related infrastructure is now located and as it is to be located in the future, as depicted in Exhibit "E.2", attached hereto (the "Utility Property"), for communication lines and cables, electricity transmission and distribution lines, transformers and other related equipments facilities and appurtenances, drainage facilities, raw and potable distribution and transmission pipelines and related facilities and appurtenances, sanitary sewer and effluent pipelines and related facilities and appurtenances and other municipal utility systems, facilities and appurtenances (the "Utility Facilities"). The Utility Easement granted and reserved in the Quitclaim shall be limited to the specific lands wherein the specific utility infrastructure is presently located, or to be located in the future as depicted in Exhibit 11E-2", and as to the type of specific utility infrastructure presently located, or to be located in the future, therein, thereon and/or thereunder, as depicted on Exhibit "E-2", attached hereto. In the event relocation of any of the Utility Facilities is determined by the DART Board of Directors to be necessary for transportation purposes of DART or DART's assignees, as such purposes are established by Chapter 452 of the Texas Transportation Code ("Chapter 452"), City shall cause such relocation at City's sole cost and expense. In the event relocation of any of the Utility Facilities is determined by the DART Board of Directors to be necessary for transportation purposes, as established by Chapter 452, of any party, person or entity other than DART, or DART's assignees (a "Third Party"), including without limitation, Denton County Transportation Authority ("DCTA"), such relocation shall be Agreement Regarding Exercise of option to 7 Repurchase Rail Corridor 1/25/2010 caused or authorized by the City at the sole cost and expense of the Third Party. In the event of requested relocation, in either event as provided herein, DART shall make all reasonable efforts to provide an alternate location within the Property for such relocated facilities. DART shall give City reasonable written notice for the exercise of one or more of the above actions to allow City to plan and engineer the relocation. As used in Section 2.02, 2.031 2.06, 6.02 and 6.03, the phrase "DART's assignees" shall mean solely the grantee or assignee of DART of all of whatever interest in the Property is owned or held by DART, or the successor to DART through legislative action by the State of Texas. 2.03. Pedestrian and Bicycle Trail Easement. City shall reserve from the Quitclaim, and r DART shall grant to City in the Quitclaim, subject to the terms hereof, a perpetual easement (the "Trail Easement"), in, along, over and across the portion of the Property described in the DCTA construction plans (the "DCTA Construction Plans"), attached hereto as Exhibit "E-3" (the "Trail Property"), for a pedestrian and bicycle trail ("Pedestrian Trail"). Upon completion of the DCTA transportation project, the "as built" plans of the Pedestrian Trail as provided to City by DCTA, or any survey of the Pedestrian Trail undertaken pursuant to Section 2.07 below, shall be substituted for the DCTA Construction Plans as the description of the Trail Property. The Pedestrian Trail may be fenced, or caused to be fenced, by DART, at the sole cost and expense of DCTA, to separate it from the transportation facilities on the remainder of the Property. Prior to July 2, 2023, in the event the relocation of the Pedestrian Trail (in whole or in part) is determined by the DART Board of Directors to be necessary for transportation purposes of DART or DART's assignees, as established by Chapter 452, City shall, at its election, either (0 relocate the Pedestrian Trail, at the sole cost and expense of DART on lands not part of the Property wherein the City has acquired rights and/or on other portions of the Property as Agreement Regarding Exercise of option to 8 Repurchase Rail Corridor 1/25/2010 identified by DART, or (H) abandon the Pedestrian Trail in its then --current location, relinquish the Trail Easement, insofar as it covers and includes the abandoned portion of the Pedestrian Trail, and take steps to terminate its interim trail user status with the Surface Transportation Board as to the abandoned portion of the Pedestrian Trail (which status may be assumed by DART or its assignee, in their sole discretion). DART shall make all reasonable efforts, but shall not be required, to provide an alternate location within the Property for relocation of the relevant portion of the Pedestrian Trail (in whole or in part) in the event City shall make the election to relocate the relevant portion of the Pedestrian `Frail on the Property. On or after July 2, 2023, in the event the relocation of the Pedestrian Trail (in whole or in part) is determined by the DART Board of Directors to be necessary for transportation purposes of DART or DART's assignees, as established by Chapter 452, City shall, at its election, either (i) relocate the Pedestrian Trail, at its sole cost and expense, or (ii) abandon the Pedestrian Trail in its then -current location, relinquish the Trail Easement, insofar as it covers and 'Includes the abandoned portion of the Pedestrian Trail, and take steps to terminate its interim trail user status with the Surface Transportation Board as to the abandoned portion of the Pedestrian Trail (which status may be assumed by DART or its assignee, ' in their sole discretion). DART shall make all reasonable efforts, but shall not be required, , to provide an alternate location within the Property for relocation of the Pedestrian Trail in the event City shall mare the election to relocate the relevant portion of the Pedestrian Trail. DART shall. give City a minimum of six (6) months written notice for the exercise of one or more of the actions set forth in this Section 2.03. Nothing contained herein shall be construed to prohibit City from abandoning all or a portion of the Pedestrian Trail at any time. In the event of such voluntary abandonment by City, City shall relinquish the Trail Easement, insofar as it covers the abandoned portion of the Pedestrian Trail, Agreement Regarding Exercise of Option to 9 Repurchase Rail Corridor 1 /25/201 o and take steps to terminate its interim trail user status with the Surface Transportation Board as to the abandoned portion of the Pedestrian Trail (which status may be assumed by DART or its successors and assigns, in their sole discretion). Section 2.04. Load Crossings. City shall reserve from the Quitclaim, and DART shall grant to City in the Quitclaim, subject to the terms hereof, a perpetual easement ("Street Easement") in, along, over and across those portions of the Property wherein City of Denton streets and roads and all related facilities and appurtenances, including without limitation, sidewalks, bridges and traffic control devices, are presently located, as depicted on Exhibit "E-411, attached hereto (the "Road Crossings"), together with the right to expand the width of any of the Road Crossings as part of the widening of the particular street or road; PROVIDED, HOWEVER, that construction or reconstruction of the Road Crossings shall require City to submit to DART copies of plans and specifications for review and approval, such approval process to be exercised reasonably, a minimum of sixty (do) days prior to commencement of such actions. DART shall approve such plans and specifications, or prescribe in detail the additions or modifications needed for approval, to City within said sixty (60) day period. The Road Crossings shall be used by City and the public, solely for transportation purposes within the City of Denton. City shall designate such Road Crossings as City of Denton streets and/or roadways. . Section 2.05. Adjacent Facility Easement. City shall reserve from the Quitclaim, and DART shall grant to City in the Quitclaim, subject to the terms hereof, a perpetual easement ("Adjacent Facility Easement"), over and across the Trail Property, (to the extent that the Trail Easement has not been terminated as provided in Section 2.03, above), the water Line Property and any other portions of the Property as may be directed by DART (the "Adjacent Facility Property"), for 91 vehicle and pedestrian access, ingress, egress and regress to raw and potable water transmission Agreement Regarding Exercise of Option to 10 Repurchase Rail Corridor 1/25/2010 and distribution pipelines, sewer and effluent pipelines, drainage facilities and electric transmission and distribution lines located adjacent to or in the vicinity of the Property (the "Water Line Easement", the "Utility Easement", the "Trail Easement", the "Street Easement" and the "Adjacent Facility Easement" are collectively referred to herein as the "Reserved Easements"). Section 2.06. Rights of Easement Owner. The easement rights granted and reserved in the Quitclaim in favor of City, shall expressly include, subject to the conditions set forth in Section 2.01 through Section 2. 05, the free and uninterrupted use and liberty and privilege of passage in, on, along, over, upon, under and across the water Line Property, the Utility Property, the Trail Property, Road Crossings and the Adjacent Facility Property (collectively the "Easement Property"), for the purposes provided in Section 2.01 through Section 2.05, above, including without limitation., the free and uninterrupted use and liberty and privilege of passage in, on, along, over, upon and across the Easement Property for the purposes of constructing, replacing, reconstructing, maintaining, repairing, operating, inspecting, replacing and removing all of said structures, facilities, appurtenances and utilities and the trimming and removal of vegetation for or related to such uses and purposes; provided, however, that the exercise of such rights by City shall be subject to the teams of this Section 2.06 and not unreasonably interfere with the use of the Property by DART or DART's assignees. In the event any of the Utility Facilities and/or any portion of the Pedestrian Trail are relocated within the Property pursuant to the terms of Section 2.02 and/or Section 2.03, or the water pipeline is enlarged into an area outside of the water Line Property pursuant to the terms of Section 2.01 (any of said areas referred to herein as the "Relocation Area"), City shall have all rights within the Relocation Area as it enjoys -within the Utility Property, the Trail Property Agreement Regarding Exercise of option to Repurchase Rail Corridor 1/25/2010 and/or the Water Line Property, as applicable, as granted to and reserved by City in the Quitclaim and shall no longer have any such rights in the vacated area. Prior to entering the Property to conduct any of the activities prescribed in this Section 2.06 in the absence of an emergency condition, City shall provide at least two (2) weeks, notice to DART by telephone, at 214-749-2917, or by telephonic facsimile at 214-749-3609. In the event of an emergency, as reasonably determined by City, City shall provide notice, in the planner provided herein, to DART as soon as reasonably practicable prior to entering the Property. City shall comply with all safety related provisions and requirements of the Federal Railroad Administration and the reasonable safety related requirements of DART or DART's assignees. 2.07. Survey of Easements. It is stipulated by DART and City that the description of the Easement Property, as set forth on Exhibits 11E-1" through "E-411, attached hereto, and to be attached to and made a part of the Quitclaim as Exhibits "B- 1" through "B-4", at Closing, is largely comprised of descriptions of the locations of the .Reserved Easements and may be insufficient in certain respects and/or may not precisely describe the lands encumbered by the Reserved Easements. From and after the date of Closing, but in no event to be later than three (3) years after the date of Closing, City may perform or cause. to be performed, at no cost to DART, a survey of the Easement Property to accurately and legally describe the Easement Property (the "Survey"). At the request of City, DART shall join City in the execution and recordation of a correction instrument expressly correcting Exhibits "B- 1" through "B--4" of the Quitclaim to incorporate the Survey of the Easement Property as set forth herein. 2.08 Reserved Revenue. City shall reserve from the Assignment any and all revenues G) attributable to or due under those certain Agreements depicted as "Franchise Agreements" (herein so called) as described in Exhibit "C-1 ", attached hereto; and (ii) attributable to or due Agreement Regardii)g Exercise of Option to 12 Repurchase Rail Corridor 1/25/2010 under the Agreements, other than the Franchise Agreements, collected by, payable to, or due City or any other party prior to the date of Closing. 2.09 Survival Beyond Closing. The obligations and matters set forth in Article II of this Agreement shall survive the Closing, and shall not be merged into the Quitclaim. and/or Assignment. ARTICLE III. REPRESENTATIONS WARRANTIES COVENANTS STIPULATIONS t AND AGREEMENTS 3.01 Representations, Warranties, Covenants, Stipulations and Agreements of DART. To induce City to enter into this Agreement and consummate the quitclaim of the Property and the Assignment of the Agreements in accordance with the terms and provis10 ions herewith, DART represents and warrants to City as of the Effective Date and as of the Closing Date, that: (a) DART has made an independent inspection and evaluation of the Property and aclmowledges that City has made no statements or representations concerning the present or future value of the Property, state of title to the Property, the condition, including the environmental condition, of the Property, the past or historic use of the Property, materials contained or located in, on or under the Property, the quality, fitness for purpose or merchantability of the Property, or the anticipated income, cost, value, or profits, if any, to be derived from the Property. DART further aclmowledges that in entering into this Agreement and accepting the Quitclaim contemplated to be delivered at Closing, it has relied solely upon its independent evaluation and examination of the Property and public records relating to the Property and independent estimates, computations, evaluations and studies based Agreement Regarding Exercise of Option to 13 Repurchase Rail Corridor 1/25/2010 thereon. DART stipulates that City, its officers, employees, elected officials, independent contractors, and agents assume no liability for the accuracy, completeness or usefulness of any material furnished by City, if any, or any of its officers, employees, elected officials, independent contractors and/or agents, and any other person or party, if any, and DART hereby releases City, its officers, employees, elected officials, independent contractors and agents from and against cause, claim or damage related to same. Further, DART stipulates that its reliance on any such material so furnished, if any, shall not give rise to any cause, claim or action against City, its officers, employees, elected officials, independent contractors and/or agents, and that any such reliance shall be at DART ' s sole risk. (b) DART has made an independent inspection and evaluation of the Agreements, and acknowledges that City has made no statements or representations concerning the validity, ownership or title to or of the Agreements, the applicability or effectiveness of the Agreements to the Property, the present or future value of the Agreements, the assignability of the Agreements, the terms of the Agreements, the necessity of approvals to assign the Agreements, the allocation or responsibility of infrastructure removal or relocation costs and/or the ability to require removal or relocation of the infrastructure constructed or located within the Property pursuant to the Agreements. DART further stipulates that (i) the Franchise Agreements provide for fees payable to City based upon gross revenues of the franchisee attributable to sales within the municipal boundaries of City or other similar fee calculation method, and are not based, in any way or part, on the amount of the Property crossed or utilized by the franchise utility; (ii) as a result of said calculation of fees due to City thereunder, the Agreement Regarding Exercise ❑f option to 14 Repurchase Rail Corridor 1/25/2010 assignment of the Franchise Agreements shall not include any portion of the revenues due thereunder, and (iii) City shall reserve from the Assignment any and all revenues payable under the Franchise Agreements, DART further stipulates that contracts, lease agreements, occupancy agreements, licenses and/or other agreements in addition to the Agreements, may encumber the Property and that utilities and other infrastructure in addition to the utilities and other infrastructure located within the Property pursuant to rights granted in the Agreements may be located within the Property. DART further acknowledges that in entering into this Agreement and accepting the Assignment contemplated to be delivered at Closing, it has relied solely upon its independent evaluation and inspection as warranted herein. (c) Notwithstanding the quitclaim of the Property and the Assignment of the Agreements as contemplated by this Agreement, DART shall be subj ect to the police power regulation of City and shall comply with all of City's ordinances as may be in effect at all tunes from and after the Closing Date. (d) DART has not contracted nor entered into any agreement with any real estate broker, agent, finder, or any other party in connection with this transaction and has not taken any action which would result in any real estate broker commissions or other fees of any kind payable to any other party with respect to the transactions contemplated by this Agreement. 3.02 Representations, warranties, Covenants and Agreements of City. To induce DART to enter into this Agreement and consummate the Quitclaim of the Property and the Assignment of the Agreements in accordance with the terms and provisions herewith, City represents and warrants to DART as of the Effective Date and as of the Closing Date, that, Agreement Regarding Exercise of option to 15 Repurchase Rail Corridor 1/25/2010 (a) City has not contracted nor entered into any agreement with any real estate broker, agent, finder or' any other party in connection with this transaction and has not taken any action which would result in any real estate broker commissions or other fees of any kind payable to any other party with respect to the transactions contemplated in this Agreement, (b) City has delivered to DART, or shall deliver to DART prior to the Closing Date, with respect to the Property, copies of the contracts, lease agreements, occupancy agreements and/or licenses, relating to possession or occupation of the Property (i) of which City is aware; and (10 of which City is in possession. 3.03 Survival Beyond. Closing. The representations, warranties, covenants, stipulations and agreements set forth in this Article III of this Agreement shall survive the Closing and shall not be merged into the Quitclaim and/or Assignment, ARTICLE IV. CONDITIONS PRECEDENT To PERFORMANCE 4.01 Performance of City's obligations, DART is not obligated to perform under this Agreement unless City has performed, furnished or caused to be furnished to DART all items required to be so performed or furnished under other sections of this Agreement, including, without limitation, items to be delivered at Closing. 4.02 Performance of DART's obligations. City is not obligated to perform under this Agreement unless DART has performed, furnished or caused to be furnished to City all items required to be so performed or furnished under other sections of this Agreements including, without limitation, items to be delivered at Closing. 4.03 Breach of DART's Representations, warranties, Covenants, Stipulations and Agreement Regarding Exercise of option to 15 Repurchase Rail Corridor 1 /25/2010 Agreements. City is not obligated to perform under this Agreement unless all representations, warranties, covenants, stipulations and agreements of DART contained in this Agreement are true and correct as of the Effective Date and Closing Date. 4.04 Breach of City's Representations, Warranties, Covenants Stipulations and Agreements. DART is not obligated to perform under this Agreement unless all representations, warranties, covenants, stipulations and agreements of City contained in this Agreement are true and correct as of the Effective Date and Closing Date. 4.05 DART's Right to Waive Conditions Precedent. Notwithstanding anything contained in this Agreement to the contrary, DART may, at DART's option, elect to waive any of the conditions precedent to the performance of DART's obligations under this Agreement by giving to the City, at any time prior to Closing, a written waiver specifying the Waived condition precedent, 4.06 City's Right to Waive Conditions Precedent. Notwithstanding anything contained in this Agreement to the contrary, City may, at City's option, elect to waive any of the conditions precedent to the performance of City's obligations under this Agreement by giving to DART, at any time prior to Closing, a written Waiver specifying the waived condition precedent, 4.07 DART's Termination if Conditions Precedent Not Satisfied or Waived. If any of the conditions precedent to the performance of DART's obligations under this Agreement have not been satisfied by City or waived by DART, DART may, by giving Written notice to City, terminate this Agreement and DART shall be deemed for all purposes to have withdrawn its notice to reactivate rail service, and thereafter, DART and City shall have no further obligations under this Agreement, one to the other, 4.08 City's Termination if Conditions Precedent Not Satisfied or Waived. If any of the Agreement Regarding Exercise of option to 17 Repurchase Rail Corridor 1/25/2010 conditions precedent to the performance of City's obligations under this Agreement have not been satisfied by DART or waived b the City, the City may, b giving written notice to DART Y Y tY Ys Y g g , terminate this Agreement, and DART shall be deemed for all purposes to have withdrawn its notice to reactivate rail service, and thereafter, City and DART shall have no ftwther obligations under this Agreement, one to the other. ARTICLE V. CLOSING 5.01 Date and Place of Closing. The Closing (herein so called) shall take place in the offices of the City at 215 E. McKinney Street, Denton, Texas 76259. The Closing Date (herein, sometimes called), shall be the earlier of (i) March 16, 2010; and (ii) an alternate date agreed upon by the City and DART. The notice provided to City by DART dated September 14, 2009, and as amended in the Agreement to Extend Rail Reactivation executed by DART on December 8, 2009 and effective December 1, 2009, is subject to the terms of this Agreement. 5.02 Items to be Delivered at the Closing, (a) C1t r. At the Closing, City shall deliver, or cause to be delivered, to DART, the - following items: (i) The Quitclaim, substantially in the form as attached hereto as Exhibit "B", duly executed and acknowledged by City; (ii) The Assignment, substantially in the form as attached hereto as Exhibit "W' duly executed by City; other items reasonably requested by DART as administrative requirements for consummating the Closing. (b) DART. At the Closing, DART shall deliver, or cause to be delivered, to City, the Agreement Regarding Exercise of option to 18 Repurchase Rail Corridor 1 /25/2010 following items: (i) The sum required by Section .1.01 in the form of check, certified or cashier's check or other readily available funds; The Quitclaim, substantially in the form as attached hereto as Exhibit "B", duly executed and acknowledged by DART; (iii) The Assignment, substantially in the form as attached hereto as Exhibit "D", duly executed by DART; (iv) other items reasonably requested by City as administrative requirements for consummating the Closing. 5.03 Possession at Closing. Possession of the Property shall be delivered to DART by City on the Closing Date, 5.04 Costs of Closing. Each party is responsible for paying the legal fees of its counsel, in negotiating, preparing, and closing the transaction contemplated by this Agreement. Except as otherwise provided, DART and City are responsible for paying all the fees, costs and expenses associated with closing the transaction contemplated by this Agreement as incurred by such party. 5.05 Ad Valorem Taxes. Except as provided herein, ad valorem taxes, if any, relating to the Property for the calendar year in which Closing shall occur shall be prorated between City and DART as of the Closing Date. The obligations and matters set forth in Article V shall survive Closing and shall not be merged into the Quitclaim and/or Assignment. ARTICLE VI. POST CLOSING OBLIGATIONS 6.01 Future Crossings and Incursions. It is stipulated by DART and City that City may in the Agreement Regarding Exercise of option to 19 Repurchase Rail Corridor 1/25/2010 future desire to place utility or other infrastructure within the Property. From and after the date of Closing, DART shall allow the placement of utility or other infrastructure by City within the Property upon terms at least as favorable as those terms provided to third party utilities permitted to cross the Property and other properties of DART operated for railroad or other transportation purposes. DART further agrees to process, as soon as reasonably practicable, any request by City to place utilities or other infrastructure within the Property. 6.02 Indemnification. DART and City each acknowledge that it is not an agent, servant, or employee of the other party and that it is responsible for its own acts and deeds and for those of its agents or employees during construction, operation or maintenance on the Property. Neither of the parties hereto intends to waive or limit its governmental immunity. Nothing in this Agreement shall be construed as creating any liability in favor of any Third Party against DART or City or any indemnification or other duty of any kind in favor of any Third Party. City shall, insofar as it is legally permitted and subject to such limitations, indemnify and release DART and DART's assignees against any and all claims, damages, suits, costs, causes of action, losses and all other damages, including those arising from injury or death of persons or loss or damage to property, arising out of or incident to construction, maintenance or operation of City's facilities located on the Property; said indemnification obligations herein shall extend to and include, if timely requested in writing by DART, the obligation to defend a suit brought against DART and DART's assignee's for the acts, activities or conduct described in this Section 6.02, 6.03 Noise and Vibration. City shall RELEASE, DISCHARGE and FOREVER ACQUIT DART, its directors, officers, employees, independent contractors and agents, and DART's assignees, and their respective directors, officers, employees, independent contractors and agents, from all claims, demands and causes of action now existing or that may hereafter arise for damage, loss or injury to any of City's facilities located on the Property, relating to or arising Agreement Regarding Exercise of Option to 20 Repurchase Rail Corridor 1/25/2010 out of the existence of noise and/or vibration resulting from the construction, maintenance or operation of transportation facilities on the Property.* Nothing contained in this Section 6.03 shall be construed as a release by City of any kind, nature or degree, of any Third Party from any claim, demand, damage, cause of action, or any other matter or event of any kind. 6.04 Expense of Relocation of Third Party Utilities. In the event DART desires to relocate utilities or other infrastructure owned by parties other than City (the "Third Party Utilities") located within the Property, the cost or expense of the relocation of the Third Party Utilities shall be solely as between DART and the operators or owners of the Third Party Utilities, including without limitation, as such cost allocation'may be defined in the Agreements, if any, to the extent said Agreements are assigned by the Assignment. DART hereby stipulates that City shall have no responsibility or obligation to assist DART in the relocation or removal of the Third Party Utilities and that such cost or expense of the relocation or removal and all matters and issues related thereto, shall be as between DART and the owners and/or operators of the Third Party Utilities. 6.05 Survival Beyond Closing. The obligations and other matters set forth in Article VI of this Agreement shall survive the Closing and shall not be emerged into the Quitclaim and/or Assignment. ARTICLE VII. This Agreement is being executed and delivered and is intended to be performed in the State of Texas, County of Denton, the laws of Texas governing the validity, construction, enforcement and interpretation of this Agreement. This Agreement is performable in, and exclusive venue for any action brought with respect hereto, shall He in Denton County, Texas. 7.03 Entirety and Amendments. This Agreement, including the Exhibits hereto, embodies the entire agreement between DART and City and supersedes all prior agreements and understandings, if any, related to the Property and Agreements, and may be amended or supplemented only in writing executed by the party against whore enforcement is sought. 7.04 Parties Bound. This Agreement is binding upon and inures to the benefit of City and DART, and, except as expressly provided or modified otherwise in this Agreement, their respective successors and assigns, 7.05 Further Assurances. In addition to the acts and deeds recited in this Agreement and contemplated to be performed, executed and/or delivered by City and DART, City and DART agree to perform, execute and/or deliver, or cause to be performed, executed and/or delivered at Agreement Regarding Exercise of option to 22 Repurchase Rail Corridor 1./25/2010 the Closing or after the Closing, any further deeds, acts, and assurances as are reasonably necessary to consummate the transactions contemplated hereby. The obligations and matters set forth in this Section 7.05 shall survive Closing and shall not be merged into the Quitclaim and/or Assignment. 7.06 Time is of the Essence. It is expressly agreed between DART and City that time is of the essence with respect to this Agreement. 7.07 Exhibits. The Exhibits which are referenced in, and attached to this Agreement, are incorporated in and made a part of, this Agreement for all purposes. 7.08 No Third Party Beneficiaries. This Agreement shall not confer any rights upon any person or party other than DART and City and, except as expressly provided or modified otherwise in this Agreement, their respective successors and assigns. 7.09 Compliance. City and DART acknowledge that no event has occurred prior to the execution of this Agreement that would cause or constitute an event of default hereunder or affect the rights contemplated to be conveyed and reserved hereunder. 7.10 Multiple Counterparts. This Agreement may be executed in two (2) counterparts, both of which together shall constitute one and the same agreement, and either of the parties hereto may execute this Agreement by signing either such counterpart. 7.11 Effective Date. The Utility Easement granted and reserved herein is limited to the specific lands wherein the specific utility infrastructure is presently located, or to be located in the future as depicted on Exhibit "B-2", and as to the type of specific utility infrastructure presently located, or to be located in the future, therein, thereon and/or thereunder, as depicted on Exhibit "B-2", attached hereto. In the event relocation of any of the Utility Facilities is determined by the Board of Directors of Assignee to be necessary for transportation purposes of Assignee or Assignee's assignees, as such purposes are established by Chapter 452 of the Texas Transportation Code ("Chapter 452"), Assignor shall cause such relocation at Assignor's sole cost and expense. In the event relocation of any of the Utility Facilities is determined by the Board of Directors of Assignee to be necessary for transportation purposes, as established by Chapter 452, of any party, person or entity other than Assignee, or Assignee's assignees (a "Third Party"), including without limitation, Denton County Transportation Authority ("DCTA"), such relocation shall be caused or authorized by Assignor at the sole cost and expense of the Third Party. In the event of requested relocation, in either event as provided herein, Assignee shall make all reasonable efforts to provide an alternate location within the Property for such relocated facilities. Assignee shall give Assignor reasonable written notice for the exercise of one or more of the above actions to allow Assignor to plan and engineer the relocation. As used in this Quitclaim, and notwithstanding anything to the contrary herein, the phrase "Assignee's assignees" shall mean solely the grantee or assignee of Assignee of all of whatever interest in the Property is owned or held by Assignee, or the successor to Assignee through legislative action by the State of Texas; (c) a perpetual easement (the "Trail Easement"), in, along, over and across the portion of the Property described in the DCTA construction plans ("DCTA Construction Plans"), attached hereto as Exhibit "BW3" (the `Trail Property"), for a pedestrian and bicycle trail ("Pedestrian Trail"). Upon completion of the DCTA transportation project, the "as built" plans of the Pedestrian Trail as provided to Assignor by DCTA, or any survey of the Pedestrian Trail, undertaken, as provided below, shall be substituted for the DCTA Construction Plans as the description of the Trail Property. The Pedestrian Trail may be fenced, or caused to be fenced, by Assignee, at the sole cost and expense of DCTA, to separate it from the transportation facilities on the remainder of the Property. Prior to July 2, 2023, in the event the relocation of the Pedestrian Trail (in whole or in part) is determined by the Board of Directors of Assignee to be necessary for transportation purposes of Assignee or Assignee's assignees, as established by Chapter 452, Assignor shall, at its election, either (i) relocate the Pedestrian Trail, at the sole cost and expense of Assignee on lands not part of the Property wherein the Assignor has acquired rights and/or on other portions of the Property as Identified by Assignee, or (ii) abandon the Pedestrian Trail in its then — current location, relinquish the Trail Basement, Insofar as it covers and includes the abandoned portion of the Pedestrian Trail, and take steps to terminate its interim trail user status with the Surface Transportation Board as to the abandoned portion of the Pedestrian Trail (which status may be assumed by Assignee or Assignee's assignees in their sole discretion). Assignee shall make all reasonable efforts, but shall not be required, to provide an alternate location within the Property for relocation of the Pedestrian Trail in the event Assignor shall make the election to relocate the Pedestrian Trail on the Property. On or after July 2, 2023, in the event the relocation of the Pedestrian Trail (in whole or in part) is determined by the Board of Directors of Assignee to be necessary for transportation purposes of Assignee or Assignee's assignees, as established by Chapter 452, Assignor shall, at its election, either (i) relocate the Pedestrian Trail, at its sole cost and expense; or (ii) abandon the Pedestrian Trail in its then -current location, relinquish the Trail Easement, insofar as it covers and includes the abandoned portion of the Pedestrian Trail, and take steps to terminate its interim trail user status with the Surface Transportation Board as to the abandoned portion of the Pedestrian Trail (which status may be assumed by Assignee or Assignee's assignee, in their sole discretion), 9 Assignee shall make all reasonable efforts, but shall not be required, to provide an alternate location within the Property for relocation of the Pedestrian Trail in the event Assignor shall make the election to relocate the Pedestrian Trail. Assignee shall give Assignor a minimum of six (6) months written notice for the exercise of one or more of the actions set forth herein. Nothing contained herein shall be construed to prohibit Assignor from abandoning all or a portion of the Pedestrian Trail at any time. In the event of such voluntary abandonment by Assignor, Assignor shall relinquish the Trail Easement, insofar as it covers the abandoned portion of the Pedestrian Trail, and take steps to terminate its interim trail user status with the Surface Transportation Board as to the abandoned portion of the Pedestrian Trail (which status may be assumed by Assignee, or Assignee's successors and assigns, in their sole discretion). (d) a perpetual easement ("Street Easement") in, along, over and across those portions of the Property wherein City of Denton streets and roads and all related facilities and appurtenances, including without limitation, sidewalks, bridges and traffic control devices, are presently located, as depicted on Exhibit "B-4", attached hereto (the "Road Crossings"), together with the right to expand the width of any of the Road Crossings as part of the widening of the particular street or road; PROVIDED, HOWEVER, that construction or reconstruction of the Road Crossings shall require Assignor to submit to Assignee copies of plans and 'specifications for review and approval, such approval process to be exercised reasonably, a minimum of sixty (60) days prior to commencement of such actions. Assignee shall approve such plans and specifications, or prescribe in detail the additions or modifications needed for approval,, to Assignor within said sixty (60) day period, The Road Crossings shall be used by Assignor and the public, solely for transportation purposes within the City of Denton. Assignor shall designate such Road Crossings as City of Denton streets and/or roadways; and (e) a perpetual easement ("Adjacent Facility Easement"), over and across the Trail Property, (to the extent that the Trail Easement has not been terminated as provided above), the Water Line Property and any other portions of the Property as may be directed by Assignee (the "Adjacent Facility Property"), for vehicle and pedestrian access, ingress, egress and regress to rave and potable water transmission and distribution pipelines, sewer and effluent pipelines, drainage facilities and electric transmission and distribution lines located adjacent to or in the vicinity of the Property (the "Water Lime Easement", the Utility Easement", the "Trail Easement", the "Street Easement" and the "Adjacent Facility Easement" are collectively referred to herein as the "Reserved Easements"), The easement rights granted to and reserved by Assignor herein, shall expressly include, subject to the conditions set forth herein, the free and uninterrupted use and liberty and privilege of passage in, on, along, over, upon, under and across the Water Line Property, the Utility Property, the Trail Property, Road Crossings and the Adjacent Facility Property (collectively the "Easement Property"), for the purposes provided herein, including without limitation, the free and uninterrupted use and liberty and privilege of passage in, on, along, over, upon and across the Easement Property for the purposes of constructing, replacing, reconstructing, maintaining, repairing, operating, inspecting, replacing and removing all of said structures, facilities, appurtenances and utilities and the triirlming and removal of vegetation for or related to such uses and purposes; provided, however, that the exercise of such rights by Assignor shall not unreasonably interfere With the use of the Property by Assignee or Assignee's assignees. In. the event any of the Utility Facilities and/or any portion of the Pedestrian Trail are relocated Within the Property pursuant to the terms hereof, or the water pipeline is enlarged into an area outside of the Water Line Property pursuant to the terms hereof (any of said areas referred to s herein as the "Relocation Areas'), Assignor shall have all rights within the Relocation Area as it enjoys within the Utility Property, the Trail Property and/or the Water Line Property, as applicable, as granted to and reserved by Assignor herein and shall no longer have any such rights in the vacated areas. Prior to entering the Property to conduct any of the activities prescribed herein, in the absence of an emergency condition, Assignor shall provide two (2) weeks' notice to Assignee by telephone, at 214-749-2917, or by telephonic facsimile at 214-749-3609. In the event of an emergency, as reasonably determined by Assignor, Assignor shall provide notice, in the manner provided herein, to Assignee as soon as reasonably practicable prior to entering the Property. Assignor shall comply with all safety related provisions and requirements of the Federal Railroad Administration and the reasonable safety related requirements of Assignee or Assignee's assignees. It is stipulated by Assignee and Assignor that the description of the Easement Property, as set forth on Exhibits B -1 through B -4, attached hereto, is largely comprised of descriptions of the locations of the Reserved Easements and may be insufficient in certain respects and/or may not precisely describe the lands encumbered by the Reserved Easements. From and after the date hereof, but in no event to be later than three (3) years after the date hereof, Assignor may perfornn or cause to be performed, at no cost to Assignee, a survey of the Easement Property to accurately and legally describe the Easement Property (the "Survey's). At the request of Assignor, Assignee shall join Assignor in the execution and recordation of a correction instrument expressly correcting Exhibits B-1 through B-4 of this Quitclaim to incorporate the Survey of the Easement Property as set forth herein. I This Quitclaim, including without limitation, the rights of Assignee and Assignor within the Easement Property, is subject to all terms, provisions, conditions, reservations, stipulations, representations, warranties and all other matters contained in that certain Agreement Regarding Exercise of Option to Repurchase Rail Corridor (herein so called), dated on or about February 2010, by and between Assignor and Assignee. Assignor and Assignee hereby represent and warrant to the other, that this Quitclaim has been duly authorized by their respective governing bodies and that the party executing for and on behalf of such entity has been duly authorized by their governing body to execute this Quitclaim and bind each respective entity to the terms and provisions hereof. TO HAVE AND TO HOLD all of the right, title and interest in and to the Property, subject to the reservations herein, together with all and singular the rights, privileges and appurtenances to the Property belonging to the Assignee, its successors and assigns forever, so that neither the Assignor, nor any of Assignor's successors and assigns shall any time in the future, subject to the reservations herein, have, claim, or demand any right or title to the Property. Assignment and Assumption. Assignor, subject to the terms, conditions, stipulations and reservations provided herein, hereby assigns and transfers to Assignee all of Assignor's right, title and interest in, to - and under each and all of the contracts, lease agreements, occupancy agreements, licenses and/or agreements (the "Agreements") described in Exhibit "A" and Exhibit "A-1 ", attached hereto and made a part hereof, INSOFAR. AND ONLY INSOFAR as the Agreements are (0 valid and subsisting; and (ii) cover or affect that certain real property (the "Property") described in Exhibit "B ", attached hereto and made a part hereof. I (a) THE ASSIGNMENT MADE HEREIN IS "AS IS", "WHERE IS" AND "WITH ALL FAULTS", AND SHALL BE WITHOUT REPRESENTATION OR WARRANTY WHATSOEVER, EXPRESSED, STATUTORY OR IMPLIED, INCLUDING WITHOUT LIMITATION, AS TO THE DESCRIPTION, TITLE, PHYSICAL OR ENVIRONMENTAL CONDITION OF THE AGREEMENTS AND ANY PROPERTY SUBJECT TO THE AGREEMENTS, QUALITY, VALUE, FITNESS FOR PURPOSE, MERCHANTABILITY, OR OTHERWISE. Without limiting the generality of the foregoing the assignment made herein is without warranty or representation (0 that the Agreements, or any of them, are valid and subsisting agreements and/or affect the Property; (ii) as to the presence of any liens or encumbrances thereon; (iii) as to the non-existence of consents or waivers from any third party or parties required for the effectiveness of this Assignment or the sale and transfer of the rights assigned hereunder; and (iv) that Assignor owns and/or has the right, power or authority to assign, by agreement, pursuant to law, or otherwise, any or all of the rights and interests being purportedly assigned hereunder. Except as expressly provided below, any payments due or payable from third parties from and after the effective date of this Assignment shall be payable to Assignee, prorata in the proportion to which the Property bears to the entire property Z OP covered or pertaining to the subject Agreement. Notwithstanding anything in this Assignment to the contrary, any and all revenues or payments due and payable related to the Franchise Agreements (herein so called), as depicted in Exhibit "A- 1 ", are herein reserved by Assignor and shall be due and payable solely to Assignor, it being the express intention of Assignor and Assignee that no right to payments due under the Franchise Agreements shall be assigned to Assignee by this Agreement. (c) Assignee hereby accepts the foregoing Assignment, and assumes and agrees to perform all of the covenants, terms and agreements in the Agreements, insofar as assigned by this Assignment, to be performed by Assignor thereunder that arise or accrue from and after the effective date of this Assignment, and hereby releases the Assignor, its successors and assigns, from any and all obligations arising out of, or pursuant to, the Agreements, insofar as assigned by this Assignment, from and after the effective date of this Assignment. Subject to Agreement. This Assignment is subject to all terms, provisions, conditions, reservations, stipulations, representations, warranties, and all other matters contained in 97 that certain Agreement Regarding Exercise of option to Repurchase Rail Corridor, dated February , 2010, by and between Assignor and Assignee. 3. Supplemental Assignment. In the event other contracts, lease agreements, occupancy agreements, licenses and/or agreements affecting the Property are subsequently discovered by Assignor or Assignee, Assignor will, as soon as reasonably practicable after such discovery, execute an assignment ("Supplemental Assignment") of such contracts, lease agreements, occupancy agreements, licenses and/or agreements to Assignee, insofar as they affect the Property, containing identical terms to those provided herein, excepting the Exhibit "A" and Exhibit "A-1" hereto. 4. Further Assurances. Assignor and Assignee agree to execute such other documents and perform such other acts as may be reasonably necessary or proper to effect this Assignment. S. Compliance with Laws. This Assignment is governed by and shall be construed in accordance with the laws of the State of Texas. This Assignment is performable in Denton County, Texas.
