AND DECLARING AN EFFECTIVE DATE..
THE COUNCIL OF THE CITY OF DENTON HEREBY ORDAINS:
SECTION 1. The Easement Abandonment Agreement between the City of Denton,
Sunstone Investments, L.L.C. and Mayhill Hospitality, L.P. in substantially the form of the
agreement attached hereto and made part of the ordinance for all purposes (the "Agreement") is
hereby approved.
SECTION 2. The City Manager or his designee is hereby authorized to execute the
Agreement on behalf of the City.
SECTION 3. This ordinance shall become effective immediately upon its passage and
approval.

EASEMENT ABANDONMENT AGREEMENT
THIS AGREEMENT is entered into effective as of the date set forth below by and
between the City of Denton, Texas, a home rule municipal corporation (the "City") Sunstone
Investments, L.L.C. and Mayhill Hospitality, L.P., (the "Landowners").
WHEREAS, the Landowners have made application requesting abandonment of a 0.442
acre Public Drainage and Detention Easement as recorded by County Clerk file number 2006-
157365, Real Property Records of Denton County, Texas, a 0.090 acre Public Water Line
Easement as recorded by County Clerk file number 2006-157374, Real Property Records of
Denton County, Texas, a 0.126 Public Drainage Easement as recorded by County Clerk file
number 2006-157370, Real Property Records of Denton County, Texas, a 0.070 Public Sanitary
Sewer Easement as recorded by County Clerk file number 2006-157371, Real Property Records
of Denton County, Texas, and two sections of a Public Drainage Easement being more described
as Exhibit A 0.040 acres and Exhibit B 0.013 acres within the document recorded by County
Clerk file number 2006-157366, Real Property Records of Denton County, Texas in the M.E.P.
& P.R.R. Survey, Abstract No. 950, described in Exhibit "A" attached hereto and made a part
hereof, referred to as the "Existing Easements"; and
WHEREAS, the Landowners agree to dedicate new easements for the Public Facilities
and Public Drainage improvements (the New Easements) as shown in Exhibits "B", "C", "D",
and as shown on the future plat of Mayhill-Denton Addition Lot 6, illustrated in Exhibit "B", an
overall map of the easement abandonment layout is also attached and labeled as Exhibit' F' ; and
WHEREAS, the Landowners agree to realign the drainage and relocate all existing
utilities from the Existing Easements to the Ncw Easements; and
WHEREAS, the City agrees to abandon the Existing Easements upon the realignment,
relocation and acceptance by the City of the drainage improvements and the relocated utilities to
the New Easements; and
WHEREAS, notwithstanding any of the above, the City of Denton hereby retains all
easement and, street right-of-way rights in all other easement and street right-of-way tracts,
whether conveyed by other instruments or by plat, in which the easement tracts described for
abandonment herein cross and or overlap;
NOW, THEREFORE, for and in consideration of the mutual covenants contained herein
the City and the Landowners hereby agree as follows:
1. The City shall abandon the Existing Easements upon completion of realignment
of the drainage and relocation of the public utilities from the Existing Easements to the New
Easements. The realigned drainage and relocated utilities shall be inspected and accepted by the
City prior to the City's abandonment of the Existing Easements. The City Manager, or his
designee is authorized to execute and deliver to Landowner a Quit Claim Deed for the
abandonment of the Existing Easement upon the fulfillment of the above conditions.
2. The Landowners shall provide to the City written confirmation that all franchise
utilities have been relocated and removed from the Existing Utility Easements.
3. The City Council of the City and the Landowners have duly authorized this
Agreement and the execution of same by the officers or agents who have signed below on their
behalf

This easement is hereby adopted 'by the -Grantor and ,approped-:by the'

shall be binding upon the Grantor, their heirs, grantees=and successors:
The Public- Drainage and Detention Easement: tract described' and.
illustrated .in :Exhibits "A" and "B", attached herewith, shall -remain.
open at all _ imes and shall be ;maintained in a safe. and sanitary
Condit"ion _tiy the Grantor. -The City shall not be responsible for the:
:maintenance and operation of said easement or- for any damage to private,
property; or person - that results from conditions in the -Easement --or for
,.the control. of ,erosion. No- obstruction to the natural. flow of storm.
water run=off :shall be 'permitted by construction of any type of
building', fence or: any other. -structure :within the Public Drainage and
.Detention Easement, as herein above defined, unless- approved by the
City. The Grantor shall keep the Public Drainage and .Detention. Easement
.clear and, :free of debris, silt-, and any, substance that would result in:
unsanitary conditions "or obstruct the flow of water. And, the City
ehall..have` the right of ingress..and.egress for the purpose.of -inspection;
and supervision of:, maintenance by the 'Grantor to alleviate, any,
undesirable conditions that may occur., Furthermore', the City shall. have
the right, but not the obligation, to ,enter upon the above -described,
Public 'Drainage and Detention easement tract:to remove any abstruction
-to :the -flow of water, .after giving the_Grantor wiitten,:notice of. -such -
obstruction and Grantor fails to remove such obstruction. dkould the
City of. Denton be compelled to remove any :obstruction to the, flow of
water, _after giving the -Grantor written notice of such obstruction and
Grantor. falls :to_remove such obstruction, then the -City of Denton shall.
;be. reimbursed by the Grantor .the .reasonable costs :for:- labor, materials
and equipment for each instance. The natural drainage ,through, the,
Public Drainage .and Detention Easement is subject. to, storm. water.
overflow and natural bank erosion £o.an.extent that: cannot be "definitely
,defined.. The City shall not be held liable for any damages of any
nature -resulting from the -occurrence• of these natural phenomena or,
resulting from the. failure of any .structure or structures,, within the
-Public Drainage ,and.Detention..Easement or.otherwise.,
This grant and covenants stipulated herein shall, run with the land;
.and shall. ,be binding upon the parties, and their- heirs, successors and.
assigns.
TO HAVE: AND TO.HOLD unto the said City of Denton, Texas as
