ORDINANCE NO. 2007- 006-
AN ORDINANCE OF THE CITY OF DENTON, TEXAS, AUTHORIZING THE MAYOR TO
EXECUTE AN INTERLOCAL COOPERATION AGREEMENT BETWEEN THE CITY OF
DENTON, TEXAS AND THE UPPER TRINITY REGIONAL WATER DISTRICT
REGARDING THE USE OF THE RIGHT OF WAY FOR WATER PIPELINE
IMPROVEMENTS; AND PROVIDING AN EFFECTIVE DATE.
WHEREAS, the Upper Trinity Regional Water District, ("UTRWD"), desires to
construct and install a water pipeline within portions of the public street right-of-way of
Lakeview Boulevard, Shady Shores Road and Swisher Road, all within the corporate limits of
the City of Denton as shown on Exhibit "A", attached herewith. In addition, the subject
UTRWD water pipeline is proposed to encroach within several existing City of Denton
easements along their proposed route; and
WHEREAS, there is a valid governmental purpose served by UTRWD to use City Right
of Way to provide necessary water resources to the citizens of Texas; and
WHEREAS, the Interlocal Cooperation Act, now contained in Chapter 791 of the Texas
Government Code (Vernon 1994), authorizes the CITY and UTRWD to enter into an Interlocal
Agreement for the purpose of achieving the governmental functions and providing the services
represented by UTRWD use of City Right of way, NOW, THEREFORE,
THE COUNCIL OF THE CITY OF DENTON HEREBY ORDAINS:
SECTION 1. The Mayor, or in his absence, the Mayor Pro-Tem, is hereby authorized to
execute, on behalf of the City Council of the City of Denton, Texas, an Interlocal Cooperation
Agreement between the City of Denton, Texas and the Upper Trinity Regional Water District,
("UTRWD") for the use of the right of way for UTRWD water pipeline improvements, which
Interlocal Cooperation Agreement is attached hereto as Exhibit `B" and incorporated by
reference herein.
SECTION 2. This Ordinance shall become effective immediately upon its passage and
approval.

COUNTY OF DENTON
INTERLOCAL COOPERATION AGREEMENT
USE OF STREET RIGHT-OF-WAY FOR
UPPER TRINITY REGIONAL WATER DISTRICT SYSTEM
THIS AGREEMENT is made and entered into by and between the CITY OF DENTON,
TEXAS, a Texas Municipal Corporation (hereinafter "CITY") and the UPPER TRINITY
REGIONAL WATER DISTRICT (hereinafter "UTRWD"), organized and existing under the
laws of the State of Texas, acting by and through, and under the authority of their respective
governing bodies; and
WHEREAS, the CITY and UTRWD are local governmental entities, both of whom have
the authority to perform the services set forth in this Agreement individually and who mutually
desire to enter into an interlocal cooperation agreement, as provided for in Chapter 791 of the
Tcxas Government Code (Vernon 2004) in order to maximize the benefits to the citizens of
Texas derived from public funds; and
WHEREAS, the CITY is member of the UTRWD; and
WHEREAS, the UTRWD desires to construct water pipeline improvements, to be
maintained and operated by UTRWD, for the purpose of their charge to provide water services
for the interests of their member cities; and
WHEREAS, there is a valid governmental purpose served by this Agreement by UTRWD
to use CITY right-of-way to provide such water services; and
WHEREAS, the Interlocal Cooperation Act, now contained in Chapter 791 of the Texas
Government Code (Vernon 1994), authorizes the CITY and UTRWD to enter into this
Agreement for the purpose of achieving the governmental functions and providing the services
represented by this collective, cooperative undertaking;
NOW THEREFORE, the CITY and UTRWD, for and in consideration of the street right-
of-way and the mutual covenants set forth in this Interlocal Cooperation Agreement do hereby
AGREE as follows:
ARTICLE I
INCORPORATION OF PREAMBLES
The preambles to this Agreement are incorporated into this Agreement and are found and
determined to be true and correct.
ARTICLE H
SCOPE OF AGREEMENT
A. The Upper Trinity Regional Water District ("UTRWD") intends to install water pipeline

improvements, submitted as the Shady Shores Finished Water Pipeline Replacement
Project, hereinafter referred to as the "PROJECT", in public street right-of-way located
within the corporate limits of the City of Denton, the permanent and temporary confines
of which are specifically described and illustrated in ATTACHMENT "1", attached
hereto and made a part of for all purposes, and hereinafter referred to as the "STREET
LICENSE AREAS". The exhibits in ATTACHMENT "1" herein, that make up the
STREET LICENSE AREAS were inadvertently labeled as easement tracts.
Notwithstanding that text labeling, all of those STREET LICENSE AREA tracts,
contemplated by the parties herein, shall be solely license areas, absent of rights
associated with easements. Portions of the subject waterline improvements are to
encroach within existing City of Denton utility easements, the encroaching segments
being specifically shown in ATTACHMENT "2", attached hereto and made a part of for
all purposes, and hereinafter referred to as the "EASEMENT ENCROACHMENT
AREAS". The PROJECT, as planned, contemplates the installation of one (1) finished
water pipeline and appurtenances. Any future UTRWD project will require additional
licensing within the STREET LICENSE AREAS.
B. UTRWD shall furnish, at UTRWD 's own cost and expense, unless otherwise provided
herein, all labor, services, and materials necessary for the installation and operation of the
planned UTRWD water pipeline improvements. UTRWD understands and agrees that
the granting of any license hereunder is not meant to convey to UTRWD any right to use
or occupy property in which a third party may have an interest, and UTRWD agrees that it
will obtain all necessary permission before occupying such property.
C. UTRWD shall provide the PROJECT construction plans and specifications to the City
Engineer of the City of Denton. Upon completion of the planned UTRWD water pipeline
improvements, UTRWD shall provide the City an "as -built' set of project plans.
D. UTRWD shall promptly provide the CITY with any drawings or by other written
document, as the CITY may require to proceed with the work as provided for in this
Agreement. All such drawings and written documents shall be consistent with, and
reasonably inferable from this Agreement.
E. This Agreement is for a License authorizing UTRWD to install and operate UTRWD
water line facilities and appurtenances in the STREET LICENSE AREAS and
EASEMENT ENCROACHMENT AREAS, and as such, the presence of UTRWD's
improvements arc subordinate to CITY's interests in the street right-of-way and
easements. CITY reserves the right to use the street right -of --way, easements, the
airspace above the street right-of-way, and the airspace above the easements for any
public purpose allowed by law and to do and permit to be done, any work in connection
therewith which may be deemed necessary or proper by the CITY, on, across, along,
under or over said street right-of-way and easements; and whenever by reason of said
work in connection with said other purposes it shall be necessary by the CITY to alter,
change, adapt, conform or relocate UTRWD's water pipeline facilities or other property
in any part of the street right-of-way or easements occupied by UTRWD, such
alterations or changes or relocations shall be made by UTRWD when ordered in writing
by the CITY pursuant to directions from the City Manager without any claim for

reimbursement for the costs of the 'relocation or for damages against the CITY;
provided, that UTRWD shall at all times be entitled to receive from the appropriate
governmental bodies, excluding the CITY, payment for alteration or relocation of its
lines or facilities to which UTRWD may be lawfully entitled under applicable federal,
state or local laws with respect to relocation payments.

G. Prior to contractor mobilization for the PROJECT, or any construction activities or any
subsequent maintenance activities within the STREET LICENSE AREA or EASEMENT
ENCROACHMENT AREAS, UTRWD shall obtain a Right -of -Way inspection permit
from the CITY Utilities Engineering Department for each instance. The role of the CITY
Right -of -Way Inspector shall be to ensure that UTRWD and/or their contractor(s)
maintain proper traffic control devices and are conforming to best practices in their
general construction operations within the public domain. A CITY Right -of -Way
Inspection Permit has a fee component. Presently, anticipating an expeditious
construction schedule, it is estimated that the CITY Right -of -Way Inspection fee will be
approximately $15,000. UTRWD shall deposit the estimated inspection fee fund amount
with the CITY at the time of Right -of -Way Inspection Permit application. The CITY
Right -of -Way Inspection fees shall be drawn out of these posted funds on a periodic
basis, throughout the duration of the PROJECT. Upon substantial completion of the
PROJECT and departure of the PROJECT contractor(s) from the STREET LICENSE
AREAS, the balance of the remaining posted Inspection Fee funds shall be refunded to
UTRWD. Any shortfalls in the Inspection Fee fund account shall be promptly tendered
by UTRWD to the CITY, upon written notification of that event. It is understood that
UTRWD shall provide their own Construction Inspection as it relates to construction
conformance to their plans and specifications for the PROJECT.
ARTICLE III
TERM OF AGREEMENT
The CITY and UTRWD agree that the term of this Agreement shall be perpetual, except
as may be terminated under Article IV,
ARTICLE IV
TERMINATION OF AGREEMENT
A. Either party may voluntarily terminate this Agreement at any time upon giving to the
other party I year (365 days) written notice of such intention to terminate;
B. Either party may terminate this Agreement for cause by reason of the other party's
material breach or default in the performance of this Agreement. The party seeking to
terminate this Agreement under this provision shall provide the defaulting party written
notice, specifically identifying the breach or default complained of, which notice shall
provide the defaulting party a period of not less than thirty (30) days in which to cure
such breach or default. In the event such breach or default is not fully cured within the
time period specified, then the party seeking to terminate this Agreement shall provide
the defaulting party with further written notice expressly specifying that this Agreement
will be terminated if the breach or default is not wholly cured within ten (10) days after

the receipt of the written notice by the alleged defaulting party. In the event that the
defaulting party fails to cure the breach or default complained of, within the time
specified, then this Agreement shall be terminated, and the party terminating this
Agreement may seek appropriate legal relief.
C. At the time of any termination event of this Agreement, UTRWD shall remove and or
employ CITY approved remediation techniques to decommission all of its facilities and
appurtenances within the STREET LICENSE AREAS, unless otherwise mutually agreed
to in writing. If the CITY, by UTRWD default, removes and or decommissions
UTRWD's facilities within the STREET LICENSE AREAS, then UTRWD shall pay the
CITY its charge for removal and or any related restoration.
ARTICLE V
HOLD HARMLESS AND INDEMNITY
To the extent allowed by the Constitution and statutes of the State of Texas, and without
waiving any immunity or limitation to liability, UTRWD agrees to and shall indemnify, defend
and hold harmless CITY, its officers, agents, and employees from and against any and all claims,
losses, damages, causes of action, suits, and liability of every kind, including all expenses of
litigation, court costs, and attorneys fees, for injury or death of any person, or for damages to any
property; real, personal, or intellectual, arising out of or in connection with the use, installation
and/or maintenance, of the water pipeline and related appurtenances, the subject of this
Agreement, where the injury or death or damage is caused by the negligence of UTRWD, its
officers, agents, contractors or employees, except that UTRWD assumes no liability for the sole
negligent acts of CITY, its officers, agents, or employees.
ARTICLE VI
CONTRACTOR INSURANCE
INSURANCE AND INDEMNITY. UTRWD shall provide or cause it's contractor(s) to
provide the insurance described below upon execution of this agreement.
A. Commercial General Liability Insurance. This coverage should be a minimum
Combined Single Limit of $1,000,000 per occurrence for Bodily Injury and Property
Damage. The insurance shall include coverage for products/completed operations,
contractual liability, premises/operations, explosion — collapse — underground, and
environmental impairment liability.

C.
Automobile Liability Insurance.
(1) Minimum Combined Single Limit of $500,000 per occurrence for Bodily Injury
and Property Damage; and
(2) The Business Auto Policy must provide coverage for any auto, or include
coverage for hired, leased and non-owried vehicles.
Worker's Compensation Insurance. In addition to the minimum statutory

requirements:
(1) Employer's Liability limits of at least $100,000 for each accident, $100,000 for
each employee, and a $500,000 policy limit for occupational disease; and
(2) The insurer agrees to waive rights of subrogation against the CITY, its officials,
agents, employees, and volunteers for any work performed for the CITY by the UTRWD
and or its contractor(s).
(3) The UTRWD shall comply with the provisions of with Section 406.096 of the
Texas Labor Code and rule 28TAC 110.110 of the Texas Worker's Compensation
Commission.
General provisions
(1) All policies shall be endorsed to read "THIS POLICY WILL NOT BE CANCELLED OR
NON -RENEWED WITHOUT 30 DAYS ADVANCED WRITTEN NOTICE TO THE
CITY EXCEPT WHEN THIS POLICY IS BEING CANCELLED FOR NONPAYMENT
OF PREMIUM, IN WHICH CASE 10 DAYS ADVANCE WRITTEN NOTICE IS
REQUIRED".
(2) Commercial. General Liability and Automobile Liability insurance shall be written by
companies with A:- V111 or better rating in accordance with the current Best Key Rating
Guide
(3) Commercial General Liability, Automobile Liability, and Excess Liability insurance
policies shall name as "Additional Insured" the City of Denton and its officials, agents,
employees, and volunteers.
(4) Certificates of insurance must reflect all coverages and endorsements required by this
section.
(5) Coverage shall be placed with insurance carriers licensed to do business in the State of
Texas or with non -admitted carriers that have a financial rating comparable to carriers
licensed to do business in Texas approved by the CITY.
ARTICLE VII
PERFORMANCE BOND
UTRWD, as required by Texas Government Code, Section 2253.021, shall require any
contractor to execute to the UTRWD a performance bond in the amount of Fifty Thousand
Dollars ($50,000.00) executed by a surety company authorized to do business in the State of
Texas in the amount of the contract. UTRWD shall file a copy of this bond with CITY.

ARTICLE vIII
ARBITRATION AND ALTERNATE DISPUTE RESOLUTION
The parties may agree to settle any disputes under this Agreement by submitting their
dispute to arbitration or other means of alternate dispute resolution such as mediation. No
arbitration or other alternate dispute resolution arising out of or relating to, this Agreement
involving one party's disagreement may include the other party to the disagreement without the
other's approval.
ARTICLE IV
ASSIGNABILITY
UTRWD shall not assign any interest in this Agreement and shall not transfer any interest
in this Agreement (whether by assignment, novation or otherwise) without the prior written
consent of the CITY, which consent shall not be unreasonably withheld. CITY shall not assign
any interest in this Agreement and shall not transfer any interest in this Agreement (whether by
assignment, novation or otherwise) without the prior written consent of the UTRWD, which
consent shall not be unreasonably withheld.
ARTICLE X
NOTICE
Any notice given by one party to the other in connection with this Agreement shall be in
writing and shall be by personal delivery, sent by registered mail or certified mail, return receipt
requested, postage prepaid, or by facsimile transmission actually received, to:

Notices shall be deemed to have been received on the date of receipt as shown on the return
receipt or other written evidence of receipt.
ARTICLE XI.
MODIFICATION
No waiver or modification of this Agreement or of any covenant, condition, limitation
herein contained shall be valid unless in writing and duly executed by the party to be charged
therewith. No evidence of any waiver or modification shall be offered or received in evidence in
any proceeding arising between the parties hereto out of or affecting this Agreement, or the rights
or obligations of the parties hereunder, unless such waiver or modification is in writing, duly
executed. The parties further agree that the provisions of this section will not be waived unless
as herein set forth.

ARTICLE XII.
SAVINGS
In the event that any one or more of the provisions hereof concerning the subject matter
of this Agreement should be held by a court or administrative agency of competent jurisdiction to
be illegal, invalid or unenforceable in any respect, the parties agree to make a good faith effort to
renegotiate another agreed provision to fulfill the purpose and intent of the present Agreement.
ARTICLE XIII
GOVERNING LAW AND VENUE
This Agreement shall be construed under and governed by, and in accordance with the
laws of the State of Texas, and all obligations of the parties hereto, created by this Agreement are
performable in Denton County, Texas. Venue of any suit or cause of action under this
Agreement shall lie exclusively in Denton County, Texas.
ARTICLE XIV
ENTIRE AGREEMENT
This Agreement and the exhibits attached thereto, constitutes the entire agreement among
the parties hereto with respect to the subject matter hereof, and supersedes any prior
understandings or written or oral agreements between the parties with respect to the subject
matter of this Agreement. No amendment, modification, cancellation or alteration of the terms
of this Agreement shall be binding on any party hereto unless the same is in writing, dated
subsequent to the date hereof, and is duly executed by the parties hereto.
ARTICLE XV
WAIVER OF TERMS AND CONDITIONS
The failure of either party to enforce or insist upon compliance with any of the terms or
conditions of this Agreement shall not constitute a general waiver or relinquishment of any such
terms or conditions, but the same shall be and remain at all times in full force and effect.
ARTICLE XVI
BINDING AUTHORITY
This Agreement is entered into by the duly authorized officials of each respective
governmental entity.
ARTICLE XVII
CAPTIONS
The captions contained in this Agreement are for informational purposes only and shall
not in any way affect the substantive terms or conditions of this Agreement.
