HomeMy WebLinkAbout2001-282S Wu[ OROAO[ ORDINANCE NO AN ORDINANCE OF THE CITY OF DENTON, TEXAS APPROVING AN AGREEMENT BETWEEN THE CITY OF DENTON AND ANDREW CORPORATION, RELATING TO THE PURCHASE OF STREET RIGHT-OF-WAY AND EASEMENTS IN THE G WALKER SURVEY, ABSTRACT 1330 AND THE D LAMBERT SURVEY, ABSTRACT NUMBER 784, DENTON COUNTY, TEXAS AND OTHER CONSIDERATIONS REGARDING THE PENDING COLORADO/MAYHILL/EDWARDS PAVING AND DRAINAGE IMPROVEMENTS PROJECT, AUTHORIZING THE EXPENDITURE OF FUNDS THEREFORE, AND PROVIDING AN EFFECTIVE DATE THE COUNCIL OF THE CITY OF DENTON, TEXAS HEREBY ORDAINS SECTION 1 The City Manager is hereby authorized to execute an Agreement between the City and Andrew Corporation, in substantially the form of the Agreement which is attached hereto and made a part of this ordinance for all purposes for the purchase street nght-of-way and easements and other considerations regarding the Colorado/Mayhill/Edwards Paving and Drainage Improvements Project SECTION 2 The City Manager is authorized to make the expenditures as set forth in the attached Agreement SECTION 3 This ordinance shall become effective immediately upon its passage and approval 99 L PASSED AND APPROVED this the c � / 5L day of 2001 c:�Ac�— EULINE BROCK, MAYOR ATTEST JENNIFER WALTERS, CITY SECRETARY BY APPR ED AS TO LEGAL FORM HERBERT L PWUTY, §ITY ATTORNEY 10 AGREEMENT (� AGREEMENT dated 2001 between Denton ("CITY") and Andrew Corporation ("OWNER") WITNESSETH:" Whereas, Andrew Corporation ("OWNER") is the owner land in the City of Denton and in unincorporated Denton County, Texas which is being affected by the public improvement project called Colorado/Mayhill/Edwards Paving & Drainage Improvements ("PROJECT"); and Whereas, it is desirous of both parties to stipulate and agree to the terms and conditions associated with the installation of the street and drainage improvements; NOW, THEREFORE, for good and valuable consideration, the receipt and adequacy of which is hereby acknowledged, the parties agree as follows: 1. For the purposes of this AGREEMENT a schematic construction plan dated May 28, 2001 is attached hereto as "Exhibit A" and made a part hereof by reference (the "PLAN") The station numbers referenced in this AGREEMENT refer to station locations set forth on the Plan. The overall PROJECT shall be completed in two (2) phases. The scope of Phase 1 focuses on paving and drainage improvements, specifically from Edwards Station 3+75 eastward to Edwards Station 22+93.58 Phase 2 of the PROJECT consists of paving and drainage improvements specifically from Colorado/Mayhill Station 0+00 northeasterly to Colorado/Mayhill Station 12+53.61,and the paving and drainage improvements from Edwards Station 0+00 to Edwards Station 3+75. The CITY shall work expeditiously to complete Phase 1 of the PROJECT within the year, 2002. Construction of the Phase 2 PROJECT improvements shall be initiated within the year 2002. 2. At Closing, the CITY shall pay the OWNER as payment for all easement tracts, right-of-way tracts, and an "in -kind acreage adjustment" the full purchase price of Thirty Five Thousand Two Hundred Forty One Dollars and no cents ($35,241.00). These tracts are identified in "Exhibit B" and Illustrated in "Exhibit C" as New Mayhill 2, Edward 2, Edward 3, Edward 5(prescriptive) and, Edward 5(new). 3. Conveyance of tracts from OWNER to CITY. a. The OWNER shall convey unto the CITY by "Street Dedication Deed" those tracts identified in "Exhibit B" and illustrated in "Exhibit C" as New Mayhill 1, New Mayhill 2, Edward 1, Edward 2, Edward 3, Edward 4 and Edward 5. The "Street Dedication Deed" for those tracts is attached herewith as "Attachment 1". b.The OWNER shall convey unto the CITY by "Slope Easement Deed" those tracts identified in "Exhibit B" and illustrated in "Exhibit C" as Slope 1, Slope 2, Slope 3, Slope 4, and Slope 5. The "Slope Easement Deed" for those tracts is attached herewith as "Attachment 2". c. The OWNER shall convey unto the CITY by "Bikeway/Walkway Easement Deed" that tract identified in "Exhibit B" and illustrated in "Exhibit C" as Bike/Walk. The "Bikeway/Walkway Easement Deed" for those tracts is attached herewith as "Attachment 3". d.The OWNER shall convey unto the CITY by "Drainage & Public Utility Easement Deed" that tract identified in "Exhibit B" and illustrated in "Exhibit C" as Drainage & Public Utility Easement. The "Drainage & Public Utility Easement Deed" for that tract is attached herewith as "Attachment 4". e. The OWNER shall convey unto the CITY by "Temporary Grading & Construction Easement Deed" that tract identified in "Exhibit B" and illustrated in "Exhibit C" as Temporary Grading & Construction Easement The "Temporary Grading & Construction Easement Deed" for that tract is attached herewith as "Attachment 5" 4. Transfer of tracts from CITY to OWNER. a. The CITY shall convey unto the OWNER by "Quit Claim Deeds" those tracts identified in "Exhibit B" and illustrated in "Exhibit C" as Old Mayhill 1 and Old Mayhill 2. The CITY shall retain a Drainage & Public Utility Easement in the entirety of the Old Mayhill 2 tract within the above -mention conveyance. The "Quit Claim Deeds" for those tracts is attached herewith as Attachment "6" and "Attachment "7". The timing of the Page 2 conveyance of the "Old Mayhill 1 and Old Mayhill 2" tracts from the CITY to the OWNER shall be at the time that public travel through those tracts cease by way of Phase 2 PROJECT completion. The CITY shall convey the above -mentioned tracts to the OWNER expeditiously at the time that public travel is routed to the new road improvements. When public travel has ceased within the "Old Mayhill 1 and Old Mayhill 2" tracts the CITY shall remove all surface pavement materials from those tracts and shall restore those areas with native soil from the PROJECT. The CITY shall relocate its utilities within Old Mayhill 1 to alternative locations within the new right- of-way tracts at CITY expense 5. The CITY shall construct, as a component of the contemplated improvements, a four lane urban road section from New Mayhill (Edwards Station 0+00) eastward to a transition point approximately 100' east of the new Andrew driveway (Edwards Station 5+80). 6. Traffic Signal installation at Colorado ® Rail to Trail / New Edwards Road. The CITY shall construct a traffic signal at the above -mentioned intersection as a component of the PROJECT. The timing of actual signal installation shall be in conjunction with the second phase of the overall PROJECT (Colorado to Mayhill connection). 7. As a component of the PROJECT the existing vehicle grade crossing within Old Mayhill 2 and the Rail to Trail corridor shall be removed by the CITY at their sole expense. In addition, a typical permanent street barricade shall be installed along the south line of the Rail to Trail corridor at the terminus of Old Mayhill, southeast corner of the Ray Hallford tract, all at the sole cost and expense of the CITY. 8. OWNER'S Entrance Signs In addition to the Purchase Price stipulated in Paragraph 2, the CITY shall pay the OWNER at closing Three Thousand Eight Hundred Fifty Dollars and no cents ($3,850.00), as reimbursement for relocation of the existing plant entrance sign located at Edwards Station 4+25. The OWNER shall coordinate and facilitate entrance sign relocation in conjunction with the PROJECT mobilization, or at OWNER'S discretion after PROJECT completion. The payment amount of Three Thousand Eight Hundred Fifty Dollars and no cents ($3,850.00), shall include not only the cost of labor and materials but also shall be deemed as full consideration Page 3 for management, overhead, and warranties associated with entrance sign relocation. A permit shall be required however the fee shall be waived. 9. OWNER'S Entrance Lighting- In addition to the Purchase Price stipulated in Paragraph 2, the CITY shall pay the OWNER at closing Three Thousand Five Hundred Seventy Five Dollars and no cents ($3,575.00), as reimbursement for relocation of the existing light pole & concrete base located at Edwards Station 4+25. The OWNER shall coordinate and facilitate light pole & concrete base relocation in conjunction with the PROJECT mobilization, or at OWNER'S discretion after PROJECT completion. The payment amount of Three Thousand Five Hundred Seventy Five Dollars and no cents ($3,575.00), shall include not only the coat of labor and materials but also shall be deemed as full consideration for management, overhead, and warranties associated with light pole & concrete base relocation. All applicable permits shall be obtained however permit fees shall be waived. 10. OWNER'S Fencing: As a component of the PROJECT the CITY of Denton shall relocate the OWNER'S existing east/west chain link fence located at the eastern limits of the PROJECT to the proposed south right-of-way line of the Edwards 4 tract. The existing north/south section of the OWNER'S chain -link fence along their eastern line (Randy C. Snider's western property line) shall be terminated at the northern right-of-way line of Edwards 3 tract. Any new fence materials required shall be of like materials quality and style, and installed in a workmanlike manner by the CITY and or its contractor. 11. OWNER'S Street Address: Presently, the OWNER'S street address is 2701 Mayhill Road. The proposed road configurations dictate that the OWNER'S street address be changed to most accurately reflect their true physical location. Upon completion of the proposed paving and drainage improvements the OWNER'S new address shall be 4242 Edwards Road. The OWNER shall have an interim period of 1 year from the date of PROJECT acceptance by the CITY to reconcile internal and external addressing issues. The OWNER shall be notified, in writing, of the specific date of PROJECT acceptance by the CITY and shall be notified at a time 1 year thereafter, of the official address change. Should the OWNER, at OWNER'S discretion, decide to expedite the address change, the CITY shall facilitate the request upon written notification by OWNER. Page 4 12. OWNER'S Access: a. As a component of the PROJECT the CITY shall relocate OWNER'S existing access driveway from Old Mayhill Road to New Edwards Road (Edwards Station 4+63 12) The CITY shall construct a two-lane urban street section from New Edwards Road to match into OWNER'S existing access drive The OWNER hereby grants the CITY formal permission to enter OWNER'S private property to facilitate the contemplated access driveway relocation at Edwards Station 4+63.12. Upon completion of the PROJECT it is understood that maintenance of relocated access driveway from the proposed New Edwards south right-of-way line southward shall be the sole discretion of the OWNER. b. As a component the PROJECT, Phase 1, the CITY shall install a drive approach to access the OWNER'S remainder tract along the north side of New Edwards. The specific location of the maintenance driveway approach to be determined at the discretion the OWNER, with CITY approval. The CITY shall provide a drainage culvert if necessary, dependent upon specific location of maintenance driveway. C. As a component of the PROJECT, the CITY shall install a drive approach at Edwards Station 14+72, south side of New Edwards. The future connection of the contemplated drive approach southward to OWNER'S existing employee/visitor parking area shall be at the sole discretion of the OWNER and at OWNER'S sole cost and expense. The above -mentioned drive way shall be 24 feet wide with a 20-foot curb radix. (typical) 13. The stipulated total sum of $42,666.00 shall be paid by the CITY at closing to the OWNER through, Texas Title Company, 2215 South Loop 288, Suite 320, Denton, Texas All closing costs associated with this transaction, except OWNER'S attorneys' fees, shall be paid by the CITY. This sum together with other good and valuable consideration provided for in this Agreement represents full and final settlement of all claims for compensation and damages, including severance damages, if any, due OWNER as a result of the CITY'S acquisition of the properties and easements provided for herein. In the event of default, the non -defaulting party's Page 5 sole remedy is specific performance of this Agreement. However, this shall not be construed so as to limit the CITY'S right and power of eminent domain. The closing and funding of this Agreement shall occur prior to work commencing on OWNER'S (unless such work is performed pursuant to a Right of Entry Agreement), but no later than August 31, 2001. 14. This agreement constitutes the sole and only agreement of the parties and supersedes any prior understandings or written or oral agreements between the parties respecting the within subject matter.
