January 16, 2007 Agenda PLANNING SESSION AGENDA CITY OF DENTON CITY COUNCIL January 16, 2007 Denton Civic Center After determining that a quorum is present, the City Council of the City of Denton, Texas will convene in a Special Called Meeting on Tuesday, January 16, 2007 at 8:30 a.m. in the Civic Center Conference Room at the Denton Civic Center, 321 E. McKinney, Denton, Texas at which the following item will be considered: 1. Consider adoption of an ordinance of the City Council of the City of Denton, Texas, authorizing the City Manager to execute an agreement for professional services with the Waters Consulting Group, Inc. relating to employee recruitment services; authorizing the expenditure therefore; and providing an effective date. Following the completion of the Special Called Meeting, the City Council will convene in a Planning Session at which the following item will be considered: ITEMS FOR DISCUSSION: • Receive an update, discuss and give direction concerning t he long and short term goals and objectives of the city, including without limitation, goals and objectives related to city services, finances, budget, planning, zoning and development, operations, environment, transportation, intergovernmental relations, boards, commissions and committees, and meetings. Upon completion of the Items for Discussion, the Council will convene in a Closed Meeting in Meeting Room #1 at the Denton Civic Center at which the following item will be considered: CLOSED MEETING: A. Personnel Matters— Under Section 551.074 of the Texas Government Code. 1. Deliberate the duties of the City Manager. NOTE: The City Council reserves the right to adjourn into a Closed Meeting on any item on its Open Meeting agenda consistent with Chapter 551 of the Texas Government Code, as amended, including without limitation, Sections 551.071-551.086 of the Texas Open Meetings Act. However, the Council reserves the right to take action at the meeting regarding any item on the agenda. Campbell, City Manager SUBJECT: Adoption of an ordinance authorizing the City Manager to execute an agreement for professional services with the Waters Consulting Group, Inc. relating to employee recruitment services. BACKGROUND: The City currently has four Department Head level positions vacant. Those four positions include the Directors of Planning and Parks and Recreation, Chief of Police and Chief Financial Officer. Other positions at the Director or above level could also become vacant within the twelve-month term of the proposed executive search agreement with Waters-01dani. In order to obtain the best pool of candidates for these high level leadership positions in the shortest amount of time, the City Manager recommends utilizing the services of a professional recruitment firm. The City Manager and Director of Human Resources will coordinate the work of this firm, and arrange for interviewing and hiring of finalist candidates for each position. RECOMMENDATIONS: Staff recommends approval of the ordinance allowing the City Manager to enter into an agreement with Waters Consulting Group, Inc. Respectfully submitted: .1Z George C. RECITALS The Client has its principal place of business at 215 E McKinney Street, Denton, Texas 76201. WCG has its principal place of business at 5050 Quorum Drive, Suite 625,, Dallas,, Texas 75254. WCG provides services to clients across the nation in the field of wage and salary system development, performance management, executive search and other related human resource areas; therefore, the Client hereby engages in the services of WCG, and in consideration of the promises herein contained,both parties agree to the following: TERM 1. This Agreement shall b e for the period necessary for successful completion of the project, commencing on January 5,2047 and may not b e terminated by the Client unless WCG-s services are no logger desired. SCOPE OF PROFESSIONAL SERVICES 2. Professional fees for services for each executive recruitment conducted during the aforementioned twelve-month period are $19,500.00 for general project elements with an additional hourly rate for other optional elements. Project related expenses are not-to-exceed $9,500.00 for each recruitment position. The Client will make payments for the project upon receipt of an invoice submitted by WCG. Payment to WCG is expected within 30 calendar days. All invoices will be forwarded to Mr. George C. The professional fee for each recruitment will be billed in four installments;30% of the fee will be billed at the tiation of the search; 30% at the initiation of Phase II; 30% at the initiation of Phase III; and the final 10% upon acceptance of offer by the candidate. AMENDMENT 7. This Agreement may be amended by the mutual agreement of the parties hereto in writing and must b e attached to and incorporated into this Agreement. LEGAL CONSTRUCTION 8. In case any one or more of the provisions contained in this Agreement shall for any reason be held to be invalid, illegal, or unenforceable in any respect, such invalidity, illegality, or unenforceability shall not affect any other provisions thereof and this Agreement sha11 be constructed as if such invalid,, illegal, or unenforceable provision had never been contained herein.
