2011-09-23 Council Airport Committee Minutes City Council Airport Committee Friday, September 23, 2011 Approved Meeting Minutes After determining that a quorum was present, the City Council Airport Committee of the City of Denton, Texas, convened in a regular meeting, on Friday, September 23, 2011, at 1:30 p.m. in the City Hall Conference Room at City Hall, 215 E. McKinney Street, Denton, Texas. PRESENT: Council Member Jim Engelbrecht and Mayor Pro Tem Pete Kamp. Council Member Chris Watts arrived at 1:57 p.m. STAFF PRESENT: Bryan Langley, Chief Financial Officer, John Knight, Deputy Attorney Quentin Hix, Airport Manager, Julie Mullins, Recording Secretary Kenneth Hedges, Deputy Fire Chief The meeting was called to order at 1:40 p.m. by Council Member Engelbrecht. OPEN MEETING Item 1: Consider approval of minutes from the meeting held on August 2, 2011. Mayor Pro Tem Pete Kamp made a motion to approve the minutes followed by a second from Council Member Engelbrecht. Motion carried unanimously 2-0. Item 2: Receive reports by citizens and other interested persons. With no reports by citizens or other interested persons, Council Member Engelbrecht turned the Committee’s attention to Item 3. Item 3: Receive a report, hold a discussion and provide a recommendation to the City Council regarding an ordinance approving an Airport Safety Equipment Lease Agreement between the City of Denton, Texas and Jet Works Air Center; and providing an effective date. Mr. Hix gave a presentation on the Aircraft Rescue and Fire Fighting Vehicle (ARFF Truck) which Jet Works Air Center (JWAC) has acquired on a lease/purchase agreement. This vehicle was required in order to qualify for a sub-contract with L3 Corporation to perform heavy maintenance on Army aircraft such as Citation jets and King Air twin engine aircraft. In order for the Airport to be able to use the ARFF Truck to service all tenants at the Airport, the Airport has proposed to pay a modest lease amount to JWAC to make the truck available to be operated by the Denton Fire Department (DFD) for any City emergency or routine use. Mr. Hix requests the City Council allow the City Manager to sign a six (6) month lease agreement with JWAC. Upon the City Manager signing the lease, Airport Management will go into negotiations with Jet Works to determine the ongoing status of this truck after the six (6) month lease expires. A future proposal may be presented for the City of Denton to purchase the ARFF Truck at a discounted price or to accept it as a donation to the City to be maintained and operated by the DFD. Mr. Hedges said the first time the DFD used the ARFF truck was the day of the Airshow. The truck and fire crew was dispatched to stand-by when an aircraft experienced a fuel leak. The DFD sent ten (10) firemen to a D/FW Airport aircraft fire suppression school in May of this year. Two (2) additional personnel have received training since that time, and, one (1) fireman already was certified for aircraft emergency response. The Fire Department has provided daily service checks for ARFF Truck and operated it to date under an administrative memorandum of understanding. Councilman Engelbrecht asked how the trained personnel will be scheduled for availability in case of an emergency. Mr. Hedges commented that there are four (4) people on each shift that are trained to use the truck. Councilman Engelbrecht asked how this is paid for now, out of the Airport budget or the Fire Departments budget. Mr. Hedges said the Fire Department is paying for personnel and training. D/FW Airport has been a lot of help in the training process. They are helping DFD with the standing operating procedures (SOP) and are helpful by coming to Denton to teach Fire Department training classes at no cost in preparation for the City to become owner of the truck. D/FW Airport will come to Denton and teach DFD personnel how to use the truck on structural fires at buildings. D/FW Airport is familiar with the growth at Denton Airport and they are willing to come up to teach the Fire Department at no cost. Mr. Hix commented that if the Airport becomes owner of the ARFF truck, it can be used not only at the Denton Airport but anywhere in the City. Mr. Hedges said it would be the only ARFF Truck in the County. Mayor Pro Tem Pete Kamp made a motion to recommend the lease to the City Council for approval; Council Member Jim Engelbrecht seconded. Motion carried 2-0. The Airport Committee of the Denton City Councilconvened into a Closed Meeting to consider specific items as these items is listed below under the Closed Meeting section of this agenda. When items for consideration are not listed under the Closed Meeting section of the agenda, the Airport Committee of the Denton City Councilwill not conduct a Closed Meeting and will convene at the time listed above for its regular or special called meeting. The Airport Committee of the Denton City Councilreserves the right to adjourn into a Closed Meeting on any item on its Open Meeting agenda consistent with Chapter 551 of the TEXAS GOVERNMENT CODE, as amended, as set forth below. At 1:56 p.m. the Airport Committee of the Denton City Councilconvened into a Closed Meeting. Closed Meeting: 1. A. Deliberations regarding Real Property - Under Texas Government Code Section 551.072; Consultation with Attorneys - Under Texas Government Code Section 551.071. 1. Discuss, deliberate, and receive information from staff and provide staff with direction pertaining to the lease or value of real property located at 910 Aeronca, a tract of land being approximately 23,915 square feet or 0.508 acres, in the T. Toby Survey, Abstract No. 1285 in the City and County of Denton, Texas where the deliberation of same in an open meeting would have a detrimental effect on the position of the governmental body in negotiations with a third person. Consultation with the City’s attorneys regarding legal issues associated with lease of the tract referenced above where a public discussion of these legal matters would conflict with the duty of the City’s attorneys to the Airport Committee of the Denton City Council under the Texas Rules of Disciplinary Conduct of the State Bar of Texas, or would jeopardize the City’s legal position in any administrative proceedings or potential litigation. ANY FINAL ACTION, DECISION, OR VOTE ON A MATTER DELIBERATED IN A CLOSED MEETING WILL ONLY BE TAKEN IN AN OPEN MEETING THAT IS HELD IN COMPLIANCE WITH TEXAS GOVERNMENT CODE, CHAPTER 551, EXCEPT TO THE EXTENT SUCH FINAL ACTION, DECISION, OR VOTE IS TAKEN IN THE CLOSED MEETING IN ACCORDANCE WITH THE PROVISIONS OF §551.086 OF THE TEXAS GOVERNMENT CODE (THE ‘PUBLIC POWER EXCEPTION’). THE AIRPORT COMMITTEE OF THE DENTON CITY COUNCIL RESERVES THE RIGHT TO ADJOURN INTO A CLOSED MEETING OR EXECUTIVE SESSION AS AUTHORIZED BY TEX. GOV’T. CODE, §551.001, ET SEQ. (THE TEXAS OPEN MEETINGS ACT) ON ANY ITEM ON ITS OPEN MEETING AGENDA OR TO RECONVENE IN A CONTINUATION OF THE CLOSED MEETING ON THE CLOSED MEETING ITEMS NOTED ABOVE, IN ACCORDANCE WITH THE TEXAS OPEN MEETINGS ACT, INCLUDING, WITHOUT LIMITATION §551.071- 551.086 OF THE TEXAS OPEN MEETINGS ACT. At 2:01 p.m. the Airport Committee of the Denton City Councilreconvened the regular meeting. Noofficial action was considered on Closed Meeting item(s) under §§551.071-551.088 of the Texas Government Code, as amended. Item 4. Receive a report, hold a discussion and make a recommendation to City Council regarding an ordinance authorizing the City Manager to approve a fourth amendment to an Airport Lease dated September 15, 1987 as amended by Ordinance 2010-297 dated September 7, 2010 and by Ordinance 2011-035 dated March 1, 2011 and by Ordinance 2011-097 dated June 7, 2011 between the City of Denton, Texas, and First Financial Resources, Inc. at the Denton Municipal Airport; and providing an effective date. Mr. Hix presented a proposed ordinance to adopt a ninety (90) day extension to the First Financial Resources, Inc. (FFR) property lease at 910 Aeronca, Denton Airport. There was general discussion regarding the status of a revised Standard Lease Agreement for Airport property upon which a new lease for FFR would be negotiated in the near future. Upon staff review of the new lease agreement, it will be presented to the Council Airport Committee for review and recommendation to the City Council. Mayor Pro Tem Pete Kamp made a motion to recommend to the City Council a three (3) month extension to the First Financial Resources, Inc. lease. Mr. Chris Watts seconded the motion. Motion carried 3-0. 6) Airport Manager’s Report a. Air Transportation Technical Advisory Committee Mr. Hix reported to the Council Airport Committee that the next Air Transportation Technical Advisory Committee (ATTAC) meeting will be held on Monday, October 3, 2011. Under Section 551.042 of the Texas Open Meetings Act, respond to inquiries from the Airport Committee of the Denton City Council or the public with specific factual information or recitation of policy, or accept a proposal to place the matter on the agenda for an upcoming meeting. AND Under Section 551.0415 of the Texas Open Meetings Act, provide reports about items of community interest regarding which no action will be taken, to include: expressions of thanks, congratulations, or condolence; information regarding holiday schedules; an honorary or salutary recognition of a public official, public employee, or other citizen; a reminder about an upcoming event organized or sponsored by the governing body; information regarding a social, ceremonial, or community event organized or sponsored by an entity other than the governing body that was attended or is scheduled to be attended by a member of the governing body or an official or employee of the municipality; or an announcement involving an imminent threat to the public health and safety of people in the municipality that has arisen after the posting of the agenda.
