WITH THE DENTON FAMILY RESOURCE CENTER, INC TO PROVIDE CHILD ABUSE
PREVENTION SERVICES IN ACCORDANCE WITH A GRANT AND CONTRACT WITH
THE CHILDREN'S TRUST FUND OF TEXAS, AUTHORIZING THE EXPENDITURE OF
FUNDS THEREFOR, AND PROVIDING AN EFFECTIVE DATE
WHEREAS, Ordinance No 99-,~ / authorized the C~ty Manager to make apphcat~on
to the Cluldren's Trust Fund of Texas to obtain a grant for a family resource center and to
execute a contract with the Children's Trust Fund of Texas to provide child abuse prevention
services, and
WHEREAS, it is necessary to contract with the Denton Family Resource Center, Inc
("DFRC")ito pmwde child abuse prevention services to ~mplement the grant, and
WHEREAS, the City Council previously authorized the City Manager to execute an
agreement with DFRC to provide child abuse prevention services and that contract will expire on
August 31, 1999, and
WHEREAS, tbas contract is not required to be competitively bid due to the fact that the
Children's Trust Fund of Texas grant was awarded to the City of Denton, w~th the City of
Denton acting as the fiscal agent for the DFRC, and the DFRC is the only source in Denton that
can prowde these services under the terms and con&tlons of the grant and ~s a non-profit
organization Much will provide slgmficant financial or other management servmes and benefits
to the City in accordance with the reqmrements of the grant and in accordance with Tex Loc
Gov't Code §252 022(a)(7)(f), and
WHEREAS, the City Council deems it m the public interest for the C~ty Council to renew
the contract with DFRC subject to obtalmng a continuing grant from the Children's Trust Fund
of Texas for an additional period to mn from September 1, 1999 through August 31, 2000,
NOW, THEREFORE,
THE COUNCIL OF THE CITY OF DENTON HEREBY ORDAINS
SECTION 1. That the City Manager ~s hereby authorized to enter into a new contract
with the DFRC, substantially in accordance with the attached contract, which is made a part of
th~s ordinance for all purposes, to provide a family resource center and child abuse prevention
servmes, subject to all the cond~tlons and terms of the contract which the City Manager is
entenng into with the Children's Trust Fund of Texas under the authority granted in Ordinance
No 99-
SECTION 2. That the City Manager is hereby authorized to make the expenditures as
outhned m the attached contract
SECTION 3. That the City Council has found and determined that the meeting at winch
tlus ordmance is considered is open to the public and that notice thereof was given in accordance
with the Texas Open Meetings Act, Tex Gov't Code ch 551, as amended
SECTION 4. That this ordinance shall become effective immediately upon its passage
and approval

CITY OF DENTON, TEXAS AND DENTON FAMILY RESOURCE CENTER, INC
Thru Agreement ~s hereby entered ~nto by and between the C~ty of Denton, Texas, a home rule
mumc~pal corporatmn, hereinafter referred to as "C~ty", and the Denton Fanuly Resource Center, Inc,
a non-profit corporation, P O Box 2242, Denton, Texas 76201, hereinafter referred to as "Orgamza-
tlon",
WHEREAS, C~ty has determined that the proposal for servmes merits assistance and can pro-
wde needed servmes to mUzens of C~ty and has accepted funds from the Children's Trust Fund of
Texas ("CTF") for the purpose of paying for contractual services,
NOW, THEREFORE, the pames hereto mutually agree as follows
1 SCOPE OF SERVICES
Organization shall ~n a satisfactory and proper manner perform the following tasks, for wtueh
the momes prowded by C~ty may be used
Prowde a Fanuly Resource Center to offer access to ~nformat~on and assistance regarding the
education, health, and general well-being of their children and to prowde child abuse prevention
services
Orgamzatmn shall perform those servmes descnbed m the Plan of Operation hereto attached as
Exhibit A
2 OBLIGATIONS OF ORGANIZATION
In consideration of the receipt of funds from C~ty, Orgamzat~on agrees to the following terms
and condat~ons
A A sum not to exceed $50,000 may be ptud to Orgamzat~on by C~ty on a monthly rennbursement
bas~s, subject to payment of money to the C~ty by CTF on a cost-reimbursement basis m accor-
dance w~th that certmn Contract for Cluld Abuse Prevention Services Children's Trust Fund of
Texas Council between the C~ty and CTF, here~nafier referred to as "CTF Contract Form 1000,
August, 1999" Theonlyexpend~turesre~mbursed fromthese ftmdsshallbethosemaccordance
w~th the project budget, attached hereto as Exlub~t B and incorporated herem by reference, for
those expenses hsted in the scope of servmes as prowded here~n Organization shall not utilize
these funds for any other purpose
B Orgamzat~on will estabhsh, operate, and mmntmn an account system for flus program that will
allow for a tracing of funds and a rewew of the financial status of the program The system will
be based on generally accepted aceotmUng principles as recognized by the American InsUtute
of Certffied Pubhc Accountants
C Orgamzat~on will permit authorized officmls of City to rewew its books at any time

D Orgamzatlon will reduce to writing all of ~ts rules, regulations, and policies and file a copy with
City's Commumty Development Office along wath any amendments, adthtlons, or revisions
whenever adopted
E Orgamzat~on will not enter into any contracts that would encumber City funds for a period that
would extend beyond the term of this Agreement
F Orgamzatlon will promptly pay all bills when submitted unless there is a thscrepancy in a bill,
any errors or dmerepanc~es m bills shall be promptly reported to City's Assistant C~ty Manager
for Fiscal & Mtmlmpal Services, or her anthonzed representative, for further direction
G Organization will appoint a representative who will be avmlable to meet wath City's Assistant
City Manager for Finance and other City officials when requested
H Orgamzat~on will estabhsh a method to ensure the confident~ahty of records and other ~nforma-
t~on relating to clients subject to applicable federal and state law, rules, and regulations, includ-
Ing but not hnuted to the Pubhc Information Act, chapter 552 of the Texas Government Code
This provision does not hmlt CTF's or C~ty's right of access to chent case records or other in-
formation relating to chents served under thru Agreement
I Orgamzat~on will lndemmfy and hold harmless City, ~ts officers and employees, from any and
all clanns and suits arising out of the activities of Organization, ~ts employees, and/or contrac-
tors
J Organization wall submit to City cop~es of year-end audited financial statements
K Orgamzatlon shall fully comply wath all the reqmrements of the CTF Contract, including,
without hm~tat~on, all the reqmrements and federal and state law, rules, regulations, and guide-
hnes, and all the reqmrements of Section III of smd CTF Contract, a tree and correct copy of
whmh is attached to ttus Agreement as Exlublt C and made a part of ttus Agreement for all pur-
poses In particular, Organlzataon agrees to do the following
1 Adhere to federal and state law, rules, regulations, and gmdehnes prowded in the CTF
Handbook and Grade to Procedures for Grants made avmlable on an annual basis
2 a Comply with Title VI of the Civil l'rights Act of 1964 (Pubhc Law 88-352), Section 504
of the Rehablhtat~on Act of 1973 (Pubhc Law 93-112), the Americans with Disabthtles Act
of 1990 (Pubhc Law 101-336), and all amendments to each, and all requirements ~mposed
by the regulattons issued pursuant to these acts These prowde, in part, that no persons ~n
the United States shall, on the grounds of race, color, national ong~n, sex, age, dlsablhty,
political beliefs, or rehglon be excluded from participation ~n, or demed, any md, care,
servme, or other benefits provided by federal and/or state funding, or otherwise be sub-

12 Make avtulable at reasonable times and for reasonable periods client records, books, and
supportang documents pertmmng to servmes provided for inspecting, photocop3nng mom-
toting, auditing, or evaluating by CTF and City personnel or their representatives or other
state or federal representatives
13 Maintain and keep financial and suppomng documents, statlstmal records, and other records
pertanent to the services for winch a claim was submitted The records and documents will
be kept for a mimmum of three years aider the termination of the Agreement If any ht~ga-
t~on, clmm, or audit revolving these records begins before the three-year period expires, the
Orgamzat~on will keep the records and documents for not less than three years and until all
htlgat~on, clmms, or audit findings are resolved The case ~s considered resolved when a
final order ~s issued in htlgatlon, or a written agreement is entered into between CTF and
C~ty and City and Orgamzatlon Orgamzataon wall keep records of nonexpendable property
acqmred under the Agreement for three years after final deposition of the property Con-

of an original agreement or renewal shall not exceed one year ~n duration A contract may

14 Account for program income related to projects financed ~n whole or in part with state
funds or unplemented on behalf of the CTF program Program income means gross meome
earned by the Orgamzat~on from contract-supported activities Program income earned

Agreement, shall be
· Added to funds committed to the program by CTF and City and Orgamzat~on and
be used to further ehg~ble program objectives, or
· W~th prior approval, used to finance the local match share of the program
Records must be maintained to indicate deposit of funds back to the Cbaldren's Trust Fund
of Texas program If more than one source prowdes momes for aetlwt~es generating pro-
gram income, amounts depos~tod must be pro-rated
15 Notify CTF and City ~mmedlately of any s~gnlfieant change affecting the Orgamzatlon and
Orgamzat~on's identity, such as ownersbap or control, name change, govermng board mem-
bership, vendor ~dent~fieat~on number, and personnel changes affecting the contracted
services Changes must be provided ~n writing to CTF and C~ty within 10 working days
after the changes are effective
16 Refram from entenng mto any subcontract for servlees wlthout pnor approval m wntlng
by CTF and Caty of the quahfieatlons of the subcontractor to perform and meet the stan-
dards of thls Agreement and lts attached Plan of Operatton All subcontracts entered into
by the Orgamzatlon will be subject to the requirements ofttus Agreement The Orgamza-
t~on agrees to be responsible to CTF and C~ty for the performance of any subcontractor
17 ]Se responsible for any audit exception or other payment irregularity in the program covered
by th~s Agreement, and all subcontracts, which ~s found after momtonng or auditing by
CTF and City or the Umted States Department of Health and Human Services, and be re-
sponslble for the collection and proper reimbursement to CTF and City of any amount pad
m excess of the proper bflhng amount
18 Place prominent notices allowing the funding Organization receives from CTF and City m
all of Its hterature that describes services covered by this Agreement These notices will
also appear an the Orgamzatlon's annual report, if any
19 Acknowledge CTF and C~ty copyright ownership for all materials, pubhshed and unpub-
lished, that are created wath CTF and City funds All ongmal works of authorshap created
using CTF and C~ty funds shall be deemed a work-made-for-hire CTF shall own the copy-

right and all other rights m such a work In the event that it is determined not to be a work-
made-for-hire, Orgamzat~on hereby assigns all rights in the works, Including any copyright,
to CTF CTF agrees to provide the developer of the work a non-exclusive, royalty-free h-
cense to use, reproduce, display, and dmtnbute the work CTF shall be a co-owner of the
copyright of a work that is created with more than one source of funding as provided by the
Umted States Copyright Law CTF has the right to use, reproduce, and dmtnbute any mate-
hal written or produced by the Orgamzatlon that is the subject of this Agreement If the
Organization is no longer m operation for any reason, all materials produced with CTF
funds must be returned to CTF, or, with CTF and City approval, may be transferred to an-
other agency
20 Orgamzatlon shall defend, mdemmfy, and hold harmless CTF, City and the State of Texas
and their officers, employees, and agents against any clmm, suit, or proceeding brought
agmnst the State of Texas, CTF, or City on the issues of lnfnngement of any copyright,
trademark, patent, or other intellectual property rights, by any product part, supplied by Or-
ganization to CTF or City under this Agreement The Organization will pay, subject to
hm~tatlons specified m tins paragraph, any final judgment entered agmnst the State of
Texas, CTF, or City on th~s issue in any suit or proceeding defended by the Organization
The Organization, at its sole option, will be relieved of this obligation if within 30 days
after CTF and City receive notice, CTF and City fall to notify the Organization in writing
of any clama, stat, or procee6hng, and at the Organization's expense, give the Orgamzatlon
all mformat~on needed to settle an/or defend any clmm, stat, or proceeding The Organiza-
tion will report to the CTF and City wlttun 10 days and m reasonable written detail, each
notice of clmm of copyright mfnngement based on the performance of this Agreement of
whmh the Organization has knowledge
21 Not use fimthng under tbas Agreement to influence the outcome of elections or the passage
or defeat of any legislative measures Organization is not a registered lobbyist and is not
required under Tex Gov't Code Ch 305 to register as a lobbyist

3 TIME OF PERFORMANCE
The services funded by City shall be undertaken and completed by Organization within the fol-
lowing time frame
September 1, 1999 through August 31, 2000, unless the contract is sooner terminated under
Section 8 "Suspension or Termination"

4 PAYMENTS
A Payments to Orgamzatlon City shall pay to Orgamzation a maximum amount of money not
to exceed $50,000 for services rendered under and in full accordance with the terms of this
Agreement and the attached Plan of Operation, contingent on receipt of funds by City fi.om CTF
undor the CTF Cont, act Payments will be based on a project~on of quarterly expenditures with
reconciliation at the end of the quarter Documentation of expenditures must be submitted to the
Community Development Office by the l0th day following the last day of the month of the
quarter in which the service was provided Organization's failure to provide the reformation on
a timely basis, may jeopardize present or future funding
B Costs shall be considered allowable only ffmeurred d~rectly specifically m the performance of
and m compliance with this Agreement and in conformance with the standards and provisions
of Exhibits A and B
C Approval of Organization's budget, Exhibit B, does not constitute prior written approval, even
though certain ~tems may appear here~n City's prior written authorization is reqmred in order
for the followmg to be considered allowable costs
1 Encumbrance or expen&ture dunng any one month period which exceeds one-fourth 0/4)
of the total budget as specified in Exhibit B
2 City shall not be obhgated to any third parties, including any subcontractors of Orgamza-
tlon, and City funds shall not be used to pay for any contract service extendang beyond the
expiration of this Agreement
Wnttan requests for prior approval are Orgamzat~on's responsibility and shall be made within
sufficient time to permit a thorough review by C~ty Organization must obtain written approval
by C~ty prior to the commencement of procedures to solicit or purchase services, eqmpment,
or real or personal property Any procurement or purchase which may be approved under the
terms of this Agreement must be conducted m Its entirety in accordance w~th the provisaons of
th~s Agreement
D Excess Payment Orgamzat~on shall refund to City within ten working days of City's request,
any sum of money which has been prod by City and which C~ty at any time thereafter deter-
mines
1 has resulted m overpayment to Organization, or
2 has not been spent strictly m accordance w~th the terms of this Agreement, or
3 is not supported by adequate documentation to fully justify the expenditure
E Deobllgatlon of Funds In the event that actual expenditures deviate fi.om Orgamzation's
provision of a corresponding level of performance, as specified in Exhibit A, City hereby re-
serves the right to reappropnate or recapture any such under expended funds

F Contract Close Out Orgamzation shall submat the contract close out package to Caty, together
with a final expenditure report, for the time period covered by the last mvome requesting reim-
bursement offimds under tins Agreement, within 15 working days following the close of the

A For purposes of thas Agreement, "program income" means earnings of Organization reahzed
from actiwtaes resulting from tlus Agreement or from Organization's management of funding
provlded or income from uiterest, usage or rental or lease fees, income produced from contract-
supported services of~ndiwduals or employees or fi'om the use or sale of equipment or facahtaes
of Orgamzation pmvaded as a result of this Agreement, and payments from chents or third par-
taes for sermees rendered by Orgamzataon under th~s Agreement
B Orgamzataon shall malntmn records of the receapt and disposition of program ~ncome m the
same manner as reqmred for other contract funds, and reported to C~ty in the format prescribed
by Caty Caty and Orgamzation agree that any fees collected for servmes performed by Orgaui-
zation shall be spent only for serwce promsaon These fees or other program income w~ll be de-
ducted fi'om the regular payment request
C Orgamzataon shall include th~s Sectaon an ars entirety ~n all of ars sub-contracts which involve
other meome-producang services or actiwtaes
D It is Orgamzation's mspons~bthty to obtain from City a prior determination as to whether or not
~ncome arising directly or indirectly from th~s Agreement, or the performance thereof, consti-
tutes program income Orgamzation as responsible to C~ty for the repayment of any and all
amounts determined by Caty to be program income, unless otherwise approved in wntlng by
Caty
6 EVALUATION
Orgamzatlon agrees to partlcapate in an amplementation and mmntenance system whereby the
services can be continuously monatored Orgamzatlon agrees to make available ats financial records
for mvaew by C~ty at Caty's discretion In additmn, Orgamzat~on agrees to prowde C~ty the following
data and reports, or cop~es thereof
A All external or internal audits Orgamzat~on shall submit a copy of the annual ~ndependent audit

current, separate, and complete d~sclosure of the status of funds received and the services per-
formed under tins Agreement Orgamzat~on's record system shall contmn sufficient documenta-
tion to prowde m detml full support and justfficat~on for each expenditure Orgamzat~on agrees
to retain all books, records, documents, reports, and written accountmg procedures pertalmng
to the services prowded and expenditure of funds under this Agreement for the period of t~me
and under the conditions specified by the C~ty
G Nothing ~n the above subsections shall be construed to reheve Orgamzatlon of responmblhty
for reta~mng accurate and current records wbach clearly reflect the level and benefit of services
provided under th~s Agreement
7 DIRECTORS' MEETINGS
Dunng the term of th~s Agreement, Organization shall dehver to C~ty cop~es of all notmes of
meetings of ~ts Board of D~rectors, setting forth the t~me and place thereof Such notme shall be
dehvered to C~ty in a tunely manner to g~ve adequate notme, and shall ~nclude an agenda and a brief
description of the matters to be d~scussed Organization understands and agrees that C~ty's representa-
tives shall be afforded access to all meetings of~ts Board of D~rectors
M~nutes of all meetmgs of Organization's govermng body shall be avmlable to C~ty w~thln ten
working days of approval
8 SUSPENSION OR TERMINATION
A The C~ty may terminate ttus Agreement w~th cause ~f the Organization wolates any covenants,
agreements, or guarantees of this Agreement, the Orgamzat~on's insolvency or flhng of bank-
ruptcy, d~ssolut~on, or receivership, or the Orgamzat~on's v~olatlon of any law or regulation to
whmh ~t ~s bound under the terms of thru Agreement
B Th~s agreement is subject to cancellation, e~ther ~n whole or in part, and on the avmlablhty of
state and/or federal funds If funds for the agreement become unavarlable dunng any budget pe-
riod, and CTF ~s unable to obtmn additional funds, then this agreement wall be terminated or re-
duced Termlnat~on under tlus section shall not subject CTF to a penalty or other clmms
C The C~ty may terminate tlus Agreement for convemence at any trine If th~s Agreement ~s
terminated for convemence by the C~ty, Organization will be prod an amount not to exceed the

kind, including costs and expenses for, or on account of, any claims, audit exceptions, de-
mands, stats or damages of any character whatsoever resulting m whole or in part from
the performance or omission of any employee, agent or representative of Organization

PLAN OF OPERATION OUTLINE
I. Problem
The Vision Denton Learn Committee was formed to define how education m Denton will work
for its eitizans m the next century After months of'research, the committee agreed on the
following statements
education at all levels m critical to an individual's effectiveness as one moves through the
life cycle
· a healthy family life encourages and supports education
· a commumty's health and well-being are a reflection of its citizen's health and well-being
· efl'ect~vely integrated support programs for l~amihes contribute to ci,zans' health and
well being
· education ~mproves as the health and well being of the citizenry improves
These facts led to the development of'the Family Resource Center Task Force whose nuss~on is to
ensure that all famihes have access to information and assistance regarding the education, health.
and general well being oi~thelr cinldren by developing and utilizing a Family Resource Center
Thus. the idea for a Fannly Resource Center did not develop because of a specific problem It
began as a proactive dec,sion to shape our conunumty We have taken as asset ormntcd approach
that views families, orgamzatlons, and institutions, formal and informal, as resources that can
contribute to the health of the commumty
II. Target Population
The Fanuly Resource Center Task Force visualized a family hfe center that would serve as a hub
for education, support, and mformatwn and referral services for all parents and fmmhes in the City
ol~Denton Through tins approach fanuhes, schools, and family scrv~cc agencies can become
partners in a proactive approach to family development
Denton m a city of 66.270 residents located 37 miles north-northwest of Dallas and 35 nules
north-northeast of Fort Worth Denton is the county seat of Denton County. the fastest growing
county m the state of Texas (1990 Census) The ethmc compomtion m 81% Anglo. 9% Black.
2% Asian and Pacific Islander. and 8% I-hspamc The Htspamc population is rapidly increasing.
mirronng the popuint~on trend throughout Texas The projected population for Denton m the
year 2000 m 79.385 The median £amily mcome ls $35.444 and 10%ofDentonfamiheshve
below the poverty line According to 1990 Census 18% of the 13.786 fanuhes in Denton are
single parent households Of the female head of households with chddicn five and younger,
54 7% live in poverty
The Denton Independent School District has approximately 12,500 students with a longitudinal
dropout rate of 1 4% However, 30% of students have been identified at risk of dropping out In
addition, DISD has assessed the school readiness of kindergarten and first grade students and
23% were not school ready
The task force estimates that 1300 parents and 2600 children will be served th~s year Parents and
families will be recruited through school and universities, social service organizations, civic
groups, religious organizations/institutions, mass media outlets, business organizations
IlL Goals and Objectives
The goal of the Denton Fanuly Resource Center (DFRC) is to strengthen and support families
DFRC seeks to provide assistance to build family skills and assist parents in improving their
capacities to be suppoffive and nurtunng parents, encourage parent involvement in children's
learning, development, and education, help parents develop and strengthen support networks that
enhance effective parenting, encourage development and effective use of community resources
for families, and help prevent child abuse, family violence, and other negative family outcomes
A community needs assessment was conducted in coordination with The Umverslty of North
Texas Survey Research Center that mcluded key informant interviews, focus groups with hard to
reach parents and residents, a random sample survey of famlhes and a family service provider
survey Results from the needs assessment and collaboration conference have provided direction
and focus for the goals and objectives of DFRC
DFRC has implemented parenting classes at several locations across the community, ~ncludm8
the Texas Workforco Commission, who gives clients credit for documented attendance A new
effort in a targeted very Iow income, trans~ant population neighborhood includes English and
Spamsh parenting classes on site at that neighborhood community center This track includes
chlldcare, nutrmous snacks, and a community monitor to encourage neighborhood participation
Opening the DFRC new facility this spring has allowed for scheduling of new progralns
including a parents support group, on-site evening parenting classes which include ehdd care and
hght meals, a parents/grandparents advisory council, and a professional advisory council
Programs for new parents are in ~mt~auon now, including a Moms & Tots program, weekly "new
parents" chat groups, and classes on prenatal and infant care in cooperation with area hospitals
A professional web page is in design now, Denton On-Lme, at an annual value of $1,200 ts
donating hosting and mtemet marketing The web page will post DFRC's parenting classes and
event schedules, articles on parenting and famdtes, and hnks to other agencies and famdy-
friendly sites

use of commumty resources, encouraging parent involvement in children's learning,
development, and education, increasing the number of referrals and families served, increasing
student achievement, and empowenng parents to provide leadership and make decisious
affecting the direction of the Center
VH Program Evaluation
A brief framework of the evaluation model Is described below The steps are contingent upon
the ,dentlfication of commumty needs that wdl determine Center goals and objectives 1)
Identify Program Goals and Objectives, 2) Define Evaluation Questions, 3) Define luformatlon
needed to answer questions, 4) Identify Information Users, 5) Plan Method(s) of collecting
reformation/data, 6) Collect Data, and 7) Data Analysis and Evaluation Report
Steps 1-5 should be completed dunng the 1a quarter of the year It is suggested that data will be
collected m~house as well as outside the agency to determine effectiveness and satisfaction of
referring agencies as well as parents DFRC stakeholders and a university consultant may
accomplish this evaluation It is an ongoing process that develops over time requiring activity
throughout the year The end result will be an evaluation that is continuous and flexible Center
staff, volunteers and parents will clearly understand the purpose and their roles in successfully
carrymg out the evaluation plan
The City of Denton and the Denton Family Resource Center agree to participate fully an CTF
statewlde evaluation of funded programs It is understood that comphance with the evaluatmn Is
a condition of funding This participation may include 1) assistance an development of
evaluation instruments and reporting forms, 2) attendance at training sessions, 3) tin,ely
submission of accurate data, 4) access to program clients and participants, 5) adherence to
evaluation protocols and procedures, and 6) cooperation with request from CTF and CTF
program evaluators Data are likely to include 1) quarterly leports that include summaries of
program activities, types of services offered, numbers and characteristics of people served, 2)
chent/parttclpatlon outcomes that include program satisfaction, measures of knowledge,
attitudes and behavior, and 3) agency records related to expenditures and administration of
programs
