~ THIS AGREEMENT is made and entered ~nto as of the ~/~ day of

Co0~orat~0n, with its pnnmpal office at 215 East McK~nney Street, Denton, Texas 76201
("OWNER"), and Black & Veatch, L L P, a L~m~ted Lmblhty Partnership, with its pnnmpal
busmess Offices at 8400 Ward Parkway, Kansas City, Missouri 64114 ("CONSULTANT")
acting herein, by and through their duly authorized respective representatives
WlTNESSETH, that in consideration of the covenants and agreements herein contmned,
the mutual promises of the parties, and the consideration to be prod to CONSULTANT by
OWNER, the partres hereto do mutually AGREE as follows
ARTICLE I
EMPLOYMENT OF CONSULTANT
The OWNER hereby contracts with the CONSULTANT, as an independent contractor,
and the CONSULTANT hereby agrees to perform the services here~n in connection with the
Project as stated in the articles to follow, with dlhgence and in accordance with professional
standards customarily obtmned for such services in the State of Texas
CONSULTANT shall exercise the same degree of care, skill and dd~gence ~n the
performaace of the professional services provided for hereunder as is ordinarily prowded by a
professional engmeer under similar circumstances CONSULTANT agrees that it shall, at no
cost to OWNER, re-perform services which ftul to satisfy the foregoing standard of performance
The professional services set forth herein are in connection with the following described
engagement, heremafter ("PROJECT')
Design Engmeenng and Construction Management Services Assocmted
w~th the Spencer to Locust 69 kV Upgrade ProJect
ARTICLE II
SCOPE OF SERVICES
The CONSULTANT shall perform the following services on the ProJect in a professional
manner
A To perform all those services set forth ~n CONSULTANT's Proposal For Professional
Senqces, dated Februa~ 13, 1998, (the "Proposal") which Proposal ~s attached hereto
and ~ncorporated herewxth as Exhibit "A"
B To perform all those servxces set forth ~n CONSULTANT's Rewsmns and Clanficatxons
to Black & Veatch's Proposal Dated February 13, 1998 (the "Revised Proposal") which
rewses four prows~ons of the Proposal, xs dated February 27, 1998, and whxch Revxsed
Proposal ~s attached hereto and xncorporated herewith as Exhxb~t "B"
C CONSULTANT shall perform all those services set forth xn individual task orders which
shall be attached to th~s Agreement and made a part hereof for all purposes as separate
Agreements (If CONSULTANT ~s a professional engineer and you wxsh to hst specxfic
se~wces of the CONSULTANT, please hst all specific engmeenng services to be
prowded, including the preparation of detaaled plans and specxficat~ons )
D If there is any conflxct between the terms of th~s Agreement and the exhlbxts attached to
thxs Agreement, the terms and cond~tlons of th~s Agreement will control over the terms
and cond~t~uns of the attached exhibits or task orders
PERIOD OF SERVICE
Thxs Agreement shall become effective upon executxon of th~s Agreement by the
OWNER and the CONSULTANT and upon the issuance of a notxce to proceed by the OWNER,
and shall remain ~n force for the penod wluch may reasonably be reqmred for the completion of
the Project, and any reqmred extensions approved by the OWNER This Agreement may be
sooner temamated xn accordance w~th the provisions hereof Time xs a material conslderatxon ~n
thxs Agreement The CONSULTANT shall make all reasonable efforts to complete the services
set forth here~n as expedmously as possible and to meet the schedule estabhshed by the
OWNER, acting through ats C~ty Manager or hxs desxgnee
COMPENSATION
A COMPENSATION TERMS
1 "Subcontract Expense" ~s defined as expenses xncurred by the CONSULTANT in
employment of others xn outside firms for services in support of ~ts work on the
Project performed under the Proposal and Rewsed Proposal
2 "Dxrect Non-Labor Expense" xs defined as that expense for any assxgnment
~ncurred by the CONSULTANT for supphes, transportation and eqmpment,
travel, commumcatxons, subsistence, and lodging away from home, and sxm~lar
~ncxdental expenses in connection w~th that assignment

B BILLING AND PAYMENT For and in consideration of the professional services to be
performed by the CONSULTANT hereto, the OWNER agrees to pay CONSULTANT, a
total fee, mcludmg reimbursement for direct non-labor expenses, not to exceed
$47,8OO 00
Partial payments to the CONSULTANT will be made on the basis of detailed monthly
statements rendered to and approved by the OWNER through its City Manager or his
designee, however, under no circumstances shall any monthly statement for services
exceed the value of the work performed at the time a statement is rendered The
OVqNER may withhold the final five percent (5%) of the Agreement mount until
completion of the Project
Nothing contained m this Article shall require the OWNER to pay for any work which is
unsatisfactory, as reasonably determined by the City Manager or his designee, or which is
not submitted m comphanee with the terms of this Agreement The OWNER shall not be
required to make any payments to the CONSULTANT when the CONSULTANT is in
default under this Agreement
It is specifically understood and agreed that the CONSULTANT shall not be authorized
to undertake any work pursuant to this Agreement which would require additional
payments by the OWNER for any charge, expense, or reimbursement above the
maximum not to exceed fee, as stated above, without first having obtained written
attthonzatlon from the OWNER The CONSULTANT shall not proceed to perform any
additional services not covered in the Proposal or Revised Proposal, without obtaining
prior wntten authorization from the OWNER
C ADDITIONAL SERVICES For any additional services authorized in writing by the
OWNER which are not included in the Proposal or Revised Proposal, OWNER and
CONSULTANT shall mutually agree upon a method and amount of compensation to be
ptud to CONSULTANT
D PAYIVIENT If the OVv2qER fads to make payments due the CONSULTANT for
services and expenses within thirty (30) days after receipt of the CONSULTANT's
undisputed statement thereof, the amounts due the CONSULTANT will be increased by
the rate of one percent (1%) per month from the said thirtieth (30th) day, and, in addition,
the CONSULTANT may, after glvuig seven (7) days' written notice to the O~2qER,
suspend services under this Agreement until the CONSULTANT has been pard in full all
amounts due for services, expenses, and charges Provided, however, nothing herein
shall require the OWNER to pay the late charge of one percent (1%) set forth hereto if
the OWNER reasonably detarmuies that the work of CONSULTANT as unsatisfactory,
in accordance with this Article IV, "Compensation"

OBSERVATION AND REVIEW OF THE WORK
The CONSULTANT wtll exermse reasonable care and due ddlgence mdtscovering and
promptly reportxng to the OWNER any defects or deficiencies in the work of the
CONSULTANT or any of its subcontractors or subconsultants
OWNERSHIP OF DOCUMENTS
All documents prepared or furmshed by the CONSULTANT (and CONSULTANT's
subcontractors or subconsultants) pursuant to thts Agreement are instruments of service, and
shall become the property of the OWNER. upon the termtnatlon of this Agreement The
CONSULTANT ts entttled to retain coptes of all such documents The documents prepared and
furmshed by the CONSULTANT are mtended only to be applicable to this ProJect, and
OWNER'S use of these documents m other projects shall be at OWNER's sole risk and expense
In the event the OWNER uses any of the informatton or materials developed pursuant to this
Agreement m another project or for other purposes than specffied herein, CONSULTANT is
released from any and all hablhty relatang to thetr use tn that project The above provlstons of
this Arttole notwithstanding, CONSULTANT shall retain its rights tn its standard drawing
details, designs, sp¢olficatlons, databases, computer sofhvare, and any other proprietary property
Rights to tntellectual property utthzed by CONSULTANT, or modified by CONSULTANT, in
the performance of the professtonal servtces provtded hereunder, shall remain the property of the
CONSULTANT
ARTICLE VII
INDEPENDENT CONTRACTOR
CONSULTANT shall provide servtces to OWNER as an independent contractor, not as
an employee of the OWNER CONSULTANT shall not have or claim any right arising from
employee status
INDEMNITY AGREEMENT
A The CONSULTANT shall tndemmfy and save and hold harmless the OWNER and its
officers, agents, and employees from and against any and all habllity, clatms, demands,
damages, losses, and expenses, including, but not limited to court costs and reasonable
attorney fees recurred by the OWNER, damages for bodily injury, death and property
damage, to the extent caused by the neghgent acts or omissions of the CONSULTANT or
its partners, agents, subcontractors, subeonsultants, or employees m the exeeutton,
operatton, or performance &this Agreement
B The parties agree that CONSULTANT shall have no habihty to OWNER for damages for
loss of eqmpment use, loss of profits, cost of capital, cost of replacement power, or other
stmdar consequential damages

C CONSULTANT'S lndemmficatlon of the OWNER, as provided ~n Article VIII A above,
shall be expressly hmlted to the proceeds of its applicable ~nsurance coverage, as
ldentffied m Article IX below, but in no event shall CONSULTANT'S indemnification
of OWNER exceed the sum of $1,000,000
D Nothing ~n th~s Agreement shall be construed to create a hab~hty to any person who ~s not
a party to this Agreement, and nothing hereto shall wmve any of the parties' defenses,
both at law or equity, to any claim, cause of actmn, or ht~gation filed by anyone not a
party to tins Agreement, including the defense of governmental ~mmunlty, which
defenses are hereby expressly reserved
INSURANCE
Dunng the performance of the services under th~s Agreement, CONSULTANT shall
mmntmn the following ~nsurance w~th an insurance company hcensed to do business m the State
of Texas by the State Insurance Commlssmn or any successor agency, which company has a
rating with Best Rate Careers of at least an "A-" or above
A Commercml General Llabdlty Insurance with bodily ~njury hmlts of not less than
$500,000 for each occurrence and not less than $500,000 in the aggregate, and with
property damage hm~ts of not less than $100,000 for each occurrence and not less than
$100,000 in the aggregate
B Automobile Liability Insurance with bodily injury limits of not less than $500,000 for
each person and not less than $500,000 for each accident, and with property damage
limits of not less than $100,000 for each accident
C Worker's Compensatmn Insurance m accordance with statutory requirements, and
Employers' Liability Insurance w~th hm~ts of not less than $100,000 for each accident
D Professional Liability Insurance w~th hmxts of not less than $1,000,000 annual aggregate
E The CONSULTANT shall furmsh to OWNER ~nsurance certificates to ewdence the
insurance coverage reqmred in Article IX A, B, C and D above In the event of a
clmm, CONSULTANT shall make applicable ~nsurance pohmes avadable for review by
OWNER The insurance pohclas shall name the OWNER as an additional ~nsured on all
such pohmes to the extent permitted by law, and shall contmn a provision that such
~murance shall not be canceled or modified without thirty (30) days' prmr written not,ce
to OWNER and CONSULTANT In such event, the CONSULTANT shall, prior to the
effective date of the change or cancellation, serve a substitute certfficate of insurance to
OWNER evidencing the same coverage
F OWNER shall reqmre all project contractors under contract with OWNER to include
OWNER and CONSULTANT as additional ~nsureds on their general habthty ~nsurance

pohmes Further, OWNER shall obtain and mamtatn for the benefit of CONSULTANT,
to the extent possible, the same indemnities and insurance benefits obtmned for the
protection of the OWNER from such project contractors and their subcontractors, and
shall obtain and provide to CONSULTANT, insurance certificates ewdenmng the
required coverages, upon request
ARBITRATION AND ALTERNATE DISPUTE RESOLUTION
The parties may agree to settle any disputes under this Agreement by submitting the
dispute to arbitration or other means of alternate dispute resolution, such as mediation No
arbitration or alternate dispute resolution ansmg out of or relating to th~s Agreement, mvolwng
one party's disagreement, may include the other party to the disagreement without the other's
approval
TERMINATION OF AGREEMENT
A Notwithstanding any other provision of th~s Agreement, either party may terminate this
Agreement by glvmg thirty (30) days' advance written notice to the other party
B Tlus Agreement may be terminated m whole or in part in the event of either party
substantially fiulmg to fulfill its obligations under this Agreement No such termination
will be effected unless the other party is given (1) written notice (dehvered by certified
mml, return receipt requested) of intent to terminate and setting forth the reasons
specifying the non-performance, and not less than thirty (30) calendar days to cure the
failure, and (2) an opportumty for consultation with the terminating party prior to
termination
C If the Agreement is terminated prior to completion of the services to be prowded
hereunder, CONSULTANT shall ~mmethately cease all services and shall render a final
bill for sermces to the OWNER withm thirty (30) days atter the date of termination The
OWNER shall pay CONSULTANT for all services properly rendered and satisfactorily
performed and for reambursable expenses to termination ~ncurred prior to the date of
termination, in accordance with Article IV "Compensation" Should the OWNER
subsequently contract with a new consultant for the continuation of services on the
Project, CONSULTANT shall cooperate in providing information to the CITY and the
new consultant The CONSULTANT shall turn over all documents prepared or furmshed
by CONSULTANT pursuant to this Agreement to the OWNER on or before the date of
termmatlon of this Agreement, but may maintain copies of such documents for its use
ARTICLE XII
RESPONSIBILITY FOR CLAIMS AND LIABILITIES
Approval by the OWNER shall not constitute, nor be deemed a release of the
responsiblhty and liability of the CONSULTANT, its partners, employees, associates, agents,

subcontractors, and subconsultants for the accuracy and competency of their designs or other
work, nor shall such approval be deemed to be an assumption of such respons~b~hty by the
OWNER for any defect ~n the design or other work prepared by the CONSULTANT, its
partners, employees, associates, agents, subcontractors, and subconsultants
ARTICLE XIII
NOTICES
All notices, communications, and reports reqmred or permitted under this Agreement
shall be personally delivered or mailed to the respective part,es by depositing same ~n the United
States marl to the address shown below, certffied mall, return receipt requested, unless otherwise

ARTICLE XIV
ENTIRE AGREEMENT
Th~s Agreement, consisting of eleven (11) pages and two (2) exhibits, constitutes the
complete,and final expression of the Agreement of the parties, and is ~ntended as a complete and
exclusive statement of the terms of their agreements, and supersedes all prior contemporaneous
offers, promises, representations, negotmtlons, discussions, communications, and agreements
which may have been made in connection with the subject matter hereof
ARTICLE XV
SEVERABILITY
If any provision of th~s Agreement ~s found or deemed by a court of competent
junschctaon to be invalid or unenforceable, at shall be conmdered severable from the remainder of
this Agreement and shall not cause the remainder to be invalid or unenforceable In such event,
the part, es shall reform this Agreement to replace such stricken prows~on with a vahd and
enforceable prov~sion which comes as close as possible to expressing the intention of the part~es
respecting the stricken provlmon

COMPLIANCE WITH LAWS
The CONSULTANT shall comply w~th all federal, state, and local laws, rules,
regulations, and orchnances apphcable to the services to be provided by CONSULTANT
hereunder, as they may now read or hereinafter be amended The part,es agree that any material
change ~n law, rule, regulation or ordinance occumng after the effective date of this Agreement
that slgmficantly affects the performance of CONSULTANT shall entitle CONSULTANT to a
reasonable equitable adjustment in the Agreement compensation
FORCE MAJEURE
Norther CONSULTANT nor OWNER shall be considered to be in default of the
prows~ons of this Agreement ffdelays m or failure of performance shall be due to uncontrollable
forces the effect of which, by the exercise of reasonable diligence, the non-performing party
could not avoid The term "uncontrollable forces" shall mean any event wluch results ~n the
prevention or delay of performance by a party of its obhgatmns under this Agreement and which
~s beyond the control of the non-performing party The term "uncontrollable forces" includes,
but is not hm~ted to, fire, acts of God, flood, earthquakes, storms, lightning, epidemic, war, not,
civil disturbance, sabotage, ~nablhty to procure permits, hcenses, or authorizations from any
state, local, or federal agency or person for any of the supphes, materials, accesses, or services
required to be provided by either OWNER or CONSULTANT under th~s Agreement, strikes,
work slowdowns or other labor disturbances, and judicial restrmnt
Neither party shall, however, be excused from performance if nonperformance is due to
uncontrollable forces which are removable or remediable and which the non-perfonmng party
could have, with the exercise of reasonable diligence, removed or remedied with reasonable
d~spatch The provisions of this Article shall not be ~nterpreted or construed to require
CONSULTANT or OWNER to prevent, settle, or otherwise avoid a strike, work slowdown, or
other labor action The non-performing party shall, within a reasonable time of being prevented
or delayed from performance by an uncontrollable force, give written notice to the other party
describing the circumstances and uncontrollable forces preventing continued performance of the
obhgatlons of this Agreement
DISCRIMINATION PROHIBITED
In performing the servmes mqmred hereunder, the CONSULTANT shall not d~scnmlnate
agmnst any person on the bas~s of race, color, religion, sex, national origin or ancestry, age, or
physical handicap

PERSONNEL
A The CONSULTANT represents that it has or will secure, at ~ts own expense, all
personnel reqmred to perform all the services required under this Agreement Such
personnel shall not be employees or officers of, or have any contractual relations with the
OWNER CONSULTANT shall mfonn the OWNER of any conflict of interest or
potential conflict of interest that may arise dunng the term of th~s Agreement
B All services on the Project reqmred hereunder will be performed by the CONSULTANT
or under its supervision All personnel engaged in work shall be qualified, and shall be
authorized and permitted under state and local laws to perform such services
ASSIGNABILITY
The CONSULTANT shall not assign any interest In this Agreement, and shall not
transfer any interest m flus Agreement (whether by assignment, novation, or otherwise) without
the prior written consent of the OWNER
MODIFICATION
No waiver or modification of this Agreement or of any covenant, condition, or limitation
herein contmned shall be valid unless m wntmg and duly executed by the party to be charged
therewith, No evidence of any waver or modification of this Agreement shall be offered or
received in evidence m any proceeding ansmg between the parties hereto, out of or affectmg this
Agreement, or the rights or obligations of the parties hereunder, and unless such waiver or
modffica~lon is m wntmg and duly executed The parties further agree that the prowsIons of th~s
section will not be waved unless as set forth herein
MISCELLANEOUS
A The following exhibits are attached to and made a part of this Agreement

B CONSULTANT agrees that OWNER shall, until the expiration of three (3) years after
the ftnal payment under this Agreement, have access to and the right to examine any
directly pertinent books, documents, papers, and records of the CONSULTANT
lnvolvmg transactions relating to this Agreement CONSULTANT agrees that OWNER
shall have access dunng normal working hours to all necessary CONSULTANT facihttes
and shall be provided adequate and appropriate working space In order to conduct audits

in comphance with this section OWNER shall give CONSULTANT reasonable advance
notice of intended examinations or audxts
C Venue of any stat or cause of action under th~s Agreement shall lie exclusively in Denton
County, Texas Tbas Agreement shall be governed by and construed in accordance with
the laws of the State of Texas
D For the purpose of this Agreement, the key persons who will perform most of the work
hereunder shall be those persons ldentffied m Sectmn 3 0 of the Proposal However,
nothing hereto shall limit CONSULTANT from using other qualified and competent
members of its firm to perform the services reqmred here~n
E CONSULTANT shall commence, can~ on, and complete any and all projects with all
applicable dispatch, in a sound, economical, and efficient manner and in accordance with
the provisions hereof In aecomphshmg the ProJect, CONSULTANT shall take such
steps as are appropriate to ensure that the work ~nvolved ~s properly coordinated with any
related work being earned on by the OWNER
F The OWNER shall assist the CONSULTANT by placing at the CONSULTANT's
disposal all available mformat~on pemnent to the Project, ~ncludang prewous reports, any
other data relative to the Project, and arranging for the access thereto, and make all
provisions for the CONSULTANT to enter an or upon pubhc and private property as
required for the CONSULTANT to perform services under this Agreement
G The captions of this Agreement are for mformat~onal purposes only, and shall not ~n any
way affect the substantive terms or conditions of th~s Agreement

Black & Veatch has prowded engmeenng, constmctmn management and professaonal
services for over 5,400 mdes of overhead and underground transmission and d~stnbutmn

2.0 Scope of Work
Black & Veatch (B&V) will provide design engmeenng and construction management
services for the Spencer to Locust 69 kV Upgrade ProJect B&V will also provide design
engineering services for transmission line mod~fications at North Lakes Substation The
scope of work will include the following
TRANSMISSION LINE DESIGN
B&V's transmission line design serwces for this project will result in a complete package
cotaslStlng of material and construction technical specifications and design drawings
ready for the City of Dentnn to issue for bids
2 1 Kickoff Meeting and Field Rev,ew
B&V proposes to meet with the City of Denton in their offices at the begmmng of the
project to introduce project participants, estabhsh project communications, discuss
project criteria and obtain any project documents available The meeting will be attended
by two B&V project team members The k~ckoff meeting is expected to be a half day m
duration
At the conclusion of the kickoff meeting, the B&V personnel will perform a field
assassment of the existing transm~ssion hne B&V will walk the existing hne to view
each structure and inventory the materials attached to each structure Information
obtained during the field rewew will be used in the design of the upgraded line
The field review is expected to take one or two days Travel costs for two project team
members to attend the kickoff meeting and subsequent field review are Included in the
estimated expenses described in Section 4 0
2 2 Prolect Administration
B&V w~ll provide the following project administration services
· Monitor the progress of B&V's services and expedite B&V's services as
required to maintain the project schedule
· Maintmn files of all correspondence between the City of Denton and B&V,
and B&V and third pames
· Prepare memoranda of all conferences between the City of Denton and B&V,
and B&V and thard parties
· Assign qualified and experienced project personnel to perform B&V's
services
· Mmntmn and pursue a quality assurance program to assure adequate conlxol of
B&V's services
· Coordinate construction management services dunng the construction phase
of the project

2.3 Planmng and Control
B&V wdl provide the following planning and control services
· Prepare a Project Instructions Memorandum that will estabhsh the procedures,
instructions and project file system necessary to control the administrative interfaces
among the project participants
· Prepare a Project Design Memorandum summarizing all design criteria The scope
and content of this document, as approved by the City of Denton, will be the basis for
detail design engmeenng The following items wall be included if they are apphcable
to the project

The City of Denton will provide B&V with thc following survey mformat~on
· Ground elevation and top of pole elevation for each of the existing poles
· Height of any wares that cross over or under the exlsung hne
· Existing structure span lengths or structure stationing
· Plan view and contours for existing line route

B&V will use a local contractor to obtain soil borings along the line route and perform
laboratory tests for use m the design of structure foundations Soil borings will be taken
at deadend comer structures and at other locations deemed necessary for efficient
foundation design It is estimated that 5 soil borings will be required The estimated
costs for the soil borings and soil tests are included in Section 4 0
B&V wall have one project team member on site during drilling of the soil borings, which
is expected to take two days Travel costs for this trip are included in the estimated
expenses described in Section 4 0

B&V will provide the followang detail design engineering services
2 6 1 Mechamcal Loading Criteria
B&V will develop mechanical loading criteria for the design of the transmission line
The Criteria will include NESC, meteorological, construction and maintenance
requirements B&V will establish overload capacity factors for all loads except those
specified in NESC
2 6 2 Sag-Tensmn Data
The existing shield wire on the line will be replaced with a fiber optic ground w~re
(OPGW) The exlstlng ADSS fiber optlc cable wlll be removed The Clty of Denton wall
provide B&V with the size of conductors to be used for the 69 kV and distribution
mmmts and the size of the OPGW cable It is assumed that the City of Denton wall
provide the specification for purchasing the OPGW The City of Denton will purchase
the OPGW directly or the specification will be included in the bid package for the
Contractor to purchase
B&V will compute the sag-tension data for each conductor and the OPGW cable for each
ruling span The data will be determined for various loading conditions and
temperatures The sag-tension data will provide the basis for determining ground
clearances and evaluating vibration damper requirements Wire stringing charts will be
prepared for the installation of conductors and OPGW Quantmes of all wires reqmred
walllbe calculated
2 6 $ Structures
The~structures for the 69 kV Upgrade Project will consist of self-supporting tubular steel
poles capable of supporting the single circuit 69 kV hne, two circuits of 13 2 kV
dlstnbutlon and various communication and cable TV wires Also, transformers, risers
and ~service drops will be attached to some structures

structures The structure configuratxons vail be based on reqmrements for shxeldmg,
electrical clearance between conductors and structure, and right-of-way wadth (conductor
blow-out) Structure hexghts vall be based on ground clearance reqmrements B&V wall
develop new hne termmatxon structures for Locust Substation
B&V will prepare structure design drawangs which will xndmate structure type,
configuratxon, hne angle range and ruhng span Loads wall be calculated for each loadxng
case and each structure type Loadxng tables, ware data and mechanmal loadxng criteria
will be included on each drawing

The 69 kV hne will be xnsulated for 138 kV The xnsulators and hardware for the 69 kV
hne and dxstnbutxon cxrcmts will be selected based on design calculatxons The selectxon
of ntsulators and hardware wdl xnclude components stocked by the C~ty of Denton,
wherever possible The need for dumpers wall be evaluated and recommendations from
damper manufacturers vall be obtained, lfreqmred
Hardware assembly drawangs will be prepared showang all transm~ssion and d~stnbutlon
assembhes that vall be reqmred for the line Quantmes of hne components required will
be hsted on the drawangs per assembly and for the total project

B&V uses the transmms~on hne design software, PLS-CADD by Power Line Systems,
Inc, for hne desxgn and layout Ground elevation data, structure configurations, span and
hne angle hm~ts, loading criteria and other structure location criteria will be input ~nto
PLS-CADD Plan and profile drawangs for the hne will be prepared ustng PLS-CADD
The plan/profile drawmgs will mdmate vare clearances and structure type, height,

2 7 Material Procurement and Construct, on Bid Package
B&V wall provide the following material procurement and construction contract services
· Prepare a detailed techmeal specification for the line materials and line
construction All materials will be furnished by the construction contractor
(Front-end documents such as Instructions to Bidders and Contract Terms and
Conditions wall be provided by the City of Denton )
· Construction specification will include requirements for removal of existing
materials, restrictions on line outages and criteria for keeping existing circuits in
service
· Provide a complete package of material and construction technical specifications
and design drawings to the City of Denton for obtaining bids
· Prepare cost estimate of the material and construction b~d package
· Review the proposals received, prepare bid evaluation and make
recommendations to the City of Denton
· Review line material shop drawings submitted by the Contractor to insure
compliance with design documents
2 8 Engineering Complet, on
After the completion of construction, B&V will provide the following services to
complete the project design records
· Conform the construction drawings to agree with the construction records
maintained by contractor and the construcnon management personnel
· Provide the City of Denton with electronic copies of all drawings created by B&V
in AutoCad format

2 9 1 Travel
Travel costs for two B&V team members to travel to the C~ty of Denton for the kickoff
meeting and field review and one team member for soil borings are included in the
estimated expenses shown in Section 4 0 No other travel costs are included
Deslgn review conferences wath the City of Denton, a prebid meeting w~th construction
contractors to clarify technical reqmrements, and city council meetings or public
meetings are times when a B&V project team member may need to travel to the City of
Denton Travel and manhour costs for these trips are not tncluded ~n B&V's price, but
can be included later

4.1 Transmission Line Design
BlaCk & Veatch's not-to-exceed price for design eng~neenng services for the Spencer to
Locust 69 kV Upgrade Project is $47,800 Th~s price includes an estimated $5,300 in
expenses Expenses ~nclude travel costs and office overhead costs Travel costs ~nclude
three trips between Denton and Kansas City
The sods ~nvestlgat~on subcontmctor's cost is estimated to be $4,500 This cost is m
addition to our not-to-exceed price stated above These costs may be h~gher or lower
depending on the number of soil bonngs, quantity of laboratory tests and the actual bids
received from dnlhng and testing contractors
The costs stated above are the maximum B&V believes w~ll be required for the design
englneenng services based on the Scope of Work described tn Section 2 0 B&V will
invoice the C~ty of Denton only for the costs actually reqmred to perform the work and
wdl not exceed the hmlt stated above w~thout approval from the C~ty of Denton

5.0 Schedule
A proposed project summary bar chart schedule is included in this section The proposed
schedule assumes a project start date of mid March 1998 Line design, design drawings
and preparation of procurement and construction b~d documents are scheduled to be
completed by the end of July Allowing time for bid preparation, bidding, bid evaluation
and contract award, we anticipate having a contract in place by mid October Th~s wall
allow the Contractor four or more months to purchase materials and have them dehvered,
including long lead items such as the steel structures Construction and construction
management would be scheduled to begin in early February and be completed by early
May 1999
This schedule has some flexlblhty By completing design earlier and reducing the time
between bid issue and contract award, project completion could be moved to late March
or early April However, wet weather conditions in the winter months could affect
construction progress
