AN ORDINANCE ACCEPTING A COMPETITIVE SEALED PROPOSAL AND AWARDING
A CONTRACT FOR THE PURCHASE OF MATERIALS, EQUIPMENT, SUPPLIES OR
SERVICES, PROVIDING FOR THE EXPENDITURE OF FUNDS THEREFORE, AND
PROVIDING FOR AN EFFECTIVE DATE
WHEREAS, the City has sohclted, received and tabulated competitive sealed proposals for
the purchase of necessary materials, eqmpment, supphes or services m accordance w~th the
procedures of state law and C~ty ordinances, and
WHEREAS, the C~ty Manager or a designated employee has reviewed and recommended
that the hereto described proposals are the best responsible proposals for the matermls, eqmpment,
supplies or serwces as shown m the "Proposals" submitted therefor, and
WHEREAS, the C~ty Council has provided m the C~ty Budget for the appropriation of funds
to be used for the purchase of the materials, eqmpment, supphes or servtces approved and accepted
hereto, NOW, THEREFORE,

Municipal Corporation, with its principal office at 215 E. McKinney
Street, Denton, Denton County, Texas 76201, (hereinafter so~letimes
referred to as "OWNER.) and ~,~_.~. ~NC. , with xts

called the ("CONSULTANTw) acting hereLn, by and through their duly
authorized representative.
WITN~SSETH, that in consideration of the covenants and
agreements herein contained, the parties hereto do mutually agree
as follows:
EMPLOYMENT OF CONSULTANT
The OWNER hereby contracts with CONSULTANT, as an independent
contractor, and the CONSULTANT hereby agrees to perform the
services her~in in connectLon wLth the Project as stated in the
sectLons to follow, with diligence and in accordance wLth the
h~ghest professional standards customarLly obtained for such
services in the State of Texas The professional services set out
herein are in connection with the followLng described project.

~OPE OF SEI~VICES
The COMSULT~T shall perform the following services ~n a
professional manner:
A The CONSUlTAnT shall perform all those servxces as necessary

ADDITIONAL SERVICES

when meeting with the Texas ~atural Resource ConservatLon
Commission, U S Environmental Protection Agency, or other
regulator~ agencies The CONSULTANT will assist OWNER
personnel on an as-needed basLs in preparing compliance
schedules, progress reports, and providing general technical
support for the OWNER's compliance efforts.
S Assisting OWNER or Contrac=or in the defense or prosecution of
li=iga=ion in connec=Lon with or in addition to those services
contemplated by this Agreement. Such services, if any, shall
be furnished by CONSULTANT on a fee basis nego=iated by the

D Preparing copies of Computer Aided Drafting (CAD) electronxc

F Appearing before regulatory agencLes or courts as an expert

Project, lnclud~ng =he preparation of engineering data and
reports for assistance to the OWNER

PERIOD OF SERVICE
This Agreement shall become effective upon executaon by the
OWNER and the CONSULTANT of thLs Agreement and upon issue of a
no=ice to proceed by the OWNER and shall remain in force for the
period whach may reasonably be requLred for the completion of the
Project, including Additional ServLces, Lf anY, and any requared
extensions approved by the OWNER This Agreement may be sooner
terminated an accordance with the provisions hereof Time is of
the essence in this Agreement. The CONSULTANT shall make all
reasonable efforts to complete the services set forth herein as
expeditiously as possible and to meet the schedule established by
the OWNER, acting through its City Manager or his designee
COMPENSATION

Partial payments to the CONSULTANT will be made on the basle of
detailed monthly statements rendered to and approved by the
owner through its City Mallager or his desiglxees; however, under
no circumstances shall any monthly statement for services
exceed the value of the work performed at the time a statement
is rendered. The owner may withhold the final 5% of the
contract amount until completion of the project.
Nothing contained in this Article shall require the owner to
pay for any work which is unsatisfactory as reasonably
de=ermined by the City Manager or his designee or which is not
submitted in compliance with =he terms of this contract The
City shall not be required to make any palflnents to the
CONSULTANT when =he CONSULTANT xs in default under th~s
contract.

shall no= be authorLzed to undertake any work pursuant to th~s

D. PAYMENT
If the OWNER fails to make payments due the CONSULTANT for
services and expenses within sixty (60) days after receipt of
the CONSULTANT'S u/ldisputed statement thereof, the a~u~ts due
the CONSULTANT will be increased by the rate of one percent
(1%) per month from the said sixtieth ($0th) day, and ~n
addition, the CONSULTANT ~ay, after giving seven (7) days'
written notice to the 0~/~, suspend services under th~s
Agreement until the CONSULTAI~T has been paid in full all
amounts due for services, expenses and charges provLded,
however, nothing herein shall require the owner to pay the late
charge of one percent (1%) set forth herein if the owner
reasonably determines that the work is unsatisfactory, ~n
accordance wLth this ArtLcle V, Compensation.
OBSERVATION ~ REVIEW OF THE WORK
The~ONSULTANTwill exercise reasonable care and due diligence
~n dLscoverL~g and promptly reporting to the OWNER any defects or
deficLencles Ln the work of the CONSULTANT or any subcontractors or
subconsultants

OWNERSHIP OF DOCUMENTS
All documents prepared or furnLshed by the CONSULTANT (and
CONSULTANT's subcontractors or subconsultants) pursuant to =h~s
Agreement are ~nstruments of service and shall become the proper=y
of the OWNER upon the termination of this Agreement The
CONSULTANT Ls entLtled to retain copLes of all such documents The
documents prepared and furnLshed by the CONSULTANT are intended
only to be applicable to this project and OWNER'S use of these
documents in other projects shall be at OWNER'S sole risk and
expense. ~n the event the OWNER uses the Agreement in another
project or for other purposes than specified herein any of the
information or materials developed pursuant to this agreement,
CONSULTANT Ks released from any and all liability relating to their
use in that project.
INDEPENDENT COR~JkC?OR
CONSULTANT shall provide services to OWNER as an independent
contractor, not as an employee of the City. CONSULTANT shall not
have or claim any right arising from employee status
INDEMNITY AGREEMENT
The CONSULTANT shall indemnify and save and hold harmless =he
OWNER and its officers, agents, and employees from and agaxnst any
and all-liability, claims, demands, damages, losses and expenses,
including bur not limited to court costs and reasonable attorney
fees incurred by the OWNER, and Lncluding without llmLtatLon
damages for bodily and personal Ln]ury, death and property damage,
resulting from the negligent acts or omLssLons of the CONSULTANT or
· ts officers, shareholders, agents, or employees ~n the execution,
operatLon, or performance of this Agreement

Nothing in this Agreement shall be construed to create a
liability to any person who is not a party to th~s Agreement and
nothLng herein shall waive any of the party's defenses, bot~ a= law
or equLty, to any claim, cause of action or 1Ltlgation filed by
anyone not a party to th~s Agreement, ~ncluding the defense of
governmental Immunity, whLch defenses are hereby expressly
reserved
INSURANCE
During the performance of the Services under this Agreement,
CONSULTANT shall maintain the followxng insurance with an insurance
company licensed to do busxness an the state of Texas by the State
Insurance CommLssion or any successor agency that has a rating wL=h
Best Rate Carrxers of at least an A- or above'
A Comprehensive General LiabllLty Insurance with bodily injury
limits of not less than $500,000 for each occurrence and not
less than $$00,000 in the aggregate, and with property damage
limits of not less than $100,000 for each occurrence and not
less than $100,000 in the aggregate
B Automobile Liability Insurance w~thbodily ~n]uryl~m~ts of not
less than $500,000 for each person and not less than $500,000
for each accident and with property damage limits for not less
than $100,000 for each accident
c Worker's Compensation Insurance ~n accordance w~th statutory
requLrements and Employers' L~abLl~ty Insurance with limits of
not less,than $100,000 for each accident
D Professional LiabLllty Insurance wLth l~mLts of not less than
$1,000,000 annual aggregate
E The CONSULTANT shall furnish ~nsurance certlf~cates or
Lnsurance pollcLes at the OWNER's request to evidence such

coverages. The insurance policies shall name the 01~1ER as an
additLonal insured on all such policies ~nd shall contaLn a
provisLon that such insurance shall not be canceled or m6dif~ed
wLthout 30 days prior written notLce to OWt~ER and CONSULTANT
In such event, the CONSULTanT shall, przor to the effective
date of the change or cancellatLon, aez~e sttbatztute policies
furnLsh~ng the same coverage
ARBITRATION AND ALTERNATE DISPUTE RESOLUTION
The parties may agree to settle any disputes under th~s
Agreement by submitting the dispute to arbitration or other means
of alternate dispute resolution such as mediation. No arbitra=Lon
or alternate dispute resolution arLsing out of or relating to, th~s
agreement involving one party's disagreement may include the other
party to the disagreement without the other's approval
TERMINATION OF AGREEMENT
A. Notwithstanding any other provLsion of this Agreement, eLther
party may terminate by giving thirty (30) days advance written
notLce to the other party
B. ThLs agreement may be termLnated in whole or in part in the
event of either party 8ubstantLall¥ falling to fulfill ~ts
obligatLons under this Agreement No such termination wLll be
affected unless the other party Ls gLven (1) wrLtten no=~ce
(delivered by certifLed mail, return receLpt requested) of
intent t~ terminate and setting forth the reasons specifying
the nonperformance, and not less than 30 calendar days to cure
the faLlure, and (2) an opportunity for consultatLon w~th the
term~natlng party prior to termination
C If the party Ks termLnated prior to completion of the services
to be provided hereunder, CONSULTANT shall ~mmed~ately cease

all services ~nd shall render a final bill for services =o =he
owner within 30 days ~f=er the date of termination. The OWNER
shall pay CONSULTANT for all services properly rendered and
satisfactorily performed and for reimbursable expenses to
termination incurred prior to the date of termination ~n
accordance with Article IV, Compensation Should the OWNER
subsequently contrac= with a new CONSULTANT for the
continua=Lon of services on the project, CONSULTANT shall
coopera=e in providing information The CONSULTANT shall rum
over all documen=s prepared or furn~shedbyCONSULTANTpursuant
Co this Agreement to the OWNER on or before the date of
termination buc may maintain copies of such documents for
use.
RESPONSIBILITY FOR CLAIMS AND LIABILITIES
Approval by the O~ER shall not constitute nor be deemed a
release of the responsibility and liabllLcy of the CONSULTANT, its
employees, associates, agents, s~bcon=racCors and subconsulCants
for =he accuracy and competenc~of their designs or ocher work, nor
shall such approval be deemed to be an assumption of such
responsibili=y by the City for any defec= in the design or ocher
work prepared by the CONSULTANT, ~Cs employees, subcon=rac=ors,
agents and coneulCan=s.
NOTICES
All~o=ices, communications, and reports requLred or permitted
under this A~reemenC shall be personally delivered or mailed to the
respective par=Les by depositing same in the United Sta~es mall at

SEV~ILITY
If any provision of this Agreement is found or deemed by a
court of competent JurLsdiction to be invalid or unenforceable, ~t
shall be considered severable from the remainder of this Agreement
shall not cause the remainder to be invalid or unenforceable In
such event, the party shall reform thLs Agreement to replace such
s=rickeR provision wLth a valLd and enforceable provision which
comes as close as possLble to expressLng the in=entLon of the

COMPLI~/~CE WITH LAWS
The CONSULT~NT shall comply with all federal, state, local

coyered hereunder as they may now read or here£na£ter be amended
DISCRIMINATION PROHIBITED
In performing the services required hereunder, the CONSULTANT
shall not discriminate against any person on the basis of race,
color, religion, sex, national origin or ancestry, age, or physical
handicap.
PERSONNEL
A The CONSULTANT represents that it has or will secure at its own
expense all personliel required to perform all the services
required under this Agreemen= Such personnel shall not be
employees or officers of, or have any contractual relations

I. INTRODUCTION
A. Purpose:
The City of Denton is planning to ~mplement developing the city-wade
infrastructure-1 of the Long-Range Information Services Plan (Exhibit A) The
C~ty ~s loohng for a network consultant to make techmcal recommendataons and
oversee the ~mplementaUon of the plan
B. History of Information Services:
In 1981, the C~ty of Denton adopted a philosophy that ~t would acqmre and
implement an IBM mmnframe computer and purchase the apphcataon software that
would be ~mplemented Th~s approach would allow the C~ty to have a mm~mum
staff for mstallaUon and ma~ntenanee purposes
In 1985, the Word Processing Center that had been estabhshed m 1983 became part
of the Information Serwces Department This &v~s~on was utahzmg a Wang OIS
system wxth twenty-two (22) users attached to th~s equxpment ~ncludmg most of the
senior secretarial staff of the departments located m the C~ty Hall Complex In
1991, the Wang OIS system was replaced w~th a local area network (LAN) utahzmg
a Novell ethernet network and utilizing a Wang VS system to estabhsh
commumcatxons between th~s network and the IBM mainframe
In the late elghtaes, the Informataon Services Department took on responsthfl~ty for
the telephone system serwng the C~ty In 1990, the Telephone System was replaced
with three (3) PBX systems from Northern Telecom
Also m 1990, a local area network was estabhshed utlhzmg (5) IBM RISC 6000s
on a token ring for the Geographic Informataon System that ~s shared by the
Electric, Water and Wastowater, Engmeenng and Transportataon, and the Planning
antt Development Departments Th~s network utahzes the fiber optic network that
was installed as part of the telephone system upgrade Dunng th~s tame frame,
there has been a number of upgrades to the IBM mainframe Also dunng th~s tame,
the number of personal computers within the C~ty grew from the first nme (9)
acquired m 1984 to approximately four hundred and fifty (450) of various makes,
models and configurataons

C. Current Environment:
The Information Services ~Department currently staffs the traditional Data
Processing Division from 8 00 AM to 12 00 midnight Monday through Frutay
The Administrative Services Division is staffed from 8 00 AM to 9 00 PM Monday
through Friday All computer and network equipment stays on and operational for
24 hours per day 7 days a week Staff members are called in dunng the time
periods that are not regularly staffed if equipment or electrical power failures occur
At this time, the department operates an IBM 4381 mainframe for the City's legacy
applications These legacy apphcaUons consist of the following systems
LGFS - This is an integrated financial system that handles all general ledger,
accounts payable, accounts receivable, purchasing, and inventory transactions
EIS - This is an integrated payroll, human resources, position control and labor
distribution system Interfaces between th~s system and the LGFS system have been
written by in-house staff to automate the recording of labor costs to the general
ledger
ICI$ - This is a utility billing and meter inventory system that processes Electric,
Water, Wastewater, and Solid Waste to produce a single combined bill
Additionally, this system tracks the electric and water meters that are in service as
well as those in inventory The vahdtty of the meter multipliers are checked for
accuracy by thts system Interfaces to the LGFS and hand held meter reading
systems have been developed by m-house staff
F, MI$- This is a fleet management system that tracks the repair and fuel costs
associated with the approximately five hundred (500) vehicles in the City's fleet
Interfaces to the Petrovend foehng system and the LGFS system have been written
by the m-house staff
MCT - This is a municipal court system that was acquired from the City of
E1 Paso, as a public domain system, that processes class C and mowng violation
complmnts This system can schedule courts even though the Ctty of Denton does
not take advantage of thts feature An tnterface to the LGFS system to capture the
cash transacuons processed by this system was written by the in-house staff Th~s
system was written usmg DMS from IBM and that language ~s not being enhanced
or.supported by IBM any longer The C~ty of Denton has an RFP out for a Pubhc
Safety system that might possibly replace th~s system
TAX - This ~s an Ad Valorem tax system that was acqmred from the City of
Wtchlta Falls in exchange for our MCT system This system produces tax
statements, dehnquent statements and processes tax payments An ~nterface
between th~s system and the LGFS system was written by tn-house staff to record
the cash payments

In addmon to these legacy systems which are currently processed on an IBM 4381
mmnframe, the City of Denton has a number of Local Area Networks (LANs) that
are running specific apphcations
ADMINISTRATIVE SERVICES LAN - The first of these LANs is a Novell
NetWare 3 11 ethernet LAN that was implemented to replace the old Wang OIS
system five years ago This PC based LAN has forty (40) workstations and
approximately one hundred and twenty (120) users These PCs are located in the
following buildings City Hall, Civic Center, Library, City Hall West, and the
Denton Municipal Complex The major application on this LAN is WordPerfect
5 1 with some Lotus and Harvard Graphics activity The LAN is connected to a
Wang VS minicomputer which acts as a gateway to the IBM mainframe The VS
minicomputer also runs the Wang Office applicaUon which has a very limit~
number of users of this capability Sixteen (16) of the forty (40) workstations for
this LAN are 286 diskless PCs
GIS SYSTEM - There IS a Token Ring LAN that has ten (10) IBM RISC 6000
connected This LAN has one application which IS the GIS system that uses ESRI's
ARC/INFO software This system also has data downloaded to it from the utility
billing and ad valorem tax system that reside on the IBM mainframe
UTILITIES LANS - There are approximately five 3 XX Novell NetWare ethernet
LANs utilized by the Utility Department that have approximately sixty (60) PCs
attached and approximately one hundred (100) users These LANs have a variety
of PC applications such as Lotus, Dbase, WordPerfect, etc (See Exhibit B -
Graphical Representations of Existing Fiber and Network Connectivity)
PUBLIC SAFETY SYSTEM - The Public Safety System is running on a Novell
NetWare 4 1 LAN This LAN includes fiber connections to the Fire Department's
six (6) stations with approximately twelve (12) PCs and the Police Department w~th
fifty (50) PCs and twenty-six (26) printers
LIBRARY SYSTEM - The current Library System from Dynlx Corporation was
installed in 1995 This is an ethernet LAN using a RISC 6000 for a server with a
fiber connection between the main library and the branch hbrary The main library
has approximately fifty (50) 486/33 PCs as workstations The branch library is
running a Novell NetWare 4 1 LAN with a total of five (5) PCs as workstations and
three (3) PCs attached to the main library

II. PROPOSAL REQUIREMENTS
11. PROPOSAL REQUIRF2~.NTS
All proposals are due m the Purchasing Office of the City of Denton no later than
December 12, 1996, at 2 00 p m
Proposals must be si§ned by the vendor with his or her signature in full When a vendor
IS a partnership, the proposal shall be signed in the name of the partnership by one or
more of the partners When a vendor is a corporation, the officer si§nm§ shall sl§n his
name and give the title of his office The proposal shall also bear the seal of the
corporation
A. Knowledge of Conditions:
Before submitting proposals, vendors must carefully examine this Request for
Sealed Proposal and reform themselves thoroughly as to all the difficulties involved
in the completion of all work pursuant to the requirements of this document
Pleas of ignorance of conditions or difficulties that may be encountered in the
execution of the work pursuant to this document as a result of failure to make the
necessary examinations or investigations shall not be accepted for any fmlures or
omissions on the part of successful vendors to fulfill, nor shall they be accepted as
a basis for any claims whatsoever for extra compensation or for the extension of
time
B. Exceptions:
All proposals must clearly and specifically detml all exceptions to the exact
requirements imposed by this document Such exceptions must be explained in the
vendor's proposal Otherwise, the City shall consider the subject proposal as being
made in strict compliance with this document
C. Compliance with Laws:
In all cases, the laws of the State of Texas shall apply to the proposal process, the
resultant contract and the contract performance Vendor's performance of the work
shall comply with apphcable Federal, State and local laws, rules and regulations
D. Patents and Royalties:
Vendor, without exception, shall mdemmfy and hold harmless the City and its
employees from any liability of any nature or kdnd, including costs and expenses
for or on account of any trademarked, copyrighted, patented, or non-patented

invention, process or arUcle manufactured or used m the performance of the
Contract, lnclu&ng its use by Denton, Texas If the vendor uses any design, device
or materials covered by pa~ent, trademark, or copyright, it shall be mutually
understood and agreed without excepuon that the proposal prices shall include all
royalties or costs arising from the use of such design, device, or materials in any
way involved in the work
E. Indemnification:
Vendor shall indemnify and hold harmless the City, its agents and employees from
or on account of any injury or damage received or sustmned by any person or
persons during or on account of any operation proximately connected with the
prowslon of any provided services by Vendor, its suppliers or subcontractors, their
agents and employees or both, or by consequence of any negligent act or omission
in connecuon with the same, or by use of any improper materials or by or on
account of any act or omission of Vendor, 1ts suppliers, subcontractors, or their
agents and employees
Further, Vendor agrees, at its own expense, to indemnify and hold harmless the
City, its officers, agents and employees, and to defend or to provide for such
defense, at the City's option, from any and all claims or liability arising from or
based upon the alleged violation of any applicable laws, ordinances or regulations
and all suites and actions of every name and description that may be brought against
the City which result from any operation or activity under this Contract to be
awarded whether such activity or operation be performed by Vendor or
subcontractor or by anyone directly or indlrectly employed by either

The City of Denton will not be liable for any costs associated with the preparation,
transmittal, or presentation of any proposals or material submitted in response to
this Request for Sealed Proposal
G. Duration:
The vendor must agree, in writing, that all information contmned in the submitted
proposal is valid for at least one hundred twenty (120) days from the date of
submittal or until a final contract is approved, whichever occurs first
H. Ownership:
All responses and accompanying documentation will become the property of the
City of Denton

proposal For a proposal to be valid, however, all mformaUon must be avmlable

enhancements and upgrades to current networks to enable ~mplementatton of
the City of Denton Long-Range Information Services Plan in Exhibit A
The vendor will be responsible for the rewew of ex,sUng connect~wty of
Novell systems, GIS system, mainframe and other systems The vendor will
make recommendations to enhance the operabflzty of all systems as outhned

REFUND POLICY
1) Prior to delivery and installation, refund requests for hardware/software purchases
will be granted provided that seven days written notice IS given to NTCS
2) Once the engagement commences, either party may terminate the engagement
provided that seven days written notice is given to the other party Termination of the
engagement will result upon receipt of the termination letter by the other party
a) All work performed by NTCS up to the date of receipt of the termination
letter is payable by the client
b) Any hardware/software received by the client or ordered by NTCS on behalf
of the cl,ent must be pard in full upon receipt of the termination letter or returned to
NTCS with a restocking fee of 15% of the purchase price of the hardware/software
The client will also be required to pay deinstallauon charges and pickup fees for time
spent on the removal of all hardware/software that has been installed by NTCS
OTHER PROVISIONS
1 For overdue accounts, NTCS may require prepayment or COD terms before
performing adchuonal services or delivering additional hardware/software
Overdue accounts with little or no payment h~story may be placed on the NTCS Hold
List Thereafter, no further services or products will be purchased until payment for
all invoices is made in full

CITY OF DENTON
INSURANCE REQUIREMENTS FOR CONTRACTORS
Bidder's attention is directed to the Insurance requirements below. It is highly
recommended that bidders confer with their respective Insurance carriers or brokers
to determine in advance of Bid submission the availability of insurance certificates end
endorsements es prescribed end provided herein If an apparent Iow bidder fails to
comply strictly with the insurance requirements, that bidder may be disqualified from
award of the contract Upon bid award, all insurance requirements shall become
contractual obligations which tho successful bidder shall have a duty to maintain
throughout the course of this contract
STANDARD PROVISIONS:
Without hmitlng any of the other obhgat~ons or hablht~es of the Contractor, the
Contractor shall provide and maintain until the contracted work has been completed
and accepted by the City of Denton, Owner, the minimum ~nsurance coverage as
indicated hereinafter
As soon as practicable after notification of b~d award, Contractor shall file with the
Purchasing Department satisfactory certificates of ~nsurance, conta~mng the b~d
number and t~tle of the project Contractor may, upon wntten request to the
Purchasing Department, ask for clanflcatlon of any ~nsurance requirements at any
time, however, Contractors are strongly adwsed to make such requests prior to b~d
opemng, since the ~nsurance requirements may not be modified or waived after b~d
opening unless a written exception has been submitted with the b~d Contractor shall
not commence any work or deliver any material until he or she receives notification
that the contract has been accepted, approved, and signed by the City of Denton
All ~nsurance pohc~es proposed or obtained .n satisfaction of these requirements shall
comply w~th the following general specifications, and shall be maintained in
comphance with these general specifications throughout the duration of the Contract,
or longer, if so noted.
· Each policy shall be issued by a company authorized to do bus~ness ~n the
Stat-e of Texas w~th an A M Best Company rating of at least A
· Any deductibles or self-~nsured retentions shall be declared in the b~d
proposal If requested by the C~ty, the ~nsurer shall reduce or ehmlnate
such deductibles or self-~nsured retentions with respect to the C~ty, ~ts

officials, agents, employees and volunteers, or, the contractor shall procure
a bond guaranteeing payment of losses and related investigations, cla,m
administration and defense expenses

· Should any of the required ~nsurance be prowded under a cia,ms-made
form, Contractor shall ma,ntaln such coverage continuously throughout the
term of th,s contract and, w~thout lapse, for a period of three years beyond
the contract expiration, such that occurrences arising dunng the contract
term which g~ve r~se to claims made after expiration of the contract shall
be covered
· Should any of the required ~nsurence be provided under a form of coverage
that ~ncludes a general annual aggregate hm~t prowd~ng for claims
investigation or legal defense costs to be included in the general annual
aggregate limit, the contractor shall either double the occurrence hmlts or
obtain Owners and Contractors Protective L~ab~ht¥ Insurance
· Should any required insurance lapse during the contract term, requests for
payments originating after such lapse shall not be processed until the C~ty
receives satisfactory evidence of reinstated coverage as required by th~s
contract, effective as of the lapse date If insurance ~s not reinstated, C~ty
may, at its sole option, terminate th~s agreement effective on the date of
the lapse

accident, $100,OOO per each employee, and a $500,000 pohcy hm~t for
occupational d~sease The City need not be named as an "Additional Insured"
but the insurer shall agree to waive all rights of subrogation against the C~ty,
its officials, agents, employees and volunteers for any work performed for the
City by the Named Insured.

prosecution of the work under this contract, an Owner's and Contractor's
