are not normally and readily available at the location at whzch the customer requests service, then the City shall provide the service subject to paragraph 2 of this schedule The total cost of all facilities necessary to meet the customer's special requirements which are incurred by the C~ty shall be subject to a special contract entered into between the Czty and the customer This contract or application thereof to any person or cmrcumstances is held invalid by any court of competent jurisdiction, such holding shall not affect the valid- lty of the remaining portions of this ordinance, THE SCHEDULE OF WATER RATES CONTAINED IN ORDINANCE NO 97-237 FOR WATER SERVICE BY CORRECTING AND AMENDING THE WHOLESALE RAW WATER SERVICE TO UPPER TRINITY REGIONAL WATER DISTRICT SCHEDULE (WRW), PROVIDING FOR A REFUND, PROVIDING FOR A SEVERABILITY CLAUSE, AND PROVIDING FOR AN EFFECTIVE DATE WHEREAS, on the 2"d day of September, 1997, the City Council passed and approved Ordinance No 97-237 adopting the rate schedules respecting water service for the City of Denton Included within said ordinance was Schedule WRW pertalmng to Wholesale Raw Water Service To Upper Trinity Regional Water District The applicable raw water rate stated in the ordinance was $0 3679/1000 gallons However, City staff discovered that an inadvertent error occurred in their calculation of said rate, and that the correct raw water rate should have been expressed as $0 3602/1000 gallons, and WHEREAS, the City Council desires to correct the appheable raw water rate pertaining to Schedule WRW, effective October l, 1997, the effective date of the Schedule WRW heretofore adopted by Ordinance, NOW, THEREFORE, THE COUNCIL OF THE CITY OF DENTON HEREBY ORDAINS S T.S~ That the Schedule of Rates for Water in late Aprd, 1998, and accordingly the City staff has demgned a new water rate, entitled the "Wholesale Treated Water Service To Upper Tnmty Regmnal Water District" rate, which rate is set forth m Agreement, the CONTRACTOR shall release fully and hold the City, its agents and employees harmless and will mdemmfy them from all habllmes, including costs and legal fees, ff any, including clauns for damages on account of loss or damage to the property of, members of the public, the agents, servants employees, hcansees, tenants, lessees and patrons of the City, m any manner aCfflbutable to or arising out of the ownership, operation or maintenance of the Equipment, regardless of whether caused m whole or m part by the negligence of the City, provided, however, that this provision shall not apply to hahiht~as proxunately caused by acts of the City, which coust~tute willful and wanton negligence or criminal acts 8 Loss of Equipment If any of the Equipment is lost, stolen, or willfully or accidentally destroyed, the CONTRACTOR will notify the City unmethately m writing and use all reasonable endeavors at the CONTRACTOR'S own expense to recover the Equipment 9 The CONTRACTOR has this day deposited with the City of Denton the sum of Eight Hundred Dollars ($800 00), the receipt whereof is hereby acknowledged by the City, as security for the payment of use of the fire hydrant meter and backflow prevention assembly, and for the faithful performance by it of all the other obhganon hereunder, and for the payment of any and all sums of money for which tt may be, or become, liable hereunder Said sum of $ Dollars or so much thereof as shall not be applied for the purposes aforesaid, shall be returned to the CONTRACTOR, its successors or assigns, at the expiration of this Agreement, and upon the surrender of the frre hydrant meter and backflow prevention assembly, provided all the terms, coodltions, covenants and agreements herem mentioned have been performed by the said CONTRACTOR, its successors and assigns 10 The CONTRACTOR shall on or before the 3'd of each month during the term of this Agreement bring the fire hydrant meter m for reading and physical inspection by the City If the CONTRACTOR falls to do so it will agree and accept to pay the billing from the City that is eqmvalant to the use of 100,000 gallons of water for that month If within the tune to pay the bdlmg the CONTRACTOR bring the fire hydrant meter m for reading the CONTRACTOR will be billed for the actual amount of water used The security deposit may be used against any billing that Is due and outstanding at the tune of the termination of this Agreement 11 Default (a) If, dmmg the continuance of this Agreement one or more of the following events ("Evants of Default") shall occur (x) default shall be made m the payment of any payment to be made by the CONTRACOTR and tho default shall continue for 30 days after written notice from the City to the CONTRACTOR of the default and demand that it be remedied, (il) Default shall be made m the observance of performance of any other of the covenants, eondltmns and agreements on the part of the CONTRACTOR contained here and the default shall continue for 30 days after written notice from the City to the CONTRACTOR, specifying the default and damaodmg that it be remedied, then m any such case the Authonty, at m option, may exercise any or all of the following rights (m) Proceed by appropnate court acUon, either at law or m equity, to enfome performance by the CONTRACTOR of this Agreement or to recover damages for breach, or (Iv) By notice m writing to the CONTRACTOR, terminate tlus Agreement, at which tune all right of the CONTRACTOR to the use of the Equipment shall terminate as though this Agreement had never been made, but the CONTRACTOR shall remain liable as provided below, and the City may then by its agents enter upon the premises of the CONTRACTOR or other prenuses where any of the Equipment may be located and take possession of all or any of the Equipment and possess the Equipment free from any right of the CONTRACTOR, or its successors or assigns, to use the Eqmpment for any purpose whatever, but the City shall, nevertheless, have a right to recover from the CONTRACTOR all amounts wfuch under the term of this Equipment Agreement may be then due or which may have accrued to the date of the termination, or (v) Pay any expense or charges which the CONTRACTOR is obhgated to pay pursuant to th~s Agreement which the CONTRACTOR has failed timely to pay These amounts shall then be THE CITY, NOT BEING THE MANUFACTURER OF THE EQUIPMENT NOR THE MANUFACTURER'S AGENT, MAKES NO EXPRESSED OR IMPLIED WARRANTY OF ANY KIND WHATSOEVER WITH RESPECT TO THE EQUIPMENT, THE AUTHORITY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO THE MERCHANTABILITY OF THE EQUIPMENT OR ITS FITNESS FOR ANY PARTICULAR PURPOSE, THE DESIGN OR CONDITION OF THE EQUIPMENT, THE WORKMANSHIP IN THE EQUIPMENT, COMPLIANCE OF THE EQUIPMENT WITH THE RQUIREMENTS OF ANY LAW, RULE, SPECIFICATION OR CONTRACT PERTAINING TO THE EQUIPMENT PATENT INFRINGEMENT, LATENT DEFECTS, AND TITLE The City and the CONTRACTOR Upon completion of the installation, the applicant shall be billed at actual cost, as determined by the Utlllty Department, plus a 20% administrative charge. The installation charges may be waived by the utility department for a request to install taps exclusively dedicated to fire sprinkler systems.
