THIS AGREEMENT ls made and entered by and between the City of Denton, Texas, a municipal corporation situated in Denton County, Texas, hereinafter called the "City", acting herein by and through Bob Castleberry, its duly authorized Mayor, and ADS Environmental Services, Inc , a corporation, acting herein by and through its duly authorized president hereinafter called "Engineer" WITNESETH That for and in consideration of the mutual covenants and agreements herein contained, the parties hereto do hereby covenant and agree as follows SECTION I - SERVICES OF EN~iNEER~ The City hereby contracts with Engineer as an independent con- tractor, and Engineer hereby agrees to perform, within the profes- sional standards normally accepted in the State of Texas, profes- sional services associated w~th Individual assignments as agreed in writing in connection with Smoke testing services as set forth ~n Attachment "A", attached to this document, and incorporated as it written word for word herein SECTION II - CHARACTER AND EXTENT OF ENGINEER'S SERVICES. Engineer shall 1 Provide above ground reconnaissance and map update 2 Provide manhole lnspect~ons of approximately 648 manholes 3 Provide smoke testing of approximately 337,960 linear feet of sewer line 4 Provide analys~s of defects 5 Provide cost effective analysis 6 Provide 5 copies of the draft report and 20 cop~es of the final report The services listed above are collectively referred to herein as the ,'~sslgnment" Attachment "A" (pages 1 through 5) provide additional detail for each service l~sted above Engineer agrees to commit the personnel to each service listed above as necessary in order to complete the Assignment in an expeditious manner Engineer shall advise City as to the necessity of City's pro- vidlng or obtaining from others special services and data required in connection with the Assignment at City's cost and expense and may act as City's representative in connection with any such services of others It is understood that this Agreement contemplates the full and complete engineering services includIng any and all changes neces- sary to complete the Assignment as outlined in the Scope of Ser- vices Nothing contained herein shall be construed as authorizing additional fees for services Engineer acknowledges by the execution of this Agreement that all contingencies known to Engineer and C~ty at the date of this Agreement as may be deemed necessary and proper to complete the Assignment have been included ~n the maximum fee estimate Engineer agrees that engineering services w~ll be managed and performed in their Dallas office SECTION III - PERIOD OF SERVICE: This Agreement shall become effective upon execution by the C~ty and the Engineer, and shall remain ~n force for the period as indicated in Section VII - Time Schedule, unless extended by mutual agreement of the parties or terminated in accordance with Section IX - Termination Time is of the essence ~n this Agreement The Engineer shall make all reasonable efforts to complete the services set forth herein as expediently as possible and to meet the schedule established by the City SECTION IV - SPECIAL SERVICES OF ENGINEER: If authorized in writing by City, Engineer shall furnish or obtain from others Special Services necessary to complete the Assignment Special Services are those services not included as part of Basic Services as outlined ~n Section II - Character and Extent of Engineer's Services Special Services will be paid for by City as indicated in Section V but the total compensation for Special Services shall not exceed F~fteen Thousand Dollars ($15,000.00) SECTION V - CITY'S RESPONSIBILITIES: The City shall i Assist Engineer in obtaining existing studies, reports and other available data and services of others pertinent to the Assignment and in obtainIng additional reports and data as required PAGE 2 2 Upon reasonable notice arrange for access to and make all provisions for Engineer to enter upon public and private property as may be requlred for Engineer to perform services hereunder 3 Designate in wrltlng a qualified person who will act as C~ty's representative with respect to the Assignment for the purposes of transmitting Instructions, receiving Information, inter- pret~ng and deflnlng City's pollcles and decisions with respect to Engineer's services 4 Furnish as required by the work and not at the expense of ADS Envlronmental Servlces, Inc the following items a) Ail maps, drawlngs, reports, records, audits, annual reports, and other data requested by Engineer that are available in the f~les of the City and which may be useful ~n the work ~nvolved under th~s contract b) Access to public and private property when required in performance of the servlces to be rendered by ADS c) The services of at least one of the City's employees or staff, if needed, who has the r~ght of entry to, and who has knowledge of, the existing sanitary sewer system and force mains, wastewater pump stations and wastewater treatment facilities d) Hall, meeting room, or auditorium space for public hearlngs and/or presentations, and the audio equipment and pro]ectlon equlpment required for such hearings or presentations e) Transport and treatment costs for ~nflow and Infiltration for use ~n the Source Defect Analysls Consultant will install any clean out caps necessary during field lnspectlon f) Water needed for cleanlng l~nes prior to internal T V inspection, ~f required g) Facilities for dumping materials removed from collection system during field ~nspectlon activities, ~f required h) Assistance ~n any removal efforts of cameras lodged ~n p~pes during field inspection services, if required 5 Revlew all reports, recommendatlons and other documents and provide written decisions requested by the City w~thln a reasonable time 6 Examine all studies, reports, sketches, drawings, spec~f~ca- PAGE 3 tlons, proposals and other documents presented by Engineer, obtain advice of an attorney, insurance counselor and other consultants as it deems appropriate for such examination and render in writing decisions requested by the City within a reasonable time so as not to delay the services of Engineer SECTION VI - COMPENSATION TO ENGINEER~ The total compensation for all of the assignments to be performed by Engineer as described in Section II Character and Extent of Engineer's Services hereof shall not exceed One Hundred Seventy One Thousand Four Hundred Thirty-three Dollars ($171,433) Engineer shall be compensated as listed below and as outlined · n Attachment "B", which is attached to and made a part of this Agreement as if written word for word here~n 1 Mobll~zat~on and Project Administration ~s paid as a lump sum of Eight Thousand Forty-one Dollars ($8,041 00) 2 Basic Services Field Inspections is pa~d per item Above ground reconnaissance and map update and smoke testing are paid per linear foot Manhole inspection is paid per each manhole 3 Baslc Services - Englneer~ng Analys~s and Report ~s paid at cost plus multiplier to a maximum of Twenty-nine Thousand Seven Hundred Forty-four Dollars ($29,744) The hourly rates and applicable multipliers are listed on Attachment "BI" 4 Additional Special Services shall be charged as outlined in Attachment "B" The City and Engineer shall agree on the Scope and Compensa- tion for the performance of Special Services prior to the commence- ment of such Special Services For Special Services performed under Section III Engineer will be compensated at the same rates and methods as outlined in th~s Section VI but the total compensa- tion for Special Services shall not exceed Fifteen Thousand Dollars ($15,000 00) SECTION VII - METHOD OF PAYMENT~ Engineer shall be paid monthly on the basis of statements prepared from the books and records of account of Engineer, such statements to be verified as to accuracy and compliance with the terms of th~s Agreement by an officer of Engineer Payment according to statements will be subject to certification by the Executive D~rector of utilities or his duly authorized representa- tives that such work has been performed However, under no circumstances shall any monthly statement for services exceed the value of work performed at the time a statement is rendered The PAGE 4 City may withhold the final five percent (5%) of the contract amount until completion of the pro3ect Nothing contained mn this section or the remainder of this Agreement shall require the City to pay for any work which is unsatmsfactory as reasonably determined by the Executive Director of Utmlmtles, or which is not submmtted in compliance with the terms of thms Agreement The Cmty shall not be required to make any payments to the Engineer when the Engineer is in default under this Agreement Engineer shall not be authorized to undertake any work pursuant to this Agreement which would require additional payments by the Cmty for any charge, expense, or reimbursement above the maximum fee wmthout fmrst having obtained written authorization from City to perform specmal or additional services The above charges are on the basms of prompt payment of bmlls rendered and contmnuous progress of the work on the Assignment untml completion If Cmty fails to make any agreed to payment due to Engineer for services within sixty days after approval of Engineer's statement thereof, the amount due Engineer shall include a charge at the rate of one percent (1%) per month from said sixtieth day, and in addmtmon Engmneer may, after glvlng seven days written notice to Cmty, suspend services under thms Agreement until Engmneer has been pamd mn full all amounts due for servmces actually performed Provided, however, nothing herein shall requmre the Cmty to pay the charge of one percent (1%) per month set forth heremn if the Cmty reasonably determines that the work is unsatmsfactory Mall monthly mnvolces to City of Denton Attn G Cosgrove, P E , Engineering Administrator 901-A Texas Street Denton, Texas 76201 Telephone Number (817)383-7189 SECTION VIII - TIME SCHEDULE OF ENGINEER SERVICES~ Engmneer shall lnmtmate work prescribed hereunder immediately upon the executmon of thms Agreement and upon issuance by Cmty of a Notmce to Proceed. Engineer shall follow the pro3ect schedule outlined on Attachment "D" dependent upon weather condmtmons Engmneer shall perform the services provided herein in 180 calendar days Any request for special services shall be submitted in sufficient tmme to allow for completion of services within 270 days SECTION IX - TERMINATION: The Cmty may termmnate this Agreement at any time wmthout PAGE 5 cause and as a matter of right, by notice in writing to Engineer Upon receipt of such notice, Engineer shall immediately discontinue all services and work and the placing of all orders or the entering into contracts for supplles, assistance, facilities and materials in connection with the performance of the Agreement and shall proceed to cancel promptly all existing contracts insofar as they are chargeable to this Agreement If the C~ty terminates this Agreement under the foregoing paragraph, the City shall pay Engineer for services properly performed in accordance herewith prior to such termination, less such payments having been previously made Such payments shall be based upon the work completed up to the date of termination of the Agreement ~n accordance with the method of compensation prescribed · n Sections VI and VII hereof Engineer shall also be compensated for all reImbursable expenses dlrectly attributable to term~natlon Upon termination of th~s Agreement, all documents prepared or partially prepared by or furnished by Engineer and its associates and consultants pursuant to this Agreement shall become the property of the C~ty The Engineer may retain copies of these documents SECTION X - INDEMNIFICATION~ Engineer agrees to defend, indemnify and hold City, its officers, agents and employees, harmless against any and all claims, lawsuits, 3udgments, costs and expenses for personal Injury (including death), property damage or other harm for which recovery of damages is sought that may arise out of or be occasioned by Engineer's intentional or negligent breach of any of the terms or provisions of this agreement, or by any other negligent act or omission of Engineer, Its officers, agents, associates, employees or subconsultants, in the performance of this Agreement, except that the indemnity provided for in this paragraph shall not apply to any liability resulting from the sole negligence of City, Its officers, agents, employees, or separate contractors, and in the event of joint and concurrent negligence of both the Engineer and the City, responsibility, if any, shall be apportioned comparative- ly in accordance with the laws of the State of Texas, without, however, waiving any governmental immunity available to the City under Texas law and without waiving any defenses of the parties under Texas law The provisions of this paragraph are solely for the benefit of the parties hereto and not intended to create or grant any rights, contractual or otherwise, to any other person or entity SECTION XII - NO THIRD PARTY BENEFICIARIES~ There are no third party beneficiaries of this agreement between City and Engineer and no third party shall be entitled to rely upon any work performed or reports prepared by Engineer hereunder for the purpose whatsoever SECTION XIII - RIOHT TO AUDIT: Engineer agrees that the City shall, until the expiration of three (3) years after final payment under this Agreement, have access to and the right to examine any directly pertinent books, documents, papers and records of Engineer Involving transactions relating to this Agreement Engineer agrees that the City shall have access during normal working hours to all necessary Engineer facilities and shall be provided adequate and appropriate work space in order to conduct audits in compliance with the provisions of this section The City shall give Engineer reasonable advance notice of intended audits SECTION XIV - SUCCESSORS AND ASSIGNS: The City and Engineer each bind themselves, their successors PAGE 7 and assigns, to the other party to this Agreement and to the successors and assigns of each other party in respect to all covenants of this Agreement SECTION XV - ASSIGNMENTs Neither party hereto shall assign, sublet or transfer its interest herein without prior written consent of the other party, and any attempted assignment, sublease or transfer of all or any part hereof without such prior written consent shall be void SECTION XVI - INDEPENDENT CONTRACTORs Engineer shall perform all work and services hereunder as an independent contractor, and not as an officer, agent, servant or employee of the City Engineer shall have exclusive control of, and the exclusive right to control the details of the work performed hereunder, and all persons performing same, and shall be solely responsible for the acts and omissions of its officers, agents and employees Nothing herein shall be construed as creating a partnership or joint venture between the City and Engineer, its officers, agents and employees, and doctrine of respondent superior has no application as between the City and Engineer SECTION XVII - RESPONSIBILITY FOR CLAIMS AND LIABILITYs Approval by the City shall not constitute nor be deemed a release of the responsibility and liability of the Engineer, its employees, associates, agents, and consultants for the accuracy and competency of their designs or other work, nor shall such approval be deemed to be an assumption of such responsibility by the City for any defect in the design or other work prepared by the Engineer, its employees, subcontractors, agents, and consultants SECTION XVIII - NOTICEs Any notice or other written instrument required or permitted to be delivered under the terms or this Agreement shall be deemed to have been delivered, whether actually received or not, when deposited tn the United States mall, postage prepaid, registered or certified, return receipt requested, addressed to Engineer or City, as the case may be, at the following addresses CITY CONTP. PECAN CREEK SEWER BASIN Mob~llzabon and ProJect Adm~mstrabon Upon receipt of a Nobce to Proceed, the ADS will schedule field personnel, mobilize the project team and arrange for a formal project k~ck-off meeting w~th C~ty staff This meeting will estabhsh the hnes of commumcatlon between the City and ADS and w~ll provide ~nput regarding historical information as ~t relates to the current project scope Prehmmary information to be obtained from the C~ty may include, but not be hm~ted to, reports of prewous studies, collecbon system maps, and h~storlcal water usage and treatment plant records Previous reports will be rewewed to provide a better understanding of h~storlcal condlbons in the wastewater collection system The field staff w~tl have weekly meetings A total of two presentations to C~ty staff and the PUB or C~ty Council w~ll be g~ven by ADS A BASIC SERVICES - FIELD INSPECTION ($/I f or S/each) Above Ground Reconnaissance & Map Update Th~s data will supply background base data to be used dunng the collection system analysis All manholes in the collection system w~ll be located for the purposes of map updates The C~ty will prowde reasonable assistance where required Where d~screpanc~es are encountered between the field and existing maps, the field bluehne maps will be updated to rafiect the system geometry Any hnes observed m the field, but not shown on the map w~ll be traced and presented on the final map drawings produced The result of the above ground ~nspectlon w~ll be an updated ~nventory of that port~on of the collection system inspected, documentabon of observed defects, and bluehne map update Manhole Inspection This data w~ll supply background base data to be used during the collection system analys~s F~eld crews will perform v~sual manhole and p~pe inspect~on on each manhole ~n the study area The manhole and each p~pehne entering the manhole w~ll be ~nspected with the use of a strong artificial hght or reflected sunhght Thirty-five m~lhmeter time and date stamped color photographs for each manhole w~ll be taken to record the cond~bons encountered The following data w~ll be recorded on computer forms for each manhole inspected 1 February 15, 1996 Manhole ~denbficat~on (maintenance numbers) · Construction matenals and conditions of covers, r~ngs, walls, steps, aprons, etc · Manhole depth and opening s~ze · Number and s~ze of holes ~n manhole cover · Identification of ~nfiltrat~on sources · Ewdence of leaks and location · Level of h~gh water mark ~n the manhole · Type and depth of debris · Special problems and conditions, such as sources of ~nflow, overflows, bypasses, manholes located ~n natural pondlng areas, etc · S~ze, type and depth of p~pe · Evidence of root ~ntrus~on · Condition of p~pe connection at manhole (~ e, dropped joints, cracks or other obwous defects · D~shes (pans) ~nstalled · Adjustable metal grade nngs Dunng all phases of th~s project traffic control procedures will be used as required for pubhc safety Traffic d~srupt~on w~ll be kept to a m~mmum All defects located during the manhole and visual ~nspect~on ara ~nput ~nto a software program for analysis Each defect w~ll be quanbfied, and a cost-effecbveness analys~s undertaken to estabhsh ~f rapa~r ~s warranted A pnor~y hst~ng of defects w~ll be developed along w~th recommended rehab~htatlon methods and cost estimates All manholes w~thln the study will be inspected OSHA approved Confined Space Entry Procedures w~ll be followed at all t~mes V~olat~ons of these procedures will subject ADS to a first t~me warmng by the C~ty and possible termination of the contract for any violations thereafter Smoke Testing Th~s port~on of the field ~nvest~gat~on w~ll identify those sections of the collection system whmh have structural defects and experience ~nflow dunng penods of rainfall Rainfall s~mulat~on tests include, but are not limited to, dye tests, water flooding and smoke testing Smoke testing ~ncludes the s~multaneous testing of mains, laterals, and house services It will be very effective in the detect~on of most sources of inflow and restr~cbve conditions ex~stmg ~n the tested hnes Th~rty-five m~lhmeter t~me and date stamped color photographs (or equivalent) will be taken of every located problem and referenced ~n the final computer printout as an a~d ~n rahab~htatlon A schematic drawing g~wng exphc~t d~rect~ons for locating each problem w~ll be ~ncluded Each located problem w~ll be referenced to at least 2 February 15, 1996 two permanent stationary points The field form used w~ll be combined such that all field work (~ e, physical survey and smoke teshng) w~ll be presented on the same form All smoke problems w~ll be quanbfied by g~wng cons~derabon to the surrounding area contributing to the problem, and the s~ze and density of the smoke encountered The C~ty w~ll prowde reasonable assistance regarding p~pe locations ~f necessary Dunng the smoke testing phase the location of crews w~ll be communicated to the fire department and City staff each day prior to commencing the tests Smoke testing "Notice to Residents" will be d~stnbuted prior to tesbng Any located m~ss~ng clean-out caps w~ll be replaced dunng the smoke testing acbwty Cleanout caps to be prowded by City prior to ~n~t~at~ng smoke tesbng acbwbes Locabon of m~ss~ng clean-out caps w~ll be documented on the field forms Total hnear feet surveyed for pay purposes w~ll be based upon field determined quanbt~es B BASIC SERVICES - ENGINEERING ANALYSIS, AND FINAL REPORT (Cost Plus Multiplier) Source Defect Analys~s Each defect idenbfied during the field testing w~ll be quantified by taking ~nto consideration the type of defect and tributary area Once all defects w~th a sub-basin are quanbfied, a companson w~ll be made between the flows as quantified dunng the physical survey tasks and flows measured by the C~ty dunng flow momtonng Th~s companson w~ll establish the rema~mng unlocated I/I for each basin 1 The ADS PIPE© (Physical Inventory Point-Source Evaluation) software w~ll be used to inventory and prioritize each defect 2 All tdentlfied I/I, structural and maintenance defects, and physical data collected dunng the manhole inspecbon and smoke testing w~ll be ~nventoned, analyzed and prioritized The evaluation model offers rehabll~tabon recommendabons by companng repair options to transport/treatment 3 Defects w~ll be ranked by the severity of the problem 4 The pnvate sector contnbut~on of I/I w~ll be quantified An estimated break down of the percentage attributable to service hne defects will be provided Recommendations for corrective acbon w~ll be made 5 Output reports will ~nclude a summary of all field acbwfles, results of the cost- effective analys~s, and the recommended improvement plan and associated costs 3 February 15, 1996 6 Project tracking form will be provided based upon length of pipe surveyed and potential gallons of I/I removed Cost Effective Analys~s A hne segment w~ll be termed "cost effecbve" for subsequent rehablhtabon when the cost of rehab~htabng an amount of extraneous flow is less than the cost of transportation and treatment of that extraneous fiow The cost analys~s Involves the following exercises · Assumpbon that all overflows must be corrected · Cost of rehab~htat~on for each problem hne segment · Cost of transportation and treatment of extraneous flows (based upon marginal costs approved by C~ty staff) · Comparison of the cost of rehablhtat~on versus the cost of transportation and treatment In order to determine ~f a hne segment should be rehab~htated, ~t w~ll be necessary to select the rehab~htatlon method and estimate the cost For each located problem, ADS w~ll prowde a recommendabon regarding a method of rehab~htabon, esbmates for ~ts associated cost based on local construcbon costs, and the esbmated pementage of ~nfiltrabonhnflow removal These recommendabons will then be entered d~rectly ~nto the computer program The computer program w~ll rank the leak source by priority number Th~s number w~ll be obtained by d~vld~ng the cost of transportation and treatment by the estimated rehab~htatlon cost If the transportabon and treatment cost for a particular problem ~s greater than the estimated rehablhtat~on cost, the leak source w~ll have a priority number greater than one, and the problem w~ll be cost effecbve to rehablhtate If the priority number ~s less than one, the problem w~ll not be cost effecbve to repair Example Cost of TransDortJTreatment Cost of Repair > 1 0 (Cost all field act~wt~es A pnonty ranking of each system defect will be presented along with the recommended method of rehab~htat~on and 4 February 15, 1996 associated cost Each defect w~ll be quantified and a flow balance undertaken Supporting data w~ll be presented The final computer output w~ll be the rehablhtabon summary sheets descnb~ng, by pr~onty, the location and descr~pbon of each category of rehab~htat~on work and w~ll be referenced back to the field documentation/photographs The defects database, updated maps, wdeotapes, and all field documentation w~ll be presented ~n the final report F~ve cop~es of the draft report w~ll be dehvered for review and comments The C~ty's rewew and comments w~ll be ~ncorporated and 20 cop~es of the F~nal Report and 3 sets of supporbng appendices w~ll be
