NOTE: COPY OF THE CONTRACT ATTACHED TO ORIGINAL Change Order #1 - Ordinance No. 96-051 Change Order #2 - Ordinance No. 98-272 ORDINANCE NO. ~ AN ORDINANCE ACCEPTING A COMPETITIVE SEALED PROPOSAL AND AWARDING A CONTRACT FOR THE PURCHASE OF MATERIALS, EQUIPMENT, SUPPLIES OR SERVICES; PROVIDING FOR THE EXPENDITURE OF FUNDS THEREFORE; AND PROVIDING FOR AN EFFECTIVE DATE. WHEREAS, the City has solicited, received and negotiated competitive sealed proposals for the purchase of necessary materials, equipment, supplies or services in accordance with the procedures of state law and City ordinances; and WHEREAS, the City Manager or a designated employee has reviewed and recommended that the herein described proposals are the best responsible proposals for the materials, equipment, supplies or services as shown in the "Proposals" submitted therefor; and WHEREAS, the City Council has provided in the City Budget for the appropriation of funds to be used for the purchase of the materials, equipment, supplies or services approved and accepted herein; NOW, THEREFORE, THE COUNCIL OF THE CITY OF DENTON HEREBY ORDAINS: SECTION I. That the numbered items in the following numbered bids for materials, equipment, supplies, or services, shown in the "Proposals" attached hereto, are hereby accepted and approved as being the best responsible proposal for such items: RFSP ITEM NUMBER NO. VENDOR AMOUNT 1738 ALL IBM $2,453,922.00 SECTION II. That by the acceptance and approval of the above numbered items of the submitted proposals, the City accepts the offer of the persons submitting the proposals for such items and agrees to purchase the materials, equipment, supplies or services in accordance with the terms, specifications, standards, quantities and for the specified sums contained in the Invitations, Request for Proposals, supplier proposals and related documents. SECTION III. That should the City and persons submitting approved and accepted items and of the submitted proposals wish to enter into a formal written agreement as a result of the acceptance, approval, and awarding of the proposal, the City Manager or his designated representative is hereby authorized to execute the written contract which shall be attached hereto; provided that the written contract is in accordance with the terms, conditions, specifications, standards, quantities and specified sums contained in the final negotiated response to the City's Request for Proposal and related documents herein approved and accepted. SECTION IV. That by the acceptance and approval of the above numbered items of the submitted proposals, the City Council hereby authorizes the expenditure of funds therefor in the amount and in accordance with the approved proposal or pursuant to a written contract made pursuant thereto as authorized herein. 'FFrL~ lILLE ~:)4~ DAT~ DATE EXHIBIT A 1) The City of Denton ("City") has accepted a proposal in response to RFP #1738 submitted by International Business Machines Corporation ("IBM"). IBM's proposal includes a license and/or sublicense to use software provided by ICS. Compensation for the use of software licensed and/or sublicensed by ICS is paid to IBM. No compensation for the license or sublicense to use ICS software is paid by the City to ICS. As a result, all paragraphs referencing payments to ICS or monies paid by City to ICS for a license and/or sublicense to use software are hereby deleted from the Agreement. 2) IBM's proposal also provides for the purchase or lease of hardware. ICS assisted IBM in the preparation of IBM's proposal but it is understood and agreed that IBM's proposal was made by IBM and City has not contracted directly with ICS for the provision or installation of hardware with ICS. The hardware is to be provided by IBM and no payments for the hardware are to be made by City directly to ICS. As a result, all paragraphs referencing payment for the hardware, delivery of the hardware, risk of loss for the hardware, insurance for the hardware, and security interests in the hardware are hereby deleted from the Agreement. In addition, the Hardware Sales Addendum shall not be a part of the Agreement. 3) Due to the direct contractual relationship which exists between City and IBM, various provisions of the Software License Addendum and the Soft'ware Sublicense Addendum are not applicable. Paragraphs contained within the Software License Addendum and/or the Software Sublicense Addendum concerning fees, installation, acceptance and/or payment for the software are hereby deleted from the Agreement.. 4) Paragraph 9 SOFTWARE LICENSE, subparagraph C, of the Software License Addendum is deleted from the Agreement and replaced with the following: C. The ICS Software is provided in object code format only. LICENSEE agrees not to modify, reverse engineer, reconstitute, de-compile and/or disassemble the ICS Software. Licensee ex- pressly agrees that the license granted herein give it no rights whatsoever to the ICS Software except the license provided herein. 5) Paragraph 12 NONDISCLOSURE, subparagraphs D and E of the Software License Addendum are deleted from the Agreement. 6) Beginning 90 days after the installation of the Phase I Management Information System described in IBM's propo._~_ I, ICS will assume responsibility for software support and equipment maintenance for the so/hg, are and hardware provided pursuant to IBM's proposal. Contained within IBM's proposal are prices for software support and equipment maintenance. The prices set forth in IBM's proposal shall supersede and replace any and all prices set forth in the SoRware Support Addendum and the Equipment Maintenance Terms and Conditions. In addition, the Software Support Addendum and Equipment Maintenance Terms and Conditions shall not become effective until ninety (90) days following the installation of the Phase I Management Information System by IBM. The software and hardware provided pursuant to IBM's proposal shall at City's option be included within the terms of the Software Support Addendum and Equipment Maintenance Terms and Conditions. Said software and hardware shall not be excluded from the terms of the Software Support Addendum or Equipment Maintenance Addendum by ICS. 7) No provision contained within the Agreement shall reduce the time in which City has to assert a cause of action to less than two (2) years from the date the cause of action accrues. For purposes of the Agreement, a cause of action shall be deemed to have been asserted by City when written notice of the breach or disagreement is received by ICS. 8) The warranties and representations contained within IBM's proposal regarding ICS software and hardware shall control over any and all waivers of warranties and disclaimers contained within the Agreement. 9) It is understood and agreed that the Agreement is by and between the City and ICS. The Agreement in no way limits any action, right or remedy the City may assert against IBM. 10) Any and all provisions of the Agreement which violate any law or regulation shall be void or limited by the requirements of that law or regulation. For instance, all provisions requiring proprietary or other information to be kept confidential shall be limited to the extent the City may keep such information confidential under the Texas Open Records Act; Chapter 552 of the Texas Government Code. In addition, any and all provisions which require the City, its officers, employees or agents to peffom~ a duty which violates any law are void. 11) The Agreement shall consist of the following documents as amended by this Addendum: 1) General Terms and Conditions 2) Software License Addendum 3) Software Sublicense Addendum 4) Hardware Maintenance Addendum 5) SoRware Support Addendum; and 6) Applicable portions of IBM's proposal made in response to RFP #1738. 12) Regardless of any provisions to the contrary, Texas law shall govem the interpretation of the terms and conditions of this Agreement and any litigation which concerns or grows out of this Agreement shall be tried in a court of competent jurisdiction in Denton, County, Texas. SUMMARY: Change Order #1 in the amount of $85,613.00 to the above referenced contract is for the purchase of radio transmission hardware including a base station controller, duplexer, antenna, ,minterruptible power source (UPS), mobil radio with antenna, installation and training. During previous discussions with Council it was our intention to purchase radio related hardware from a third party supplier as provided for in the conWact agreement. However, due to critical time restraints placed upon our frequency license by the F.C.C. and software development cost from ICS if other than GE/Erickson Radio equipment is used we are recommending this change order be approved. Utilization of the GE/Erickson Radio equipment originally proposed by IBM will protect the $1.5 million performance bond currently covering this MIS project.
