1987-0941678L AN ORDINANCE APPROVING AN AGREEMENT BETWEEN THE city OF DENTON, ET AL AND THE TEXAS I~ATBR DEVELOPMENT BOARD, APPROVING THE EXPENDITURE OF FUNDS THEREFORE, AND PROVIDING FOR AN EFFECTIVE DATE THE COUNCIL OF THE CITY OF DENTON HEREBY ORDAINS SECTION I That the City Council hereby approves and authorizes the Mayor and City Secretary to execute and attest, respectively, the agreement between the City of Denton, et al and The Texas l~ater Development Board, relating to a regional water supply and wastewater services planning study under the terms and conditions being contained in said agreement which attached hereto and made a part hereof SECTION II That the City Council authorizes the expenditure of funds in the manner and amount as specified the Agreement SECTION III That Ordinance No 87-025 is hereby, in all things, repealed SECTION IV That th~s ordinance shall become effective immediately upon ~ts passage and approval PASSED AND APPROVED this the/~__~day°f ~' 1987 AITEST CITY SECRETARY CIT ,,bF E ON, TEXAS APPROVED AS TO LEGAL FORM DEBRA ADAMI DRAYOVITCH, CITY ATTORNEY CITY OF DENTON, TEXAS 7WDB Contract NO. 55-71028 S~ATE OF ~EXAS Texas Water Development Board and C~ O~ %~AVIS City of Denton WHew the City of Denton applied for a Texas Water Development Board, hereinafter termed the Board, planning grant on behalf of the Denton County Water for the ~t~xe C~,~ittee which presently consists of the Bartonville Water ~y Cor~x)ratio~w Town of Bartonville, City of Carrollton, City of The Colby, ~ of Co~[~er Canyon, City of Corinth, City of Dallas, City of Dent(mw Co%~nty Of De~t~, Town of ~lower M~und, City of Highland village, Lake Cities F~ni~i~al Utility Authority, City of Lewisville, Town of Little Elm, ToWn of. ~on~er, City of Sanger and TSN Incorporated Water Cx~pany, WHEREAS, the participating e~tities in the Denton County Water for the Future C(xa~ittee have agreed to c~6it funds to pay for the local share of the planning project, as reflected in Exhibit A, WH~, the City of Denton as representative of the Denton County Water For the l~uture C~t~,~,lttee, xs the entity who will act as admlnlstrator of the Board's planning grant and will be responsible for the execution of this contra~t; aed WH~, on NOvember 20, 1986, the Board approved the application for financial assistance, NOW THEREFORE, the Board and the City of Denton, for the mutual considera- tion stated, agree and underStand as follows W~TNESSE~H · I P~OJ~T DESCRIPTION AND S~RVICES TO BE PERFORMED BY THE CITY OF DENTON AS a Joint and cooperative undertaking with the Board, to be financed jointly as hereinafter specified, the City of Denton will conduct a regional water supply and wastewater services planning studies for the City of Denton and the balance of Denton excluding an area south and southwest of Denton Creek Se~-~ces and shall be in strict accordance with re- qu~r~e~ts of the Texas Code, Chapter 15, associated rules of 31 Texas A~nlstrat~ve Code, 355, Attachment A, the original grant applica- tion, which is made a pert of thls contract, and with the followlng procedures and project 1 It shall be the of the City of Denton to establish fozmal and direct son with the entitles listed in Exhlblt B, the directors of util] istrlcts within the service area that have notified the City of their interest in the project, appropriate offlc] of the Cities of Dallas and Lewlsvllle, the North Texas Munic: Water DlStr~ct, and the Trinity River Authority, and c~tu~nlty in the proposed service area for the purpose of coordlnatlng the of the planning study and to acquire available data pertinent to planning effort Planning shall be coordinated with all existing supply and wastewater treatment studies and activities for of providing information for the proposed project As the ~lzlng entity, the City of Denton has the responslblllty to lcit c(xanents frown the general public as to the content of the project 2 The project will a feasibility study for regional water supply and wastewater systens for a service area which is defined as all of Denton sxcludlng the area south and southwest of Denton Creek The study, which is described in detail in Exhibit C, wlll A Develop a plan for the service area to enphaslze more efficient use resources --2-- B Determine present and potential water and wastewater demands for the years 1986 through 2010 for all cities, unincorporated areas, a~d water service provlders in the planning area C Determine present entities, systems for water and wastewater ser- vice, and water resources available ,n the planning area D. Analyze moSt feasible organizational arrangements to provide water an~ waste~mter services w~thin the planning area Specific alternatives to he considered will include 1 Expansion of presently adopted service areas (with agreenent frem entities) of Cities of Denton and Lewlsvllle 2. Creation of new regional entitles (e g , water districts) 3 Service frc~ existing entitles which may or may not presently provide service within the planning area (e g , Trinity River Author ity) E Conduct interviews with established entitles to ensure conceptual agreement with proposed roles in regional service plans F Prepare preliminary cost estimates and Implementation schedules for rec(awaended service alternatives G Provide rec~.endatlons for financ~al and legal strategies for funding initial construction costs and annual operation and main- tenance costs Estimates of potential customer rates under rec~,,%ended alternatives will be ~ncluded H Identify probable initial capital cost partlclpat~on and contin- uing contractual relationships between suppliers and customers under rectum%ended alternatives -3- 3 The study will review the relevant portions of the City of Dallas' master planning effort that address water supply treatment and delivery to the study area 4 The project will include coordlnstlng the water supply and wastewater syst~ plans and policies w~th ex~sting plans and pollcles of entities listed in Exhiblt B, the county, and the state II PROJECT SCHEDULE A~) REPORTS The tezm of this contract shall beg~n and the City of Denton shall beg~n perfoming its obligations hereunder on February 4, 1987 The City of Denton shall c(x~plete the work progr~ stated in Article I, above, not later than August 31, 1987, unless such date is extended as provided below, at which time the City of Denton shall deliver a draft final report After a thirty-day review period, the draft final report together with review comments w~ll be returned to the City of Denton. A final report incorporating any required changes must he su]:mltted to the Board within sixty (60) days thereafter Deadlines may he extended only in writing by the Board Ten (10) copies of the final report shall he delivered to the Board Delivery of the final report prior to November 30, 1987, shall constitute completion of the term of the Contract Monthly progress work reports which sur~arize the work c~mpleted through the period of the suhnltted State of Texas Purchase Voucher will be suhnltted by the City of Denton to the Board by the 20th of the month following the period covered by the Voucher The work report will contain the following informat ion. 1 Task n~es and descriptions 2 Total cost of the individual tasks, includlng T~DB and City of Denton portions --4-- 3 Percent of the tasks completed 4 Dollar value of the percent of the tasks cc~pleted 5 Total tasks c(x~pleted, indicating the percent of and dollar value of the project c~mpleted as reflected in totals of all State Vouchers sukmitted · A coordination ~eeting w~ll be held at the end of every three-month period to discuss the status of the study. Representatives of municipalities in Denton Co~ty and the City of Dallas will be invited to the meetings The City of Denton will schedule the coordination meetings so that a status report on the project can be written by the City of Denton and sukmitted to the Board according to the following monthly schedule during the active life of the contract May 1, 1987, and July 1, 1987 An interim status report will not be required after the draft final report has been submitted for review The status report shall be in letter form and shall contain the following information 1 A brief stat~ent of the overall progress made since the last status report. 2. A brief description of any probl~s that have been encountered during the previous reporting period that will affect the study, delay the timely c(~pletlon of any portion of the contract, or will inhibit the c~mpletlon of or cause a change in any of the project products or objectives 3 A description of actions the City of Denton or the contractor plans to take to correct any problens described in lt~n 2 above or change any schedule, product, or objectives stated in the contract If for any reason the City of Denton is unable to complete its performance called for under the terms of this contract on or before August 31, 1987, a~d is unable to deliver the final report on or before November 30, 1987, the City of Denton and the Board hereby agree to consider negotiating an extension of the contract period, however the Board will not be liable for more than $125,000 for the entire contract The Board must, however, be notified in writing ten (10) working days prior to the date for cc~pletlon of the work progrem or thirty (30) days prior to the date for suhnlttal of the final report that the City of Denton will be requesting renegotlat~on III. COMPENSATION A~D REI~UI~S~MENT The Board. for and in consideration of the obligations and responsibil- Ities u~dertaken by the City of De.ton, hereby agrees to c~mpensate and reimburse the City of Denton, in a total amount not to exceed $125,000, upon the sukmission of invoices and purchase vouchers representing costs ~ncurred by the City of Denton pursuant to performance of th~s Contract The C~ty of Denton will contribute $125,000, representing fifty (50) percent of the total project cost, in the form of cash A Reimbursement to the City of Denton shall be made in accordance with the following budget, with the Board contributing fifty (50) percent of the total project cost in the form of cash BUDGET Reglonal Water Supply and Wastewater Services Contract Study for the City of Denton A Salaries and Wages* $ 54,151 B Fringe* 17,328 C Travel 2,200 Expendable Supplies D 1,100 E Contract Services 62,500 F Technical/Computer Services 2,200 G Ccm~unlcat ions 1,100 H Reproduct ion 9,350 I Overhead* 83,817 J Profit 16,254 TOTAL $250,000 --6-- *Definition of Contract Budget Terms 1. Salary Cost is defined as the cost of salaries of engineers, draftsmen, stenographers, surveymen, clerks, laborers, etc , for time directly chargeable to the prelect 2 Fringe Costs are defined to include social security contributions, unemployment excise and payroll taxes, ~mployment compensation insurance, retirement benefits, medical and insurance benefits, sick leave, vacation, and holiday pay applicable thereto 3 Overhead Costs are those c~sts incurred by the Consulting Engineer in mairfcaining a place of bus,ness and performing professional services similar to those specified in this contract prelect description These expenses shall ~n¢lude the following o Indlrect salaries, including that portion of the salary of prin- cipals and executives that is allocable to general supervision o Indirect salary fringe benefits o Accounting and legal services related to normal manag~ent and business operations o Travel c~osts Incurred in the normal course of overall administra- tion of the business o ~qu lpment Rental e Depreciation of furniture, f~xtures, equipment, and vehicles o Dues, subscrlptlons, and fees associated with trade, b%]slc]ess, technical, and professlonal organizations o Other insurance o Rent and utilities o Repairs and maintenance of furniture, fixtures, and equipment Monthly invoices and State Vouchers suppl~ed by the Board for work per- formed shall be submitted for reimbursement Said invoices and vouchers shall be supported by sufflclent detail to substantiate billings by the City of Denton, said detail to include the following (1) For direct expenses ~ncurred by the C~ty of Denton for outside con- sultlng servlces--cop~es of invoices to the City of Denton showing the tasks that were performed, the percent and cost of each task ccm~pleted, a total cost figure for each d~rect expense category ~n- cluding labor, fringe, overhead, travel, c~,,~unlcatlon and postage, technxcal and c~puter services, expendable supplies, printing and reproduction, and the total dollar amount due to the consultant -7- (2) For travel and subsistence expenses, including such expenses for sub- contractors--names, date, work location, t~me perlod at work location, ~t~zat~on of subsistence expenses of each amployee, limlted, however, to travel expense authorlzed for state ~mployees by General Appropriation Act, 1986 Tex Sess Law Serv , Ch 13, Art V, sec, 13 1, at 587 or as ~ended, and (3) Other transportation ¢osts--~op~es of invoices covering tickets for transportation or, if not available, na~es, dates, and points of travel of individuals, and (4) All other reimbursable expenses~nvo~ces or purchase vouchers showing reason for expense with receipts to evldence the amount incurred B The Board shall reimburse the C~ty of Denton only upon invoice and purchase voucher, provlded, however, the Board shall only pay up to ninety (90%) percent of the Board's share of each ~nvolce pending the City of Denton's performance, completion of the report, and acceptance and approval of sa~d report by the Board At the t~me of said performance, c~mpletlon, and approval of the report by the Board, the Board shall pay the r~malnlng ten (10%) percent to the City of Denton C The C~ty of Denton and the subcontractors shall ma~ntaln satisfactory financial acceuntlng documents and records and shall make th~ available for examlnatlon and audit by the Board Accounting by the City of Denton and the subcontractors shall be ~n a manner consistent w~th generally accepted account ~ng pr ~nclples IV PUBLICATION AND SUBCONTRACTING The Board shall have unlimited r*ghts to technical or other data resulting d~rectly fr(~ the performance of services to the Board under this contract --8-- It ,iS agreed that the water supply planning mater,als developed by the City of Denton p~rsuant to this contract shall become the joint property of the City of De~ton ar~ the Board in which the Board retains the right to establieh copyrights. Any water supply planning materials subject to a Board copyright and produce~ by the City of Denton or Board pursuant to this contract may ~e printed by the' City of Denton or Board at their own cost and distrib~ted by either at their discretion within the State of Texas The City of Denton may otherwise utilize such material provided under this contract as it deens necessary and appropriate, including the right to publish and distribute the materials or any parts thereof under 1ts own n~me within the State of Texas, provided that any Board copyright is appropriately noted on the printed materials. The. City of Denton agrees to acknowledge the Board in any news releases or other p~blications relating to the work performed under this Contract No work herein called for by the City of Denton shall be subcontracted or assigned without prior written approval of the Executive Administrator of the Board for such subcontract, incl~ding a detailed budget estimate with specific cost details for each item of the work to be performed by the subcontractor and for each category of reimb~rsable expenses. The subcontracts shall con- form to the terms of the Contract and include provisions which require sub- contractor compliance with Board rules V AMENDMEnt, TERMINATION, A~) STOP ORDERS This contract may be altered or ~m~ended only by mutual wr,tten consent and may be terminated by the Board at any time by written notice to the City of Denton Upon receipt of such notice, the City of Denton shall, unless the notice directs otherwise, i~mediately discontinue all work ,n connection with the performance of this Contract and shall proceed to cancel promptly all --9-- exlstin~ orders insofar as such orders are chargeable to this Contract The City of Denton shell submit a statement showing in detail the work performed under this Contract to the date of tez~ination. The Board shall then pay the City of Denton premptly that proportion of the prescribed fee which applled to the work actually performed under this Contract, less all payments that have been previously made. Thereupon, copies of all c~mpleted work accempl~shed under this Contract shall be delivered to the Board The Board may issue a Stop Work Order to the City of Denton at any tlme. Upon receipt of such order, the City of Denton is to discontinue all work under this Contract and cancel all orders pursuant to the Contract, unless the order directs otherwise. If the Board does not issue a Restart Order w~thln 60 days after receipt by the City of Denton of the Stop Work Order, the City of Denton shall regard this Contract terminated in accordance with the foregoing provisions VI NO DEBT AGAINST THE STATE This Contract and Agreement shall not be construed as creating any debt by or on behalf of the State of Texas and for the Texas Water Development Board, and all obligations of the State of Texas are subject to the availability of funds VII LICENSES, PERMITS, AND INSURANCE For, the purpose of this Contract, the City of Denton will be considered an independent contractor and therefore solely responslble for llabil~ty resulting frem negligent acts or emissions The City of Denton shall obtain all necessary insurance in the judgment of the City of Denton, to protect itself, the Board, and employees and officials of the Board from hablllty arising out of the Contract The City of Denton shall lnd~nlfy and hold the -10- Board a~d the State of Texas harmless, to the extent that the City of Denton may do ~o in accordance with State Law, fr(m~ any and all losses, damages, liability, or claims therefore, on account of personal injury, death, or property damage of any nature whatsoever caused by the City of Denton, arising out of the a~tivities under this Gontra~t ~e City of Denton shall ~ solely and entirely responsible for procuring all app~opriate licenses and pmrmits which may he required by any c~mpetent authori~y for the City of Denton to perform the subject work Should any one or more provisions of this Contract be held to be null, void, voidable, or for any reason whatsoever, of no force and effect, such provision(s) shall he construed as severable fr~m the r~mainder of this Contract and shall not affect the validity of all other provisions of this Contract which shall remain of full force and effect IX.
