AN ORDINANCE PROVIDING RULES AND PROCEDURES FOR BOARDS AND
COMMISSIONS OF THE CITY OF DENTON, TEXAS. PROVIDING A
SEVERABILITY CLAUSE, AND DECLARING AN EFFECTIVE DATE
WHEREAS, the Laws of the State of Texas and the City
Charter of the City of Denton, Texas, authorize and empower the
C~ty Council of sa~d C~ty to promulgate and establish rules and
procedures to govern and conduct meetings of all boards and
commissions o£ the C~ty of Denton, and
~tEREAS, the C~ty Council has determined that such rules
and procedures would more effectively and efficiently serve the
public, now, therefore,
THE COUNCIL OF THE CITY OF DENTON, TEXAS, HEREBY ORDAINS
SECTION I
Chapter 1 of the Code of the City of Denton, Texas, ~s
hereby amended by designating ex~st~ng Section 1-1 through
Section 1-6 as Article I "General Provisions" and reserving
for future use Section 1-7 through Section 1-20
SECTION II
Section 1-21 through Section 1-41 are hereby reserved for
future use and designated as Article II "Rules of Procedure
Before C~ty Council"
SECTION III
Chapter 1 of the Code of the C~ty of Denton ~s hereby
amended by adding to Chapter 1 a new Article III "Rules and
Procedures before Boards and Commissions" reading as follows
"ARTICLE III
RULES AND PROCEDURES BEFORE BOARDS AND COMMISSIONS
Section 1-42 DEFINITION
The word "board, boards, commission, or commissions" as
used ~n th~s Ordinance shall be construed to mean any
managerial, administrative, or quash-judicial body of persons
which has the character of an adwsory or deliberative
character and whose members are appointed by or serve at the
pleasure of the C~ty Council of the Cxty of Denton, Texas
Section 1-4S APPLICABILITY
The provisions of th~s Ordinance shall govern and control
the rules, procedures, and operation of all boards, and the
removal of members thereof, prowded, however, wherever any
prows~on of the State Constitution, a State Statute, the C~ty
Charter, or C~ty ordinance conflicts or is ~ncons~stent w~th
any prows~on of th~s Ordinance, the conflicting or
~ncons~stent prows~on of th~s Ordinance shall not be
applicable
Section 1-44 GENERAL RULES
1-44 1 Quorum A quorum for the transaction of bus~ness
of a board shall be a majority of the members appointed to sa~d
board
1-44 2 Voting Required No attending member of a board
shall be excused or shall abstain from voting on any matter
before the board on which a vote ~s called or required except
where a board member's personal interest ~s ~nvolved Where
such member's personal ~nterest ~s ~nvolved, such member shall
announce such ~nterest at the commencement of consideration of
the matter and such member shall not enter into d~scuss~on or
debate on such matter and shall abstain from vot~n~ thereon
A member shall be considered to have a personal ~nterest ~n
a matter whenever any matter before the board could or does
affect the member's f~nanc~al ~nterest, or those of a bus~ness
w~th which the member is associated
1-44 3 Absences All board members shall attend all
regularly called and scheduled meetings of the board of which
he ~s a member The unexcused absence of any board member from
more than three (5) regularly called and scheduled meetings of
the board of which he ~s a member ~n any one year or lack of
attendance at f~fty (S0%) percent of the number of regular
meetings ~n a year, unless such absence ~s the result of
personal or family ~llness or death, shall be considered
"cause", as that term ~s used ~n Section 14 16 of the Charter

of the C~ty of Denton 1959, for removal of sa~d member by the
C~ty Council from such board"
SECTION IV
That If any section, subsection, paragraph, sentence,
clause, phrase, or word ~n th~s Ordinance, or application
thereof to any person or c~rcumstance is held to be ~nval~d by
any court of competent jurisdiction, such holding shall not
affect the validity of the remaining portions of th~s
Ordinance, and the C~ty Council of the City of Denton, Texas,
hereby declares ~t would have enacted such remaining portions
despite any such ~nval~dlty ~ --~'~
