The meeting began at 5:30 p.m. in the Airport Terminal Building Meeting Room at 5000 Airport Road,Denton, Texas, during which the following items were considered: BOARD MEMBERS PRESENT: Chairman Mr. Jim Stodola, Mr. Stu Morehead, Mr. Ira Weinstein, Mr. Pete Lane, and Mr. Martin Mainja. BOARD MEMBERS ABSENT: Mr. Kent Key absent. STAFF MEMBERS PRESENT: Mr. Dave Schaumburg, Airport Operations Manager, Chase Patterson, Airport Operations Assistant and Julie Mullins, Administrative Assistant and Board Secretary. PUBLIC PRESENT: Chris Whitfield, P.E., KSA Regional Manager Meeting was called to order by Chairman Mr. Jim Stodola at 5:46 p.m. 1. Pledge of Allegiance to the flag. 2. Receive reports by citizens and other interested persons. Mr. Jim Stodola ask for a moment of silence for Mr. Jim Clark; he was the Vice Chair of the Airport Advisory Board that pass away last month. Mr. Jim Stodola informed the board that Airport Staff would like to enforce a new policy for the Board to let Mrs. Julie Mullins know if each board member is going to make it to the meeting or not, by email or calling. This policy will take affect starting in October 2016. Mr. Jim Stodola informed the Board he would like to see a restaurant here at the Denton Enterprise Airport and might have someone that would be interested, this person will get with an architect and an engineering firm and his accounting firm to see if it is feasible. 3. Consider approval of the Airport Advisory Board meeting minutes from June 8, 2016. No Meeting Julyl3 and August 10, 2016. Mr. Jim Stodola wanted to bring item number 6 to the table for discussion, the discussion on this item was not concluded and wanted to get some answers. Ira was going to talk to Kathleen Wazny, Pete is going to find out how much a table cost at the Denton Benefit League, and Dave is going to get talking points for Ira to talk to Kathleen. 5 Mr. Martin Mainja made a motion to approve the minutes as presented for the June 8, 2016 meeting. Mr. Stu Moorhead seconded the motion. Motion carried 5-0. 4. Hold a discussion regarding the Denton Airport Organizational Chart. Mr. Stu Moorhead asked, the way the chart reads can anyone go straight to the Mayor for discussion. 5. Receive a report, hold a discussion and provide a recommendation to City Council to authorize the City Manager, or his designee, to execute on behalf of the City of Denton an acceptance of an offer from the Texas Department of Transportation (TxDOT) relating to a grant for the Routine Airport Maintenance Program (RAMP); authorizing the City Manager to expend funds provided for in the grant program; and declaring an effective date. (CSJ No. MI718DNTO) Mr. Dave Schaumburg reported to the Board regarding the Routine Airport Maintenance Program (RAMP). There was a discussion on what was spent this fiscal year and what Airport staff will plan on spending next year. The grant is for smaller routine maintenance projects on the Airport. It is an annual grant program from Texas Department Transportation Aviation Division (TxDOT Aviation). The grant is a 50150 cost-sharing grant under which TxDOT Aviation funds up to $50,000 and Airport funds $50,000. Mr. Ira Weinstein made a motion to recommend to the City Council to accept the Routine Airport Maintenance Program grant. Mr. Martin Mainja seconded the motion. Motion carried 5-0. 6. Airport Management Report: a. Tower Operations Mr. Dave Schaumburg reported the operations are down the last three months from last year's operations due to the weather. b. Fuel Commissions Mr.Dave Schaumburg reported the fuel commissions are down,but the quantity stayed the same. c. Quebec Hangar Project update Mr. Dave Schaumburg gave an update on the Quebec Hangar project. The city contracted with the manufacturer to come to Denton for a walk through, called Erect- a-Tube. The concern Airport Staff has is the bi-fold doors are a concern and they are complex, but it could be very dangerous if the door falls off. Found several items not completed correctly. Going to have a conference call with the bonding company tomorrow. 6 7. BACKGROUND Airport Advisory Board(AAB) Rules of Procedure as originally adopted by a City of Denton Resolution on June 24, 1969 provide a specific procedure for election of AAB Officers. Section 9. Officer Elections of the AAB Rules of Procedure provides the following guideline for officer elections: Board Officers: Those members interested in being an officer of the Board shall declare their interest for the office they wish to hold at the second meeting held after the appointment of new members each year. The Board shall elect officers for that year at the next Board meeting. The Board may elect any member of the Board to an office, regardless of whether or not they declared their intent to serve at the previous meeting,provided that the member agrees to serve as an officer. The final appointment of AAB Members for the current year was made by the City Council at their meeting on January 10, 2017 and reported to the AAB at the February 15, 2017 meeting. Therefore, this discussion shall serve as the first notice for election of AAB officers. The March 2017 meeting will include an opportunity for any interested Board member to declare their candidacy for the office of Chairman or Vice-Chairman. Election of officers will be placed on the April 2017 meeting for action. The one new Board Member is Bob Tickner. The position of Vice Chairman was vacated as of July 18, 2016. The officers to be elected for the coming year are Chairman and Vice Chairman. Current officers are Jim Stodola-Chairman and Vice Chairman is vacant. All AAB Members are eligible for appointment or reappointment. Due to the near-simultaneous departures of the top two administrative positions at the Airport, the City of Denton has chosen to utilize Mark Nelson, Director of Transportation, to assume the direct management of Denton Enterprise Airport (DTO). Mr. Nelson has valuable experience and history with DTO and will certainly be an asset as he helps steer the Airport through an exciting 5-year Capital Improvement Program. In addition to this change, David Schaumburg has accepted a position with Springfield-Branson National Airport in Missouri and will be leaving the City on March 3, 2017. BACKGROUND In June 2016,Airport staff requested local sculptor Paula Collins to design an entry sign to an appropriate scale for the teardrop open space at the Airport entry. The Arts Committee was informed of the plan to move the airman sculpture currently at this location closer to the Terminal Building so that the detail of that sculpture can be enjoyed by visitors passing through the terminal. The plan is to place the sculpture in the area where the flag pole is currently located. A short walkway with seating benches and low growing shrubs would enhance the viewing experience. Ms. Collins has completed a preliminary design for a brick wall situated in a compass rose setting which would have relief sculptured bricks depicting an aviation theme. Exhibit 1 is a concept drawing of the brick wall. Exhibit 2 shows the concept for the compass rose layout on the ground surrounding the wall. Exhibit 3 is a concept drawing of the end wall showing the potential location of the Airport logo and a dedication plaque. Exhibit 4 is a concept drawing of the aircraft that could be depicted in the brick relief. Each of these entry sign concepts can be modified based upon discussion and input from the Airport advisory Board. Also, once the entry sign design is formalized, the intent of Airport staff to take the design to the Arts Committee for review of the brick relief sculpture. This is an entry sign and not an art exhibit; however, courtesy communication with the Arts Committee is deemed appropriate by staff. Upon final design of the entry sign, a construction cost estimate can be developed by the designer, Paula Collins. Based upon past discussions with several aviation businesses located at the Airport, the Airport Advisory Board may be offered the opportunity to approach Airport sponsors to fund the construction of this entry sign. Recognition of business donors and individual contributors can be included in the entry sign design by use of engraved bricks as shown in Exhibit 5. This facility includes company offices, training rooms and a 10,000 square foot aircraft hangar totaling approximately 3 1,5 00 square feet under roof. This proposed property lease is to Denton Med Trans, LLC, and the business partner that will hold the initial property lease and develop the facility. The general business activity is training for medical emergency personnel operating helicopter medical evacuation services. FISCAL INFORMATION This 2.806 acre parcel will lease for an initial term of forty (40) years beginning at a rate of$0.27 per square foot annually($33,002.00). Beginning in November 2018, and every second year thereafter, the lease rate will be increased by three percent(3%). The lease provides the tenant a right-of-first-refusal for the first seven (7) years under this agreement to lease an adjacent 1.279 acre parcel of land(Exhibit 2)at the then current rate, terms and for the same period of time remaining in the original lease.
