ONE TO A PROFESSIONAL SERVICES AGREEMENT WITH AR/WS TEXAS, LP, FOR FURTHER SERVICES REGARDING THE PROCUREMENT AND DELIVERY OF LAND RIGHTS FOR THE DENTON MUNICIPAL ELECTRIC 69KV SPENCER TO DENTON NORTH 1NTERCHANGE TRANSMISSION LINE UPGR.ADE PROJECT; AUTHORIZING THE EXPENDITURE OF FUNDS THEREFOR IN AN AMOiJNT NOT-TO-EXCEED $63,600; AND PROVIDING AN EFFECTIVE DATE (FILE 4744— AGGREGATING NOT-TO-EXCEED $445,400). WHEREAS, on June 21, 2011 by Ordinance No. 2011-102, the Council awarded a Professional Services Agreement for Appraisal Services and Right-of-Way Acquisition to AR/WS Texas LP, in the amount of $381,800 for services regarding the procurement and delivery of land rights for the Denton Municipal Electric 69kV Kings Row to Spencer Transmission Line Upgrade Project; and WHEREAS, the Staff ha�ing recommended, the Public Utilities Board having approved, and the City Manager having recommended to the Council that Amendment No. One (the "Amended Agreement") be authorized to amend such Agreement with respect to the scope of work and an increase in the payment amount; and said fees under the proposed Amended Agreement are fair and reasonable, and are consistent with and not higher than the recommended practices and fees published by the professional associations applicable to the provider's profession; and such fees do not exceed the maximum provided by law; NOW, THEREFORE, THE COUNCIL OF THE CITY OF DENTON HEREBY ORDAINS: SECTION 1. Amendment No. One, increasing the amount of the professional services agreement by and between the City of Denton, Texas and AR/WS Texas LP, which is on file in the office of the Purchasing Agent, in the amount of Sixty Three Thousand Six Hundred and No/100 ($63,600) Dollars, is hereby approved; and the expenditure of funds therefor is hereby authorized in accordance with said Amended Agreement. The total purchase order amount increases to $445,400. SECTION 2. 'The City Council of the City of Denton, Texas hereby expressly delegates the authority to take any actions that may be required or permitted to be performed by the City of Denton under File No. 4744, to the City Manager of the City of Denton, Texas, or his designee. (FILE #4744) This further Change Order made and entered into as of the � day of March, 2012, by and between the City of Denton, Texas, a Texas municipal corporation, with its principal office at 215 East McKinney Street, Denton, Denton County, Texas 76201, hereinafter called "OWNER;" and �LR/WS Texas, LP., with its office at 1500 Industrial Blvd., Suite 230, Abilene, Texas 79602, hereinafter called "AR/WS" each acting herein, by and through their duly authorized officials, officers and representatives. This is the First Amendment to Professional and Personal Services Agreement (hereafter "First Amendment") with AR/WS for land appraisal and land rights acquisition services relating to the Denton Municipal Electric 69KV Kings Row to Spencer Transmission Line Upgrade Project (Phase II) and specifically reflects appraisal and land rights procurement for all phases of the project from McKinney Street north to Kings Row then west to the Denton North Interchange, and is made in accordance with Section 252.022(a)(4) of the Texas Local Government Code, and is therefore exempt from the requirements of competitive bidding; the original agreement heretofore entered into by and between the City and AR/WS, was approved by Council on June 21, 2011 in Ordinance No. 2011-102 in the amount of not-to-exceed $381,800; and After input from several cornmunity, Public Utility Board, and City Council meetings, the project aligrunent was determined that reflects the least impact on home owners. The ultimate alignments were approved by City Council on November 15, 2011, and January lOth, 2012. The final alignments resulted in an increase in the number of tracts from the initial estimate of 35 to 42. The "First Amendment" reflects appraisal and land rights procurement for all phases of the project from McKinney Street north to Kings Row then west to the Denton North Interchange. It is necessary for AR/WS to increase the work requirements of the AR/WS Proposal dated June 1, 2011, as the City's limited specialized staff cannot adequately perform these services with its own personnel; Staff is of the opinion that an additional not-to-exceed $63,600 is necessary in order to compensate �LR/WS for its professional and personal services rendered on said Proposal; and WITNESSETH, that in consideration of the covenants and agreements herein contained, the parties hereto do mutually agree to amend the terms of the original "Professional Services Agreement for Land Appraisal Services and Land Rights Acquisition Services relating to the Denton Municipal Electric 69kV Kings Row to Spencer Transmission Line Upgrade Project (Phase II)" for the first time (the "First Amendment") as follows: ARTICLE I EMPLOYMENT OF CONSULTANT Delete the 2nd paragraph of Article I of the Agreement entitled "Employment of Consultant" and substitute the following: "The project sha11 now include without limitation, land appraisal services and land rights acquisition services that are necessary, as described in the Proposal for City of Denton Transmission Line Project dated June 1, 2011, outlined in Exhibit "A" attached hereto and incorporated herewith by reference, to assist the OWNER in acquiring easements necessaxy for the Denton Municipal Electric 69kV Kings Row to Spencer Transmission Line Upgrade Project (Phase II); from East McKinney Street north to U.S. Hwy 380, within the City of Denton, Texas ("Proj ect"). The final City Council approved alignments resulted in an increase in the number of tracts from the initial estimate of 3 5 to 42. The First Amendment reflects appraisal and land rights procurement for all phases of the project from McKinney Street north to Kings Row then west to the Denton North Interchange." ARTICLE II COMPENSATION In Paragraph B, line 3 of Article V. of the Agreernent delete "not to exceed Three Hundred Eighty-One Thousand Eight Hundred Dollar and No/100 ($381,800.00)" and instead substitute the following language: "not to exceed an additional sum of $63,600 for this Change Order, aggregating the total surn of $445,400." ARTICLE IV EFFECT OF THIS FIRST AMENDMENT CONSULTANT AND OWNER hereto agree, that except as specifically provided for by this First Amendment, that all of the terms, covenants, conditions, agreements, rights, responsibilities, and obligations of the Parties, set forth in the Original Agreement, shall be and will remain in full force and effect. The CONSULTANT is entitled to retain copies of all such documents. The docuinents prepared and furnished by the CONSULTANT are intended only to be applicable to this Project, and CITY's use of these documents in other projects shall be at CITY's sole risk and expense.
